ningLawandJurisdiction][Provision4:EntireAgreement][Provision5:ForceMajeure][Provision6:DisputeResolution][Provision7:Miscellaneous]第二部分：第三方介入后的修正1.IntroductionofThirdPartiesThisAgreementmayinvolvetheinvolvementofthirdpartiesforvariouspurposes,includingbutnotlimitedto,intermediaries,consultants,appraisers,andlegaladvisors.Thefollowingprovisionsoutlinetheroles,responsibilities,andrightsofthesethirdparties,aswellasthedelineationoftheirinteractionswiththeLender,Borrower,andCollateralAgent.2.DefinitionofThirdPartiesForthepurposesofthisAgreement,a“ThirdParty”shallmeananyindividual,entity,ororganizationotherthantheLender,Borrower,andCollateralAgentthatisengagedinthetransactionorhasadirectinterestintheIntellectualPropertyortheLoan.3.IntermediaryIfanintermediaryisinvolvedinthetransaction,theintermediaryshallactasanagentfortheBorrowerandfacilitatethenegotiationandexecutionofthisAgreement.TheintermediaryshallnothaveanydirectfinancialinterestinthetransactionandshallnotbeliableforanydefaulttheBorrowerortheLender.Responsibilities:Assistinginthepreparationofnecessarydocumentation.LiabilityLimitation:Theintermediary’sliabilityunderthisAgreementshallbelimitedtoitsfeesandexpensesincurredintheperformanceofitsdutiesasanintermediary.4.ConsultantAconsultantmaybeengagedeithertheLenderortheBorrowertoprovideexpertadviceorservicesrelatedtotheIntellectualPropertyortheLoan.TheconsultantshallprovideservicesinaccordancewiththetermsoftheconsultantagreementandshallnotbedeemedapartytothisAgreement.Responsibilities:Providingexpertadviceorservicesasagreedupon.Maintainingconfidentialityofallinformationprovided.LiabilityLimitation:Theconsultant’sliabilityunderthisAgreementshallbelimitedtothescopeofservicesprovidedandshallnotexceedthefeespaidforsuchservices.5.AppraiserAnappraisermaybeengagedtoassessthevalueoftheIntellectualProperty.TheappraisershallconductanindependentvaluationandprovideareporttotheLenderandBorrower.Responsibilities:ConductingathoroughandindependentvaluationoftheIntellectualProperty.ProvidingadetailedvaluationreporttotheLenderandBorrower.LiabilityLimitation:Theappraiser’sliabilityunderthisAgreementshallbelimitedtothescopeofthevaluationservicesprovidedandshallnotexceedthefeespaidforsuchservices.6.LegalAdvisorAlegaladvisormaybeengagedeithertheLenderortheBorrowertoprovidelegaladviceandassistancewithrespecttothisAgreement.ThelegaladvisorshallprovideservicesinaccordancewiththetermsofthelegalservicesagreementandshallnotbedeemedapartytothisAgreement.Responsibilities:ProvidinglegaladviceandassistancewithrespecttothisAgreement.LiabilityLimitation:Thelegaladvisor’sliabilityunderthisAgreementshallbelimitedtothescopeofservicesprovidedandshallnotexceedthefeespaidforsuchservices.7.AdditionalTermsforThirdPartiesConfidentiality:AllThirdPartiesshallmaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththisAgreement.Indemnification:EachThirdPartyshallindemnifyandholdharmlesstheLender,Borrower,andCollateralAgentfromandagainstanyandallclaims,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththeThirdParty’sperformanceofitsdutiesunderthisAgreement.NoAgency:NoThirdPartyshallbedeemedtobeanagentorrepresentativeoftheLender,Borrower,orCollateralAgentforanypurpose,andnoThirdPartyshallhaveanyauthoritytobindanyofthepartiestothisAgreement.8.AmendmentstotheAgreementAnyamendmenttothisAgreementthatinvolvestheintroductionofaThirdPartyshallbemadeinwritingandshallbeexecutedallpartiestothisAgreement,includingtheThirdParty.9.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththeinvolvementofaThirdPartyunderthisAgreementshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisAgreement.Byincorporatingtheseprovisions,theAgreementclearlydefinestherolesandresponsibilitiesofThirdPartiesandensuresthattheirliabilitiesarelimitedtothescopeoftheirservicesandduties.ThishelpstoprotecttheinterestsoftheLender,Borrower,andCollateralAgentandpromotesaclearunderstandingoftheparties’obligationsundertheAgreement.第三部分：其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一：附件列表：1.Annex1:DescriptionofIntellectualProperty2.Annex2:PledgeAgreementAlegallybindingdocumentexecutedtheBorrower,confirmingthepledgeoftheIntellectualPropertyascollateralfortheLoan.Itshouldincludethetermsandconditionsofthepledge,includingtherightsandobligationsoftheBorrowerandtheLender.3.Annex3:InsurancePolicyAcopyoftheinsurancepolicycoveringtheIntellectualPropertyforthebenefitoftheLender.Thepolicyshoulddetailthecoverage,limits,andconditionsoftheinsurance.4.Annex4:RepaymentScheduleAdetailedscheduleoutliningtherepaymenttermsoftheLoan,includingtheamountofeachinstallment,duedates,andanypenaltiesforlatepayments.5.Annex5:AppraisalReportAreportpreparedanindependentappraiserdetailingthevaluationoftheIntellectualProperty.Thereportshouldincludethemethodologyused,theassumptionsmade,andthevaluationamount.6.Annex6:LegalOpinionAlegalopinionfromaqualifiedattorneyconfirmingthevalidityoftheIntellectualPropertyandthelegalenforceabilityofthepledgeagreement.7.Annex7:ConsenttoAssignmentAwrittenconsentfr
