2025年度國際貿(mào)易居間代理合同協(xié)議書英文版本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALINTERNATIONALTRADEAGENTCONTRACTPROTOCOLPART1:RECITALSWHEREAS,[AgentName](hereinafterreferredtoas“Agent”)isalegallyestablishedentityengagedinthebusinessof[Agent'sBusinessDescription],andisdesirousofprovidinginternationaltradeagencyservicesto[PrincipalName](hereinafterreferredtoas“Principal”);WHEREAS,[PrincipalName]isalegallyestablishedentityengagedinthebusinessof[Principal'sBusinessDescription],andisdesirousofenteringintoanagreementwith[AgentName]forthepurposeoffacilitatinginternationaltradetransactions;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:PART2:AGREEMENT1.ScopeofServices[AgentName]agreestoactastheexclusiveagentof[PrincipalName]forthepurposeoffacilitatinginternationaltradetransactionsin[SpecificProduct/ServiceDescription]duringthecalendaryear2025.2.Term3.Compensation4.ResponsibilitiesoftheAgent[AgentName]shall:a.Useitsbesteffortstopromoteandselltheproducts/servicesof[PrincipalName]tointernationalbuyers.b.Provideaccurateandtimelyinformationregardingmarketconditionsandpotentialbuyersto[PrincipalName].c.Maintainconfidentialityofallproprietaryinformationof[PrincipalName].d.ComplywithallapplicablelawsandregulationsintheperformanceofitsdutiesunderthisAgreement.5.ResponsibilitiesofthePrincipal[PrincipalName]shall:a.Provide[AgentName]withallnecessaryinformationandmaterialstofacilitatethesaleofitsproducts/services.b.Ensurethattheproducts/servicesofferedareofthehighestqualityandmeetallinternationalstandards.6.Termination7.DisputeResolutionAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiations.Ifthepartiesareunabletoresolvethedisputewithin[NumberofDays]days,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].8.GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].PART3:GENERALPROVISIONS9.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.10.AmendmentsAnyamendmenttothisAgreementshallbeinwritingandexecutedbothparties.11.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal.12.SignatureThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.[PrincipalName]By:___________________________Name:___________________________Title:___________________________Date:___________________________[AgentName]By:___________________________Name:___________________________Title:___________________________Date:___________________________EndofPart1第二部分：第三方介入后的修正1.DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedorshallengageinactivitiesrelatedtotheperformanceofthisAgreement,includingbutnotlimitedtointermediaries,consultants,suppliers,manufacturers,andshippingagents.2.IntroductionofThirdPartiesEither[PrincipalName]or[AgentName]mayintroduceaThirdPartyintothescopeofthisAgreementwiththepriorwrittenconsentoftheotherparty.Suchconsentshallnotbeunreasonablywithheldordelayed.3.ResponsibilitiesofthePrincipalandAgentinthePresenceofaThirdPartyb.[AgentName]shallensurethatanyThirdPartyintroducedintothetransactionactsingoodfaithanddoesnotengageinanyfraudulentordeceptivepractices.4.LiabilityLimitationofThirdPartiesa.TheliabilityofaThirdPartyforanyactoromissionarisingoutoforinconnectionwiththeperformanceofitsobligationsunderthisAgreementshallbelimitedtothescopeofitsresponsibilitiesasdefinedintheagreementbetweenitandtheintroducingparty.b.[PrincipalName]and[AgentName]shallnotbeheldliablefortheactsoromissionsofaThirdPartyunlesssuchactsoromissionsarecausedtheirownnegligenceorwillfulmisconduct.5.Indemnificationa.[PrincipalName]shallindemnify[AgentName]againstanyclaims,damages,orlossesarisingoutoforinconnectionwiththeactsoromissionsofaThirdParty,providedsuchclaims,damages,orlossesarenotcausedthenegligenceorwillfulmisconductof[AgentName].b.[AgentName]shallindemnify[PrincipalName]againstanyclaims,damages,orlossesarisingoutoforinconnectionwiththeactsoromissionsofaThirdParty,providedsuchclaims,damages,orlossesarenotcausedthenegligenceorwillfulmisconductof[PrincipalName].6.IntellectualPropertyRightsa.Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,shallremainthepropertyoftheirrespectiveowners.b.[PrincipalName]and[AgentName]shallensurethatanyThirdPartyintroducedintothetransactiondoesnotinfringeupontheintellectualpropertyrightsofanyotherparty.7.Confidentialitya.[PrincipalName],[AgentName],andanyThirdPartyintroducedintothetransactionshallmaintaintheconfidentialityofallproprietaryinformationandtradesecretsoftheotherparties.b.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.8.DisputeResolutiona.AnydisputearisingoutoforinconnectionwiththeinvolvementofaThirdPartyshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisAgreement.b.Thepartiesmayalsoseektoresolvedisputesthroughmediationorarbitration,asprovidedforintheagreementbetweentheThirdPartyandtheintroducingparty.9.ModificationofthisAgreementa.AnymodificationtothisAgreementinrelationtotheintroductionofaThirdPartyshallbeinwritingandexecutedallpartiesinvolved.b.ThemodificationshallbeeffectiveonlyifitisapprovedallpartiesandshallformanintegralpartofthisAgreement.10.AssignmentofRightsandObligationsa.[PrincipalName]and[AgentName]maynotassigntheirrightsandobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.b.AThirdPartymaybeassignedtherightsandobligationsunderitsagreementwiththeintroducingpartywiththeconsentoftheintroducingparty.11.TerminationofThirdParty'sInvolvementa.Either[PrincipalName]or[AgentName]mayterminatetheinvolvementofaThirdPartyatanytimeuponwrittennoticetotheotherparty.b.TheterminationofaThirdParty'sinvolvementshallnotaffecttheobligationsof[PrincipalName]and[AgentName]underthisAgreement.12.AmendmentstothisAgreementAnyamendmenttothisAgreementinrelationtotheinvolvementofaThirdPartyshallbeinwritingandexecutedallpartiesinvolved.13.EntireAgreementThissectionconstitutesanintegralpartofthisAgreementandsupersedesallprioragreements,whetherwrittenororal,relatingtotheinvolvementofThirdParties.14.SignatureThissectionmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthissectionasofthedatefirstabovewritten.[PrincipalName]By:___________________________Name:___________________________Title:___________________________Date:___________________________[AgentName]By:___________________________Name:___________________________Title:___________________________Date:___________________________EndofPart2第三部分：其他補充性說明和解釋說明一：附件列表：1.MarketAnalysisReportRequirements:Adetailedreportprovidinginsightsintothecurrentmarketconditions,potentialbuyers,andpricingtrendsforthespecifiedproduct/service.Description:Thisreportshouldbesubmitted[AgentName]to[PrincipalName]within[NumberofDays]daysoftheAgreement'seffectivedate.2.TransactionDocumentsRequirements:Alldocumentsrelatedtothetransaction,includingpurchaseorders,invoices,shippingdocuments,andpaymentreceipts.3.PerformanceReportsRequirements:Monthlyreportssummarizingtheprogressofthetransaction,includingthenumberofleadsgenerated,dealsclosed,andrevenuegenerated.Description:[AgentName]shallprovide[PrincipalName]withaperformancereportattheendofeachmonth.4.FinancialStatementsDescription:[AgentName]shallprovide[PrincipalName]withfinancialstatementsattheendofeachquarter.5.ConfidentialityAgreementRequirements:Asignedconfidentialityagreementbetween[PrincipalName],[AgentName],andanyThirdPartyinvolvedinthetransaction.Description:Thisagreementshallensurethatallpartiesmaintaintheconfidentialityofproprietaryinformationandtradesecrets.6.InsuranceCertificatesRequirements:Proofofinsurancecoveragefor[AgentName]andanyThirdPartyinvolvedinthetransaction.Description:[AgentName]andanyThirdPartyshallprovide[PrincipalName]withinsurancecertificateswithin[NumberofDays]daysoftheAgreement'seffectivedate.7.TerminationNoticeRequirements:AwrittennoticeofterminationinaccordancewiththeprovisionsofthisAgreement.Description:EitherpartyshallprovidetheotherpartywithwrittennoticeofterminationinaccordancewiththetermsofthisAgreement.說明二：違約行為及責任認定：1.FailuretoMeetDeadlinesResponsibility:Thepartyinbreachshallbeliableforanylossesincurredtheotherpartyduetothedelay.2.NonperformanceofObligations3.MisrepresentationorFraudResponsibility:Thepartyinbreachshallbeliableforany
