4.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,developedorcreatedbytheConsultantinthecourseofprovidingtheservicesshallremaintheexclusivepropertyoftheConsultant.

4.2TheClientshallhavethenon-exclusive,perpetual,worldwide,royalty-freerighttouseandreproducetheintellectualpropertyrightsdevelopedorcreatedbytheConsultantsolelyforthepurposesof[briefdescriptionoftheintendeduse].

5.Termination

5.1ThisContractmaybeterminatedbyeitherpartyupon[reasonfortermination,e.g.,breachofcontract,insolvency,etc.].

5.2UponterminationofthisContract,theConsultantshalldeliveralldeliverablestotheClient.

5.3AnypaymentsmadebytheClienttotheConsultantpriortoterminationshallnotberefundable.
