1.ScopeofAgreement

ThetermsandconditionssetforthinthisAgreementshallgoverntherelationshipbetweenPrincipalandAgentwithrespecttothesolicitationandreferralofClientstoPrincipalfortheprovisionofPrincipal'sServices.

2.CommissionTerms

2.1.Agentshallbeentitledtoreceiveacommission(hereinafterreferredtoasthe"Commission")foreachClientreferredbyAgenttoPrincipal,subjecttothefollowingterms:

3.ObligationsofPrincipal

3.1.PrincipalshallprovideAgentwithallnecessaryinformationandsupporttoenableAgenttoeffectivelysolicitandreferClientstoPrincipal.

3.2.PrincipalshallpromptlyacknowledgereceiptofanyClientreferralbyAgentandshallprovideAgentwithawrittenconfirmationofsuchacknowledgment.

3.3.PrincipalshallensurethatallClientreferralsreceivedfromAgentaretreatedwithduecareandconfidentiality.

4.ObligationsofAgent

4.1.AgentshallusereasonableeffortstosolicitandreferClientstoPrincipal,andshallnotengageinanydeceptiveorillegalpracticesinthecourseofsuchsolicitationandreferral.

4.2.AgentshallpromptlyinformPrincipalofanychangesinAgent'scontactinformationorbusinessstatus.

5.TermandTermination
