5、each party a 30 days before the date of shipment.5. 商情報(bào)告7.market report為使甲方充分了解現(xiàn)行市場(chǎng)情況， 乙方應(yīng)至少每季度一次或在必要時(shí)隨時(shí)向甲方提供市場(chǎng)報(bào)告， 內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌?chǎng)發(fā)展趨勢(shì)以及買方對(duì)甲方按協(xié)議供應(yīng)的貨物的品質(zhì)、包裝、價(jià)格等方面的意見(jiàn)。乙方還承擔(dān)向甲方提供其他供應(yīng)商類似商品的報(bào)價(jià)和廣告資料。in order to keep party a well informed of the prevailing market conditions, party b shall

7、f the goods supplied by party a under this agreement. party b shall also supply party a with quotations and advertising materials on similar products of other suppliers.6. 廣告及費(fèi)用8.advertising and expenses乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在韓國(guó)銷售代理商品做廣告宣傳的一切費(fèi)用， 并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。party a shall bear all expenses for adve

8、rtising and publicity in connection with the commodity in korea within the validity of this agreement, and shall submit to party a all audio and video materials intended for advertising for prior approval of party a.7. 傭金9.commission對(duì)乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按發(fā)票售價(jià)向乙方支付 _% 的傭金。傭金在甲方收到每筆訂單的全部貨款后 _ 天內(nèi)向乙方支付。

10、property rights在本協(xié)議有效期內(nèi)，為銷售本協(xié)議項(xiàng)下的代理商品， 乙方可以使用甲方擁有的商標(biāo)，并承認(rèn)使用于或包含于代理商品中的任何專利商標(biāo)、 版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。 一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護(hù)甲方權(quán)益。party b may use the trade-marks owned by party a for the sale of the commodity covered herein within the validity of this agreement, and shall acknowledge that all patents,

11、trademarks, copy rights or any other industrial property rights used orembodied in the commodity shall remain to be the sole properties of party a. should any infringement be found, party b shall promptly notify and assist party ato take steps to protect the latters rights.9. 協(xié)議有效期11. validity of ag

14、制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生 15 天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。either party shall not be responsible for failure or delay to perform all or any part ofthis agreement due to flood, fire, earthquake, draught, war or any other events which could not be predic

16、y within 15 days after its occurrence.12. 爭(zhēng)議解決14. dispute resolution因凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，雙方應(yīng)首先嘗試友好協(xié)商解決。如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi)，爭(zhēng)議仍未得到解決，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。any dispute arising from or in connection with this agreement shall first be attempted to be resolved
