(Party of Supplying Materials and Parts) Legal Address: _ Tel: _; Fax: _; E-mail: _ 雙方在遵守中華人民共和國(guó)法律、法規(guī)的前提下，本著本等互利的原則，就來(lái)料加工_進(jìn)行了充分協(xié)商，一致達(dá)成如下合同條款： Party A and Party B, according to the laws and policies of the Peoples Republic of China and the relevant regulations and the principles of equality and mutual benefit, have held discussions relating to the processing and assembling of (plastic toy products) and have reached agreement on the following contractual clauses: 一、雙方責(zé)任 1. Responsibilities 1甲方責(zé)任： (1)Responsibilities of Party A （1）提供有上蓋之廠房_平方米，無(wú)上蓋場(chǎng)地_平方米，工廠管理人員_名，生產(chǎn)工人_名、開業(yè)后_月增至_名。在合同期內(nèi)代乙方加工生產(chǎn)上述產(chǎn)品，加工成品后交回乙方復(fù)出。 1) Party A shall provide factory space consisting of _ square metres, field of _ square metres without covering, _ factory management person and _ workers for the first phase. The number of workers shall be increased to _ twelve months after operation. Within the Contract term, Party A shall process the products for party B which shall be re-exproted to _. （2）提供現(xiàn)有水、電設(shè)備供加工生產(chǎn)之用，如需新安裝水、電設(shè)施，其費(fèi)用由乙方支付。 2) The water supply and utility equipment required for processing shall be provided by Party A. If additional installations of water and electric facilities are required, the expenses thereof shall be borne by Party B. （3）辦理來(lái)料加工、裝配有關(guān)業(yè)務(wù)的進(jìn)出口手續(xù)及對(duì)工廠實(shí)行行政、財(cái)務(wù)等管理，不得把工作以任何形式承包給任何單位和個(gè)人經(jīng)營(yíng)。 3) Party A shall arrange all the necessary import and export approvals required for processing and assembly and provide administration and accounting management for the processing plant. Party A cannot assign Party As responsibilities to any other party or individual in any way. 2乙方責(zé)任： (2) Responsibilities of Party B （1）不作價(jià)提供加工上述產(chǎn)品及裝修廠房和建造_平方米簡(jiǎn)易廠房所需的設(shè)備材料（詳見(jiàn)清單），分多批運(yùn)抵甲方工廠，設(shè)備總值約_萬(wàn)元。 1) To provide the equipment with the total value of _. （2）不作價(jià)提供加工上述產(chǎn)品所需的原料、輔料和包裝物料，具體數(shù)量、規(guī)格在各份具體生產(chǎn)加工合同中訂明。 2) To provide the raw materials, indirect materials and packaging materials for processing the products. Quantities and specifications are to be specified in separate processing contracts. （3）工人如因工作不力（含工廠管理人員），經(jīng)教育無(wú)效者，乙方有權(quán)向甲方提出調(diào)換，但禁止非法搜查甲方工廠工人的身體。 3) In the event any personnel, including management shows substandard performance and makes no improvement after retraining, Party B shall have the right to request Party A to replace such persons. However, any physical search of the workers shall be regarded as illegal and prohibited. 二、加工數(shù)量 2. Quantity of Products 第一年加工上述產(chǎn)品，加工費(fèi)約_萬(wàn)元，從第二年開始的產(chǎn)量，應(yīng)在前一年的基礎(chǔ)上有所增加，具體數(shù)量應(yīng)在生產(chǎn)合同中訂明。 During the first year, the total processing fee shall amount to _. From the second year, the quantity shall be increased. Details shall be specified in separate processing contracts. 三、作價(jià)原則和工繳費(fèi) 3. Price & Salary 1試產(chǎn)（培訓(xùn)）期為二個(gè)月，在試產(chǎn)期內(nèi)，工人每人每月工繳費(fèi)暫定為_元，每月工作_日，每天_小時(shí)。 (1) The trial production (including training) period shall be _. During such period, the workers shall be paid _ per month on the basis of _ working days per month and _ working hours per day. 2試產(chǎn)期滿后，采取按件計(jì)算方式，在堅(jiān)持互利原則的基礎(chǔ)上、雙方應(yīng)根據(jù)加工的品種、規(guī)格、款式和工藝繁簡(jiǎn)不同進(jìn)行定價(jià)，并在生產(chǎn)加工合同中訂明為確保工人的合理收入，工繳費(fèi)平均每人每月不低于_元。需要加班時(shí)，加班費(fèi)另計(jì)，但每個(gè)工人每天加班時(shí)間最長(zhǎng)不得超過(guò)_小時(shí)。 (2) After the trial production period, the workers payment shall be calculated according to actual production quantities. On the basis of mutual benefit, both parties shall consider the processing fee, which shall be specified in separate processing contracts, according to different kinds of products, specifications, styles and engineering procedures. In order to ensure the reasonable income of the workers, the workers monthly salary shall be maintained no lower than _. If overtime work is required, payment shall be calculated separately. However, overtime shall not exceed _ hours a day. 3甲方工人生產(chǎn)消耗的水、電費(fèi)由乙方負(fù)責(zé)。 (3) Expenses for water and electricity in Party As plant shall be borne by Party B. 4每月乙方支付甲方_元，作為工作管理費(fèi)。 (4) Every month Party B shall pay _ to Party A for management expenses. 四、損耗率 4. Proportion Products Damaged 1試產(chǎn)期內(nèi)的消耗率，實(shí)報(bào)實(shí)銷。 (1) During the trial production period, Party B shall absorb the cost of products damaged. 2試產(chǎn)期后的損耗率，由雙方商定，并在生產(chǎn)加工合同中訂明。 (2) After the trial production period, the proportion of damaged products shall be mutually considered and decided by both parties and specified in separate processing contracts. 五、來(lái)料和交貨期 5. Shipment of Raw Materials & Finished Products 1乙方按生產(chǎn)合同的加工量，按月提供足夠數(shù)量的原輔材料和包裝物料。為使甲方工廠能正常生產(chǎn)，乙方必須在每批產(chǎn)品開始加工前_天，將所需的原材料和包裝物料運(yùn)抵甲方工廠。除因人力不可抗拒之原因外，乙方來(lái)料不足，造成甲方工廠每月生產(chǎn)不足_天，停工天數(shù)累計(jì)不得超過(guò)四天，否則，乙方應(yīng)按 在廠工人以停工天數(shù)計(jì)，每人每天補(bǔ)助生活費(fèi)_元，支付給甲方工廠。 (1) Every month, Party B shall provide sufficient raw materials and packaging materials according to the contracted processing volume. To ensure the normal production of Party As plant, Party B shall ship such materials to the plant_ days before the production of each lot of products. Except for reason of force majeure, the plant shall operate for more than _ days in a month. In case production is held up for _ days to insufficient supply of raw materials, Party B shall calculate the actual days when production is shut down and pay to Party A the workers living expenses at the rate of _ per person per day. 2為使乙方能開展正常的業(yè)務(wù)活動(dòng)，甲方應(yīng)向乙方按商定的交貨期，按時(shí)、按質(zhì)、按量交貨。如非人力不可抗拒原因，甲方不按時(shí)、按質(zhì)、按量交貨，造成乙方的經(jīng)濟(jì)損失，甲方應(yīng)負(fù)賠償之責(zé)任，賠償數(shù)額可在具體的生產(chǎn)加工合同中訂明。 (2) To ensure the normal operation of Party Bs business activities, Party A shall deliver the finished products to Party B in accordance with the time of delivery, quality and quantity. Except for reason of force majeure, in case losses to Party B are caused due to Party As failure to make delivery as mentioned above, Party A shall be responsible for the compensation. Details of such compensation shall be mutually agreed upon in separate processing contracts. 3由乙方提供的機(jī)械、通風(fēng)、照明等設(shè)備及原輔材料、包裝物料，在甲方工廠由雙方進(jìn)行交收登記，建立帳冊(cè)。甲方工廠加工后的成品，在甲方工廠經(jīng)乙方驗(yàn)收起運(yùn)后，甲方不負(fù)產(chǎn)品規(guī)格、質(zhì)量、短缺等任何責(zé)任。 (3) Both parties shall mutually inspect and document the equipment and materials provided by Party B, such as machinery, ventilation and lighting equipment and raw materials. After the finished products are inspected and shipped from the plant by Party B, Party A shall be free of any responsibility in regard to specifications, quality and quantity, etc. 六、結(jié)匯形式 6. Method of Payment 工繳費(fèi)及工人管理費(fèi)每月結(jié)算一次，以D/P即期結(jié)匯或支票方式結(jié)匯，由甲方工廠會(huì)同（_政府授權(quán)的處理來(lái)料加工事務(wù)并具有外貿(mào)經(jīng)營(yíng)權(quán)的）_貿(mào)易公司(下稱授權(quán)貿(mào)易公司)開具發(fā)票后，通過(guò)中國(guó)銀行（深圳分行）向乙方在香港開戶的銀行（_銀行。帳號(hào)_）辦理。乙方超過(guò)_天仍未付款給甲方，則按逾期天數(shù)，以當(dāng)時(shí)香港銀行利息一并付給甲方。乙方連續(xù)_個(gè)月不結(jié)匯，甲方有權(quán)采取停止出貨或其它措施。 Payment of workers salary and management fee shall be settled once a month by D/P, which shall be conducted through Bank of China _Branch by Party Bs bank in _ (_Bank, Account NO._) in accordance with the invoices issued by Party A and a Trade Company (authorized by the local government to be in charge of affairs of processing and assembly and with foreign trade authority, hereinafter referred to as the Authorized Trade Company). In case Party Bs payment is delayed for _ days, Party B shall be responsible for the interest incurred according to the banks interest rate; in case payment is not settled for _ consecutive months, Party A shall have the right to suspend delivery of the finished products or take other measures. 七、勞動(dòng)保護(hù)及運(yùn)輸與保險(xiǎn) 7. Labour Protection & Insurance 1工廠應(yīng)做好勞動(dòng)保護(hù)及安全工作，完善防塵、防煙、防毒設(shè)施，廠房保持通風(fēng)光亮，內(nèi)外環(huán)境衛(wèi)生整潔，對(duì)有污染性項(xiàng)目，須經(jīng)市環(huán)保部門批準(zhǔn)，方能立項(xiàng)經(jīng)營(yíng)。 (1) The plant shall take safety measures and protect the workers from dirt, smoke and poisonous materials. The factory shall be maintained ventilated and bright, and the surroundings clean and tidy. 2乙方提供的機(jī)械、通風(fēng)、照明設(shè)備、原輔材料、包裝物件及甲方工廠加工后的成品運(yùn)輸費(fèi)用，均由乙方負(fù)責(zé)。 (2) The transportation expenses for the machinery, ventilation and lighting equipment, raw materials, indirect materials, packaging materials and the finished products shall be paid for by Party B. 3原輔材料、包裝物料的運(yùn)進(jìn)，成品運(yùn)出及加工期間存放的機(jī)械設(shè)備、原料和包裝物料及操作機(jī)械的工人，均由乙方向_保險(xiǎn)公司投保。 (3) All insurance for the transportation and storage of the above materials, machinery and equipment and coverage of the workers operating the machinery shall be arranged through the _ Insurance Company of. 八、技術(shù)交流 8. Technical Exchange 在設(shè)備運(yùn)抵甲方工廠后，乙方應(yīng)盡快派出人員進(jìn)行安裝，甲方派出人員進(jìn)行協(xié)助。從試產(chǎn)期開始，乙方應(yīng)派出技術(shù)人員到甲方工廠進(jìn)行技術(shù)培訓(xùn)，直到工人能基本掌握生產(chǎn)技術(shù)，進(jìn)行正常生產(chǎn)時(shí)為止。乙方技術(shù)人員的工資及一切費(fèi)用由 乙方負(fù)責(zé)，甲方提供生活上的方便。 After the arrival of the equipment in the plant, Party B shall dispatch personnel to install such equipment, while Party A shall arrange personnel to assist the installation. When the trial production begins, Party B shall provide technical personnel to carry out the training until the workers have mastered the technology and the production operates normally. Party B shall be responsible for the technical personnels salary and all related expenses, and Party A shall provide daily necessities. 九、合同期限 9. Contract Term 本合同經(jīng)批準(zhǔn)簽訂后，乙方須將商業(yè)登記及銀行資信證明書交甲方辦理營(yíng)業(yè) 執(zhí)照經(jīng)海關(guān)備案生效。有效期為_年，即從_年_月_ 日至_年_月_日。如要提前終止或延長(zhǎng)本合同，須在三個(gè)月前通知對(duì)方，并經(jīng)雙方協(xié)商處理終止或延長(zhǎng)合同事宜。某方單獨(dú)提前終止合同，要負(fù)責(zé)補(bǔ)償對(duì)方的經(jīng)濟(jì)損失。補(bǔ)償?shù)霓k法，根據(jù)終止合同前半年內(nèi)的每月平均工繳費(fèi)為準(zhǔn)，補(bǔ)償兩個(gè)月的工繳費(fèi)總額給對(duì)方。 After this contract is signed and approved, Party B shall present to Party A its Commercial Registration and Bank Credit Certificate for Party A to arrange business licence and Customs Registration. The term of this contract shall be three years, e.g. from_ to_. If either party wishes to terminate in advance or extend the contract, the responsible party shall inform the other party three months in advance so that both parties can discuss and settle such a termination or extension. If either party terminates the contact before the term expires, the responsible party shall compensate the other party for the losses in such case, the responsible party shall pay the other party as compensation the amount of _ times the monthly processing fee. The fee will be based on the average monthly fee of the previous _ months. 合同期滿后，不動(dòng)資產(chǎn)（如廠房、宿舍）歸甲方所有，由乙方不作價(jià)提供的可動(dòng)產(chǎn)（如機(jī)械、車輛、通風(fēng)設(shè)備）歸乙方所有，并按海關(guān)和有關(guān)規(guī)定及時(shí)辦理核銷手續(xù)。 After the contract term expires, the real estate such as the factory building and dormitory building shall return to Party A and the machinery and equipment delivered by Party b shall be returned to Party B. Customs clearance procedures shall be gone through according to relevant regulations. 雙方同意，在本合同經(jīng)批準(zhǔn)簽訂后_天內(nèi)，乙方向甲方預(yù)付_元，作為履約保證金，從甲方收到履約金之日起_個(gè)月內(nèi)，乙方仍不投產(chǎn)開業(yè)，履約保證金即無(wú)條件歸甲方所有，同時(shí)，甲方有權(quán)廢約。如乙方能按時(shí)投產(chǎn)開業(yè)，該履約保證金可作工繳費(fèi)抵付給甲方。 Both parties agree that, within _ days after the contract is signed and approved, Party B shall pay Party A the amount of _ as its guarantee to carry out the contract. Arbitration 凡因本合同引起的或與本合同有關(guān)（包括任一生產(chǎn)加工合同）的任何爭(zhēng)議，應(yīng)通過(guò)友好協(xié)商解決，協(xié)商不能解決，均應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)施行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的,對(duì)雙方均有約束力。 Any dispute arising from or in connection with this Contract (and including all the separate processing contracts) shall be settled through amicable negotiation.
