1、派遣員工勞務(wù)合同OUTSOURCING CONTRACT OF EMP LOYMENT)字第甲方:Party A:法定代表人:Legal Rep rese ntative:地址:Address乙方:Party B:法定代表人:Legal Rep rese ntative:地址:Address:甲乙雙方按照中華人民共和國(guó)有關(guān)法律,根據(jù)平等互利原則,經(jīng)友好協(xié)商,就 甲方向乙方派遣員工事宜達(dá)成如下協(xié)議:Accordi ng to Chin ese releva nt laws, and in con sideratio n of the mutual cove nants and agreeme n
2、ts contained herei n, the p arties herebyreach the followi ng con tract concerning outsourced empio yee:第一章派遣與借用CHAPTER ONE OUTRESORCING AND BORROWING第一條 派遣系指甲方按照本合同約定,將與甲方建立勞動(dòng)關(guān)系的人員派往乙方工 作的行為。Article 1 For the purpose of this Con tract, Outsourci ng means P arty A dis patches its empio yee who has e
3、mployment relati on with itself to work for Party B.第二條 借用系指乙方按照本合同約定,從甲方借調(diào)人員到乙方工作的行為。Article 2 For the purpose of this Con tract, Borrowi ng mea ns Party B borrows, subject to the terms and con diti ons contained here in, the empio yee who has employment relati on with Party A to work for Party B.第
4、三條 甲方根據(jù)乙方的要求向乙方派遣員工, 乙方須按照約定向甲方支付借用費(fèi)。Article 3 At the request of Party B, Party A dis patches its empio yees to work for Party B; and, P arty B shall pay P arty A the releva nt borrow ing fees accordi ngly.第四條 員工與甲方為勞動(dòng)關(guān)系,與乙方為勞務(wù)關(guān)系。員工的工作地點(diǎn)、崗位、方 式由乙方根據(jù)業(yè)務(wù)需要確定。Article 4 The relati on betwee n the Empio y
5、ee who is concerned in this Con tract and Party A belongs to employment relation; and the relation between the aforementioned Empio yee and Party B bel ongs to labor service relatio n. The worki ng venue, po siti on and work ing method of the Empio yee will be determ ined by P arty B based on its bu
6、s in ess.第五條 借用費(fèi)系指乙方借用甲方員工的費(fèi)用,包括:Article 5 The Borrowing Fees” means the payment that Party B shall make to Party A, which in cludes:(一)支付員工的工資。(1) The wages of the Empio yee.(二)支付員工的社會(huì)保險(xiǎn)、住房公積金費(fèi)用。(2) The social in sura nee p remiums and hous ing fund of the Empio yee.(三)甲方為派遣員工提供商業(yè)保險(xiǎn)、福利的費(fèi)用。(3) Other
7、 commercial in sura nee and welfares that Party A offers to the Empio yee.(四)甲方對(duì)派遣員工的管理、經(jīng)營(yíng)成本,該費(fèi)用所占比例不少于借用費(fèi)的 5%(4) The man ageme nt cost and op eratio n cost of the outsourced Empio yee that Party A spen ds, which is not less tha n 5% of the total Borrow ing Fees.(五)承擔(dān)企業(yè)稅收等費(fèi)用。Taxes and other expen se
8、s that P arty A bears.第六條甲方派遣人員的姓名聘用職務(wù)及工作內(nèi)容借用期限年,自2012年 月 日至20 年 月 日止;Article 6借用工作地點(diǎn)The Name of the outsourced EmployeeWorki ng Po siti on & Worki ng ContentsBorrow ing P eriodComme ncing from.toWork ing Venue第二章 甲方的義務(wù)與權(quán)利CHAPTER TWO RIGHTS AND OBLIGATIONS OF PARTY A第七條甲方承擔(dān)下列義務(wù):Article 7Party A shal
9、l assume the followi ng obligati ons:(一)根據(jù)乙方的要求推薦人選,與乙方?jīng)Q定借用的人員或乙方直接選定的人 員簽訂派遣員工勞動(dòng)合同。(1) to recomme nd the can didates at the request of Party B, and sig ns employment con tract with the person who Party B decides to borrow or directly chooses.教育派遣員工遵守中華人民共和國(guó)法律、法規(guī)和規(guī)章。(2)to educate the outsourced empi
10、o yee to observe the laws, decrees and releva nt regulati ons en acted by the Chin ese gover nment.教育派遣員工遵守乙方的工作制度,保守乙方的商業(yè)秘密。to educate the outsourced empioyee to observe the working system and p olicies of P arty B, and kee p the bus in ess secrets of P arty B in con fide ntial.(四)從借用費(fèi)中支付派遣員工的工資和應(yīng)得
11、收入。to pay the Empio yee wages and other rem un erati ons he deservesfrom the borrow ing fees.(五)在乙方支付借用費(fèi)后,依法承擔(dān)派遣員工的社會(huì)保險(xiǎn)、住房公積金及福 利費(fèi)用,其中福利及醫(yī)療保險(xiǎn)部分內(nèi)容的具體實(shí)施按照本合同及其附件條款、甲方 有關(guān)派遣員工福利待遇、醫(yī)療費(fèi)用報(bào)銷的規(guī)定執(zhí)行。(5) Shall pay the social in sura nee, hous ing fund and other welfares for the Empio yee accordi ng to the relev
12、a nt laws after it receives the borrowi ng fees from Party B. The sta ndards of the aforeme nti oned contents will be subject to the terms and con diti ons of this con tract and its appen dixes, as well as therelevant rules and policies of Party A in relation with the welfares and reimbursement of m
13、edical treatment fees.六)為派遣員工提供雙方確定的服務(wù)內(nèi)容。(6)to provide other services which are agreed by two parties.聽取乙方意見和建議,不斷改進(jìn)工作。(7) to accept the advices and suggestions provided by Party B, and improve its work accordingly.第八條 甲方享有如下權(quán)利:Article 8 Party A shall enjoy the following rights:(一)如遇特殊情況,甲乙雙方不能達(dá)成一致意
14、見時(shí),甲方有權(quán)撤回派遣員工 和解除本合同,但應(yīng)提前 30 天以書面形式通知乙方和派遣員工(派遣員工在試用 期內(nèi)除外),同時(shí)甲方按下列方式向乙方一次性支付補(bǔ)償費(fèi):派遣員工被派遣時(shí)間每滿一年,補(bǔ)償費(fèi)為一個(gè)月的借用費(fèi),不足一年的部分按一年計(jì)算。補(bǔ)償費(fèi)以派遣員工被撤回當(dāng)月的借用費(fèi)為計(jì)算標(biāo)準(zhǔn)。(1) In case in some special situations when two parties cannot reach an agreement, Party A shall have the right to recall its outsourced employee, but a 30 da
15、ysprior written notice shall be made by Party A (except the outsourced employee is in the probation period), and shall be sent to Party B and the outsourced employee. Besides, Party A shall pay Party B compensation according to the following way.The compensation payment shall be made based on the wo
16、rking time of the outsourced employee, which shall be one month sborrowing fee for each full year worked. Any period of not less than one year shall be counted as one year. The standard of compensation fee shall be the borrowing fee of the same month when the outsourced employee is recalled.(二)甲方有權(quán)對(duì)
17、乙方違反本合同有關(guān)條款或損害派遣員工合法權(quán)益的行為 提出書面意見,進(jìn)行交涉。乙方應(yīng)在收到甲方書面意見后六個(gè)工作日內(nèi),以書面形 式回復(fù)甲方。(2) Party A is entitled to bring forward its opinions in written when Party B violates this Contract or damages the legal rights of the outsourced employee. And Party B shall reply in written within six (6) working days after it re
18、ceives the aforementioned written notice made by Party A.(三)乙方若無(wú)故拖欠派遣員工的工資或借用費(fèi),甲方可隨時(shí)無(wú)條件解除本合 同,并向乙方追索所欠費(fèi)用。(3) Party A is en titled to termi nate this con tract at any time for no reas on, and claim for compen sati on from Party B, if Party B fails to pay the outsourced empio yees wages, or fails to p
19、ay the borrowi ng fees.(四)派遣員工若侵害了乙方的合法權(quán)益,甲方可協(xié)助乙方追究員工的相關(guān)責(zé)任。(4) Party A may offer assista nee to Party B in ask ing the outsourced empio yee to take his liabilities, if the outsourced empioyee damagesthe legal rights of Party B.第三章乙方的義務(wù)與權(quán)利CHAPTER THREE THE OBLIGATIONS AND RIGHTS OF PARTY B第九條乙方承擔(dān)下列義務(wù)
20、:Article 9 Party B shall assume the followi ng obligati ons:(一)尊重派遣員工不同的民族習(xí)慣和宗教信抑,不歧視派遣員工。(1) to respect the custom, religion and belief of the outsourced empioyee, and n ot to make any discrim in atio n.(二)為派遣員工提供符合中國(guó)政府有關(guān)勞動(dòng)保護(hù)規(guī)定的工作場(chǎng)所和條件, 確定其工作崗位和工作內(nèi)容,并依法為派遣員工提供各項(xiàng)社會(huì)保險(xiǎn)及住房公積金費(fèi) 用。否則,產(chǎn)生的后果由乙方自行承擔(dān)。(2) sha
21、ll pro vide the outsourced Empio yee with n ecessary work ing con diti on which is in accorda nee with the releva nt statutes in relate to labor p rotect ion, and clarify the work ing p ositi on and job descri ptio n to the outsourced empio yee. Also, P arty B shall pay the social in sura nee p remi
22、uma nd hous ing fund for the outsourced empio yee. Otherwise, Party B will be res pon sible for the results aris ing therefrom.(三)實(shí)行每天工作不超過(guò) 8小時(shí),每周工作不超過(guò)40小時(shí)的標(biāo)準(zhǔn)工時(shí)制, 如遇特殊情況需派遣員工延長(zhǎng)工作時(shí)間,乙方須依法支付加班費(fèi)。(3) Party B practices the standard working hour system under which the empio yees shall work for no more tha
23、 n eight hours a day and no more tha n 40 hours a week. In case of sp ecial situati on whe n Party B has to exte nd work ing hour, it shall pay the outsourced empio yee overtime p ay.(四)為派遣員工提供差旅等補(bǔ)貼,具體數(shù)額由乙方?jīng)Q定。(4) shall pro vide the outsourced empio yee travelli ng allowa nee and other ben efits, the
24、 amount of the aforeme nti oned allowa nee and ben efits will be determ ined by Party B.(五)保證派遣員工的法定節(jié)假日休息。為借用滿一年以上(含一年)的員工 每年安排一次帶薪休假,具體休假天數(shù)按乙方的規(guī)定執(zhí)行。(5) Shall guara ntee that the outsourced empio yee can get rest and leave duri ng the legal holidays. Shall also arrange one paid holiday for the outso
25、urced empio yee whose borrow ing p eriod is on and over one year. How long the leave with pay of the outsourced empio yee is will be based on the regulati ons of Party B.(六)按照國(guó)家標(biāo)準(zhǔn)享受醫(yī)療期及醫(yī)療期內(nèi)的病假工資和疾病救濟(jì)費(fèi)。(6) shall guarantee that the outsourced empioyee is entitled to have medical treatme nt p eriod, an
26、d to receive sick wages and diseaseremedy duri ng his medical treatme nt p eriod.本條所列第(三)、(四)、(五)項(xiàng)內(nèi)容,乙方可以規(guī)章制度的形式作具 體規(guī)定,也可與派遣員工以協(xié)議的形式作具體約定。只要不違反國(guó)家法律、法規(guī), 且送甲方備案,應(yīng)以規(guī)章制度和協(xié)議為準(zhǔn)。The contents stipulated in Clause (3), (4) and (5) contained in this Article, can be determ ined by Party B and embodied in its R
27、ules and Regulati ons of the Company, or is formed by ano ther agreeme nt reached and sig ned betwee n the outsourced Empio yee and Part B. Such Rules and Regulati ons of P arty B or agreeme nt shall p revail, as long as they do not violate any laws, decrees or regulati ons of the state, and, has be
28、e n already sent to Party A for record.第十條乙方享有如下權(quán)利:Article 10 Party B shall have the followi ng rights:(一)對(duì)決定借用的員工可以規(guī)定試用期,試用期限應(yīng)根據(jù)借用期限確定:1.借用期在6個(gè)月以下的,試用期不超過(guò)15日;2.借用期在6個(gè)月以上1年以下的,試用期不超過(guò)30 日;3.借用期在1年以上3年以下的,試用期不超過(guò)60 日;試用期內(nèi),乙方對(duì)不符合要求者, 有權(quán)終止試用, 但應(yīng)支付試用期的借用費(fèi) (含 社會(huì)保險(xiǎn)及住房公積金費(fèi)用)。試用期滿,所派遣員工自動(dòng)轉(zhuǎn)為正式派遣員工,其 借用期自試用之日起計(jì)
29、算。(1) may decide the probation period of the outsourced employee based on the borrowing period:a. Where the borrowing period of the outsourced employee is less than six (6) months, the probation period may not exceed 15 daysb. Where the borrowing period of the outsourced employee is more than six (6
30、) months but less than one year, the probation period may not exceed 30 days;c. Where the borrowing period of the outsourced employee is more than one year but less than three years, the probation period may not exceed 60 days;d. Where the borrowing period of the outsourced employee is more than thr
31、ee years, the probation period may not exceed six months.試用期內(nèi),乙方對(duì)不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用費(fèi) (含社會(huì)保險(xiǎn)及住房公積金費(fèi)用) 。試用期滿,所派遣員工自動(dòng)轉(zhuǎn)為正式派遣員工, 其借用期自試用之日起計(jì)算。Party B may terminate this contract during the probation period, however it shall pay the borrowing fees during the probation period (including social insura
32、nce premiums and housing fund). The outsourced employee will automatically become regular outsourced employee after his probation is over, and The start time of the borrowing period shall be the start time of the probation period.(二)在借用期內(nèi),有解除派遣員工和解除本合同的權(quán)利,但應(yīng)提前 30 天以書 面形式通知甲方和派遣員工(派遣員工在試用期內(nèi)除外),同時(shí)按下列方
33、式向甲方 一次性支付補(bǔ)償費(fèi):派遣員工借用時(shí)間每滿一年,補(bǔ)償費(fèi)為一個(gè)月的借用費(fèi),不足一年的部分按一 年計(jì)算。補(bǔ)償費(fèi)以派遣員工被退回甲方當(dāng)月的借用費(fèi)為計(jì)算標(biāo)準(zhǔn)。補(bǔ)償費(fèi)中包含派 遣員工被解除勞動(dòng)合同的經(jīng)濟(jì)補(bǔ)償金。(2) during the borrowing period, Party B is entitled to dismiss the outsourced employee and terminate this contract, however, it shall make a 30 daysprior written notice to inform Party A and the o
34、utsourced employee, except otherwise the outsourced employee is in his probation period. In the meanwhile, Party B shall pay Party A the compensation fee in one lump sum according to the following ways:The compen sati on fee shall be p aid based on borrow ing time at the rate of one monthswage for e
35、ach full year. Any p eriod of no t less tha n one year shall be coun ted as one year.The sta ndard of compen sati on fee shall be the borrow ing fee of the same month whe n the outsourced empio yee is retur ned to P arty A. The compen sati on fee shall in cludes the severa nee pay of the outsourced
36、empio yee who is sent back by P arty B.(三)如派遣員工因違反中國(guó)法律、法規(guī)和嚴(yán)重違反乙方規(guī)定(此規(guī)定對(duì)派遣 員工和甲方應(yīng)該是公開的)被解除借用,乙方經(jīng)征求甲方意見后可隨時(shí)通知甲方和 派遣員工,并可不支付補(bǔ)償費(fèi)。(3) If the outsourced empio yee is retur ned by P arty B, by virtue of violati ng the Chinese laws, decrees and seriously violating the rules and regulations (which shall be p
37、 ublic for the empio yee himself and Party A), after checks the opin io n of Party A, Party B may inform the empio yee himself and Party A about its decisi on at any time and without any compen sati on.(四)可與派遣員工另行簽訂個(gè)人協(xié)議作為甲方與派遣員工勞動(dòng)合同的附件 送甲方備案,但該協(xié)議不得違反中華人民共和國(guó)的有關(guān)法律、法規(guī)和本合同內(nèi)容。(4) May sig n the in dividua
38、l agreeme nt with the outsourced empio yee and send one copy to P arty A for record. However, such agreeme nt shall not violate a man datory pro visi ons of any law, admi nistrative regulati on, or terms and con diti ons of this con tract.(五)乙方有權(quán)對(duì)甲方違反本合同有關(guān)條款的行為提出書面意見,并進(jìn)行交 涉。甲方應(yīng)在收到乙方書面意見后六個(gè)工作日內(nèi),以書面形式
39、回復(fù)乙方。(5) Party B is en titled to make writte n advices whe n Party A violates the terms and con diti ons of this con tract, and make further n egotiati ons. P arty A shall reply P arty B in writte n within six (6) worki ng days after it receives the no tice made by Party B.第四章費(fèi)用及其結(jié)算CHAPTER FOUR THE
40、EXPENSES AND TERM OF PAYMENT第十一條借用費(fèi)為每月人民幣丿元。Article 11Borrowi ng Fees is RMB乙方須于當(dāng)月20日前向甲方支付月借用費(fèi)、補(bǔ)償費(fèi)和年終附加的工資第十二條(乙方直接支付派遣員工工資的,須于當(dāng)月底前向甲方支付借用費(fèi)的其它部分), 甲方收到后,于次月6日支付派遣員工工資。以上費(fèi)用每逾期10天按1%m付滯付金。元,并解除或終止本合同,且不屬逾期30天的,甲方可視情況提出索要違約金 違約行為,雙方辦理相應(yīng)手續(xù)。Article 12 Party B shall pay the mon thly borrowi ng fee, compe
41、n sati on fee and additi onal year-e nd bonus before 2& of each month (if the outsourced empio yees is p aid by P arty B directly, the n Party B just n eeds pay Party A the bala nee amount of the borrowi ng fees). After recei ving the p ayme nt, P arty A shall pay the outsourced empio yee before 6th
42、 of the followi ng mon th.In case that P arty B delays p ayme nt, P arty A is en titled to collect the surcharge at the rate of 1% of the amount due for every 10 days delayed. When the days overdue exceeds 30 days, the n Party A is en titled to claim for RMB as breach of con tracts fromParty B based
43、 on the sp ecific situati on, and term in ates this con tract or can cels this con tract in the mean time. And such actions shall not be con strued as breach of con tracts. Besides, two p arties will go through the releva nt formalities.第十三條加班、加點(diǎn)費(fèi)用的計(jì)算方法為:Article 13 The Calculatio n Method for the Ov

45、 holidays: Monthly wag2!1.75 days 8 hfs actual overtime 300%X第五章爭(zhēng)議與仲裁CHAPTER FIVE DISPUTES AND ARBITRATION第十四條 在本合同履行過(guò)程中,甲乙雙方如發(fā)生爭(zhēng)議,應(yīng)通過(guò)友好協(xié)商解決。經(jīng) 協(xié)商后仍不能解決的,可提交有管轄權(quán)的人民法院處理。Article 14 Any dis pu tesi n connection with this Con tract or the executi on thereof shall be amicably settled through n egotiati o
46、ns In case no settleme nt can be reached betwee n the two P arties, it shall be submitted to the court which has the jurisdicti on to file a litigati on.第十五條 甲方(或乙方)與派遣員工因本合同中有關(guān)勞動(dòng)紀(jì)律約定、員工工資、 保險(xiǎn)等勞動(dòng)權(quán)利和義務(wù)的內(nèi)容發(fā)生勞動(dòng)爭(zhēng)議,并提起勞動(dòng)爭(zhēng)議仲裁時(shí),如爭(zhēng)議的處 理結(jié)果與乙方(或甲方)有利害關(guān)系,乙方有參加仲裁活動(dòng)的權(quán)利和義務(wù)。Article 15 If there is any dis pute happ
47、ens betwee n the outsourced empio yee and P arty A (or Party B) in relate to the pro visi ons stated in this con tract concerning employment disci plin es, wages, social in sura nee, the rights and obligati ons of the outsourced empio yee, and results in labor arbitrati on fin ally .In case that the
48、 outcome of such arbitrati on may have in terests with ano ther p arty, ano ther p arty shall have the right and obligati on to p artici pate in the aforeme nti oned arbitrati on.第六章其它CHAPTER SIX MISCELLANEOUS第十六條甲方為派遣員工提供的服務(wù)內(nèi)容在附件 2中約定,附件2為本合同不可分割的組成部分。Article 16 The services that Party A p rovides to outsourced empio yee are st ipu lated in Appen dix 2, which is an in tegral part of this Con tract.第十七條 本合同未盡事宜,國(guó)家有規(guī)定的按國(guó)家規(guī)定辦理,國(guó)家無(wú)規(guī)定的由甲乙 雙方協(xié)商
