2、lBothpartiesheretoshallensuretheirlegalpositionsofcorporateorganizationsandthequalificati ontoselltheproductsasspecifiedinthisContract.Bothpartiesshallexchangetheduplicateddocu mentationsofrelevantcertificatessuchasbusinesslicenseandtaxregistrationcertificate.Article2DistributionArea1.Thedistributio

3、nareaauthorizedbyPartyAtoPartyBisAustria;2.PartyBagreestobetheagentintheareamentionedaboveandundertakealltheobligationsunde rthisContract.Article3CooperationModePartyAshallprovideenergyresourceselectricitypowersaving/conservationtechnologyproduct sandPartyBshallberesponsibleforthepromotionandsalesof

4、theproducts:a)TheproductssuppliedbyPartyAshallbesuitableforthesalesinAustriaandshallbeconfirmedby bothpartiesheretoinwrittenform;b)PartyAshallberesponsibleforthetrainingofthepersonnelofPartyBfortheuseoftheproductssu ppliedbyPartyA;c)PartyAshallexporttheproductstoWTorotherportsappointedbyitwithinthes

5、copeasspecifiedi nthiscontract;d)PartyAshallsupplytothemarketableresourceselectricitypowersaving/conservationtechnolo gyproductswithhighqualityasspecifiedbyPartyB;e)Theproductstobemanufacturedunderthiscontractshallbespecificallybrandedasbeingprod ucedfortheexclusivedistributionbyPartyBinAustria;f)Pa

8、ctsfromChina.g)PartyBshalluseitsnametodothefollowingunderthiscontract: i)RegistertheproductswiththerelevantauthoritiesinAustria;ii)MarkettheproductsinAustria.Article4ProductsInvolvedinCooperationArticle5Term,PurchaseTaskofFirstPhase,AnnualSalesTaskandRewarding1.Thiscontractshallbevalidandinoperation

9、foraperiodoffive(5)years,commencingonXX/XX/XXXXandterminatedonXX/XX/XXXX.2.PurchaseTaskofFirstPhase:withinninety(90)daysuponandfromthedateonwhichthiscontract issigned,PartyBshallpurchasefromPartyAtheproductsof100thousandUSD.3.Aftertheexpirationofthevalidityofthiscontract,PartyBmaysubmitapplicationfo

11、 同4.Refertoappendixforthesalestaskandrewardingindetail.Article6PurchaseofProductsandPayment1.Uponthedateonwhichthiscontractissigned,PartyBshallpaytoPartyA20thousandUSDascontr actguaranteefund;PartyBshallcompletethepurchasetaskoffirstphase(100thousandUSD)withi nninety(90)daysuponandfromthedateonwhich

12、bothpartiessetthehandsandsealsonthiscontra ct.Withinhalfyear,PartyBshallcompletetheaccumulativetaskof tenthousandUSD;withinone year,PartyBshallcompletetheaccumulativeannualtaskof tenthousandUSD.2.Withinninety(90)daysuponandfromthedateonwhichthiscontractbecomeseffective,PartyBs hallpurchasefromPartyA

13、theproductsofatleast100thousandUSD.Atthattime,thecontractguar anteefundoftenthousandUSDshallbeconvertedintoadvancepayment,andthelackingpartacco rdingtoarticlenineshallbesubjecttoarticlenine.3.TheremainingcontractguaranteefundoftenthousandUSDshallbeconvertedastheadvancepa ymentofthesecondtransaction.

14、4.PartyBshallsendthewrittenordertoPartyA,andtheordershallbesignedbythelegalrepresentat iveofPartyBandstampedbycommonseal.Uponthereceiptoftheorder,PartyAshallconfirmwhet hertheorderisvalid.Wheretheorderisvalid,eachorderandletterofconfirmationshallbeanindep endentandvalidsalescontract.Thepaymentmodean

15、ddeliveryclausesasspecifiedinthiscontract maybedeemedasthevalidadditionoftheindependentcontract.5.AfterthewrittenorderofPartyBisconfirmedbyPartyA,withinthree(3)daysuponandfromtherec eiptoftheletterofconfirmationfromPartyA,PartyBshallpaytoPartyA30%ofthetotalpaymentfor goodsasadvancepayment;withinthre

31、第 三 條 合 作 方 式由 甲2.3WhenPartyBconductsthemarketingexploitationandsalesoftheproductsintheareaasspecifi edinthearticletwoofthiscontract,PartyAshallprovidenecessaryrelevantsupportingservicessuc hasmarketguidance,technicalsupportandtrainingsupportforPartyB.2.4PartyAshallsupplythewell-packedqualifiedprodu

34、sinesslicensetoPartyAandstrictlyabidebytheindustr ystandardandrelevantlawsandregulationsofthecountry,andoperateunderthelaws.4.2PartyBshallmaintaintheimageandreputationofPartyAanditsproducts.Withtheguidanceof PartyA,PartyBshallmakegoodsettlementofthecomplaintandrelevantserviceapplicationofthef inalus

37、eedbackvariousmarketinginformationontime.4.6PartyBshallsubmitalltheadvertisingdatainvolvingPartyAtoPartyAforexaminationandapproval;andtheadvertisingdatashallonlybeissuedwiththeapprovalofPartyA.4.7PartyBshallabidebytheannualmarketingplan,clientserviceplanandrenderactiveassistancetoPartyAtoorganizevar

38、iousactivities.4.8PartyBshallnottransactbusinessorothercivildeedswithanyotherthirdpersonorpartyinthenameofPartyA.PartyAshallnotbearanylegalresponsibilityfortheeconomicorcivildisputebetweenPartyBandanyotherthirdpersonorparty.Article13ModificationandTerminationofContract1.Themodificationofthiscontract

39、shallbeagreedbybothpartiestothiscontract.Themodificationshallbeformedintowrittenform(ContractModificationAgreement)andsignedandapprovedbybothparties.2.Wherethefollowingeventsoccur,thepartiesconcernedshallnotifytheotherpartyoftherelevantmatter.Where,withinthirty(30)days(exceptthecontractspecifiedinpa

40、rticular)afterthereceiptofthenotice,theotherpartyfailstomeasurestocorrect,remedyoreliminatetheseevents,thepartiesconcernedmayterminatethiscontractwithwrittennotice.Withinthethirty(30)daysmentionedabove,bothpartiesshallcontinuouslyexecutetheobligationsunderthiscontract.2.1EitherPartytothiscontractvio

41、latestheregulationsasspecifiedinthecontractandrelevantappa)endixes.2.2EitherPartyheretoisinbankruptcyorintheliquidationprocedure(mandatoryorvoluntariness).2.3EitherPartyheretocannotimplementthemainobligationsunderthiscontractforforcemajeure；2.4EitherPartyattackstheimageorreputationoftheotherpartyinp

42、ublicandthroughmediaoritsownpublicimageisdamagedseverely.3.Thiscontractmaybeterminatedwiththewrittenconsentsofbothparties.4.PartyBfailstocompletePurchaseTaskofFirstPhase,thecontractshallbedeemedasinvalid.Article14ConfidentialityThepartiesheretoundertakeonetotheothertokeepconfidentialatalltimesduring

43、thecontinuanceofthisagreementallinformationacquiredbytheminconnectionwiththeactivitiesoftheotherpartyandwhichmayreasonablyberegardedasprivate,secret,confidentialinnatureand(exceptinproperperformancetotheirobligationhereinunder)nottodivulgethesametoanyperson,firmorcompanyArticle15LiabilitiesforBreach
