委托設(shè)計(jì)開發(fā)服務(wù)協(xié)議

1、1/ 6委托設(shè)計(jì)研發(fā)協(xié)議甲方*集團(tuán)（以下簡(jiǎn)稱“EEG”）與乙方*nc.（以下簡(jiǎn)稱“SF”）就在此合同第一段所述的業(yè)務(wù)達(dá)成委托協(xié)議，該業(yè)務(wù)具體包括“AAA和BBB”品牌的服裝的生產(chǎn)、加工和銷售，以及該品牌服裝 裝飾和任何相關(guān)的配飾?！癆AA和BBB”是由EEG在中國市場(chǎng)經(jīng)營。 根據(jù)本協(xié)議， 當(dāng)事人雙方同意通過增進(jìn)雙方的知名度和商業(yè)信譽(yù)在中 國市場(chǎng)上推廣AAA和BBB品牌，從而達(dá)到共贏的目的。1.委托雇傭范圍為了能夠使EEG順利運(yùn)作，EEG應(yīng)當(dāng)將以下的業(yè)務(wù)委托給SF，SF同意接受此委托并忠誠地履行相關(guān)義務(wù)；1）服裝設(shè)計(jì)（i）按如下設(shè)計(jì)產(chǎn)品（于第一季度生產(chǎn)成品）70種樣式的上衣和褲子（35種為AAA

2、，35種為BBB）（ii）針對(duì)新消費(fèi)者（35-50歲）為AAA和BBB設(shè)計(jì)品 牌標(biāo)志2）任何與以上業(yè)務(wù)相關(guān)的業(yè)務(wù)2業(yè)務(wù)移交為了上述條款中的業(yè)務(wù)的順利完成，SF應(yīng)當(dāng)按照以下內(nèi)容行事。 原則上每季度應(yīng)帶AAA和BBB設(shè)計(jì)組到往中國三次第一次會(huì)見：針對(duì)概念和季度的顏色第二次會(huì)見：針對(duì)設(shè)計(jì) 第三次會(huì)見：針對(duì)樣品核查2/ 6第一次會(huì)見：原則上，設(shè)計(jì)指導(dǎo)Ms. Matsumura將與SF設(shè)計(jì)組參加會(huì)見。第二、第三次會(huì)見：SF設(shè)計(jì)組將參加會(huì)見。3款項(xiàng)，付款日期和付款方式1）EEG應(yīng)當(dāng)就委托業(yè)務(wù)支付以下的委托費(fèi)用。 年度委托費(fèi)：45，000，000YEN（AAA和BBB）以上數(shù)值是扣除EEG在中國匯款給SF所

3、應(yīng)繳納的預(yù)提所得稅 （如果有）后的凈數(shù)值。若要繳納預(yù)提所得稅， 則年度委托費(fèi)將自動(dòng) 增加從而使扣除所繳稅后的凈數(shù)值等同于以上數(shù)值。 支付方式：年度委托費(fèi)將被分為12次支付，EEG應(yīng)當(dāng)在每 月最后的銀行工作日將款項(xiàng)支付給SF。EEG將承擔(dān)每次付款所涉及 的其他費(fèi)用。首次支付將于2000年1月21日起。2） 原則上，EEG應(yīng)當(dāng)負(fù)責(zé)SF所有的開銷和安排，例如與本委托 協(xié)議相關(guān)的差旅費(fèi)。若SF提前支付了此費(fèi)用，EEG應(yīng)在SF理 算后要求時(shí)償還實(shí)際的費(fèi)用。并且，EEG在安排航班和住宿時(shí)，將根據(jù)相應(yīng)的級(jí)別安排；當(dāng)事人雙方明確出發(fā)地或者是日本東京或者是意大利米蘭， 這 取決于參加在此第二段所述會(huì)晤的成員的所

4、在地。為Ms. Matsumura提供的航班：商務(wù)倉 酒店：四星或以上質(zhì)3/ 6量為SF設(shè)計(jì)組設(shè)計(jì)師提供的航班：經(jīng)濟(jì)倉，可調(diào)換時(shí)間。酒店：四星或以上質(zhì)量4.協(xié)議有效期本協(xié)議有效期為兩（2）年，自2000年1月21日起至2001年12月30日止。有效期將自動(dòng)延續(xù)兩（2）年，除非一方當(dāng)事人在本協(xié)議有效期 滿前至少三（3）個(gè)月通知對(duì)方當(dāng)事人不再延續(xù)協(xié)議。本條件同 樣適用于之后的期限。本協(xié)議的有效期將延續(xù)以上時(shí)間，若協(xié)議的履行應(yīng)為國家政策規(guī) 定、動(dòng)亂、戰(zhàn)爭(zhēng)、自然災(zāi)害、罷工、火災(zāi)以及其他當(dāng)事人不可抗 力的原因而中止。5.保密義務(wù)1）EEG和SF作為執(zhí)行者將謹(jǐn)慎處理任何所有另一方提供或披 露的信息（包括由

5、獲取方所得到的信息產(chǎn)生的次級(jí)信息） （以下 簡(jiǎn)稱“機(jī)密信息”），并且，未經(jīng)披露方書面同意，獲取方不得將 機(jī)密信息披露或泄露給第三方， 也不得基于以下目的適用機(jī)密信 息2）EEG應(yīng)當(dāng)保證不將受委托的設(shè)計(jì)組為以下品牌提供設(shè)計(jì)的事實(shí)公開。3)在沒有對(duì)方當(dāng)事人同意的情況下，EEG和SF都不得利用任 何由本協(xié)議而建立的私人關(guān)系，除非是為了履行本協(xié)議。4/ 66.協(xié)商若雙方當(dāng)事人因本協(xié)議中未涉及的事項(xiàng)發(fā)生爭(zhēng)議， 或因?qū)Ρ緟f(xié) 議的條款的解釋發(fā)生爭(zhēng)議，雙方應(yīng)通過協(xié)商解決爭(zhēng)議。7.適用的法律、語言和爭(zhēng)議管轄權(quán)本協(xié)議將受日本法律管轄。日語是本協(xié)議的原本和官方語言， 出現(xiàn)任何有關(guān)語言問題的爭(zhēng)議， 以日語為標(biāo)準(zhǔn)。 雙

6、方當(dāng)事人同意 東京地方法院將對(duì)任何相關(guān)的第一審訴訟以及其他與合同相關(guān) 的訴訟有專屬管轄權(quán)。雙方當(dāng)事人就此簽訂協(xié)議的原件復(fù)印件達(dá)成協(xié)議，協(xié)議原件EEG和SF雙方各保留一份。Business Entrustment Agreement* Group.(hereinafter called EEG”)“an* Inc. Under this agreement, both parties agree to promoteAAA和BBB business in a CHINA market through maintaining, improving

8、 both partiesprestigious position and businesscredit so as to develop the mutual prosperity.1.Scope of CommissionIn order to contribute to smooth enterprise management of EEG , EEG shall entrust to SF thebusiness described below, and SF agrees to accept such entrustment and to accomplish its obligat

11、ative Director, Ms. Matsumura shall attend the meeting withvSF Design Teamin principle.*Second, Third Meeting:vSF Design Team shall attend the meeting.3. Fee Amount, Due Date and Method of Payment1) In consideration, EEG shall pay SF the following consignment fee of the commissioned business.1Annual

12、 Commission Fee:45,000,000 YEN (AAA和BBB)The above amount is the net amount after deducting the withholding tax (if any) imposed in CHINA whenremitting to SF from EEG. When the withholding tax is imposed, the annual commission fee is automaticallyincreased so that the net amount after the deduction o

13、f the withholding tax becomes equal to the amount of theabove.2Payment Method:annual commission fees shall be divided by twelve and EEG shall pay to SF until the end of thebank business day of every month. EEG shall bear the service charge at every payment. The first payment startsfrom Jan 21th, 200

14、0.2) In principle, EEG shall be responsible for any expenses and arrangements incurred by SF such as SFs travel expenseswhich are related to this entrustment agreement. Also, if SF pays in advance, EEG shall reimburse to SF the amount ofactual expenses based on the claim of SF at the later adjustmen

15、t.Also, when EEG arranges the airplane tickets and lodging, the rank will be as followed;Both parties understand the departure cities are either Tokyo in Japan or Milan in Italy depending upon the location ofmembers attending the meeting described in Paragraph 2 hereof.6/ 6?For Ms. Matsumura Airplan

Hotel: 4 star and higher quality4.Period of agreementThe term of this agreement shall be for two (2) years commencing on Jan 21th, 2000

17、and ending on Dec 30th, 2001.2)The term shall be automatically renewed for another two (2) years, unless either party notifies the other party inwriting at least three (3) months prior to the expiration of this agreement of its intention not to renew this agreement.The same shall apply for subsequen

18、t periods.3)The term of this agreement shall be extended for such amount of time as the event that the performance of theAgreement is disrupted by government ordinance, riot, war, natural disaster, strike, fire or other causes beyond thereasonable control of the parties.5.Confidentiality Obligation1

19、)EEG and SF shall manage cautiously any and all information (including secondary informationderived from information received and processed by the receiving party) which is provided or disclosed by the otherparty (hereinafter the“Confidential Informationand shall not disclose or divulge the Confiden

20、tial Information to any third party without written consent ofthe disclosing party, nor use for any purposes other than for the purposes contemplated hereunder2)EEG shall promise not to make it public the fact that the design teams who are entrusted the design consignmenthave provided own designs to

21、 the following brands.3)Without any consents of the other party, neither EEG nor SF shall use any personal relationships establishedthrough this agreement except for performing its obligations under this agreement.6.ConsultationIf any dispute arise between the parties hereto with respect to matters not provided for in this agreement or withrespects to interpretation of the provisions of this agreement,
