1、confidentialdisclosureagreement保密協(xié)議thisconfidentialdisclosureagreement(the“agreement”)ismadebetweenwhoseregisteredaddressis(“partya”)andwhoseregisteredaddressis,(“partyb”).本保密協(xié)議(“本協(xié)議”)由注冊地址為的(“甲方”)和注冊地址為的(“乙方”)訂立。witnesseth雙方見證如下whereas,prtyaandpartybintendtodiscusspotentialbusinessarrangementsbetwe

5、respectivecorporateaffiliates,asthecasemaybe,(the“disclosingparty”)wishestodiscloseconfidentialinformationtotheotherpartyoritscorporateaffiliates,asthecasemaybe(the“receivingparty”)inordertofacilitatediscussionsregardingtheproject;and鑒于，雙方理解，為了便于開展與項目相關(guān)的討論，甲方或乙方或他們各自的關(guān)聯(lián)公司視情況(“披露方”)希望向另一方或其關(guān)聯(lián)公司，視情況而定

6、(“接收方”)披露機(jī)密信息；及whereas,thepartiesarewillingtoreceivetheconfidentialinformationsubjecttothetermsandconditionssetforthbelow.鑒于，雙方愿意在符合下述條款和條件的前提下接收機(jī)密信息。now,therefore,inconsiderationofthepremisesandmutualpromisesandbenefitssetforthherein,thepartiesheretoherebyagreeasfollows:現(xiàn)，因此，考慮到上述前提及本協(xié)議中雙方相互的承諾和利益，

7、雙方達(dá)成協(xié)議如下：1. disclosingpartyiswillingtodiscloseconfidentialinformationtothereceivingpartyonthefollowingterms:在符合下列條款的情況下，披露方愿意向接收方披露機(jī)密信息：a) receivingpartywillreceive,maintain,andholdtheconfidentialinformationinstrictconfidenceandwilluseatleastthesamelevelofcareinsafeguardingitthatituseswithitsownconf

8、identialmaterialofasimilarnature,butnolessthancommerciallyreasonablecare.receivingpartyagreestopromptlynotifythedisclosingpartyshouldanyunauthorizeddisclosureofconfidentialinformationoccur;接收方將接收、持有機(jī)密信息并對其嚴(yán)格保密，并至少以保護(hù)自身類似性質(zhì)的機(jī)密材料所盡的同等注意程度來保護(hù)該等機(jī)密信息；b) receivingpartywillnotdisclosetheconfidentialinforma

9、tiontoanythirdpartyorutilizetheconfidentialinformation,exceptasprovidedherein,withoutfirsthavingobtainedthedisclosingpartyswrittenconsenttosuchdisclosureorutilization;未經(jīng)披露方書事先面許可，接收方不得向任意第三方披露機(jī)密信息或使用機(jī)密信息，本協(xié)議另有規(guī)定的除外；c) receivingpartymaydiscloseconfidentialinformationtoitsemployees,vendors,subcontract

10、ors,consultantsortocorporateaffiliates,totheextentrequiredtoevaluatethepotentialbusinessrelationshiporfulfillitsobligationsundertheproject;providedfurtherthatsuchpartiesareboundbynon-useandnon-disclosureobligationsatleastasstringentascontainedinthisagreement;and接收方可以向其員工及其關(guān)聯(lián)公司披露機(jī)密信息，但僅限于為與評估潛在商業(yè)關(guān)系或履

11、行其在項目項下之義務(wù)所需的機(jī)密信息。及d) allobligationsunderthisagreementwillexpireten(10)yearsaftertheeffectivedatesetforthbelow.本協(xié)議項下全部義務(wù)自下文載明的生效日起十(10)年內(nèi)有效。2. theobligationssetforthhereinshallnotapplytotheconfidentialinformationtotheextentthat:本協(xié)議項下的義務(wù)不適用于下述范圍內(nèi)的機(jī)密信息：a) receivingpartylawfullyhaditinitspossessionprio

12、rtothedisclosurebythedisclosingparty,anditwasnotacquireddirectlyorindirectlyfromthedisclosingparty;在披露方披露之前，接收方已經(jīng)合法擁有的信息，并且該等信息并非直接或間接自披露方處獲得；b) itisinformationgenerallyavailabletothepublic,orhereafter,throughnoactoromissiononthepartofthereceivingparty,itbecomesinformationgenerallyavailabletothepubl

13、ic;該等信息是公眾可以公開獲得的一般信息，或者披露方披露該等信息之后，該等信息非因接收方之行為或疏忽而成為公眾可以公開獲得的一般信息；c) itcorrespondsinsubstancetoinformationfurnishedtothereceivingpartyonanon-confidentialbasisbyathirdpartyhavingalegalrighttodoso;與有權(quán)第三方基于非保密基礎(chǔ)向接收方提供的與披露方披露的信息實質(zhì)上相符的信息;d) receivingpartycandemonstratebycompetentevidencethatitwasdevelo

14、pedbyorforthereceivingpartyindependentlyofthedisclosureofconfidentialinformationbythedisclosingparty;or接收方有足夠證據(jù)證明該等信息是由接收方或為接收方于披露方披露的機(jī)密信息之外獨(dú)立開發(fā)的；或e) itisrequiredbyapplicablelaworregulationtobedisclosed;provided,however,thatthereceivingpartyshallnotifytheotherpartyinwritingpriortomakinganydisclosure

15、pursuanttothissubsection,includingbutnotlimitedtodisclosurestothesecuritiesexchangecommission,fdaoranyothergovernmentalagency,unlesspriornotificationisprecludedbylaworregulationorwhereenforcementactionbyapplicableauthorityprecludespriornotification,inwhichcasethereceivingpartywillnotifytheotherparty

16、assoonasreasonablypracticabletoallowthedisclosingpartyanopportunitytoseekaprotectiveorderorotherjudicialrelief.ifsuchprotectiveorderoranyotherremedyisnotobtainedbythedisclosingpartyorifthedisclosingpartywaivesinwritingcompliancewiththeprovisionsofthissection,thereceivingpartyshallproduceonlythatport

17、heeventthatanyconfidentialinformationisdisclosedpursuanttotheforegoing,itshallnotloseitsconfidentialstatusthroughsuchdisclosure.根據(jù)適用法律或法規(guī)的要求而披露的信息；然而，前提是接收方依據(jù)本款作出任何披露之前應(yīng)書面告知另一方，包括但不限于向證券交易委員會、食品及藥物管理局或任何其他政府機(jī)構(gòu)進(jìn)行的披露，除非事先通知是被法律或法規(guī)所禁止

18、的或者由有權(quán)機(jī)關(guān)進(jìn)行的強(qiáng)制執(zhí)行禁止事先通知，在此種情況下，接收方應(yīng)盡快通知另一方。fortheavoidanceofdoubt,anydisclosuresmadeunderthesesubsections“(a)”to“(e)”shallbestrictlylimitedtotheinformationcoveredbytheapplicablesubsection,andanyconfidentialinformationnotspecificallycoveredbytheexceptionsinthosesubsectionsshallberedactedpriortodisclosu

19、reoftherelevantdocumentsormaterials.為避免歧義，任何基于本條第(a)款到第(e)款的條款而做出的披露應(yīng)嚴(yán)格限制在所適用條款所涵蓋的信息范圍內(nèi)，此外，任何未具體包含在該等條款例外范圍內(nèi)的機(jī)密信息應(yīng)在相關(guān)文件或材料被披露之前進(jìn)行編輯。3. neitherthisagreementnoranydisclosurehereundershallbedeemed,bythisimplicationorotherwise,tovestinthereceivingpartyanylicenseorotherownershiprightstoorunderanypatents

20、,know-how,ortradesecrets.本協(xié)議或任何依本協(xié)議所作出的披露，無論以推定或其他方式，均不應(yīng)被視為授予接收方任何許可或其它任何與專利、專有技術(shù)或商業(yè)秘密相關(guān)的權(quán)利。4. anymaterials/documentswhichhavebeenfurnishedbyeitherpartyheretototheotherpursuanttothisagreementwillbepromptly,uponwrittenrequestfromthedisclosingparty,returnedtothedisclosingparty,accompaniedbyallcopiesof

21、suchmaterials/documents.concurrentlywiththereturnofsuchmaterials/documents,thereceivingpartyshallfromitsharddrivesandotherelectronicstoragedevicestheconfidentialinformationofthedisclosingparty.but,thereceivingpartyisabletoretainanarchivalcopyasrequiredbyapplicableregulatoryrequirementsortoevidenceit

22、scompliancewiththisagreement.根據(jù)本協(xié)議由任一方向另一方提供的任何材料/文件，連同該等材料/文件的所有復(fù)印件，在經(jīng)披露方書面要求時應(yīng)及時地歸還給披露方。在歸還該等材料/文件的同時，接收方應(yīng)將披露方的機(jī)密信息從其硬盤設(shè)備和其他電子存儲設(shè)備中刪除。但是，依照可適用的監(jiān)管要求或用以證明遵守保密協(xié)議，接收方可保留復(fù)制件存檔。5. withrespecttothisagreement,correspondencewithpartyashallbeaddressedtoattheaddresssetforthabove.correspondencewithpartybshall

23、beaddressedtoattheaddresssetforthabove.就本協(xié)議而言，與甲方的通訊應(yīng)向上述甲方地址的發(fā)出。與乙方的通訊應(yīng)向上述乙方地址的發(fā)出。6. nofailureordelaybythedisclosingpartyorreceivingpartyinexercisinganyright,power,orprivilegeunderthisagreementshallactasawaiverthereof.anyamendmentsormodificationstothisagreementmustbeinwritingandsignedbytheparties.披露
