10、edules are to clauses of and Schedules to this Agreement;對任何條款和附表的援引是指本協(xié)議的條款和附表；1.2.2 general words shall not be given a restrictive meaning by reason of the fact that they are followed by particular examples intended to be embraced by the general words;廣義詞不得因其后所舉意欲被該廣義詞包含的特例而被賦予限制性的含義；1.2.3 referen

11、ces in this Agreement to statutory provisions are references to those provisions as in force at the date of this Agreement but include all statutory modifications, re-enactments, replacements and extensions of those provisions and any subordinate legislation or regulations made under such provisions

13、r unincorporated, partnerships, firms, associations and individuals and references to any agreement or such other instrument shall be deemed to include references to such agreement or other instrument as varied or replaced from time to time;除非文義另有所指， 復(fù)數(shù)詞語包括單數(shù)， 反之亦然； 含有性別意思的詞語或中性詞語包含兩種性別和中性，反之亦然；對人的援

14、引包括法人、非法人組織、合伙關(guān)系、公司、 協(xié)會和個人； 對任何協(xié)議或該等其他文據(jù)的援引應(yīng)包括該等合同或其他文據(jù)不時修訂或更新的版本；1.2.5 references to "year" and "month" shall be to a calendar year and a calendar month respectively; and 對“年”和“月”的援引分別指對日歷年和日歷月的援引；及1.2.6 reference to "Parties" means the parties to this Agreement, and &

15、quot;Party" means either of them.對“雙方”的援引是指本協(xié)議的雙方，一方是指其中任何一方。1.3 Headings 標(biāo)題The headings and sub-headings are inserted for convenience only and shall not affect the construction of this Agreement.標(biāo)題和副標(biāo)題僅為方便而設(shè)，不應(yīng)影響本協(xié)議的解釋。第二條 SERVICES 服務(wù)2.1 Upon and subject to the terms and conditions set out in

16、this Agreement, Party B shall, throughout the Term, provide the Services to Party A.基于且受限于本協(xié)議規(guī)定的條款和條件，在合同期限內(nèi)乙方應(yīng)向甲方提供服務(wù)。2.2 Party B undertakes to Party A that it will comply with all Applicable Laws when carrying out the Services hereunder.乙方向甲方承諾，在提供本協(xié)議項下服務(wù)的過程中會遵守所有應(yīng)適用法律。第三條 PERFORMANCE OF THE SERVI

17、CES 服務(wù)的履行3.1 Notwithstanding the provisions of Clause 2, Party B shall not, except with the specific written request or authority of Party A, or of any other person whom such board has empowered to give such authority, act as or hold itself out as the agent of Party A.盡管本第 2 條中有規(guī)定，乙方非經(jīng)甲方或有權(quán)授予該等授權(quán)的任何

18、該等人士之書 面明確授權(quán)或請求，不得以甲方的名義或代表甲方行事。3.2 Party B shall exercise all due skill and care in providing the Services in accordance with the terms of this Agreement.乙方應(yīng)依照本協(xié)議之條款盡其所能地審慎提供服務(wù)。第四條 SERVICE FEES AND PAYMENT 服務(wù)費及其支付4.1 In consideration of Party B providing the Services to Party A, Party A agrees that

20、payment of the Service Fee during the Term shall be made on monthly basis within thirty (30) days from the receipt by Party A of the inv oices issued by Party B;在合同期限內(nèi)的服務(wù)費應(yīng)每月在甲方收到乙方開具的發(fā)票后的 30 日內(nèi)予以支付。4.1.3 the Service Fee can be revised from time to time by agreement of the Parties in writi ng; and經(jīng)雙

28、t is duly incorporated and validly existing under the law of the jurisdiction of its incorporation and it has obtained and complied with all permits, authorities, lice nces and consents (whether gran ted by public or private authority) required to carry on its bus in ess in the manner and in the pla

29、ces in which its bus in ess is now carried on; and它依據(jù)其注冊地司法管轄區(qū)內(nèi)應(yīng)適用的法律適當(dāng)注冊并有效存續(xù)， 且它已取得按 照其現(xiàn)有方式在其業(yè)務(wù)地點從事現(xiàn)有業(yè)務(wù)所必需的 （無論是公權(quán)力機關(guān)或私人機構(gòu)授予）的所有許可、授權(quán)、執(zhí)照或同意；及6.1.4 it is financially sound and is not subject to any winding up or bankruptcy proceedings whether compulsory or voluntary （ or any analogous proceedings t

30、hereto in Hong Kong or PRC or any other jurisdiction ） , and has not made any general assignment for the benefit of its creditors.它具有良好的財政狀況， 且未（無論是強制性或自愿） 進入任何清盤或破產(chǎn)程序（或在香港或中國或其他司法管轄區(qū)內(nèi)任何同類程序） ，且未為其債權(quán)人利益做任何一般性分配。第七條 DURATION AND TERMINATION合同期限及終止7.1 This Agreement shall become effective on the Comme

31、ncement Date and shall continue in force during the Term.本協(xié)議自起始日起生效，并在合同期限內(nèi)持續(xù)有效。7.2 This Agreement shall be terminated: 本協(xié)議被提前終止須：7.2.1 by the Parties by written mutual agreement; 經(jīng)雙方達成書面協(xié)議；7.2.2 by either party any time by giving at least three （3） months' written notice tother;經(jīng)一方任何時候提前三（ 3 ）個

32、月書面通知另一方；7.2.3 by a non-defaulting party, following a material breach of the terms of thisAgreement by a defaulting party which has not been cured （ if capable of cure ） within30 days after being given notice by the other non-defaulting Party so to do; or 經(jīng)守約方發(fā) 出要求違約方補救其重大違反本合同之行為的通知之日起三十（ 30 ）日內(nèi)未予彌

33、償（能夠彌償）；或7.2.4 by Party A automatically upon Party B becoming unable to pay its debts in the ordinary course of business or entering into liquidation or having a receiver appointed whether compulsory or voluntarily or otherwise becoming subject to any applicable insolvency laws.經(jīng)甲方自動于乙方已無法在正常經(jīng)營活動中償付

34、債務(wù)或者進入清算程序或無論是強制或自愿地接受托管或存在其他任何適用破產(chǎn)法的情形出現(xiàn)之時。第八條 CONFIDENTIALITY 保密8.1 Except as may be required by law or any governmental or regulatory body or any relevant stock exchange, the Parties shall keep confidential and not divulge to any person or use or exploit for any purpose without the prior written

35、approval of the other Party, any and all trade secrets or confidential information or any technical, operational, administrative, financial or business information relating to any other Party, which the relevant Party may obtain as a result of the negotiation or execution of this Agreement.除非法律或政府機關(guān)

36、或監(jiān)管機構(gòu)或任何相關(guān)股票交易機構(gòu)要求， 雙方應(yīng)對與另一方有關(guān)的在磋商或履行本協(xié)議過程中可能獲悉的任何及所有商業(yè)秘密或保密信息或任何技術(shù)、運營、管理、財務(wù)或商業(yè)信息保守秘密，未經(jīng)另一方事先書面同意，不得泄露給任何人士或許可他人為任何目的之使用。8.2 The restriction in Clause 8.1 shall continue to apply after the termination of this Agreement without limit in point of time, but shall cease to apply to information or knowle

37、dge which may properly come into the public domain through no fault of the restricted party.本第 8.1 條規(guī)定的限制在本協(xié)議終止后應(yīng)無限制期限的持續(xù)有效， 但對于受限各方無過錯而以適當(dāng)方式進入公知領(lǐng)域的信息或知識，本條款的限制將停止適用。第九條 ASSIGNMENT 轉(zhuǎn)讓This Agreement is binding upon and shall ensure for the benefit of the successors of the Parties but shall not be ass

38、ignable except with the written consent of the other Party.本協(xié)議對雙方及其各自的繼承人有約束力并賦予利益， 但非經(jīng)另一方書面同意不得轉(zhuǎn)讓。第十條 AMENDMENT AND WAIVER 修訂及棄權(quán)10.1 No variation of this Agreement shall be effective unless it is made in writing, refers specifically to this Agreement and is signed by the Parties.非經(jīng)書面同意且明確援引本協(xié)議并由各方簽署，對本協(xié)議的任何修訂不得生效。10.2 No waiver of any term, provision or condition of this Agreement shall be effective except to the extent made in writing and signed by the waivin
