2、nasa"Party"andcollectivelyreferredtohereinasthe"Parties"。RECITALSWHEREAS,Selleristheownerofthepropertyof14D,Building3,ParkViewTower;SellerdesirestoselltoBuyer,andBuyerdesirestoacquirefromSeller,theentireownershipofthepropertyanditsassociatedgrantedlanduserightthe"Property&qu
3、ot;,asdefinedmorespecificallyinArticle2ofthisSaleContract;NOW,THEREFORE,afterfriendlynegotiationsandinconsiderationofthePropertyandthemutualcovenantscontainedherein,thePartiesherebyagreeasfollows:ArticleIRepresentations,WarrantiesandCovenants1.1SellerherebyrepresentsandwarrantsthatSelleristhedulyreg
4、isteredownerofthePropertyandpossessesthecompletebeneficiaryownershiprightstotheProperty.ThePropertyisfreefromanyencumbrance,includingbutnotlimitedtomortgagesandanyotherthirdpartysinterestand/orotherdebtdisputes.1.2SellershalltransferthePropertyanditstitledeedstoBuyerinaccordancewiththetermsofthisCon

6、urchasefromSellerthePropertyatanaggregatepriceofRMB_"PurchasePrice"ArticleIVPaymentMethodandTitleTransferProcedure1.1AnypaymentofthePurchasePriceunderthisContractshallbemadeinRMBbyBuyerinaccordancewiththisContract.AnybankfeesorchargesincurredduetothepaymentshouldbebornebyBuyer;anybankfeeso
7、rchargesincurredduetothereceiptofthepaymentimposedbytheSellersBankshouldbebornebySeller.Seller"sdesignatedBankAccountisdescribedbelow:Bankname:Accountname:AccountNo:2040099781.2BothSellerandBuyerappointandfullyauthorizeXXXXLawFirmthe"Lawyer"toapplyforthetransferofthetitledeedsofthePro
8、pertyandpayrelevanttaxesandfeesandtotakeanyotheractionandsignanydocumentnecessarytocompletetheabovetransferspromptly.1.3Withinthree3workingdaysaftertheexecutionofthisContract,BuyershallpaytoSeller,asanadvancepayment,fiftypercent50%ofthePurchasePrice,i.e.RMB_the"AdvancePayment"1.4Buyershall
9、pay,astheremainingpayment,theotherfiftypercent50%ofthePurchasePrice,i.e.RMB_the"RemainingPayment",byapplyingforthesecondhandpropertymortgageloanfromtheBankthe"Bank"TheBanksoulddirectlypayallmortgageloantoSellersbankaccountasdescribedabove.1.4.1Withinten10workingdaysaftertheexecut
10、ionofthisContract,BuyershallsignthemortgageloanagreementandotherrelevantdocumentswiththeBank,andgetapprovalfromthebankwithrespecttothemortgageloanapplicationfortheRemainingPayment.Buyershallhandoverthephotocopiesoftheabove-mentioneddocumentstotheLawyer.1.4.2Withinten10workingdaysaftertheexecutionoft
11、hisContract,bothPartiesandtheBankshallsignatri-partyagreementthe"Tri-partyAgreement"inwhichtheBankagreestoreleasetheloanequivalenttotheRemainingPaymenttoSellersaccountdirectly.BuyershallhandoverthephotocopyoftheTri-partyAgreementtotheLawyer.1.4.3AfterSellerconfirmsthereceiptoftheAdvancePay
12、ment,anduponreceiptbytheLawyerofallofthedocumentsandtaxesandfeesfrombothPartiesasdescribedinArticle6andArticle7ofthisContract,andwithinthree3workingdaysafterthedocumentsmentionedinArticle4.4aboveareprovidedtotheLawyer,LawyershallsubmitthetransferapplicationwithallnecessarysupportingdocumentsofthePro
13、pertyOwnershipCertificatetoBeijingConstructionCommitteeRealEstateExchangeCenterthe"Center"Withinthree3workingdaysafterthetransferofthePropertyOwnershipCertificateiscompleted,LawyershallsubmitthetransferapplicationwithallnecessarysupportingdocumentsoftheLandUseRightCertificatetoBeijingLand&
14、amp;ResourceBureau.1.4.4AfterthePropertyOwnershipCertificateandtheLandUseRightCertificatearetransferredtoBuyer,andafterLawyerreceivesalltheoriginalcertificates,LawyershallprovidetotheBankwiththesecertificatesinaccordancewiththetermsoftheTri-partyAgreement.Thebank,whowillapplyforthemortgageregistrati
15、onoftheProperty,shallreleasetheloanRemainingPaymentdirectlytoSelleroncethemortgageregistrationiscompleted.1.4.5IncasethattheBankhasnotapprovedthedrawdownoftheloanortheloanpaidtoSellerislessthantheRemainingPaymentwithintwo2monthsafterLawyerprovidesthePropertyOwnershipCertificateandtheLandUseRightCertificatetotheBank,BuyeragreestomakefullpaymentoftheRemainingPaymentwithinfive5workingdaysaftertheabove-mentionedtwo2monthsp
