1、Terms of EPC Contract of Construction建筑工程總承包協(xié)議Part I. Commercial Terms 第一部分 專用條款Contractor provided a quotation covering complete supply of all materials, tools, equipments, labor for design, land testing and construction and necessary coordination services for the complete General Works. Both parti

2、es agrees on the final contract price on the basis of quotation from Contractor.承包人提供的報(bào)價(jià)書包括了設(shè)計(jì)、地質(zhì)勘察和工程xx所需要的材料、工具、設(shè)備、人力以及對總包工程必要的溝通協(xié)調(diào)服務(wù)工作等內(nèi)容?;诔邪降膱?bào)價(jià),各方商定了最終協(xié)議總價(jià)。1、The Lump-sum Contract Price 協(xié)議總價(jià)金額Amount(大寫Upper case): The Lump Sum Prices shall be the Contract Price and shall be fixed, and not subj

3、ect to rise and fall in the duration of this Contract (except the material rise exceeds 20%), and shall be deemed to be full inclusive prices for the finished Works as described below and unless specifically stated, otherwise shall include without limitation. 此協(xié)議總價(jià)應(yīng)當(dāng)是協(xié)議價(jià)格,此價(jià)格是固定的,并在整個(gè)協(xié)議期間不再上下浮動(除材料的

Items of Works undertaken as Lump Sums or later ordered

22、滿一年后7天內(nèi)付清。7、 Payment for Variation Works 增項(xiàng)工程付款A(yù)greed payment of Variations Works will be paid in ninety-seven per cent (95%) of its respective value of such completed Works, and the rest amount - being three per cent (5%) - will be paid within 7 days upon the completion of one year warrantee period

23、.經(jīng)確認(rèn)變更費(fèi)用或增項(xiàng)工程費(fèi)用等其工作履行后支付95%,余下的5在項(xiàng)目竣工驗(yàn)收滿一年后7天內(nèi)支付。8、 Completion of Works 工作履行(1) When the Works are substantially completed, Owner shall issue a Certificate of Inspection and Acceptance. The issuance of this Certificate shall not relieve Contractor from his obligation hereunder to complete the Works.

24、當(dāng)工作實(shí)質(zhì)上履行后,發(fā)包人提供驗(yàn)收證明。此驗(yàn)收證明并不代表承包人可以不用承擔(dān)工作履行后應(yīng)該承擔(dān)的義務(wù)。(2) When Contractor is of the opinion that the Works are Substantially Complete, Contractor shall submit to Owner a written request of inspecting the Works so as to determine whether Substantial Completion has been achieved. Upon such request, Owner

25、 must respond within twenty five (25) days of its receipt with either (i) a Certificate of Substantial Completion or (ii) an explanation of the reasons why the Works are not Substantially Complete, including a list of open items necessary to achieve Substantial Completion (Outstanding Works). Owner

26、shall advise Contractor of the time reasonably required to complete Outstanding Works., which shall be no more than two (2) months.當(dāng)承包人認(rèn)為工作確實(shí)已經(jīng)履行,應(yīng)提供書面的要求遞交發(fā)包人,要求進(jìn)行工作驗(yàn)收。根據(jù)其要求,發(fā)包人必須在25天內(nèi)做出答復(fù)、實(shí)際工作履行確認(rèn);、實(shí)際工作未履行,并同時(shí)呈交未履行的理由和原因,包括必須履行工作的條款清單(未履行的工作),發(fā)包人通知承包人在合理的時(shí)間內(nèi)履行未履行的工作,但是一般不超過2個(gè)月。(3) When, in the opi

27、nion of Owner, the Works are properly completed in all respects including any Outstanding Works, Owner shall issue a Final Completion Certificate.當(dāng)發(fā)包人認(rèn)為在各方面工作已被完全履行,發(fā)包人應(yīng)頒發(fā)最終完工證明。(4) In the event of an emergency or if the Contractor fails to diligently perform the Outstanding Works, Owner may complet

28、e such Works, either by its own forces or by other contractors. Owner may deduct such costs from any payments due and owing to the Contractor. If such costs exceed the amount due to the Contractor, the Contractor shall immediately pay such excess to Owner.如因突發(fā)事件或承包人未能履行其未履行工作時(shí),發(fā)包人可以自己或雇傭其他承包人來履行此項(xiàng)工作

29、,發(fā)包人將從承包人的未付費(fèi)用中扣除此筆費(fèi)用。如此費(fèi)用超出了未付款的總額時(shí),承包人應(yīng)立即支付超出部分的費(fèi)用至發(fā)包人。(5) Owner shall have the right to take possession of or use any completed or partially completed part of the Works. Upon making such a determination, Owner shall notify the Contractor of its intent to take possession and/or use of a portion of

Prior to such possession or use, Owner shall furnish the Contractor an itemized list of Work remaining to be performed or corrected on such portions of the Work as are to be possessed or used by the Owner, provided that failure to list any item or Work shall not relieve the Contractor fr

31、om responsibility for compliance with the terms of the Contract. Such possession or use shall not be deemed an acceptance of all Works under the Contract.發(fā)包人有權(quán)接管或使用任何竣工或部分竣工的建筑物,發(fā)包人應(yīng)告知承包人其接管或使用此已達(dá)到發(fā)包人竣工要求的部分;在發(fā)包人接管或使用前,發(fā)包人應(yīng)向承包人提供關(guān)于將被接管、使用工程的缺陷清單,承包人進(jìn)行相應(yīng)整改。如未在此缺陷清單上列出的缺陷工程,承包人也應(yīng)按此協(xié)議的要求履行其責(zé)任,進(jìn)行整改;發(fā)包人的

32、部分接管或使用并不視為本協(xié)議下整個(gè)工程已通過驗(yàn)收。9、Invoice 發(fā)票Contractor shall provide with each invoice to the Owner a formal Tax receipt indicating that all taxes for the amount being invoiced has been paid.承包人須向發(fā)包人提供正式完稅發(fā)票。10、General conditions of Contract 協(xié)議通用條件Both parties shall confirm and state the acceptance of the

33、General Conditions of Contract. These conditions are included herein as Part III of this Contract Document.各方確定并申明接受此協(xié)議通用條款,此條款已羅列在此協(xié)議第三部分。11、Contract Period 工期11.1 Schedule 進(jìn)度表Contractor shall begin the Works on the date defined in Contractors Time Schedule contained in Part VII or on a later mutua

34、lly agreed date, and shall thereafter perform the Works continuously and diligently.承包人將按第七部分的進(jìn)度計(jì)劃要求,或由各方協(xié)議的開工日期開始現(xiàn)場工作,現(xiàn)場開工后,承包人應(yīng)保證工程施工的連續(xù)性。11.2 Notice of Mobilization and Locations for Temporary Installations 進(jìn)場通知和臨時(shí)設(shè)備點(diǎn)Notice shall be provided to the Owner seven (7) days before date of mobilization

35、, along with proposed locations for material storage, these locations will require the Owners approval prior to placement.進(jìn)場前7天,承包人向發(fā)包人提xx知,及材料堆放位置,這些位置須事先征得發(fā)包人同意。11.3 Liquidated damage for delay 延誤損失賠償Contractor has offered pricing for his best Contract period according to the number of calendar da

36、ys in Schedule taking into consideration those requirements for transport, public holidays, and weather conditions. A detailed working Time Schedule in bar chart form has been provided by Contractor in his proposal. This Time Schedule has been accepted by the Owner. If the Contractor fails to comply

37、 with the completion date, then The Owner may recover such sums by deducting the amount of such damages from any payables due to the Contractor, and which shall not be recoverable. The payment or deduction of such liquidated damages shall not relieve the Contractor from his obligations to complete t

38、he Works or any other obligation or liability under the Contract. The following rate per Day shall apply as fixed, agreed liquidated damages payable by the Contractor due to delay in the Completion of the Works: 0.2% of the total Contract Price for each Day of delay. The total amount payable due to

39、delay in Completion of the Work shall not exceed 10% of the Contract Price. If the completion of the Works is delayed for reasons proven by the Contractor and accepted by Owner to be beyond the control of the Contractor, then the Contractor shall be granted such extension of time as may be reasonabl

40、e. In any event the Contractor is obliged to immediately notify Owner in writing of the occurrence and cause of any such delay and also to make every effort to mitigate the consequences of such delay.承包人已考慮了運(yùn)輸、公共假日和天氣狀況等要求,根據(jù)進(jìn)度表中的天數(shù),確立了最佳工期,并報(bào)了價(jià)。承包人應(yīng)制定詳細(xì)的施工進(jìn)度條形圖,該進(jìn)度已由發(fā)包人認(rèn)可。承包人如未能如期竣工,發(fā)包人可從給承包人的應(yīng)付款中扣

41、除,并且此款未能退。損害賠償并未能免除承包人完工或協(xié)議中其它責(zé)任。承包人誤工損害每天賠償率固定為,每耽誤一天,扣協(xié)議總價(jià)的千分之二。誤工應(yīng)付金額不得超過協(xié)議總價(jià)的10%。如工期的延誤是由于非承包人原因造成的,則應(yīng)給承包人合理的延期。任何情形下,如有延誤,承包人應(yīng)立即書面通知發(fā)包人,并采取所有措施減輕后果。12、Insurance 保險(xiǎn)Contractor has responsible to take insurance with coverage of all construction risks. Contractor is to provide insurance document fo

42、r accidents and casualty of his employees, all vehicles on or entering Site, in compliance with P.R.C. regulations.承包人有責(zé)任將所有施工風(fēng)險(xiǎn)進(jìn)行保險(xiǎn),須根據(jù)中國關(guān)于法律條款提供意外事件和職工或員工意外險(xiǎn)的保單和所有進(jìn)入現(xiàn)場的車輛保險(xiǎn)單。13、Fees and Penalties 雜費(fèi)及罰金Contractor shall pay all statutory fees associated with its Works including any fines imposed due

43、 to Contractors non-conformance with the State laws and local laws.承包人應(yīng)支付與工程關(guān)于的所有政府費(fèi)用,包括罰款。14、Site Cleaning 工地清潔Contractor shall engage cleaning staff throughout the construction period responsible for maintaining clean and tidy work areas at all times. Contractor shall ensure that installed product

44、s and structure are maintained in a new/good condition at all times. Contractor shall be responsible to remove all rubbish, packaging, dunnage, offcuts or any other material from the Site at the end of each working month. All passage ways and areas requiring access will be maintained free from obstr

45、uctions at all times. If Contractor does not comply with above requirements. Owner has the right to undertake Works at Contractors costs.承包人保證在整個(gè)施工期內(nèi)工地保持整潔。承包人應(yīng)確保要安裝之產(chǎn)品及構(gòu)件在任何時(shí)候均為新的好的狀態(tài)。承包人將負(fù)責(zé)把所有的垃圾、包裝物、廢料或從工地上來的其他材料在每個(gè)工作月的月底進(jìn)行清理。所有的經(jīng)過路線和區(qū)域有障礙,要隨時(shí)清理。如承包人沒有履行如上的要求,發(fā)包人有權(quán)力采取行動按實(shí)際進(jìn)行處理,費(fèi)用由承包方承擔(dān)。The Contra

46、ctor shall take all reasonable means to protect the environment (both on and off the Site) and to limit damage and nuisance to people and property resulting from pollution, noise and other results of his operations. The Contractor shall ensure that emission, surface discharges and effluent from the

47、Contractors activities shall not exceed the values indicated by local authority, and shall not exceed the values prescribed by applicable Laws.承包人應(yīng)采取任何合理的手段保護(hù)環(huán)境(包括現(xiàn)場內(nèi)外),并減少由于污染、噪聲以及其他由于承包人的營運(yùn)而致使的對于人員和財(cái)產(chǎn)的損毀和擾亂。承包人應(yīng)確保由于承包人的活動而造成的材料散發(fā),表面排放,滲漏等等不應(yīng)超出當(dāng)?shù)卣畽C(jī)關(guān)的規(guī)定也不應(yīng)超出相關(guān)法律的規(guī)定。15、Safety Remedial Measures 安全補(bǔ)救措

48、施15.1 Remedy for Safety Non Conformance 危險(xiǎn)施工的補(bǔ)救(由誰來進(jìn)行以下項(xiàng)目的監(jiān)督)The Contractor has confirmed his acceptance of the Safety Conditions as provided in this document and which are to be adhered to when undertaking all Works associated with this Contract. These conditions are included herein as Part IV of t

49、his Contract Document. Non-conformance with safety requirements will attract a fine to be deducted from Contract Price as follows:承包人確認(rèn)接受本資料文件中的安全施工規(guī)定,并在施工中遵守執(zhí)行。安全施工規(guī)定見本協(xié)議的第四部分。違反安全施工規(guī)定要罰款,按下列方法從協(xié)議中扣:15.2 Warranty for Defective Works 不符合要求產(chǎn)品的補(bǔ)救Non-conforming product shall be replaced with the agreed

50、 quality and type. Owner reserves the right to select alternative products in the event that the original selections as specified in this Contract become unavailable. The Contractor shall make these selections available at the originally agreed unit rate or lump sum price for supply. Contractor warr

51、ants that he shall, at his own cost and expense (including cost of removal, transportation and installation and any other expenses associated therewith), within the Warranty Periods as specified, promptly repair or replace any item failing to comply with the scope of Works or any other provisions of

52、 this Contract (Defective Works). In the event that the Contractor fails to supply or replace the products with the agreed type, then the Owner shall take over that portion of supply and provide the product for the Contractors installation. The Owner may recover such sums by deducting the amount of

53、such replacements from any monies due to the Contractor. The payment or deduction of such replacements shall not relieve the Contractor from his obligations to complete the Works or any other obligation or liability under the Contract. Where Contractor undertakes to renewal or replacement of defecti

54、ve items, the Warranty Period applicable to that item shall be extended for the time from Owners request to remedy the defect up to the date of Owners written acceptance of renewal or replacement of the defective item. Where Contractor does not renew or replace defective items to the satisfaction of

55、 Owner, the latter may carry out such remedies, either by its own forces or by other contractors. Owner may deduct the costs arising therefrom from any payments due and owing to the Contractor. If such costs exceed the amount due the Contractor, the Contractor shall immediately upon demand pay such

56、excess to Owner.不符合要求的產(chǎn)品應(yīng)被質(zhì)量和類型達(dá)到要求的產(chǎn)品所替代。若協(xié)議中最初所規(guī)定的產(chǎn)品無法取得,發(fā)包人保留選擇替代產(chǎn)品的權(quán)利。承包人應(yīng)以最初規(guī)定的單價(jià)或總價(jià)來實(shí)現(xiàn)發(fā)包人的選擇。承包人應(yīng)保證如未能履行協(xié)議中定義的工作范圍或本協(xié)議中的其它條款(如缺陷工程),在規(guī)定的工程保修期內(nèi),迅速地進(jìn)行整改或替換,并自行承擔(dān)其相關(guān)費(fèi)用(包括不合格工程的拆除、運(yùn)輸、安裝及由此造成或產(chǎn)生的相關(guān)費(fèi)用)。如承包人未能提供或替換協(xié)議規(guī)定的產(chǎn)品型號,發(fā)包人將接管此部分產(chǎn)品的采購,并可從承包人的協(xié)議總價(jià)中扣除此接管部分產(chǎn)品的采購價(jià)格再加10%。此項(xiàng)款的扣除,并不意味著承包人將免于繼續(xù)履行其協(xié)議規(guī)定承擔(dān)的

57、責(zé)任和義務(wù)。承包人承擔(dān)損毀項(xiàng)目的更新和更換,保質(zhì)期內(nèi)的對每個(gè)項(xiàng)目的計(jì)算用從發(fā)包人要求修復(fù)損毀項(xiàng)到發(fā)包人書面接受損毀的項(xiàng)的更新和更換為止。如承包人不對損毀項(xiàng)進(jìn)行更新和更換來滿足發(fā)包人要求,發(fā)包人可以自己承擔(dān)或讓其他承包人來承擔(dān)。發(fā)包人將在總價(jià)格中扣除承包人的從中引起的任何花費(fèi)。如這些花費(fèi)超過了承包協(xié)議總額,承包人必須立即根據(jù)要求將超額部分付給發(fā)包人。16、Sample Submission 樣品提供Contractor shall provide main materials, equipments and related data to Owner according to drawings
