工程施工合同Contract合同編號(ContractNO.)：簽訂日期(Date)：發(fā)包方(簡稱甲方) PartyA:承包方(簡稱乙方)： PartyB:根據(jù)《中華人民共和國合同法》以及其他有關法律法規(guī)規(guī)定的原則,結合本工程的具體情況,甲、乙雙方在平等、自愿、協(xié)商一致的基礎上達成如下協(xié)議,共同遵守。Accordingto“P.R.CContractLaw”,andotherrelevantlawsandregulationstothespecificcircumstancesofthisproject,partiesAandBhaveherebyequallyandvoluntarilyenteredintothefollowingagreementexecutedonthebasisofmutualrespect.工程概況Projectoverview工程名稱：Projectname:工程地點：Projectlocation:工程范圍：A.新研發(fā)中心和新廠房的網(wǎng)絡綜合布線系統(tǒng)的施工；B.數(shù)據(jù)中心的建設,主要包含：數(shù)據(jù)中心的裝飾工程、電氣系統(tǒng)、空調(diào)系統(tǒng)、機房閉路監(jiān)控系統(tǒng)、機房門禁系統(tǒng)、消防系統(tǒng)改造、機柜系統(tǒng)等。Projectcontents:A.ThenewR&Dandnewplantconstructionofnetworkcablingsystems;B.DataCenter,mainlyincludes:datacenterdecorationandelectricalsystems,air-conditioningsystems,CCTVsystems,accesscontrolsystems,firefightingsystemreform,serverracksystems.開工條件：合同生效后,甲方預付款到位和現(xiàn)場具備開工條件。Startconditions:Afterthecommencementofthecontract,PartyAhasstartedadvanceandon-siteconditionsinplace.1.5工程造價：合同工程總造價為Y 元(CNY)，人民幣大寫 Projectcost：Totalprojectcostis yuan(CNY).詳細合同價格表見附件報價清單。Detailedcontractpricelistseeattachedquotationlist.在詳細設計和施工過程中，若工程量發(fā)生變化，按合同單價相應調(diào)整工程造價；若材質(zhì)發(fā)生變化，按雙方商定的補充協(xié)議調(diào)整工程造價。Inthedetaileddesignandconstructionprocess，iftheprojectquantitychanges，accordingtothecontractpriceadjustmentprojectcost;ifthematerialischanged，thesupplementalagreementagreedbybothpartiesforadjustmentofengineeringcost.付款方式Termsofpayment由乙方向甲方提供指定帳戶、甲方以支票方式或銀行轉(zhuǎn)賬方式向乙方結算合同款；PartyBshallprovidethedesignatedaccounttopartyA,PartyAbycheckorbanktransfertopaythecontractpaymenttoPartyB.TOC\o"1-5"\h\z2.2本合同生效后，甲方付給乙方合同總價的40%作為工程預付款，即Y 元；Afterthesigningofthiscontract,PartyAshallpaytoPartyB40%ofthetotalcontractpriceastheprojectadvancepayment;2.3數(shù)據(jù)中心及網(wǎng)絡布線系統(tǒng)工程完工并且雙方簽訂工程驗收報告后7天以內(nèi)，甲方付給乙方合同總價的55%,即Y 元；Datacenterprojectandnetworkcablingsystemsengineeringcompletedandsignedaprojectacceptancereportbybothpartieswithin7daysafter，PartyAshallpaytoPartyB55%ofthecontractprice.2.4工程竣工后3個月內(nèi)，甲方支付給乙方剩余的合同款，即Y 元；Afterthecompletionoftheprojectwithin3months，PartyAshallpaytoPartyBtheremainingcontractprice.雙方職責Responsibilitiesoftheparties甲方職責：ResponsibilitiesofpartyA:及時以書面形式通知乙方本工程具備開工條件的時間;TimelywrittennoticetoPartyBtheconditionsofthisprojecthavethetimetostart;協(xié)助乙方辦理進駐施工現(xiàn)場所需人員證件、批件等有關手續(xù)；ToassistPartyBtoentertheconstructionsitepersonnelrequireddocuments，approvaldocumentsandotherrelevantprocedures;為乙方提供現(xiàn)場工程辦公室和足夠的現(xiàn)場倉庫；Toprovideon-siteengineeringofficeandsufficientfieldwarehouse;積極協(xié)助乙方施工,協(xié)調(diào)施工時與各部門的配合,并負責提供工程所需的現(xiàn)場平面圖及建筑結構圖。ActivelyassistPartyBconstruction,coordinationwithvariousdepartments,andresponsibleforprovidingtheneededfortheprojectsiteplansandarchitecturaldrawings.及時按合同規(guī)定之付款進度向乙方支付工程款項。TimelyaccordingtothetermsofthecontractpaymentscheduletopayPartyBprojectfunds.乙方職責：ResponsibilitiesofpartyB:乙方在工程開始前應組織有關人員研究和熟悉圖紙,參與設計交底,安排施工總進度計劃并提交給甲方；PartyBbeforetheprojectbeginsshallorganizerelevantpersonneltostudyandbefamiliarwithdrawings,involvedinthedesignwork,arrangementofconstructiongeneralscheduleplanandsubmittoPartyA;向甲方或項目監(jiān)理提供所購各種產(chǎn)品、設備的技術資料,接受進場檢驗；TothepartyAorprojectsupervisiontoprovidethepurchaseavarietyofproducts,equipment,technicalinformation,acceptentryinspection;遵守甲方或監(jiān)理方對施工現(xiàn)場的有關規(guī)定；Abidebythepartyorthesupervisiononconstructionsiteoftherelevantprovisions;按時完成乙方所承擔的施工任務,保證工程施工質(zhì)量。TimelycompletionofconstructiontasksundertakenbyPartyB,toensureconstructionquality.施工與工程設計變更Constructionandengineeringdesignchange乙方在施工中要根據(jù)國家頒發(fā)的施工驗收規(guī)范和質(zhì)量檢驗標準,以及設計要求進行,要求全部工程達到合格標準。OntheconstructionofPartyBaccordingtothecountryissuedconstructionacceptancenormsandqualityinspectionstandards,aswellasthedesignrequirements,allprojectachievethequalifiedstandard.在施工中,要堅持按照設計文件和施工圖紙施工,任何一方不得隨意變更設計,如出現(xiàn)窩工、返工和材料損失,以及增加勞動力成本等,由于甲方的原因造成的,損失由甲方承擔,由于乙方的原因造成的,損失由乙方承擔。Duringconstruction,toadheretothedesigndocumentsandconstructiondrawingsoftheconstruction,anypartyshallnotbearbitrarilychangeddesign,suchastheemergenceofidleness,reworkandlossofmaterial,aswellasanincreaseinlaborcost,asthepartyA'scause,lossbornebythepartyA,thePartyBcauses,lossesshallbebornebyPartyB.4.3在施工中,若甲方A有變更設計文件的要求，應書面通知乙方;若乙方發(fā)現(xiàn)設計文件有錯誤或嚴重不合理的地方,也應書面通知甲方,雙方商定并修改設計文件和圖紙后方可繼續(xù)施工。Duringtheconstruction,ifthepartyAtochangethedesigndocument,shallgiveawrittennoticetoPartyB;ifPartyBisfoundthedesigndocumentsarewrongorseriousunreasonableplace,shouldalsobewrittennoticetoPartyA,bothsidesagreedandmodifydesigndrawingsanddocumentsbeforeitcancontinuetoconstruction.在施工過程中,如遇下列情況,需順延工期,雙方應及時進行協(xié)商,并通過書面形式確定順延期限：Intheprocessofconstruction,incaseofthefollowingcircumstances,beextendedperiod,bothpartiesshalltimelyconsultations,andthroughthewrittenformtodeterminetheextensionofthetimelimit:因天災或人力不能抗拒的原因被迫停工的；Becauseofnaturaldisasterorthemanpowerirresistiblereasonsforcedshutdown;因甲方提出變更計劃或變更施工圖而不能繼續(xù)施工的；BecausepartyAproposedchangestotheplanorchangetheconstructiongraphthereforecannotcontinueconstruction;乙方不能按期供設備或所供材料或者設備不合規(guī)格要求,被迫停工或不能順利施工的；PartyBfailstosupplyequipmentorforthematerialsorequipmentofdifferentspecifications,wasforcedtoshutdownornotsmoothconstruction;竣工驗收與售后服務Finalacceptanceandafter-salesservice乙方必須嚴格執(zhí)行隱蔽工程驗收制度,凡隱蔽工程完成后,必須經(jīng)過驗收并作好記錄(隱蔽工程指墻內(nèi)、吊頂內(nèi)的管線施工等)。PartyBmuststrictlyenforcethehiddenworksystem,wherethehiddenworkhasbeencompleted,mustpassinspectionandmakerecords(hiddenworksreferstothewall,theceilinginsidethepipelineconstruction,etc.).整體工程竣工后,乙方向甲方提交竣工文檔并提交書面驗收申請。甲方接到申請后7日內(nèi)組織有關人員按照合同內(nèi)容和事先約定的驗收條款進行項目驗收,并出具雙方簽字的驗收報告。如甲方不能按期組織驗收,須提前通知乙方,并與乙方另行商定驗收日期,但甲方必須承認乙方的竣工時間。甲方推遲驗收,其間所發(fā)生的管理費和各項損失均由甲方負擔。如果提交驗收申請后一個月仍未能完成驗收,則以竣工之日作為系統(tǒng)的保修開始日期。Whenthewholeprojectiscompleted,PartyBshallsubmittopartyAcompletedocumentationandsubmitawrittenacceptanceapplication.PartyAshallwithin7daysafterreceivingtheapplicationorganizerelevantpersonnelinaccordancewiththecontractcontentsandtheprescribedinspectionclauseofprojectacceptance,andissuethereportsignedbybothparties.IfPartyAfailstoorganizeacceptance,shallinformPartyBinadvance,andPartyBtobeagreeddateofacceptance,butpartyAmustacknowledgepartyBcompletiontime.partyAdelayedacceptance,duringwhichoccurredinthemanagementfeesandalllossesshallbebornebyPartyA.Ifthesubmissionofacceptanceapplicationonemonthafterfailedtocompleteacceptance,thecompletiondateasthesystemwarrantystartdate.工程驗收合格后進入質(zhì)保期。質(zhì)保期為驗收合格之日起12個月。在質(zhì)保期內(nèi),乙方應對系統(tǒng)除人為因素外的所有故障負責免費維修或更換。Projectafteracceptanceintothewarrantyperiod.Warrantyperiodfromthedateofacceptanceof12months.Duringthewarrantyperiod,PartyBshallsysteminadditiontohumanfactorsallfaultisresponsibleforfreerepairorreplacement.在質(zhì)保期內(nèi),乙方做到對甲方求援電話2小時內(nèi)響應,8小時內(nèi)抵達現(xiàn)場并著手解決問題。質(zhì)保期結束后,乙方對系統(tǒng)進行有償維護。有償維護的費用由雙方協(xié)商。Duringthewarrantyperiod,PartyBshalldotohelptelephoneresponsewithin2hours,8hourstoarriveatthesceneandsetaboutsolvingtheproblem.Aftertheendofthewarrantyperiod,PartyBonthesystempaidmaintenance.Paidmaintenancecoststhroughconsultationbythetwoparties.技術服務和培訓Technicalserviceandtraining由乙方按技術培訓大綱負責對甲方的有關操作人員和維修人員進行使用級培訓。通過培訓,使甲方的受訓人員能掌握系統(tǒng)設備的配置,能進行正確操作和日常維護及一般常見故障排查。接受培訓的人員由甲方確定,日期由甲乙雙方共同商定。PartyBaccordingtothetechnicaltrainingprogramforPartyA'soperatorsandrepairpersonneltouseclasstraining.Throughtraining,thetraineescangraspthepartysystemequipmentconfiguration,cancorrectoperationandroutinemaintenanceandcommontroubleshooting.TrainedpersonnelwereidentifiedbythepartyA,thedatemutuallyagreedbybothparties.在保修期內(nèi),乙方提供兩次上門巡檢服務,包括各系統(tǒng)運行狀況的查看、記錄,以及必要的設備維護。Duringthewarrantyperiod,PartyBshallprovidetwoon-siteinspectionservices,includingthestatusofsystemview,recording,andthenecessaryequipmentmaintenance.乙方為甲方免費提供網(wǎng)絡綜合布線系統(tǒng)和數(shù)據(jù)中心的技術咨詢服務。PartyBshallprovidefreenetworkcablingsystemanddatacentertechnicaladvisoryservices.違約責任Theliabilityforbreachofcontract7.1乙方提供貨物的質(zhì)量或規(guī)格不符合合同約定,行業(yè)規(guī)格或政府的法令法規(guī)的要求的,甲方可以根據(jù)貨物的性質(zhì)以及損失大小,要求乙方承擔修理,更換,退貨,減少價款等責任。PartyBshallprovidethequalityorspecificationsofthegoodsdoesnotconformtothecontractspecifications,industryorgovernmentregulatoryrequirements,PartyAmayaccordingtothenatureofthegoodsandthelossofsize,Bshouldbeartherepair,replacement,return,reducecost.乙方除因受《中華人民共和國合同法》規(guī)定的不可抗力因素影響外,如果未能按計劃施工,則乙方在竣工之日前，每日應按甲方所支付合同款的1%。（大寫：千分之一）賠償甲方損失。PartyBexceptdueto"P.R.CContractLaw"provisionsofforcemajeurefactors,iftheconstructionnotonschedule,thenPartyBinthecompletiondate,dailyshouldbepaidbyPartyAcontractto1%0(inwords:1/1000)compensationforthelossofPartyA.在履行合同過程中,如果乙方提前獲知有不能按時交貨或提供服務的情況,應及時以書面形式將不能按時交貨的理由、預期延誤時間通知甲方。甲方收到乙方通知后,認為其理由正當?shù)?可酌情延長交貨時間。Duringperformanceofthecontract,ifPartyBknowaheadoftimehasnotdeliveredontimeortoprovideservice,shouldbepromptlyinwritingofthereasonsfornotdeliveredontime,anticipateddelaytimenotifyparty.PartyAreceivednotification,thinkitsreason,couldbeappropriatetoextendthetimeofdelivery.若由于甲方更改設計需求、未確認材料或設備型號、未確認施工方案而導致設備訂貨周期推遲,因此導致的延遲交貨,乙方不負擔任何責任。IfduetoPartyAtochangethedesigndemand,didnotconfirmmaterialorequipmentmodels,unrecognisedconstructionschemecausedbyequipmentordercycletimedelay,thuscausingthedelayofdelivery,PartyBdoesnotbearanyresponsibility.甲方在合同規(guī)定的付款期限內(nèi)未能及時付款,視為甲方違約。甲方每日按合同款項的千分之一賠償乙方損失。PartyAinthecontractpaymentperiodfailedtotimelypayment,regardedasabreachofcontract.PartyAaccordingtothecontractsum1/1000dailycompensationforanylossofPartyB.甲乙任意方因第三者的原因造成違約的,應向?qū)Ψ匠袚`約責任。Anypartyforthethirdpartyreasonsfordefault,shallbeliabletotheotherpartyforbreach.合同的變更ThemodificationofContract合同需在甲乙雙方公平協(xié)商,達成一致的條件下進行變更,變更的內(nèi)容需以文字正本形式經(jīng)雙方授權人簽字并蓋章后生效。一切變更內(nèi)容作為附件存在與合同正本具有相同的法律效力。Anymodificationmustonthebasisoffairnegotiationandbeacceptedbybothsides.Theformalfileofmodifiedcontractshouldbevalidatingaftersignedandstampedbyauthorizedpersonofbothsides.Allchangetothecontentasanattachmentwiththeoriginalcontracthavethesamelegaleffect.仲裁Arbitration雙方對于任何合同內(nèi)容上的爭議首先依據(jù)《中華人民共和國合同法》進行協(xié)商解決,如不能解決,可由北京市合同仲裁委員會仲裁解決。Anydisputeofthecontractshouldbenegotiateandsolvedatfirstbaseon“P.R.CContractLaw”,ifitiscannotsolvedbydiscussofbothsides,thefinalarbitrationwasmadeby“ContractIntermediationcommitteeofBeijing”.合同使用的文字極其效力
