-16-SunCommunitySourceLicense原料許可協(xié)議核心提示：(Rev.Date_________,_________,_________)ThisSunCommunitySourceLicense(theLicense)ismadeandenteredintobyandbetweenAAA,Inc.(OriginalContributor)andBBB,Inc.(BBB),andiseffectiveasofthedatesignedbySunbelow(EffectiveDa(Rev.Date_________,_________,_________)ThisSunCommunitySourceLicense(theLicense)ismadeandenteredintobyandbetweenAAA,Inc.(OriginalContributor)andBBB,Inc.(BBB),andiseffectiveasofthedatesignedbySunbelow(EffectiveDate).ThisLicenseisenteredintoconcurrentlywithaseparateSunCommunitySourceLicenseforJava2StandardEdition(AgreementNo._________).Thepartiesherebyincorporatebyreferenceasiffullyandseparatelysetforthherein,theentiretyofAgreementNo._________exceptfortheheaderbeforeRECITALSonpage1,andAttachmentsB,DandEthereto,whichareallassetforthherein.AGREEDTOANDACCEPTEDBY:BBB:OriginalContributor:BBB,Inc.AAA,Inc.By:/S/_________By:/S/_________Name:_________Name:_________Title:_________Title:_________Date:_________,_________,_________Date:_________,_________,_________ATTACHMENTBSCSLDescriptionofTechnologySCSLv.1.0.1asdescribedontheTechnologyDownloadSite.ATTACHMENTDCOMMERCIALUSELICENSE1.Effect.ThisAttachmentDistotheSunCommunitySourceLicenseversion2.7fortheSCSL(SCSL).BBBandOriginalContributorhaveagreedtothetermsoftheSCSL.BBBacknowledgethattheSCSLisbindingonBBB.ThisAttachmentDiseffectiveonlyifsignedbelowbyBBBandOriginalContributor,andappliestoBBBrCommercialUseofOriginalCodeandUpgradedCode.AllcapitalizedtermsusedhereinshallhavethesamemeaningsetforthintheSCSLunlessotherwisestated.IntheeventofaconflictbetweentheexpresstermsofthisAttachmentDandtheResearchUselicenseSection3.1,thetermsofthisAttachmentDshallgovern.2.Term.UponexecutionofthisAttachmentDbyBBBandOriginalContributor,thisCommercialUselicenseshallhaveatermof18months.UponpaymentbyBBBoftheamountssetforthinSection7hereof,thetermofthisAttachmentDshallbeextendedbyoneortwoyears,asapplicable.3.CommercialUseLicenseGrant.SubjecttoBBBrcompliancewithSection4below,Section8.10oftheSCSL,andtheTCKlicense(andBBBrrighttocurebreachestotheextentprovidedinSection6.oftheSCSL);inadditiontotheResearchUselicense,theTCKlicense,andtheInternalDeploymentUselicense,OriginalContributorgrantstoBBBaworldwide,non-exclusive,non-transferablelicense,totheextentofOriginalContributor’sIntellectualPropertyRightscoveringtheOriginalCode,UpgradedCodeandSpecifications,todothefollowingwithinthespecifiedfieldofuse:a)reproduceanddistributeCompliantCoveredCodeandauthorizeorlicenseitsuseincompliancewiththeLicensebyotherLicensees;b)compileCompliantCoveredCodeandreproduceanddistributethesameinExecutableformdirectlytoendusersorthroughoneormultipletiersofdistributionandauthorizeorlicenseitsusebyothersincompliancewiththeLicense;c)reproduceanddistributeReformattedSpecificationsinassociationwithCompliantCoveredCodeandauthorizeorlicensetheirusebyothersincompliancewiththeLicense;andd)createModificationsforCommercialUseorInternalDeploymentUseundertheprovisionsofthisAttachmentDandSection2.a)(i)oftheResearchUselicense.4.AdditionalRequirementsandResponsibilities.InadditiontotherequirementsandresponsibilitiesspecifiedintheResearchUselicense,theTCKlicenseandtheInternalDeploymentlicense,andasaconditiontoexercisingtherightsgrantedinSection3above,BBBagreetothefollowingadditionalrequirementsandresponsibilities:a)DistributionofSourceCode.SourceCodeofCompliantCoveredCodemaybedistributedonlytoanotherLicenseeofthesameTechnology.b)DistributionofExecutableCode.BBBmaydistributetheExecutableversion(s)ofCompliantCoveredCodeunderalicenseofBBBrchoice,whichmaycontaintermsdifferentfromthisLicense,provided(i)thatBBBareincompliancewiththetermsofthisLicense,and(ii)BBBmustmakeitabsolutelyclearthatanytermswhichdifferfromthisLicenseareofferedbyBBBalone,notbyOriginalContributororanyotherContributor.CommencingwithBBBrfirstreleaseofCompliantCoveredCode,eachbinarycopyofBBBrLinuxoperatingsystemdistributedbyBBBmustincludetheexecutableversionofBBBrimplementationoftheTechnology(andwhichmustconformtothedefinitionofCompliantCoveredCode),exceptthatforbinarycopiesmadeavailableviawebdownload,BBBmustinsteadmaketheexecutableversionofBBBrimplementationoftheTechnology(andwhichmustconformtothedefinitionofCompliantCoveredCode)availablefordownloadaswell.ThissectiondoesnotrequirebundlingofBBBrimplementationoftheTechnologywithBBBrOpenLinuxsoftwareinfieldsofuseoutsidethescopeofSection7,orindistributionslimitedtodemonstration,evaluation,orpromotionalpurposesorcopiesofBBBrOpenLinuxsoftwarewhichmustbedistributedinordertocomplywiththeGNUGeneralPublicLicense.c)Branding.ProductsintegratingCompliantCoveredCodeusedforCommercialUsemustbebrandedwiththeTechnologycompliancelogounderaseparatetrademarklicenserequiredtobeexecutedbyBBBandOriginalContributorconcurrentwithexecutionofthisAttachmentD.5.Indemnity/LimitationofLiability.TheprovisionsofSection7.1oftheResearchUselicensearesupersededbythefollowing:a)BBBrIndemnityObligation.BBBherebyagreetodefend,atBBBrexpense,anylegalproceedingbroughtagainstOriginalContributororanyLicenseetotheextentitisbasedonaclaim:(i)thattheuse,reproductionordistributionofanyofBBBrErrorCorrectionsorSharedModificationsisaninfringementofathirdpartytradesecretoracopyrightinacountrythatisasignatorytotheBerneConvention;(ii)basedonanyrepresentation,warranty,support,indemnity,liabilityorotherlicensetermsBBBmayofferinconnectionwithanyCoveredCode;or(iii)arisingfromBBBrCommercialUseofCoveredCode,otherthanaclaimcoveredbySection5.b)below,orapatentclaimbasedsolelyonCoveredCodenotprovidedbyBBB.BBBwillpayalldamages,costsandfeesawardedbyacourtofcompetentjurisdiction,orsuchsettlementamountnegotiatedbyBBB,attributabletosuchclaim.b)OriginalContributor’sIndemnityObligation.OriginalContributorwilldefend,atitsexpense,anylegalproceedingbroughtagainstBBB,totheextentitisbasedonaclaimthatBBBrauthorizedCommercialUseofOriginalCodeandUpgradedCodeisaninfringementofathirdpartytradesecretoracopyrightinacountrythatisasignatorytotheBerneConvention,andwillpayalldamages,costsandfeesawardedbyacourtofcompetentjurisdiction,orsuchsettlementamountnegotiatedbyOriginalContributor,attributabletosuchclaim.TheforegoingshallnotapplytoanyclaimsofintellectualpropertyinfringementbaseduponthecombinationofcodeordocumentationsuppliedbyOriginalContributorwithcode,technologyordocumentationfromothersources.c)RightofIntervention.OriginalContributorwillhavetheright,butnottheobligation,todefendBBB,atOriginalContributor’sexpense,inconnectionwithaclaimthatBBBrCommercialUseofOriginalCodeandUpgradedCodeisaninfringementofathirdpartypatentandwill,ifOriginalContributorchoosestodefendBBB,payalldamages,costsandfeesawardedbyacourtofcompetentjurisdiction,orsuchsettlementamountnegotiatedbyOriginalContributor,attributabletosuchclaim.d)Prerequisites.UnderSections5.b)andc)above,BBBmust,andunderSection5.a)above,OriginalContributororanyLicenseemust:(i)providenoticeoftheclaimpromptlytothepartyprovidinganindemnity;(ii)givetheindemnifyingpartysolecontrolofthedefenseandsettlementoftheclaim;(iii)providetheindemnifyingparty,atindemnifyingparty’sexpense,allavailableinformation,assistanceandauthoritytodefend;and(iv)nothavecompromisedorsettledsuchclaimorproceedingwithouttheindemnifyingparty’spriorwrittenconsent.e)AdditionalRemedies.ShouldanyOriginalCode,UpgradedCode,TCK,Specifications,ErrorCorrections,orModificationsbecome,orintheindemnifyingparty’sopinionbelikelytobecome,thesubjectofaclaimofinfringementforwhichindemnityisprovidedabove,theindemnifyingpartymay,atitssoleoption,attempttoprocureonreasonabletermstherightsnecessaryfortheindemnifiedpartytoexerciseitslicenserightsunderthisLicensewithrespecttotheinfringingitems,ortomodifytheinfringingitemssothattheyarenolongerinfringingwithoutsubstantiallyimpairingtheirfunctionorperformance.Iftheindemnifyingpartyisunabletodotheforegoingafterreasonableefforts,thentheindemnifyingpartymaysendanoticeofsuchinabilitytotheindemnifiedpartytogetherwitharefundofanylicensefeesreceivedbytheindemnifyingpartyfromtheindemnifiedpartyfortheinfringingitemsapplicabletotheindemnifiedparty’sfutureuseordistributionofsuchinfringingitems,inwhichcasetheindemnifyingpartywillnotbeliableforanydamagesresultingfrominfringingactivitywithrespecttotheinfringingitemsoccurringaftersuchnoticeandrefund.6.SupportPrograms.SupporttoBBB.TechnicalsupportisnotprovidedtoBBBbyOriginalContributorunderthisLicense.BBBmaycontractforoneormoresupportprogramsfromOriginalContributorrelatingtotheTechnologywhicharedescribedontheSCSLWebpage.CustomerSupport.BBBareresponsibleforprovidingtechnicalandmaintenancesupportservicestoBBBrcustomersforBBBrproductsandservicesincorporatingtheCompliantCoveredCode.7.TechnologyandPayments.TechnologyspecifiedinAttachmentB.a)FieldofUse:OpenLinuxforthex86,UltraSPARC,Itanium(Merced),andPowerPCprocessorsBBBherebyagreetopayOriginalContributoranonrefundablepaymentasprovidedintheSunCommunitySourceLicenseAttachmentDforJava2StandardEditionenteredintobythepartiesconcurrentlyherewith(AgreementNo._________),fortheright,for18monthsfromtheexecutionhereof,todistributeCompliantCoveredCodeincompliancewithandsubjecttotheprovisionsoftheSCSLanditsattachments.Uponpaymentoftheapplicable$,_________feeasspecifiedinAgreementNo._________,thisAttachmentDwillhaveatermofthreeyearsandsixmonths.Alternatively,thisAttachmentDwillrenewforasecondandthirdyear(followingthe18monthinitialterm)uponpaymentoftheapplicable$,_________and$,_________feesasspecifiedinAgreementNo._________.PaymentasprovidedaboveunderSection7ofAttachmentDoftheSCSLforJava2StandardEditionconstitutespaymentunderthisSection7,i.e.,BBBarenotobligatedtomakedoublepayments.ProvidedthatthisAttachmenthasbeenextendedtothreeandahalfyearsasabove,BBBmayelecttoextendthisAttachmentforuptoanadditionalthreeyears.IfBBBelecttoextendthetermofthisAttachment,thepricingforsuchadditionalterm(excludingsupport)willnotexceedOriginalContributor’sapplicablethen-currentstandardpricingforthelicenseandrightsgrantedherein.b)[****]c)Taxes.AllpaymentsrequiredbythisLicenseshallbemadein_________(Country)dollars,areexclusiveoftaxes,andBBBagreetobearandberesponsibleforthepaymentofallsuchtaxes,including,butnotlimitedto,allsales,use,rentalreceipt,personalpropertyorothertaxesandtheirequivalentswhichmaybeleviedorassessedinconnectionwiththisLicense(excludingonlytaxesbasedonOriginalContributor’snetincome).TotheextentBBBarerequiredtowithholdtaxesbaseduponOriginalContributor’sincomeinanycountry,BBBagreetoprovideOriginalContributorwithwrittenevidenceofsuchwithholding,suitableforOriginalContributortoobtainataxcreditinthe_________(Country).8.NoticeofBreachorInfringement.EachpartyshallnotifytheotherimmediatelyinwritingwhenitbecomesawareofanybreachorviolationofthetermsofthisLicense,orwhenBBBbecomeawareofanypotentialoractualinfringementbyathirdpartyoftheTechnologyorSun’sIntellectualPropertyRightstherein.9.ProprietaryRightsNotices.BBBmaynotremoveanycopyrightnotices,trademarknoticesorotherproprietarylegendsofOriginalContributororitssupplierscontainedonorintheOriginalCode,UpgradedCodeandSpecifications.10.Notices.AllwrittennoticesrequiredbythisLicensemustbedeliveredinpersonorbymeansevi
