二、根本約定

II.PrincipalClauses

1.甲方負(fù)責(zé)將乙方合法商品通過甲方向中國(guó)進(jìn)行銷售，商品銷售價(jià)格見?進(jìn)口商品報(bào)價(jià)單》(見附件1);乙方通過甲方向中國(guó)銷售的商品必須附有中文表明(包括商品包裝表明和商品表明書)。

2.(1)乙方應(yīng)按甲方要求，選擇其所在地的_________提供產(chǎn)品質(zhì)量認(rèn)證和產(chǎn)品加工生產(chǎn)及其管理能力的信用評(píng)級(jí)效勞，并提交評(píng)級(jí)報(bào)告。

(4)乙方應(yīng)及時(shí)訪問甲方經(jīng)營(yíng)的_________網(wǎng)站(http：//www._________)，了解交易指南、報(bào)價(jià)單填寫表明和業(yè)務(wù)公告等內(nèi)容，積極配合甲方進(jìn)行產(chǎn)品銷售業(yè)務(wù)，乙方在該網(wǎng)站所發(fā)布的信息不得違反中國(guó)有關(guān)法律法規(guī)。

PartyBshallvisitPartyA'swedsite(http：//www._________)intimeandfindoutthetransactionguide，fillingexplanationofquotationandbusinessannouncement，etc.PartyBshallassistPartyAtosellitsproducts.AllinformationissuedinPartyA'swedsitebyPartyBshallnotbeagainstChineserelevantlawsandregulations.

(5)如果乙方擁有網(wǎng)站，應(yīng)該將在“_________網(wǎng)〞銷售的商品在乙方網(wǎng)站上加以宣傳，宣傳時(shí)必須標(biāo)明該商品在“_________網(wǎng)〞的商品應(yīng)用碼。

(6)如乙方委托甲方在中國(guó)所銷售的商品需要向中國(guó)有關(guān)部門申請(qǐng)辦理銷售許可證，乙方可以委托甲方辦理有關(guān)手續(xù)，但應(yīng)向甲方提交所需文件、商品樣品，并承當(dāng)有關(guān)費(fèi)用。

IfthecommoditiessoldinChinaofPartyBneedsaleslicensewhichisappliedtoChineserelateddepartments，PartyBmayconsignPartyAtodealwithit.PartyBshallofferdocumentsandsamplesneededandbearrelevantexpenses.

3.乙方可以修改商品信息，但應(yīng)將修改的內(nèi)容傳真至公證處備案前方可向甲方提交修改申請(qǐng)。甲方只接受乙方向公證處傳真?zhèn)浒傅?進(jìn)口商品報(bào)價(jià)單》的全部?jī)?nèi)容和乙方向公證處傳真?zhèn)浒傅男薷膬?nèi)容，乙方還應(yīng)通過互聯(lián)網(wǎng)向甲方經(jīng)營(yíng)的_________(http：//www._________)提交該內(nèi)容，甲方在使用或頒布該內(nèi)容時(shí)，不得對(duì)乙方提交的內(nèi)容進(jìn)行任何修改加工(甲方只使用乙方提交的經(jīng)公證處公證備案的最新內(nèi)容)。

5.(1)甲方根據(jù)本協(xié)議的約定，按乙方向甲方提交的?進(jìn)口商品報(bào)價(jià)單》中的產(chǎn)品銷售信息在中國(guó)銷售乙方產(chǎn)品，甲方根據(jù)?進(jìn)口商品報(bào)價(jià)單》中的產(chǎn)品銷售信息以傳真方式向乙方提交?_________商品進(jìn)口購(gòu)貨清單》(見附件2，簡(jiǎn)稱?購(gòu)貨清單》)，作為甲方向乙方購(gòu)貨的憑證。

PartyAshallsellPartyB'scommoditiesaccordingtothedetailsinthe?ImportCommodityQuotationSheet》providedbyPartyBinChina.PartyAshallpresentthe?NCENImportPurchaseSheet》(theenclosure2，forshort?PurchaseSheet》)toPartyBbyfaxastheproofoforderaccordingtothesalesinformationof?ImportCommodityQuotationSheet》.

(2)甲方將?購(gòu)貨清單》在公證處備案后以傳真方式提交給乙方，乙方應(yīng)在24小時(shí)內(nèi)以傳真方式確認(rèn)是否收妥?購(gòu)貨清單》傳真函。如果乙方在48小時(shí)內(nèi)仍然沒有以傳真方式對(duì)是否收妥?購(gòu)貨清單》向甲方進(jìn)行確認(rèn)，視為乙方違約，甲方有權(quán)獨(dú)自向?yàn)橐曳介_具交易保證金付款保函的銀行發(fā)出?違約通知單》(見附件3)，并按本協(xié)議第十條之規(guī)定處理。

PartyAshallfaxthe?PurchaseSheet》toPartyBafterputtingitonrecordsattheNotaryOffice.PartyBmustconfirmthereceiptofthe?PurchaseSheet》byfaxwithin24hours.ShallPartyBnotconfirmthereceiptofthe?PurchaseSheet》byfaxwithin48hours，PartyBbreaksthecontract.PartyAwillissue?DefaultAdvice》(theenclosure3)toPartyBanddealwithitaccordingtotheclauseXofthisagreement.

(3)甲方收到乙方確認(rèn)收妥?購(gòu)貨清單》的傳真函7日內(nèi)向乙方開具以乙方為受益人的100%不可撤銷即期跟單信用證，信用證規(guī)定的可議付金額為乙方向甲方開具銷售發(fā)票金額的95%。

PartyAshallissueanIrrevocableDocumentaryLetterofCreditatsightinfavorofPartyBwith100%invoicevaluewithin7daysafterreceivingthefaxof?PurchaseSheet》whichPartyBconfirmedandwellreceived.ThestatednegotiableamountoftheL/Cis95%valueofsalesinvoicepresentedtoPartyAbyPartyB.

6.?_________商品進(jìn)口交易效勞協(xié)議》與其關(guān)聯(lián)的?進(jìn)口商品報(bào)價(jià)單》、?購(gòu)貨清單》等法律文件不可分割并具有同等的法律效力。

?NCENImportTransactionServiceAgreement》isindivisiblewiththerelevant?ImportCommodityQuotationSheet》andthe?PurchaseSheet》，etc.Thosehavethesamelegaleffect.

7.甲方優(yōu)先擁有乙方商品在中國(guó)市場(chǎng)銷售的獨(dú)家代理權(quán)，具體方式雙方另行協(xié)商并簽訂合同。

PartyAshallhavetheprioritytobetheexclusiveagentofPartyB'scommoditiesinChinaandthetwopartiesnegotiateandsigncontractlater.

三、交易保證金條款

III.TransactionDeposit

1.為保證本協(xié)議的執(zhí)行，乙方按其確定年度貨物總交易額的4%交納交易保證金(最低不少于USD2000)，即乙方保證其可以接受的?購(gòu)貨清單》的貨物的總值不得超過其可用的交易保證金的25倍。交易保證金交納方式：本協(xié)議簽訂之日起5日內(nèi)乙方向甲方開具以甲方為受益人的甲方認(rèn)可的?交易保證金付款保函》[格式見附件4，簡(jiǎn)稱?付款保函》，?付款保函》上必須注明本協(xié)議編號(hào)]。該保證金使用期限為本協(xié)議有效期限延長(zhǎng)6個(gè)月，到期后，甲方將?付款保函》退還給為乙方開具?付款保函》的銀行注銷。?付款保函》由甲方確認(rèn)生效后，乙方方可通過互聯(lián)網(wǎng)向甲方網(wǎng)站中的進(jìn)口銷售報(bào)價(jià)欄目提交?進(jìn)口商品報(bào)價(jià)單》。

Toensuretheexecutionofthisagreement，PartyBshallpay4%valueoftheannualtotaltransactionamountofcommodityconfirmedbyPartyBasthedeposit(notlessthanUSD2，000).ItmeansthatthetotalamountofgoodsinorderswhichcanbeacceptedbyPartyBshallnotexceed25timesofamountofthedepositavailable.Renderwayofthetransactiondeposit：Within5daysaftersigningthisagreementPartyBshallissueaLetterofGuaranteeforDepositPaymenttoPartyAfromabankauthorizedbyPartyAandinfavorofPartyA(L/Gformatislistedintheenclosure4，forshortL/Gforpayment，thisagreementnumbermustbemarkedintheL/G).Thedepositisvalidtill6monthsafterthevalidityofthisagreement.PartyAshallreturntheL/Gtotheissuingbankforcancellationuponexpiry.AftertheL/GhasbeenconfirmedbyPartyAandbecomeeffective，PartyBpresentsthe?ImportCommodityQuotationSheet》intheImportQuotationColumnonwww._________viainternet.

2.如乙方未按?購(gòu)貨清單》約定的期限、地點(diǎn)、品種或數(shù)量向甲方供貨，甲方有權(quán)以傳真方式向?yàn)橐曳介_具?付款保函》的銀行直接扣收?購(gòu)貨清單》中違約貨物金額的4%的違約金。

3.交易保證金可循環(huán)使用，乙方可根據(jù)業(yè)務(wù)需求追加或減少交易保證金。

四、音視頻信息發(fā)布

IV.DeclarationofAudio&VideoInformation

1.甲方獨(dú)家代理乙方在“_________〞中播發(fā)乙方的企業(yè)和商品音視頻信息(簡(jiǎn)稱商品信息)的業(yè)務(wù)。

PartyAshallbroadcastPartyB'senterpriseandcommodityaudio&videoinformation(forshortcommodityinformation)in_________onbehalfofPartyBexclusively.

2.乙方應(yīng)_________公司頒布的寬帶數(shù)據(jù)播送網(wǎng)進(jìn)口交易信息播發(fā)表明的要求提交文件和載有音視頻信息的光盤(AVI格式)。

PartyBshallpresentdocumentsanddiskofaudio&videoinformation(AVIformat)to_________whichissubordinateto_________，accordingtotherequirementofImportTransactionInformationBroadcastNotification.

3.通過_________公司的審核后，乙方應(yīng)按播發(fā)表明的要求支付商品信息播發(fā)費(fèi)。

4.本協(xié)議簽訂之日起30日內(nèi)，如果乙方提交的文件和音視頻信息的內(nèi)容沒有通過_________公司的審核，乙方應(yīng)在本協(xié)議簽訂之日起40日內(nèi)向甲方支付800美元的商品信息播發(fā)業(yè)務(wù)代辦效勞費(fèi)，并按中視公司的要求修改相關(guān)信息重新提交。

5.本協(xié)議簽訂之日起90日內(nèi)，如果乙方提交的文件和音視頻信息的內(nèi)容仍沒有通過中視公司的審核，甲方有權(quán)獨(dú)自終止執(zhí)行本協(xié)議，已收取的商品信息播發(fā)業(yè)務(wù)代辦效勞費(fèi)不予退回。

五、產(chǎn)品責(zé)任條款

V.ProductLiabilityClauses

1.乙方應(yīng)委托甲方在甲方指定的保險(xiǎn)公司對(duì)其通過甲方銷售至中國(guó)的所有產(chǎn)品投保產(chǎn)品責(zé)任險(xiǎn)。

2.乙方需向_________集團(tuán)下屬_________公司(簡(jiǎn)稱：_________)提供用于檢測(cè)的樣品(數(shù)量要滿足_________對(duì)檢測(cè)數(shù)量的要求)，并委托_________對(duì)樣品鉛封保留半年(乙方承當(dāng)相應(yīng)費(fèi)用)，期滿后乙方應(yīng)重新提供用于檢測(cè)的樣品;發(fā)生質(zhì)量糾紛時(shí)，雙方同意由_________對(duì)該樣品進(jìn)行檢測(cè)，該檢測(cè)結(jié)果作為質(zhì)量規(guī)范，檢測(cè)費(fèi)用由甲方先行墊付，最終由責(zé)任方承當(dāng)。

3.乙方應(yīng)承當(dāng)由于其產(chǎn)品質(zhì)量問題給甲方所造成的全部損失。甲方有義務(wù)轉(zhuǎn)交乙方相關(guān)中國(guó)買方索賠憑證，主要包括：索賠書、中國(guó)商檢機(jī)構(gòu)出具的相關(guān)證明等文件。

PartyBshallbearallthelossescausedtoPartyAowingtothequalityproblemsofPartyB'sproducts.PartyAhastheobligationtoprovidePartyBtheclaimdocumentsfromtheChinesebuyer，whichincludesclaimletter，certificateissuedbyChineseinspectioninstituteandotherrelevantdocuments.

六、商品檢測(cè)和貨物交割

VI.InspectionandTransaction

1.乙方在每批貨物裝運(yùn)前應(yīng)委托乙方所在地的_________對(duì)裝運(yùn)的貨物進(jìn)行商品品種和數(shù)量檢測(cè)(乙方承當(dāng)檢測(cè)費(fèi)用)，并由_________出具品種和數(shù)量正本檢測(cè)報(bào)告(簡(jiǎn)稱?檢測(cè)報(bào)告》)，該檢測(cè)報(bào)告內(nèi)容必須與?購(gòu)貨清單》中載明的品種和數(shù)量描述內(nèi)容完全相符。

2.(1)甲乙雙方指定_________公司為?購(gòu)貨清單》中貨物的承運(yùn)人，該承運(yùn)人出具的正本貨物提單中載明的內(nèi)容(時(shí)間、地點(diǎn)等)須與?購(gòu)貨清單》中載明的內(nèi)容(時(shí)間、地點(diǎn)等)相符。承運(yùn)人聯(lián)系方式如下：

(2)甲乙雙方以承運(yùn)人簽發(fā)的正本提單中載明的交貨時(shí)間和交貨地點(diǎn)為貨物實(shí)際交貨時(shí)間和交貨地點(diǎn)，該實(shí)際交貨時(shí)間應(yīng)在?購(gòu)貨清單》中規(guī)定的最遲一批貨物交貨期限內(nèi)。

BothpartiestakedeliverytimeanddeliveryplacerecordedintheoriginalB/LissuedbytheCarrierasactualdeliverytimeanddeliveryplace.Theactualdeliverytimeshallbewithinthelatestshippingdateofthelastlotstipulatedinthe?PurchaseSheet》.

(3)如因甲方或承運(yùn)人的原因造成交貨時(shí)間和交貨地點(diǎn)的變化，甲方應(yīng)以書面方式通知乙方變更后的貨物交貨時(shí)間和交貨地點(diǎn)。

PartyAshallinformPartyBinwrittenthedeliverytimeanddeliveryplaceafteralteringifthedeliverytimeanddeliveryplacearealteredbecauseofthereasonofPartyAortheCarrier.

(4)上述貨物備妥之后，乙方須在不遲于每批貨物交貨期限前12日以傳真方式向甲方提交_________出具的檢測(cè)報(bào)告，由甲方進(jìn)行確認(rèn)。

(5)如甲方對(duì)乙方以傳真方式提交的_________出具的品種和數(shù)量的檢測(cè)報(bào)告內(nèi)容無異議，甲方應(yīng)向乙方傳真?裝運(yùn)通知單》(見附件5)，乙方應(yīng)按照?裝運(yùn)通知單》和?購(gòu)貨清單》的約定將貨物交付給承運(yùn)人;如甲方對(duì)檢測(cè)報(bào)告的內(nèi)容有異議，甲方應(yīng)向乙方傳真?違約通知單》，并按本協(xié)議第十條之規(guī)定處理。

3.乙方將對(duì)?購(gòu)貨清單》所售貨物進(jìn)行適當(dāng)完全的包裝，以適于長(zhǎng)距離的遠(yuǎn)洋或內(nèi)陸運(yùn)輸，能夠很好地愛護(hù)貨物，避免潮濕、濕氣、震動(dòng)、生銹、粗獷處理。特殊貨物包裝要求另議。乙方對(duì)由于其不適當(dāng)和不良的包裝所導(dǎo)致的任何破壞和損失負(fù)責(zé)。

PartyBshallpackthecommoditiesunderthe?PurchaseSheet》inpackagessuitableforlongdistanceoceanorinlandtransportation，protectingthecommoditiesagainstmoisture，shock，rustinessandroughhandling.Packingofspecialcommoditiesmaybediscussedbybothpartiesseparately.PartyBshallberesponsibleforanydamagesandlossescausedbytheimproperandpoorpackage.

七、交易費(fèi)用

乙方同意向甲方支付?購(gòu)貨清單》貨款總額5%的金額作為交易費(fèi)用，甲方向乙方開具同等金額的商業(yè)發(fā)票。

八、付款條款(即期信用證開證條款)

乙方按甲方?購(gòu)貨清單》約定的期限、地點(diǎn)、品種和數(shù)量交給承運(yùn)人后，憑下列單據(jù)向銀行議付信用證，信用證規(guī)定的可議付金額為乙方向甲方開具銷售發(fā)票金額的95%：

(1)乙方開具100%貨物價(jià)值的銷售發(fā)票，乙方在銷售發(fā)票右上角注明相應(yīng)的?購(gòu)貨清單》編號(hào)，否那么將被甲方作為無效發(fā)票退回。

九、樣品采購(gòu)條款

IX.PurchaseofSamples

1.采購(gòu)方式：

PurchaseWay

(1)乙方按本協(xié)議?樣品寄售清單》(見附件6)向甲方提供樣品寄存于甲方指定的公共保稅庫，并承當(dāng)保稅庫所在地的進(jìn)口報(bào)關(guān)費(fèi)、內(nèi)陸運(yùn)雜費(fèi)等費(fèi)用(簡(jiǎn)稱雜費(fèi)：240美元/批次，發(fā)貨前電匯至甲方指定帳戶);每次發(fā)貨后乙方應(yīng)傳真發(fā)貨通知及進(jìn)口單據(jù)(發(fā)票、裝箱單、提/運(yùn)單等相關(guān)單據(jù));如貨物到港后甲方仍未收到乙方支付的上述雜費(fèi)，甲方有權(quán)不辦理進(jìn)口清關(guān)手續(xù)，由此產(chǎn)生的額外費(fèi)用乙方自行承當(dāng);甲方應(yīng)在貨物實(shí)際銷售后支付對(duì)應(yīng)局部的90%的貨款(以中國(guó)北京海關(guān)出具的進(jìn)口報(bào)關(guān)單為付款依據(jù))或按乙方指示將貨物退運(yùn)(退運(yùn)相應(yīng)費(fèi)用由乙方承當(dāng))。

(2)乙方商品的樣品庫存缺乏其確定數(shù)量的50%時(shí)，甲方以傳真形式向乙方簽發(fā)?補(bǔ)貨通知單》(見附件7);乙方按其內(nèi)容要求將樣品運(yùn)至甲方指定的公共保稅庫，并承當(dāng)保稅庫所在地的進(jìn)口報(bào)關(guān)費(fèi)、內(nèi)陸運(yùn)雜費(fèi)等費(fèi)用。

(3)該樣品特指與_________鉛封保留樣品一致的用于保稅寄售的商品。

2.付款方式：

十、違約處理?xiàng)l款

1.乙方未按本協(xié)議第二條中第5(2)條款的約定在規(guī)定期限內(nèi)以傳真方式向甲方確認(rèn)是否收妥甲方傳真給乙方的?購(gòu)貨清單》，視為乙方違約。

3.乙方在?購(gòu)貨清單》約定的交貨期限之后交貨，仍然視為違約，如果?購(gòu)貨清單》項(xiàng)下的中國(guó)買方不接收乙方貨物，乙方無權(quán)獲得相應(yīng)的貨款，并應(yīng)自行處理貨物，產(chǎn)生的費(fèi)用由乙方承當(dāng);如果?購(gòu)貨清單》項(xiàng)下的中國(guó)買方同意接受乙方貨物，乙方仍可獲得?購(gòu)貨清單》一定比例的貨款，乙方可獲得貨款的支付比例、時(shí)間由甲方確定。

4.乙方發(fā)生以上“1.2.3〞?購(gòu)貨清單》項(xiàng)下的違約行為時(shí)，甲方有權(quán)獨(dú)自向?yàn)橐曳介_具交易保證金付款保函的銀行發(fā)出?違約通知單》，并向該銀行直接扣收?購(gòu)貨清單》貨款金額4%的違約金。

5.因乙方原因未按?_________商品進(jìn)口購(gòu)貨合同》規(guī)定向甲方供貨而造成甲方商業(yè)利益受到損失，除了甲方扣收?_________商品進(jìn)口購(gòu)貨合同》貨款金額4%的違約金外，乙方還應(yīng)賠償甲方商業(yè)利益受到的損失。

PartyBshallcompensatePartyAthelossescausedbyPartyB'sfailuretodeliveraccordingtothe?PurchaseSheet》.Notonlythe4%valueofgoodsindefaultshallbedeductedaspenalty，butalsoPartyA'slossesinbusinessprofitshallbecompensatedbyPartyB.

6.由于乙方發(fā)生違約，?購(gòu)貨清單》項(xiàng)下的中國(guó)買方拒絕接受貨物或退貨時(shí)，甲方可協(xié)助乙方將貨物運(yùn)回，運(yùn)費(fèi)等相關(guān)費(fèi)用由乙方向甲方提前支付。
