本合同由買(mǎi)賣(mài)雙方訂立，根據(jù)本合同規(guī)定的條款，買(mǎi)方同意購(gòu)買(mǎi)，賣(mài)方同意出售下述商品：

(11)包裝：PACKING：

須用堅(jiān)固的新木箱包裝，適合長(zhǎng)途空運(yùn)/陸運(yùn)，防濕、防潮、防震、防銹、耐粗暴搬運(yùn)。由于包裝不良所發(fā)生的損失，由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損、破損，賣(mài)方應(yīng)負(fù)擔(dān)由此而產(chǎn)生的一切費(fèi)用和損失。包裝箱內(nèi)應(yīng)包含一整套服務(wù)操作手冊(cè)。賣(mài)方使用的木質(zhì)包裝應(yīng)經(jīng)薰蒸處理，并在木質(zhì)包裝表面標(biāo)上清晰的IPPC標(biāo)識(shí)。

Tobepackedinnewstrongwoodencase(s)suitableforlongdistanceair/landtransportationandwellprotectedfromdampness,moisture,shock,rustandroughhandling.TheSellersshallbeliableforanydamagetothegoodsonaccountofimproperpackingandforanyrustdamageandbreakdamageattributabletoinadequateorimproperprotectivemeasurestakenbytheSellers,andinsuchcaseorcasesanyandalllossesand/orexpensesincurredinconsequencethereofshallbebornebytheSellers.Onefullsetofserviceandoperationmanualsconcernedshallbeenclosedinthecase(s).ThewoodpackagingtheSellerusedshallbefumigatedandmarkedwith“IPPC”onthesurfaceofwoodpackaging.

(12)嘜頭：SHIPPINGMARK:

賣(mài)方應(yīng)在每件包裝上，用不褪色油墨清楚地標(biāo)刷件號(hào)、尺碼、毛重、凈重、“此端向上”、“小心輕放”、“切勿受潮”等字樣，并刷有下列嘜頭:

(13)付款條件：TERMSOFPAYMENT：

100%的合同金額通過(guò)電匯支付。100%contractvaluebyT/T.

買(mǎi)方在合同生效后兩周內(nèi)支付合同金額的100%貨款

TheBuyershallpay100%advancepaymenttotheSellerwithintwoweekaftercontracteffected.

(14)單據(jù)：Documents,

1.正本空運(yùn)單(收貨人聯(lián))，標(biāo)明“運(yùn)費(fèi)已付”及嘜頭，買(mǎi)方為收貨人及通知方。

OriginalAirwayBill(copyforConsignee)marked“freightprepaid”andshippingmark,consigntoandnotifytheBuyer.

2.涵蓋100%合同金額的商業(yè)發(fā)票三正三副，注明合同號(hào)、嘜頭。

Commercialinvoicecovering100%ofcontractamountin3originalsand3copies,indicatingcontractnumber,shippingmark.

3.裝箱單三正三副，注明毛、凈重、尺碼和所裝貨物的包裝形式及數(shù)量。

DetailedPackingListin3originalsand3copiesindicatingbothgrossandnetweights,measurementsandpackingconditionandquantityofeachitempacked.

4.賣(mài)方出具的質(zhì)量及數(shù)量證書(shū)正本三份。

Certificateofqualityandquantityissuedbysellerin3originals.

5.賣(mài)方出具的原產(chǎn)地證書(shū)一正一副。

Certificateoforiginin1originaland1copyissuedbySeller.

6.貨物裝運(yùn)后24小時(shí)內(nèi)賣(mài)方發(fā)給買(mǎi)方裝運(yùn)通知傳真復(fù)印件一份。

Copyoffaxfromsellertothebuyeradvisingtheparticularsofshipmentwithin24hoursaftershipmentismade.

7.保險(xiǎn)單或保險(xiǎn)證明一正一副，按照合同金額110%投保一切險(xiǎn)及戰(zhàn)爭(zhēng)險(xiǎn)。

InsurancePolicyorCertificatefor110%contractvalue,coveringAllRisksandWarRiskin1originaland1copy.

8.賣(mài)方聲明外包裝表面標(biāo)有IPPC標(biāo)識(shí)證書(shū)正本一份,或賣(mài)方出具的非木質(zhì)包裝證明正本

Seller’sCertificatein1originalcertifyingIPPChasbeenmarkedonsurfaceofthewoodencases/seller’sCertificatecertifyingnowoodpackageisusedintheshipment.

(15)裝運(yùn)通知：SHIPPINGADVICE：

TheSellersshallfaxtotheBuyertheReadinessNotificationoneweekbeforethegoodstobeshipped.

賣(mài)方在發(fā)貨前一周物向買(mǎi)方傳真貨物備妥通知。

TheSellersshall,immediatelyuponthecompletionoftheloadingofthegoodsin24hours,sendtheBuyersAirWaybill,InvoiceandPackinglistbyfax.

裝運(yùn)通知：賣(mài)方應(yīng)在貨物裝運(yùn)完畢后24小時(shí)內(nèi)用傳真將空運(yùn)單、發(fā)票和裝箱單發(fā)給買(mǎi)方。

如賣(mài)方未按時(shí)向買(mǎi)方通知上述裝運(yùn)情況所導(dǎo)致?lián)p失由賣(mài)方承擔(dān)。

LossesshallbebornebytheSellersincasetheSellersdon’tinformtheBuyersoftheaboveshippingstatusontime.

(16)質(zhì)量保證：GUARANTEEOFQUALITY:

賣(mài)方保證訂貨系用最上等的材料和頭等工藝制成，全新的，未曾使用過(guò)的,并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。賣(mài)方并保證本合同訂貨在正確安裝、正常使用和維修的情況下，自安裝之日起十二個(gè)月或貨物裝運(yùn)之日起十五個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好，以先到期者為準(zhǔn)。由于人為造成的、易損易磨件除外。

TheSellersshallguaranteethatforaperiodof12monthscalculatedfromthedateofinstallationor15monthsstartingfromthedateofshipment,whicheveristheearlier.Faultsduetomal-operationaswellaswearandtearpartsareexcluded.

(17)遲交貨及罰款：LATEDELIVERYANDPENALTY

除合同第16條人力不可抗拒事故外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每7天收0.5%，不足7天時(shí)以7天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的5%。如賣(mài)方延期交貨超過(guò)合同規(guī)定10周時(shí)，買(mǎi)方有權(quán)撤消合同，此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。

買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。

ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajorcausesspecifiedinClause16ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery,therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.Thebuyershallhavetherighttolodgeaclaimagainstthesellerforthelossessustainedifany.

(18)檢驗(yàn)和索賠:INSPECTIONANDCLAIMS:

如發(fā)現(xiàn)貨物的品質(zhì)、數(shù)量/重量與本合同不符,買(mǎi)方有權(quán)在貨物到達(dá)目的地后60天內(nèi)根據(jù)中華人民共和國(guó)出入境檢驗(yàn)檢疫局出具的商檢證書(shū)向賣(mài)方提出索賠。由承運(yùn)人和保險(xiǎn)公司負(fù)責(zé)的賠償除外。

Ifthequalityand/orquantity/weightbefoundnotinconformitywiththepresentcontract,theBuyershallbeentitledtolodgeclaimswiththeSelleronthebasisoftheCertificateissuedbyChinaExitandEntranceInspectionandQuarantineBureauwithin60daysafterthegoodsarrivalinthedestination.Withtheexception,however,ofthoseclaimsforwhichthecarrierand/orinsurancecompanyaretobeheldresponsible.

(19)人力不可抗拒事故：FORCEMAJEURE：

由于人力不可抗拒事故，而賣(mài)方交貨延遲或不能交貨時(shí)，責(zé)任不在賣(mài)方，但賣(mài)方應(yīng)立即將事故通知買(mǎi)方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事故證明書(shū)用空郵寄交買(mǎi)方為證，并取得買(mǎi)方認(rèn)可。在上述情況下，賣(mài)方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過(guò)十個(gè)星期買(mǎi)方有權(quán)撤銷(xiāo)本合同。

TheSellersshallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduotoForceMajeure.However,theSellersshalladvisetheBuyersimmediatelyofsuchoccurrenceand

withinfourteendaysthereafter,shallsendbyairmailtothebuyersfortheiracceptanceacertificate

issuedbythecompetentgovernmentauthoritiesoftheplacewhereaccidentoccursasevidence

thereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeall

necessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethanten

weeks,theBuyersshallhavetherighttocancelthisContract.

(20)仲裁：ARBITRATION:

凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，應(yīng)由雙方通過(guò)友好協(xié)商予以解決，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁規(guī)則進(jìn)行仲裁，仲裁裁決是終局的，對(duì)雙方都有約束力。

Alldisputesarisingfromtheexecutionoforinconnectionwiththiscontract,shallbesettledamicablythroughfriendlynegotiation.IncasenosettlementcanbereachedthroughnegotiationthecaseshallthenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninShanghaiarbitrationinaccordancewithTheRulesofArbitrationofChinaInternationalEconomic&TradeCommission.The
