ELECTRONICDELIVERYOFTHEORDEREDPROGRAMSANDDOCUMENTATIONSagentshalldelivertheOrderedPrograms,Updates,andDocumentationtoCustomerelectronically.CustomeragreestosetupasecureFTPsiteortotakeotherreasonablemeasurestoassistSagentinthesecuredeliveryoftheOrderedPrograms(i.e.,establishingaFTPserver)andthepartiescollectivelydeterminethatelectronicdeliveryistechnicallyfeasiblewithinthetimeframespecifiedfordelivery.TheOrderedProgramsandtheDocumentationwillbeelectronicallytransmittedinseparatetransactions,andSagentandCustomereachwillprovidetheotherpartywithtangibleevidencethattheOrderedProgramsandDocumentationwereelectronicallytransmittedandreceived,respectively.ORDERACCEPTEDANDACKNOWLEDGED:AAA,INC.BBB,INC.By:/S/By:/S/Name:Name:Title:Title:Date: ,,Date:*CertaininformationonthispagehasbeenomittedandfiledseparatelywiththeCommission.Confidentialtreatmenthasbeenrequestedwithrespecttotheomittedportions.EXHIBITBSAGENTMAINTENANCEOBLIGATIONSDEFINITIONS.MAINTENANCEshallmeanSagent,sobligationssetforthinthisAgreement.MAINTENANCEANDSUPPORTPERIODshallmeanatwelve(12)-monthperiod.TheinitialMaintenanceandSupportPeriodshallbeginonthedateofCustomer,sacceptanceoftheinitial
LicensedMaterials.MAINTENANCEANDSUPPORTshallmeanthemaintenanceandsupportservicessetforthinthisAgreement.IfSagentincreasesitsstandardmaintenanceandsupportservicesgenerallyavailabletoitscustomersordistributors,SagentshallmakesuchincreasedmaintenanceandsupportservicesavailabletoSiebelattheratesetforthherein.MAINTENANCEANDSUPPORTFEESshallmeanfeespayableinaccordancewithSection3ofthisAgreement.SUPPORTshallmeantheservicessetforthinSection3ofthisAgreement.SUPPORTEDPROGRAMSshallmeantheLicensedProducts.MAINTENANCE.InconsiderationoftheMaintenanceFeespaidinaccordancewiththisAgreement,SagentshallprovideCustomerwithanyandallUpdatestotheSupportedPrograms,
promptlyassuchUpdatesbecomeavailable.AllUpdatesshallincludeanupdatedOLE/OBinterfacethatenablestheSiebelProgramstointerfacewiththemostupdatedversionoftheLicensedMaterials.AllUpdatesshallbeprovidedfornoadditionalcharge.SagentshallprovideallUpdatesnecessitatedbyneworsuccessorreleasesofhardwareandoperatingsystemssoftware,includingbutnotlimitedtoallsubsequentversionsof(1)theWindowsandWindowsNTclientoperatingsystems,(2)theWindowsNT(Intel)serverplatform,(3)theOracle,Sybase,Informix,Microsoft,andIBMDB2RDBMSplatformsand(4)theMicrosoftOLEinterface.SagentshallprovidesuchUpdateswithinthirty(30)daysofthedatethatthevendorofsuchhardwareand/orsoftwaresystemsmakessuchsubsequentversionsgenerallyavailable.AnyversionsoftheLicensedMaterialsthatoperateonotheroperatingsystemsorserverplatformsshallbeconsideredUpdatesunderthisAgreement,Sagentshallmakepre-releaseversionsofUpdatesavailabletoCustomertopermitCustomertoupgradeitsinternaluselicensestothenextversion.AllUpdatesincludeupdatedDocumentation.SUPPORT.A.STANDARDSUPPORT.SagentshallprovidetoCustomertheStandardSupportservicessetforthbelow(StandardSupport)atarateof$,peryear.StandardSupportshallconsistof
supportservicesconsistentwiththefollowingsupportobligations:SagentshallestablishandmaintaintheorganizationandprocessestoprovideSupportforCustomer.Supportshallincludebutnotbelimitedto(i)adiagnosisofproblemsorperformancedeficienciesofthedeliveredproductsand(ii)aresolutionofproblemsorperformancedeficienciesoftheSupportedLicensedProducts.SagentshallprovideSupportonapromptandtimelybasisviaboth(1)toll-freephonesupport,and(2)Internet-basedsupportpagesthataregenerallyaccessibleona7x24basis.SagentagreestoinformCustomerinwritingatleastquarterlyofallknownanomalies,includingknownbugs,thatthenexistintheLicensedProducts.Siebelmay,initsdiscretion,notifySagentofanomaliesandbugsthatitdiscoversorofwhichitbecomesaware.Sagentwilluseitsbesteffortstocure,asdescribedbelow,reportedandreproducibleerrorsintheLicensedProductssothattheLicensedProductsoperateasspecifiedintheAgreement.Customerrecognizesfourerrorlevels.SEVERITY1-CriticalBusinessImpact.TheproductionuseoftheLicensedProductsarestoppedorsoseverelyimpactedthattheCustomercannotreasonablycontinuework.Sagentwillbeginworkontheerrorwithinonehourofnotificationandwillengagedevelopmentstaffuntilanacceptableworkaroundisachieved.SEVERITY2-SignificantBusinessImpact.ImportantfeaturesoftheLicensedProductsareunavailablewithnoacceptableworkaround.TheimplementationofproductionuseoftheLicensedProductsiscontinuingbutnotstopped.However,thereisaseriousimpactontheCustomer,sproductivityand/orservicelevels.Sagentwillbeginworkontheerrorwithintwohoursofnotificationandwillengagedevelopmentstaffuntilanacceptableworkaroundisachieved.SEVERITY3-SomeBusinessImpact.ImportantfeaturesoftheLicensedProductsunavailablebutaworkaroundisavailable,orlesssignificantfeaturesoftheLicensedProductsareunavailablewithnoreasonableworkaround.Customer,swork,regardlessoftheenvironmentorproductusage,hasminorlossofoperationalfunctionalityorimplementationresources.Sagentwillbeginworkontheerrorwithinadayofnotificationandwillengagedevelopmentstaff.SEVERITY4-MinimumBusinessImpact.Siebelrequestsinformation,anenhancement,ordocumentationclarificationregardingtheLicensedProductsbutthereisnoimpactontheoperationoftheLicensedProducts.TheimplementationorproductionuseoftheLicensedProductsiscontinuingandthereisno
workbeingimpededatthetime.SagentwillprovideaninitialresponseregardingtherequestedinformationordocumentationclarificationwithinoneweekandwillconsiderenhancementsforinclusioninasubsequentUpdate.MAINTENANCEANDSUPPORTCONTINUITY.MaintenanceandSupportshallcontinueasrenewedbyCustomeratCustomer,soption.IfCustomerfailstopayanyamountduepursuanttothetermssetforthabove,andfailstocuresuchfailurewithinsixty(60)businessdaysfromreceivinganoticeofsuchfailurefromSagent,SagentshallhavetherighttoterminateMaintenanceandSupporttoCustomerwithoutanyliabilitytoSagent.SoftwareLicenseOrderForm軟件許可訂購(gòu)協(xié)議-FRONTLINESUPPORT.Licensee,andnotAAA,will
providefrontlinetechnicalsupporttoitsEndUsers.Suchsupportincludesbutisnotlimitedto,callreceipt,entitlementverification,callscreening,installationassistance,problemidentificationanddiagnosis,productdefectdetermination,effortstocreatearepeatabledemonstrationoftheProgramErrorand,ifapplicable,thedistributionofanydefectivemedia.LicenseeagreesthatanydocumentationdistributedbyLicenseetoitsEndUserswillclearlyandconspicuouslystatethatEndUsersshouldcallLicenseefortechnicalsupportfortheProduct.AAAwillhavenoobligationtofurnishanyassistance,informationordocumentationwithrespecttotheProduct,directlytoEndUsers.IfAAAisbeingcontactedbyasignificantnumberofEndUsers,AAAwillusereasonableeffortsto(i)verifysupporteligibilityforsuchEndUsers,and(ii)refersuchEndUserstoLicenseeforsupport.IfAAAcontinuestobecontactedbyasignificantnumberofEndUsers,then,uponAAA,srequest,LicenseeandAAAwillcooperatetominimizesuchcontact.Thereafter,ifAAAcontinuestobecontactedbyasignificantnumberofEndUsersforfrontlinesupport,thenLicenseeshallpaytoAAAAAA,sthencurrentchargesforanyEndUseridentifiedbyAAAasobtainingsuchsupport.SERVICES.AAAwillprovidebackendsupporttoLicenseeforProgramErrorsnotresolvedbyLicenseepursuanttoLicensee'ssupportpoliciesandinaccordanceherewith.Thissupportincludeseffortstoidentifydefectivesourcecodeandtoprovidecorrections,
workaroundsand/orpatchestocorrectProgramErrors.AAAwillprovideLicenseewithatelephonenumberandanemailaddresswhichLicenseemayusetoreportProgramErrorsduringAAA'slocalbusinesshours.Forpriority1,LicenseeagreestonotifyAAAviabothtelephoneandemail.OnAttachmentC,Licenseehasidentified4membersofitscustomersupportstafftoactastechnicalliaisonsresponsibleforallcommunicationswithAAA,stechnicalsupportrepresentatives.Suchliaisonswillhavesufficienttechnicalexpertise,trainingand/orexperience,forLicenseetoperformitsobligationshereunder.Licenseemaysubstituteitscontactsatanytimebyproviding1week,spriorwrittenand/orelectronicnoticethereoftoAAA.FortheintroductorysitevisitbyAAA,travelcostsandrelatedexpensesarepaidbyAAAforupto2days.UponLicensee,srequest,AAAengineerscanextendthesitevisitfor3additionaldays,providedthatLicenseeshallpayforallcostsandexpensesrelatedtosuchextendedstay.AAAwillusereasonablecommercialeffortstoresolveeachsignificantProgramErrorbyprovidingeitherareasonableworkaround,anobjectcodepatchoraspecificactionplanforhowAAAwilladdresstheproblemandanestimateofhowlongitwilltaketorectifythedefect.AAAreservestherighttochargeLicensee
additionalfeesatitsthenstandardratesforservicesperformedinconnectionwithreportedProgramErrorswhicharelaterdeterminedtohavebeenduetohardwareorsoftwarenotsuppliedbyAAA.Notwithstandingtheforegoing,AAAhasnoobligationtoperformservicesinconnectionwithProgramErrorsresultingfromhardwareorsoftwarenotsuppliedbyAAA.AAAagreestosupportagivenrevisionoftheProductfortheshorterof(i)12monthsfromthedatesuchrevisionissupersededbythenextsequentialProductrevision;or(ii)untilsuchrevisionissupersededby2sequentialProductrevisions.(Forexample,AAAwillsupportversion2.1fortheshorterof12monthsfromthedateversion2.2or3.0(if3.0isthenextsequentialrelease),isreleasedbyAAA,oruntilversion2.1issupersededby2sequentialreleases(2.2and2.3or2.2and3.0,asthecasemaybe.)AAAwillmakereasonableeffortstocorrectsignificantProgramErrorsthatLicenseeidentifies,classifiesandreportstoAAAandthatAAAsubstantiates.AAAmayreclassifyProgramErrorsifitreasonablybelievesthatLicensee,sclassificationisincorrect.LicenseewillprovidesufficientinformationforAAAtoenableAAAtoduplicatetheProgramErrorbeforeAAA,sresponseobligationswillcommence.UnlessotherwiseauthorizedinwritingbyAAA,AAAwillnotberequiredtocorrectanyProgramErrorcausedby(a)incorporation,attachmentofafeature,program,ordevicetotheProduct,oranypartthereof;(b)anynonconformance
causedbyaccident,transportation,neglect,misuse,alteration,modification,orenhancementoftheProduct;(c)thefailuretoprovideaninstallationenvironmentrecommendedfortheProduct;(d)useoftheProductforotherthanthespecificpurposeforwhichtheProductisintended;(e)useoftheProductonanysystemsotherthanthespecifiedhardwareplatformforsuchProduct;(f)ifapplicable,useofdefectivemediaordefectiveduplicationoftheProduct;or(g)failuretoincorporateanyProductrevisionorpatchpreviouslyreleasedbyAAAwhichcorrectssuchProgramError.ForProgramErro
