中英文對(duì)照工程施工合同

工程施工合同Contract合同編號(hào)(ContractNO.)：簽訂日期(Date)：發(fā)包方（簡(jiǎn)稱甲方）PartyA:承包方（簡(jiǎn)稱乙方）：PartyB:根據(jù)《中華人民共和國(guó)合同法》以及其他有關(guān)法律法規(guī)規(guī)定的原則，結(jié)合本工程的具體情況，甲、乙雙方在平等、自愿、協(xié)商一致的基礎(chǔ)上達(dá)成如下協(xié)議，共同遵守。Accordingto“P.R.CContractLaw”,andotherrelevantlawsandregulationstothespecificcircumstancesofthisproject,partiesAandBhaveherebyequallyandvoluntarilyenteredintothefollowingagreementexecutedonthebasisofmutualrespect.工程概況Projectoverview工程名稱：Projectname:工程地點(diǎn)：Projectlocation:工程范圍：A.新研發(fā)中心和新廠房的網(wǎng)絡(luò)綜合布線系統(tǒng)的施工；B.數(shù)據(jù)中心的建設(shè)，主要包含：數(shù)據(jù)中心的裝飾工程、電氣系統(tǒng)、空調(diào)系統(tǒng)、機(jī)房閉路監(jiān)控系統(tǒng)、機(jī)房門(mén)禁系統(tǒng)、消防系統(tǒng)改造、機(jī)柜系統(tǒng)等。Projectcontents:A.ThenewR&Dandnewplantconstructionofnetworkcablingsystems;B.DataCenter,mainlyincludes:datacenterdecorationandelectricalsystems,air-conditioningsystems,CCTVsystems,accesscontrolsystems,firefightingsystemreform,開(kāi)工條件：合同生效后，甲方預(yù)付款到位和現(xiàn)場(chǎng)具備開(kāi)工條件。Startconditions:Afterthecommencementofthecontract,PartyAhasstartedadvanceandon-siteconditionsinplace.工程造價(jià)：合同工程總造價(jià)為￥元（CNY），人民幣大寫(xiě)Projectcost：Totalprojectcostisyuan(CNY).詳細(xì)合同價(jià)格表見(jiàn)附件報(bào)價(jià)清單。Detailedcontractpricelistseeattachedquotationlist.在詳細(xì)設(shè)計(jì)和施工過(guò)程中，若工程量發(fā)生變化，按合同單價(jià)相應(yīng)調(diào)整工程造價(jià)；若材質(zhì)發(fā)生變化，按雙方商定的補(bǔ)充協(xié)議調(diào)整工程造價(jià)。Inthedetaileddesignandconstructionprocess,iftheprojectquantitychanges,accordingtothecontractpriceadjustmentprojectcost;ifthematerialischanged,thesupplementalagreementagreedbybothpartiesforadjustmentofengineeringcost.付款方式Termsofpayment由乙方向甲方提供指定帳戶、甲方以支票方式或銀行轉(zhuǎn)賬方式向乙方結(jié)算合同款；PartyBshallprovidethedesignatedaccounttopartyA,PartyAbycheckorbanktransfertopaythecontractpaymenttoPartyB.本合同生效后，甲方付給乙方合同總價(jià)的40%作為工程預(yù)付款，即￥元；Afterthesigningofthiscontract,PartyAshallpaytoPartyB40%ofthetotalcontractpriceastheprojectadvancepayment;數(shù)據(jù)中心及網(wǎng)絡(luò)布線系統(tǒng)工程完工并且雙方簽訂工程驗(yàn)收?qǐng)?bào)告后7天以內(nèi)，甲方付給乙方合同總價(jià)的55%，即￥元；Datacenterprojectandnetworkcablingsystemsengineeringcompletedandsignedaprojectacceptancereportbybothpartieswithin7daysafter,PartyAshallpaytoPartyB55%ofthecontractprice.工程竣工后3個(gè)月內(nèi)，甲方支付給乙方剩余的合同款，即￥元；Afterthecompletionoftheprojectwithin3months,PartyAshallpaytoPartyBtheremainingcontractprice.雙方職責(zé)Responsibilitiesoftheparties甲方職責(zé)：ResponsibilitiesofpartyA:a.及時(shí)以書(shū)面形式通知乙方本工程具備開(kāi)工條件的時(shí)間;TimelywrittennoticetoPartyBtheconditionsofthisprojecthavethetimetostart;b.協(xié)助乙方辦理進(jìn)駐施工現(xiàn)場(chǎng)所需人員證件、批件等有關(guān)手續(xù)；ToassistPartyBtoentertheconstructionsitepersonnelrequireddocuments,approvaldocumentsandotherrelevantprocedures;c.為乙方提供現(xiàn)場(chǎng)工程辦公室和足夠的現(xiàn)場(chǎng)倉(cāng)庫(kù)；Toprovideon-siteengineeringofficeandsufficientfieldwarehouse;d.積極協(xié)助乙方施工，協(xié)調(diào)施工時(shí)與各部門(mén)的配合，并負(fù)責(zé)提供工程所需的現(xiàn)場(chǎng)平面圖及建筑結(jié)構(gòu)圖。ActivelyassistPartyBconstruction,coordinationwithvariousdepartments,andresponsibleforprovidingtheneededfortheprojectsiteplansandarchitecturaldrawings.e.及時(shí)按合同規(guī)定之付款進(jìn)度向乙方支付工程款項(xiàng)。TimelyaccordingtothetermsofthecontractpaymentscheduletopayPartyBprojectfunds.乙方職責(zé)：ResponsibilitiesofpartyB:a.乙方在工程開(kāi)始前應(yīng)組織有關(guān)人員研究和熟悉圖紙，參與設(shè)計(jì)交底，安排施工總進(jìn)度計(jì)劃并提交給甲方；PartyBbeforetheprojectbeginsshallorganizerelevantpersonneltostudyandbefamiliarwithdrawings,involvedinthedesignwork,arrangementofconstructiongeneralscheduleplanandsubmittoPartyA;b.向甲方或項(xiàng)目監(jiān)理提供所購(gòu)各種產(chǎn)品、設(shè)備的技術(shù)資料，接受進(jìn)場(chǎng)檢驗(yàn)；TothepartyAorprojectsupervisiontoprovidethepurchaseavarietyofproducts,equipment,technicalinformation,acceptentryinspection;c.遵守甲方或監(jiān)理方對(duì)施工現(xiàn)場(chǎng)的有關(guān)規(guī)定；Abidebythepartyorthesupervisiononconstructionsiteoftherelevantprovisions;d.按時(shí)完成乙方所承擔(dān)的施工任務(wù)，保證工程施工質(zhì)量。TimelycompletionofconstructiontasksundertakenbyPartyB,toensureconstructionquality.施工與工程設(shè)計(jì)變更Constructionandengineeringdesignchange乙方在施工中要根據(jù)國(guó)家頒發(fā)的施工驗(yàn)收規(guī)范和質(zhì)量檢驗(yàn)標(biāo)準(zhǔn)，以及設(shè)計(jì)要求進(jìn)行，要求全部工程達(dá)到合格標(biāo)準(zhǔn)。OntheconstructionofPartyBaccordingtothecountryissuedconstructionacceptancenormsandqualityinspectionstandards,aswellasthedesignrequirements,allprojectachievethequalifiedstandard.在施工中，要堅(jiān)持按照設(shè)計(jì)文件和施工圖紙施工，任何一方不得隨意變更設(shè)計(jì)，如出現(xiàn)窩工、返工和材料損失，以及增加勞動(dòng)力成本等，由于甲方的原因造成的，損失由甲方承擔(dān)，由于乙方的原因造成的，損失由乙方承擔(dān)。Duringconstruction,toadheretothedesigndocumentsandconstructiondrawingsoftheconstruction,anypartyshallnotbearbitrarilychangeddesign,suchastheemergenceofidleness,reworkandlossofmaterial,aswellasanincreaseinlaborcost,asthepartyA'scause,lossbornebythepartyA,thePartyBcauses,lossesshallbebornebyPartyB.在施工中，若甲方A有變更設(shè)計(jì)文件的要求，應(yīng)書(shū)面通知乙方；若乙方發(fā)現(xiàn)設(shè)計(jì)文件有錯(cuò)誤或嚴(yán)重不合理的地方，也應(yīng)書(shū)面通知甲方，雙方商定并修改設(shè)計(jì)文件和圖紙后方可繼續(xù)施工。Duringtheconstruction,ifthepartyAtochangethedesigndocument,shallgiveawrittennoticetoPartyB;ifPartyBisfoundthedesigndocumentsarewrongorseriousunreasonableplace,shouldalsobewrittennoticetoPartyA,bothsidesagreedandmodifydesigndrawingsanddocumentsbeforeitcancontinuetoconstruction.在施工過(guò)程中，如遇下列情況，需順延工期，雙方應(yīng)及時(shí)進(jìn)行協(xié)商，并通過(guò)書(shū)面形式確定順延期限：Intheprocessofconstruction,incaseofthefollowingcircumstances,beextendedperiod,bothpartiesshalltimelyconsultations,andthroughthewrittenformtodeterminetheextensionofthetimelimit:因天災(zāi)或人力不能抗拒的原因被迫停工的；Becauseofnaturaldisasterorthemanpowerirresistiblereasonsforcedshutdown;因甲方提出變更計(jì)劃或變更施工圖而不能繼續(xù)施工的；BecausepartyAproposedchangestotheplanorchangetheconstructiongraphthereforecannotcontinueconstruction;乙方不能按期供設(shè)備或所供材料或者設(shè)備不合規(guī)格要求，被迫停工或不能順利施工的；PartyBfailstosupplyequipmentorforthematerialsorequipmentofdifferentspecifications,wasforcedtoshutdownornotsmoothconstruction;竣工驗(yàn)收與售后服務(wù)Finalacceptanceandafter-salesservice乙方必須嚴(yán)格執(zhí)行隱蔽工程驗(yàn)收制度，凡隱蔽工程完成后，必須經(jīng)過(guò)驗(yàn)收并作好記錄(隱蔽工程指墻內(nèi)、吊頂內(nèi)的管線施工等）。PartyBmuststrictlyenforcethehiddenworksystem,wherethehiddenworkhasbeencompleted,mustpassinspectionandmakerecords(hiddenworksreferstothewall,theceilinginsidethepipelineconstruction,etc.).整體工程竣工后，乙方向甲方提交竣工文檔并提交書(shū)面驗(yàn)收申請(qǐng)。甲方接到申請(qǐng)后7日內(nèi)組織有關(guān)人員按照合同內(nèi)容和事先約定的驗(yàn)收條款進(jìn)行項(xiàng)目驗(yàn)收，并出具雙方簽字的驗(yàn)收?qǐng)?bào)告。如甲方不能按期組織驗(yàn)收，須提前通知乙方，并與乙方另行商定驗(yàn)收日期，但甲方必須承認(rèn)乙方的竣工時(shí)間。甲方推遲驗(yàn)收，其間所發(fā)生的管理費(fèi)和各項(xiàng)損失均由甲方負(fù)擔(dān)。如果提交驗(yàn)收申請(qǐng)后一個(gè)月仍未能完成驗(yàn)收，則以竣工之日作為系統(tǒng)的保修開(kāi)始日期。Whenthewholeprojectiscompleted,PartyBshallsubmittopartyAcompletedocumentationandsubmitawrittenacceptanceapplication.PartyAshallwithin7daysafterreceivingtheapplicationorganizerelevantpersonnelinaccordancewiththecontractcontentsandtheprescribedinspectionclauseofprojectacceptance,andissuethereportsignedbybothparties.IfPartyAfailstoorganizeacceptance,shallinformPartyBinadvance,andPartyBtobeagreeddateofacceptance,butpartyAmustacknowledgepartyBcompletiontime.partyAdelayedacceptance,duringwhichoccurredinthemanagementfeesandalllossesshallbebornebyPartyA.Ifthesubmissionofacceptanceapplicationonemonthafterfailedtocompleteacceptance,thecompletiondateasthesystemwarrantystartdate.工程驗(yàn)收合格后進(jìn)入質(zhì)保期。質(zhì)保期為驗(yàn)收合格之日起12個(gè)月。在質(zhì)保期內(nèi)，乙方應(yīng)對(duì)系統(tǒng)除人為因素外的所有故障負(fù)責(zé)免費(fèi)維修或更換。Projectafteracceptanceintothewarrantyperiod.Warrantyperiodfromthedateofacceptanceof12months.Duringthewarrantyperiod,PartyBshallsysteminadditiontohumanfactorsallfaultisresponsibleforfreerepairorreplacement.在質(zhì)保期內(nèi)，乙方做到對(duì)甲方求援電話2小時(shí)內(nèi)響應(yīng)，8小時(shí)內(nèi)抵達(dá)現(xiàn)場(chǎng)并著手解決問(wèn)題。質(zhì)保期結(jié)束后，乙方對(duì)系統(tǒng)進(jìn)行有償維護(hù)。有償維護(hù)的費(fèi)用由雙方協(xié)商。Duringthewarrantyperiod,PartyBshalldotohelptelephoneresponsewithin2hours,8hourstoarriveatthesceneandsetaboutsolvingtheproblem.Aftertheendofthewarrantyperiod,PartyBonthesystempaidmaintenance.Paidmaintenancecoststhroughconsultationbythetwoparties.技術(shù)服務(wù)和培訓(xùn)Technicalserviceandtraining由乙方按技術(shù)培訓(xùn)大綱負(fù)責(zé)對(duì)甲方的有關(guān)操作人員和維修人員進(jìn)行使用級(jí)培訓(xùn)。通過(guò)培訓(xùn)，使甲方的受訓(xùn)人員能掌握系統(tǒng)設(shè)備的配置，能進(jìn)行正確操作和日常維護(hù)及一般常見(jiàn)故障排查。接受培訓(xùn)的人員由甲方確定，日期由甲乙雙方共同商定。PartyBaccordingtothetechnicaltrainingprogramforPartyA'soperatorsandrepairpersonneltouseclasstraining.Throughtraining,thetraineescangraspthepartysystemequipmentconfiguration,cancorrectoperationandroutinemaintenanceandcommontroubleshooting.TrainedpersonnelwereidentifiedbythepartyA,thedatemutuallyagreedbybothparties.在保修期內(nèi)，乙方提供兩次上門(mén)巡檢服務(wù)，包括各系統(tǒng)運(yùn)行狀況的查看、記錄，以及必要的設(shè)備維護(hù)。Duringthewarrantyperiod,PartyBshallprovidetwoon-siteinspectionservices,includingthestatusofsystemview,recording,andthenecessaryequipmentmaintenance.乙方為甲方免費(fèi)提供網(wǎng)絡(luò)綜合布線系統(tǒng)和數(shù)據(jù)中心的技術(shù)咨詢服務(wù)。PartyBshallprovidefreenetworkcablingsystemanddatacentertechnicaladvisoryservices.違約責(zé)任Theliabilityforbreachofcontract乙方提供貨物的質(zhì)量或規(guī)格不符合合同約定，行業(yè)規(guī)格或政府的法令法規(guī)的要求的，甲方可以根據(jù)貨物的性質(zhì)以及損失大小，要求乙方承擔(dān)修理，更換，退貨，減少價(jià)款等責(zé)任。PartyBshallprovidethequalityorspecificationsofthegoodsdoesnotconformtothecontractspecifications,industryorgovernmentregulatoryrequirements,PartyAmayaccordingtothenatureofthegoodsandthelossofsize,Bshouldbeartherepair,replacement,return,reducecost.乙方除因受《中華人民共和國(guó)合同法》規(guī)定的不可抗力因素影響外，如果未能按計(jì)劃施工，則乙方在竣工之日前，每日應(yīng)按甲方所支付合同款的1‰（大寫(xiě)：千分之一）賠償甲方損失。PartyBexceptdueto"P.R.CContractLaw"provisionsofforcemajeurefactors,iftheconstructionnotonschedule,thenPartyBinthecompletiondate,dailyshouldbepaidbyPartyAcontractto1‰(inwords:1/1000)compensationforthelossofPartyA.在履行合同過(guò)程中，如果乙方提前獲知有不能按時(shí)交貨或提供服務(wù)的情況，應(yīng)及時(shí)以書(shū)面形式將不能按時(shí)交貨的理由、預(yù)期延誤時(shí)間通知甲方。甲方收到乙方通知后，認(rèn)為其理由正當(dāng)?shù)模勺们檠娱L(zhǎng)交貨時(shí)間。Duringperformanceofthecontract,ifPartyBknowaheadoftimehasnotdeliveredontimeortoprovideservice,shouldbepromptlyinwritingofthereasonsfornotdeliveredontime,anticipateddelaytimenotifyparty.PartyAreceivednotification,thinkitsreason,couldbeappropriatetoextendthetimeofdelivery.若由于甲方更改設(shè)計(jì)需求、未確認(rèn)材料或設(shè)備型號(hào)、未確認(rèn)施工方案而導(dǎo)致設(shè)備訂貨周期推遲，因此導(dǎo)致的延遲交貨，乙方不負(fù)擔(dān)任何責(zé)任。IfduetoPartyAtochangethedesigndemand,didnotconfirmmaterialorequipmentmodels,unrecognisedconstructionschemecausedbyequipmentordercycletimedelay,thuscausingthedelayofdelivery,PartyBdoesnotbearanyresponsibility.甲方在合同規(guī)定的付款期限內(nèi)未能及時(shí)付款，視為甲方違約。甲方每日按合同款項(xiàng)的千分之一賠償乙方損失。PartyAinthecontractpaymentperiodfailedtotimelypayment,regardedasabreachofcontract.PartyAaccordingtothecontractsum1/1000dailycompensationforanylossofPartyB.甲乙任意方因第三者的原因造成違約的，應(yīng)向?qū)Ψ匠袚?dān)違約責(zé)任。Anypartyforthethirdpartyreasonsfordefault,shallbeliabletotheotherpartyforbreach.合同的變更ThemodificationofContract合同需在甲乙雙方公平協(xié)商，達(dá)成一致的條件下進(jìn)行變更，變更的內(nèi)容需以文字正本形式經(jīng)雙方授權(quán)人簽字并蓋章后生效。一切變更內(nèi)容作為附件存在與合同正本具有相同的法律效力。Anymodificationmustonthebasisoffairnegotiationandbeacceptedbybothsides.Theformalfileofmodifiedcontractshouldbevalidatingaftersignedandstampedbyauthorizedpersonofbothsides.Allchangetothecontentasanattachmentwiththeoriginal
