thecontractpricehereinisinclusiveoftax.partybshallberesponsibleforalltherelatedissuessuchasshipment,installationandcommissioningetc,andassumethecorrespondingexpenses.

quality,standardsandinspection

partybshallcompleteitsdesign,manufactureandinstallationinstrictaccordancewiththesectiondrawingofcokeovenmechanicalequipmentprovidedbythedesigninginstitute,andthequalityshallconformtodrawing

requirements.incasethereisanydispute,itshallbesettledthroughconsultationsbybothparties.

partybshallprovidetechnicalservicesforthedesign,manufacture,transportation,packing,installation,debuggingandcommissioningofthecontractedequipment,andpartybshallensurethequalityinallaspects.

theequipmentshallbemanufacturedinaccordancewithrelevantnationalindustrialstandards,andtheinstallationandcommissioningofthe

equipmentmustcomplywithcodeforconstructionandacceptanceofmetallurgicalmachineryinstallationworkissuedbyministryofmetallurgicalindustry.

themainmaterialsofcomponentsandpartsshallbeaccompaniedbytheoriginalmateriallistandthecorrespondingtestreportsofphysicalandchemicalindicators.

iii.placeandtermsofdelivery

1. placeofdelivery: partya ’sconstructionsite.

partybshallalsoprovidecertificateofqualitycompetency,installationdrawingsfortheequipment,partdrawings,inspectionreports,instructionmanual,listofwearingparts,sparepartsbook,operationandmaintenancemanualsformachinery,electricalandfluidicequipment,inconjunctionwiththeprovisionoftheequipment.

partyashallberesponsiblefortheprovisionofplacesforfieldfabricationandinstallation,andpartyashallalsoberesponsibleforwaterandelectricitysupply.

partyb’sstaffmustbeinplaceoncetheequipmentarrivesatthework

site.

iv.packingandtransportation

partybshall,inaccordancewiththepropertiesofproductsaswellas

componentsandparts,determinethemodeofpackingtoensurethesecurityandliabilityofloading,shipping,unloadingandstorage.

partybshallselectareasonablemeansoftransportinaccordancewiththeequipmentstatus,whiletheunloadingchargeincurredafterthearrivalatpartya’ssiteshallbeassumedbypartya.

payment

everytimeagainstpartya’spayment,partybshallissueafinancialreceipt.

withinseven(7)workingdaysfromthedateonwhichthecontractcomesintoeffect,partyashallpayanadvancepaymentofrmbfivemillionyuanonlytopartyb.

withinoneweekfromthedateofnormaluseaftertheinstallationand

commissioningoftheequipment,thepaymentoftheequipmentshallbemadeupto[]%(includingthepaidadvancepaymentofrmb[]yuan).

thequalityguaranteeperiodfortheproductsshallbeoneyear.ifupontheexpirationofthisperiodtheequipmentpassestheinspectionwithoutany

qualityproblem,partyashallpayoffthequalityguaranteedepositequivalent

to[]%ofthecontractprice.however,problemsarisingfromimproperoperationbypartya’sstafforrelatedtocommonconsumablesarenot

includedinthequalityguaranteescope.

vi.installation,trialrunandacceptanceofthecokeowenequipment

theinstallationandcommissioningmustmeetthedrawingrequirementsaswellastherequirementsbyrelevantnationalstandards.

partyashallactivelycooperatewiththesiteresidentrepresentativesappointedbypartybtocompletethefieldservices.partyashallmeettheinstallationconditionsforthecoalchargingcarbefore[],anditshallmeettheinstallationconditionsforthetamperandotherequipmentbefore[].

thetrialperiodoftheequipmentshallrefertooneweekofcoke

productionintheheatingtest,duringwhichpartyb’sinstallationstaffshallplayaleadingroleinmaintainingtheequipment,andpartya’soperationandmaintenancestaff,underpartyb’strainingandsupervision,willplaya

supplementalrole.theinstallationandcommissioningshallnotcometoanenduntiltheexpirationofthisperiod.

partyashallprovidefreeaccommodationintheneighborhoodforparty

b’sinstallationandcommissioningstaff.partyashallprovidepartybwithwater,electricityandgasnecessaryforinstallationfreeofcharge.theexpenseforthecranesusedininstallationshallalsobeassumedbypartya.

allthelubricatingandhydraulicmediaduringtheinstallationandcommissioningaswellasduringtheprocessofproductionshallbeprovided

bypartya,whilethespecificquantitiesandmodelsshallbeprovidedbypartyb.

partyashallorganizetheacceptanceparticipatedinbypartybwithintwoweeksfromthedatewhentheequipmentisputintocokeproduction.forthoseinfailureofmeetingtherequirementsoftechnicalperformance,partybmustrectifythemwithinonemonth.ifpartyafailstoorganizetheaforesaidacceptancewithintwoweeks,itshallbedeemedthattheequipmentpassestheacceptance.

aftertheequipmentisputintoproduction,partybshallprovidepartya

with3-monthtechnicalsupportandmaintenanceinstructionsfreeofcharge,forwhichpurposetwomachinists,oneelectricalmechanicandonehydraulicmechanicshallbeappointed.

vii.liabilityforbreachofcontract

ifpartybdiscoversthatthedrawingsortechnicalrequirementsprovidedbypartyaareunreasonable,itshalltimelynotifypartya.incasethatany

lossesarecausedtopartybduetopartya ’sindolentreplyorotherreasons,

partyashallbeliableformakingcompensationonthebasisofthevaluationoftheunreasonableparts.

ifpartyachangesitsrequirementsforthecontractedworkwhiletheworkisunderway,therebycausinglossestopartyb,partyashallbeliableformakingcompensationonthebasisofthevaluationofthelosscausedbythechanges.

iftheperformanceofthecontractedworkrequiresassistance,partyashallhavetheobligationtoprovideassistance.incasethatthecontracted

workisunabletobecompletedonscheduleduetopartya ’sfailureinfulfilling

itsobligationofassistance,partybmayurgepartyatoperformitsobligationwithinareasonabletimelimitandmayextendthetermofitsperformance;ifpartyastillfailstoperformsuchobligationwithinthetimelimit,partybmayterminatethecontract.

ifpartybfailstocompletethemanufacture,installationortrialrunasstipulatedinthecontract,partybshallbeliableformakingthecorresponding

compensationsforpartya ’seconomicloss.

contractdisputesandsettlement

anydisputearisingoutoforinconnectionwiththecontractbetweenthepartiesshallbesettledthroughfriendlyconsultationsonthebasisofcontractlaw.incasenoagreementcanbereached,thedisputeshallthenbesubmittedtothepeople’scourtattheplaceofsignatureforlitigation.

ix.miscellaneous

thecontractshallcomeintoforceuponthesignatureandsealoftheauthorizedrepresentativesdesignatedbybothparties,andtheeffectivedateofthecontractshallbethedateonwhichtheadvancepaymentisreceivedafterthesig
