1.Purpose

ThepurposeofthisContractistoestablishthetermsandconditionsunderwhichtheCompanywillsupplyandtheBuyerwillpurchasevarioustypesoffruits(hereinafterreferredtoasthe"Products").

2.Products

2.1TheCompanyagreestosupplytheProductsinthequantities,quality,andspecificationsasagreeduponbybothparties.

2.2TheBuyeragreestopurchasetheProductsfromtheCompanyinthequantities,quality,andspecificationsasagreeduponbybothparties.

3.PriceandPayment

3.1ThepricefortheProductsshallbeassetforthintheattachedPriceList,whichformsanintegralpartofthisContract.

3.2TheBuyeragreestomakepaymentfortheProductswithin__daysofreceiptoftheinvoicefromtheCompany,inthecurrencyspecifiedintheinvoice.

3.3Latepaymentsshallaccrueinterestattherateof__%permonth,orthemaximumratepermittedbylaw,whicheverislower.

4.Delivery

4.1TheCompanyshalldelivertheProductstotheBuyer'sdesignatedlocationasagreeduponbybothparties.

4.2TheBuyershallberesponsibleforanyapplicablecustomsduties,taxes,orotherchargesrelatedtotheimportationoftheProducts.

5.QualityControl

5.1TheCompanyshallensurethattheProductscomplywithallapplicablelaws,regulations,andindustrystandards.

5.2TheBuyermayinspecttheProductsupondeliveryandshallnotifytheCompanyofanynon-conformitieswithin__daysofdelivery.

6.IntellectualProperty

6.1TheCompanyretainsallrights,title,andinterestinanyintellectualpropertyassociatedwiththeProducts.

6.2TheBuyershallnotuse,reproduce,ordistributeanyintellectualpropertyassociatedwiththeProductswithoutthepriorwrittenconsentoftheCompany.

7.Confidentiality

7.1Bothpartiesagreetokeepallinformationreceivedfromtheotherpartyconfidential,exceptasrequiredbylaworwiththeotherparty'swrittenconsent.

8.Termination

8.1EitherpartymayterminatethisContractupon__days'writtennoticetotheotherpartyintheeventofamaterialbreachbytheotherparty.

8.2Intheeventoftermination,thepartiesshallsettleanyoutstandingobligationsandliabilitiesinaccordancewiththetermsofthisContract.

9.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof____________.AnydisputesarisingoutoforinconnectionwiththisContractshallbesubmittedtotheexclusivejurisdictionofthecourtsof____________.

10.EntireAgreement
