2/2英文商業(yè)合同模板CommercialContract商業(yè)合同No：合同號(hào)：Date：日期：TheBuyer：ZhonghuaInternationalTechnologyCorporation賣方：菲爾德·埃米森公司TheSeller：FieldEmissionCorp.買方：中華國(guó)際技術(shù)開(kāi)發(fā)公司ThiscontractismadebyandbetweentheBuyerandtheSeller，wherebytheBuyeragreestobuyandtheSelleragreestoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstatedbelow：根據(jù)本合同條款，買方同意購(gòu)買，賣方同意出售下述貨品，茲簽訂本合同。1.Commodity：camera-controlequipment1、品名：攝像機(jī)控制設(shè)備Quantity：60（sets）數(shù)量：60（臺(tái)）Unitprice：USD4800.00單價(jià)：4800美元/臺(tái)Totalamount：USD288000.00總額：288000美元2.Countryoforiginandmanufacturer：FieldEmissionCorp.inUS2、原產(chǎn)國(guó)別及生產(chǎn)商：美國(guó)菲爾德·埃米森公司3.Packing3、包裝Tobepackedinstrongwoodencasesorcartons，suitableforlongdistanceocean，parcelpostorairfreighttransportationaswellaschangingclimateandwithgoodresistancetomoistureandshocks.用堅(jiān)固的木箱或紙箱包裝，適宜長(zhǎng)途海運(yùn)、郵寄或空運(yùn)及適應(yīng)氣候變化，并且具備良好的防潮抗震能力。TheSellershallbeliableforanydamageofthecommodityduetoimproperpackingandforanyrustattributabletoinadequateprotectivemeasuresinregardtothepacking.由于包裝不當(dāng)而引起的貨物損壞或由于防護(hù)措施不善而引起貨物銹蝕，賣方應(yīng)賠償由此而造成的全部損失費(fèi)用。Onefullsetofserviceandoperationmanualshallbeenclosedineachcase.包裝箱內(nèi)應(yīng)附有完整的維修保養(yǎng)、操作使用說(shuō)明書。4.Shippingmark：4、運(yùn)輸標(biāo)志TheSellershallmarkoneachpackagewithfadelesspaintthepackagenumber，grossweight，netweight，measurementandwarningssuchas“HANDLEWITHCARE”，“KEEPAWAYFROMHEAT”，“KEEPAWAYFROMMOISTURE”aswellasshippingmark.賣方應(yīng)在每個(gè)貨箱上用不褪色油漆標(biāo)明箱號(hào)、毛重、凈重、長(zhǎng)、寬、高，并標(biāo)有“小心輕放”，“防潮”及“防熱”等字樣和運(yùn)輸標(biāo)志。5.Dateofshipment：Aug.8，20215、裝運(yùn)日期：2021年8月8日6.Portofshipment：LosAngeles6、裝運(yùn)港：洛杉磯7.Portofdestination：Ningbo7、目的港：寧波8.Insurance：8、保險(xiǎn)TobebornebytheBuyeraftershipment.裝運(yùn)后由買方投保。9.Payment，underconditions（1），（2）and（3）below：9、支付條件分以下三種條件支付：（1）Throughtheletterofcredit：（1）信用證TheBuyer，onreceiptfromtheSellerofthedeliveryadvice，shallopenanirrevocableletterofcreditwiththeBankofChina，infavoroftheSellerforthetotalvalueofshipment25–30dayspriortothedateofdelivery.ThecreditshallbeavailableagainstSeller‘sdraftdrawnatsightontheopeningbankfor100%invoicevalueaccompaniedbytheshippingdocumentsspecifiedinClause10hereof.Paymentshallbeeffectedbytheopeningbankbytelegraphictransferagainstpresentationoftheaforesaiddraftanddocuments.Theletterofcreditshallbevaliduntilthe20thdayaftertheshipmentiseffected.買方收到賣方交貨通知，應(yīng)在交貨日期前25–30天，由中國(guó)銀行開(kāi)出以賣方為受益人的與裝運(yùn)金額相同的不可撤銷的信用證。賣方須向開(kāi)證行出具100％發(fā)票金額即期匯票并附本合同第10款所規(guī)定的裝運(yùn)單據(jù)。開(kāi)證行收到上述匯票和裝運(yùn)單據(jù)即予以電匯支付。信用證于裝運(yùn)日期后20天內(nèi)有效。（2）Collection：（2）托收TheSellermaypresentthesightdrafttogetherwiththeshippingdocuments（specifiedinClause10hereof）throughtheSeller‘sbankandBuyer’sBanktotheBuyerforcollectionaftershipment.貨物裝運(yùn)后，賣方出具即期匯票，連同本合同第10款規(guī)定的裝運(yùn)單據(jù)，通過(guò)賣方所在地銀行和買方銀行提交給買方托收。（3）Bydirectremittance：（3）直接付款PaymentshallbeeffectedbytheBuyer，bytelegraphictransfer，within7（seven）daysafterreceiptfromtheSelleroftheshippingdocumentsspecifiedintheClause10hereof.買方收到本合同第10款規(guī)定的裝運(yùn)單據(jù)后7天內(nèi)，以電匯向賣方支付貨款。10.Documents：10、單據(jù)（1）Incaseofsea-freight：（1）海運(yùn)Fullsetofcleanbillsofladingmarked“FreighttoCollect”，“FreightPrepaid”madeouttobankendorsednotifyingZhonghuaInternationalTechnologyDevelopmentCorporationattheportofdestination.全套清潔海運(yùn)提單，標(biāo)明“運(yùn)費(fèi)付訖”，“運(yùn)費(fèi)預(yù)付”，做成空白背書并注明通知目的港的中華國(guó)際技術(shù)開(kāi)發(fā)公司。（2）Incaseofair-freight：（2）空運(yùn)Onecopyofairwaybillmarked“FreighttoCollect”，F(xiàn)reightPrepaid“andsenttotheBuyer.空運(yùn)提單副本一份，標(biāo)明“運(yùn)費(fèi)付訖”，“運(yùn)費(fèi)預(yù)付”，寄交買方。（3）Invoicein4copiesindicatingcontractnumberandshippingmark，madeoutindetailsasperthecontractconcerned.（3）發(fā)票一式4份，標(biāo)明合同號(hào)和裝運(yùn)標(biāo)志，發(fā)票根據(jù)有關(guān)合同詳細(xì)填寫。（4）Packinglistin2copiesissuedbythemanufacturer.（4）由生產(chǎn)商出具的裝箱單一式兩份。（5）Certificateofqualityandquantityissuedbythemanufacturer.（5）由生產(chǎn)商出具的質(zhì)量和數(shù)量保證書。（6）TheBuyershallbeadvisedbymail/cableimmediatelyaftershipment.（6）貨物裝運(yùn)后立即用電報(bào)或信件通知買方。Inaddition，theSellershall，within10（ten）daysaftershipment，sendbyairmailtwosetsofaforesaiddocuments（exceptitem4）withonesetdirectlytotheBuyerandonesetdirectlytoZhonghuaInternationalTechnologyDevelopmentCorporationattheportofdestination.此外，發(fā)貨10天內(nèi)，賣方將上述單據(jù)（第5條除外）航寄兩份，一份直接給買方，一份直接給目的港的中華國(guó)際開(kāi)發(fā)公司。11.Shipment11、裝運(yùn)（1）IncaseofFOBterms（1）離岸價(jià)格條款（FOB條款）a.TheSellershall，30daysbeforethecontracteddateofshipment，advisetheBuyerbycableorletterofthecontractnumber，nameofcommodity，quality，value，packagenumber，grossweight，measurementanddateofreadinessattheportofshipmentfortheBuyertobookshippingspace.1）賣方于合同規(guī)定的裝運(yùn)日期前30天，用電匯或信件將合同號(hào)、品名、數(shù)量、價(jià)值、箱號(hào)、毛重、裝箱尺寸和貨物抵裝運(yùn)港日期通知買方，以便買方租船訂艙。b.BookingofshippingspaceshallbearrangedbytheBuyer‘sshippingagent，ChinaOceanShippingAgency.2）買方船運(yùn)代理中國(guó)外輪代理公司，負(fù)責(zé)辦理租船訂艙事宜。c.TheBuyer‘sshippingagent（ChinaOceanShippingAgency）shallsendtotheSellernoticeindicatingthenameofvessel，estimateddateofloadingandcontractnumberfortheSellertoarrangeshipment10（ten）daysbeforetheestimateddateofarrivalofthevesselattheloadingport.TheSellerisrequestedtogetinclosecontractwiththeshippingagent.Whenitbecomesnecessarytochangethecarryingvesselortoadvanceordelaythearrivaldate，theBuyerortheshippingagentshalladvisetheSellerintime.Shouldthevesselfailtoarriveattheloadingportwithin30（thirty）daysafterthearrivaldateadvisedbytheBuyer，theBuyershallbearthestorageandinsuranceexpensesincurredfromthe30daythereafter.3）買方船運(yùn)代理（中國(guó)外輪代理公司）預(yù)計(jì)船抵達(dá)裝運(yùn)港10天之前，將船名、預(yù)計(jì)裝貨日期、合同號(hào)等通知賣方，以便賣方安排裝運(yùn)。要求賣方與船運(yùn)代理保持密切聯(lián)系。當(dāng)需要更換承運(yùn)船只及船只提前、推遲抵達(dá)時(shí)，買方或其船運(yùn)代理應(yīng)及時(shí)通知賣方。如船在買方通知日后30天內(nèi)未能到達(dá)，則第30天后倉(cāng)儲(chǔ)費(fèi)和保險(xiǎn)費(fèi)用由買方承擔(dān)。d.TheSellershallbeliableforanydeadfreightordemurrage，shouldithappenthattheyhavefailedtohavethecommodityreadyforloadingafterthecarryingvesselhasarrivedattheportofshipmentontime.4）如承運(yùn)船如期抵達(dá)裝運(yùn)港，賣方因備貨未妥而影響裝船，則空艙費(fèi)和滯期費(fèi)均由賣方承擔(dān)。e.TheSellershallbearallexpensesandrisksbeforethecommoditypassesoverthevessel‘srailandisreleasedfromthetackle.Afterithaspassedoverthevessel’srailandisreleasedfromthetackle，allexpensesandrisksshallbeinBuyer‘saccount.5）貨物超過(guò)船舷并從吊鉤卸下前，一切費(fèi)用和風(fēng)險(xiǎn)由賣方承擔(dān)；貨物超過(guò)船舷并從吊鉤卸下，一切費(fèi)用和風(fēng)險(xiǎn)由買方承擔(dān)。（2）IncaseofCFRterms（2）成本加運(yùn)費(fèi)價(jià)條款（CFR條款）a.TheSellershallshipthegoodswithintheshipmenttimefromtheloadingporttotheportofdestination.Transshipmentisnotallowed.1）在裝運(yùn)期內(nèi)，賣方負(fù)責(zé)將貨物從裝運(yùn)港裝運(yùn)至目的港。不得轉(zhuǎn)船。b.Incasethegoodsaretobedispatchedbyairfreight，theSellershall，30（thirty）daysbeforethetimeofdeliveryasstipulatedinClause5，informtheBuyerbycableorletteroftheestimateddateofdelivery，contractnumber，nameofcommodity，andinvoicedvalue.TheSellershall，immediatelyafterdispatchofthegoods，advisetheBuyerbycableorletterofthecontractnumber，nameofcommodity，invoicedvalueanddateofdispatchfortheBuyertoarrangetheinsuranceintime.2）貨物空運(yùn)時(shí)，賣方于本合同第5條規(guī)定的交貨日期前30天，以電報(bào)或信件把預(yù)計(jì)交貨期合同號(hào)、品名、發(fā)票金額等通知買方。發(fā)貨后，賣方立即以電報(bào)或信件將合同號(hào)、品名、發(fā)票金額、發(fā)貨日期通知買方，以便買方及時(shí)投保。12.Shippingadvice12、裝運(yùn)通知TheSellershall，immediatelyonthecompletionoftheloadingofthegoods，advisetheBuyerbycableorletterofthecontractnumber，nameofcommodity，quantity，invoicedvalue，grossweight，nameofvesselanddateofsailing.IncasetheBuyerfailstoarrangeinsuranceintimeduetotheSeller‘snothavingcabledintime，alllossesshallbebornebytheSeller.貨物一俟全部裝船，賣方應(yīng)即將合同號(hào)、呂名、數(shù)量、發(fā)票金額、毛重、船名及啟航日期用電報(bào)或信件通知買方。如因賣方未能及時(shí)通知致使買方不能及時(shí)投保，賣方則承擔(dān)全部損失。13.Guaranteeofquality13、質(zhì)量保證TheSellerguaranteesthatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship，brandnew，unused，andcomplieswiththequalityandspecificationsstipulatedinthiscontract.Theguaranteeperiodshallbe12（twelve）monthsstaringfromthedateonwhichthecommodityarrivesattheportofdestination.賣方保證：所供貨物由的材料及精湛工藝制成，商標(biāo)為新的和未經(jīng)使用的，其質(zhì)量和規(guī)格符合本合同所做的說(shuō)明。自貨物到達(dá)目的港起12個(gè)月為質(zhì)量保證期。14.Claims14、索賠Exceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable，shouldthequality，specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontract，within90（ninety）daysafterthearrivalofthegoodsatdestination，theBuyercanusetheInspectionCertificateissuedbyChinaNationalImportandExportCommoditiesInspectionCorporationtoclaimforreplacementascompensation.Alltheexpensesincurred（suchasinspectioncharges，freightchargesforreturningandsendingofreplacement，insurancepremium，storage，loadingandunloadingcharges）shallbebornebytheSeller.自貨物到達(dá)目的港起90天內(nèi)，如發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符，除那些應(yīng)由保險(xiǎn)公司或由船方承擔(dān)的部分外，買方可憑中國(guó)進(jìn)出口商品檢驗(yàn)總公司出具的商檢證書，有權(quán)要求更換或索賠。Inregardtoquality，theSellershallguaranteethatif，within12（twelve）fromthedateofarrivalofthegoodsatdestination，damagesoccurinthecourseofoperationbyreasonofinferiorqualityofmaterialorbadworkmanship，theBuyershallimmediatelynotifytheSellerinwritingandputforwardacertificateissuedbytheCCIC.Thecertificatesoissuedshallbeacceptedasthebaseoftheclaim.TheSeller，inaccordancewiththeBuyer‘sclaim，shallberesponsiblefortheimmediateeliminationofthedefects，completeorpartialreplacementofthecommodity，ordevaluatethecommodityaccordingtothestateofdefects.Wherenecessary，theBuyermayeliminatethedefectsthemselvesattheSeller’sexpenses.IftheSellerfailstoreplywithinonmonthafterreceiptoftheaforesaidclaim，theclaimshallbereckonedashavingbeenacceptedbytheSeller.賣方保證，貨物到達(dá)目的港12個(gè)月內(nèi)，如果使用過(guò)程中由于材料質(zhì)量低劣和工藝不佳而出現(xiàn)的損壞，買方立即以書面形式通知賣方并出具中國(guó)進(jìn)出口商品檢驗(yàn)總公司開(kāi)列的檢驗(yàn)證書，提出索賠。商檢證書為索賠的依據(jù)。按買方索賠要求，賣方有責(zé)任立即排除貨物的缺陷、全部或部分更換或根據(jù)缺陷情況將貨物作降價(jià)處理。15.ForceMajeure15、不可抗力TheSellershallnotbeheldresponsiblefordelayinshipmentornon-deliveryofthegoodsduetoForceMajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloading.TheSellershalladvisetheBuyeroftheoccurrencementionedabovewithin15（fifteen）daysandsendbyairmailacertificateoftheincidentissuedbythelocalgovernmenttotheBuyer.Eveninsuchcases，theSellerisstillliabletotakeallpossiblemeasurestoexpeditethedeliveryofgoods.在貨物制造和裝運(yùn)過(guò)程中，由于發(fā)生不可抗力事故致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方在不可抗力事件發(fā)生后，應(yīng)立即通知買方并在事發(fā)14天內(nèi)，將事故發(fā)生所在地*簽發(fā)的證書航空郵寄給買方以作證據(jù)。即使在此情況下，賣方仍有責(zé)任采取必要的措施，盡快交貨。ShouldtheSellerfailstoperformthecontractedobligations10（ten）weeksaftertheaforesaidincident，theBuyershallhavetherighttotreatthecontractasnullandvoid.不可抗力事故發(fā)生后超過(guò)10個(gè)星期而合同尚未履行完畢，買方有權(quán)撤銷合同。16.Latedeliveryandpenalty16、合同延期和罰款ShouldtheSellerfailtomakedeliverywithinthecontractedperiodforreasonsotherthanForceMajeurespecifiedinClause15hereof，theBuyermayacceptthepostponementonconditionthattheSelleragreestopayapenaltywhichshallbedeductedbythepayingbankfromtheagreedamountofpayment.Thepenalty，however，shallnotexceed5%（fivepercent）ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.55（zeropointfivepercent）foreverysevendays，odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellerfailstomakedeliverytenweekslaterthantheshipmentstipulatedinthecontract，theBuyershallhavetherighttocancelthecontract.TheSeller，inspiteofthecancellation，shal
