PAGEPAGE4三方合同TriangularContract本合同議于______年____月____日在______（地點(diǎn)）由有關(guān)三方在平等互利基礎(chǔ)上達(dá)成，按三方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系：Thiscontractismadeandenteredintobyandbetweenthethreepartiesconcernedon___________(Date)in________(Place)onthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollows:合同三方ThePartiesConcerned甲方：PartyA:地址:Add:2電話：Tel.:傳真：Fax.:乙方：PartyB:地址:Add:電話：Tel.:傳真：Fax.:丙方：PartyC:地址:Add:電話：Tel.:傳真：Fax.:委任Appointment甲方為乙方在某地建立XX產(chǎn)線提供相關(guān)的技術(shù)支持、文件支持。乙方承諾從甲方處以散件形式采購xx，甲方將XX以散件形式發(fā)給丙方，丙方收到后在某地按甲方或乙方的技術(shù)要求組裝成SKD形式產(chǎn)品發(fā)至乙方。PartyAprovidesrelevanttechnicalsupport,documentationsupportforPartyBtosetupaCKDXXproductproductionlineinplacename.PartyBshouldpurchaseXXproductfromPartyAinCKDformat.PartyAshouldsendtheXXproducttoPartyCinCKDformat.PartyCshouldassembleitaccordtoPartiesA&B’stechnicalrequirementsandsenditinSKDformattoPartyB.商品：XXCommodity:數(shù)量：每年至少4萬臺(tái)MinimumQuantityperyear:40,000pcs/year價(jià)格條款Priceconditions考慮到競(jìng)爭(zhēng)對(duì)手的價(jià)格，甲方必須保證給乙方最有競(jìng)爭(zhēng)力價(jià)格。每個(gè)產(chǎn)品的價(jià)格應(yīng)由甲乙雙方協(xié)商確定，甲方和乙方必須就每個(gè)季度的采購計(jì)劃達(dá)成一致，以避免價(jià)格波動(dòng)。每當(dāng)原材料成本總變動(dòng)變動(dòng)+/-3％時(shí)，所有產(chǎn)品的價(jià)格應(yīng)每季度協(xié)商一次。PartAmustguaranteethebestpricetothepartB,consideringtheCompetitors’prices.ThepriceforeachproductshallbefixedthroughnegotiationsbetweenPartyBandPartyA,thepartiesAandBmustagreeonapurchaseplanforeachquarterinordertoavoidpricesvariation.Pricesofallproductsshouldbenegotiatedeveryquarterwheneverthetotalvariationofrawmaterialscostchange+/-3%.免費(fèi)易損配件比例Freeeasybrokensparepartsratio前三個(gè)訂單2%，第四個(gè)訂單開始1%。免費(fèi)易損配件清單參照附錄件1。生的所有費(fèi)用均由甲方承擔(dān)。除了隱藏缺陷和不合格情況外，交付的貨物在到貨時(shí)應(yīng)被視為可用。因此，最初被接受的材料后來都被證明是有缺陷的情況下，乙方有權(quán)發(fā)回，得到更換和換回對(duì)應(yīng)的貨款。ThedeliveredGoodsshallbesubjecttoqualitativecontrol.Incasethedeliveredgoodsdonotmeettheapprovedrequirementsorarerejectedduetoqualityreasons,qualityreasonsareidentifiedbybothPartyAandPartyBwithreferencetothegoodsqualitystandardspreviouslyconfirmedbybothparties.Iftheyareidentifiedasunqualified,PartyBmaychoosetoreplacethegoodsorreturnthegoodstothePartyA.Allcostsincurredinreplacingdefectivegoods(includingtransportationandcustomsfees)shallbebornebyPartyA.ThedeliveredGoodsshallbeconsideredusableatthearrivalexceptforthecasesofhiddendefectsandnon-conformity.Therefore,PartyBshallhavetherighttodispatchback,obtainingthereplacementorthecreditingofmoney.如果質(zhì)量與乙方批準(zhǔn)的樣品和乙方圖紙中所示的商品規(guī)格有任何偏差（甲方公差允許范圍內(nèi)的貨物除外），乙方和丙方有權(quán)拒絕交付的貨物.IncasethereisanydeviationbetweenthequalityandtheproductspecificationsshowninPartyB'sdrawingsandtheproductspecificationsshowninPartyB'sdrawings(exceptforgoodswithinthepartyA'stolerancerange),PartyBandPartyChastherighttorejectthedeliveredgoods.合同的終止Termination在本合同有效期內(nèi)，如果一方被發(fā)現(xiàn)違背合同條款，另一方有權(quán)終止合同。在本合同有效期內(nèi)，如果一方要解除合同，一方想解散合同，應(yīng)至少提前3個(gè)月書面通知，以尊重所有確認(rèn)的采購計(jì)劃和已開具的訂單。Duringthevalidityofthiscontractifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethiscontract.Duringthevalidityperiodofthiscontract,ifonepartywantstodissolutionofthecontract,onepartywhowantstodissolutionofthecontractshallsubmitawrittennoticeatleast3monthsinadvanceaconditiontorespectalltheconfirmedpurchaseplanandopenedorders.不可抗力ForceMajeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或合同一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時(shí)不能全部或部分履行本合同，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty.

However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.爭(zhēng)議解決DisputeResolution因凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，三方應(yīng)首先嘗試友好協(xié)商解決。如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi)，爭(zhēng)議仍未得到解決，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。AnydisputearisingfromorinconnectionwiththiscontractshallfirstbeattemptedtoberesolvedthroughdiscussionsandconsultationsbetweenthePartiesingoodfaith.Ifthedisputeremainsunresolveduponexpirationof30daysafterwrittennoticehasbeensentbyonePartytotheotherParty,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenSub-Commissionforarbitration,whichshallbeconductedinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothParties.語言Language本合同以中英文書就，如中英文內(nèi)容存在不一致，以英文為準(zhǔn)。ThiscontractismadeinbothChinese.Intheeventofanydiscrepancybetweenthetwoversions,theEnglishversionshallprevail.管轄法律GoverningLaw本合同受中華人民共和國(guó)法律管轄并按中華人民共和國(guó)法律解釋。Thiscontractshallbegoverned,construedandinterpretedinaccordancewiththelawsofthePeople’sRepublicofChina.雙方于文首日期簽署本三方合同。ThepartieshaveexecutedthisTr
