CommissionAgreement-EnglishVersion

ThisCommissionAgreement("Agreement")isenteredintobetween[CompanyName],hereinafterreferredtoasthe"Principal,"and[AgentName],hereinafterreferredtoasthe"Agent,"collectivelyreferredtoasthe"Parties."

1.AppointmentandScopeofAgreement

1.1ThePrincipalherebyappointstheAgentasitsexclusiveagentforthesaleandmarketingof[Product/ServiceName]withintheterritoryagreeduponinScheduleAattachedhereto.

1.2TheAgentacceptstheappointmentandagreestodiligentlypromoteandmarketthePrincipal'sproducts/servicesinthedesignatedterritory.

2.Commission

2.1TheAgentwillbeentitledtoreceiveacommissiononallsalesgeneratedbytheireffortswithinthedesignatedterritory.

2.2ThecommissionpercentagewillbeasoutlinedinScheduleBattachedhereto.

2.3Thecommissionshallbecalculatedbasedonthenetsalespriceoftheproducts/services,excludinganytaxes,deductions,ordiscountsprovidedtothecustomers.

2.4ThePrincipalshallpaythecommissionwithin[numberofdays]daysfromtheendofeachcalendarmonth.

3.DutiesandObligations

3.1TheAgentwillusereasonableeffortstomarketandpromotethePrincipal'sproducts/services,includingattendingtradeshows,contactingpotentialcustomers,andprovidingnecessaryinformationtopotentialbuyers.

3.2TheAgentshallpromptlynotifythePrincipalofanyleads,inquiries,orsalesopportunitiesthatariseduringtheperformanceoftheirduties.

3.3TheAgentshallconductthemselvesprofessionallyandethicallyandcomplywithalllaws,regulations,andpoliciesapplicabletothesaleandmarketingofthePrincipal'sproducts/services.

4.ExclusiveAppointment

4.1TheAgentacknowledgesthattheirappointmentunderthisAgreementisexclusive,andtheyshallnotrepresentormarketanycompetingproducts/serviceswithouttheexpresswrittenconsentofthePrincipal.

4.2ThePrincipalagreestoprovidesufficientsupportandresourcestotheAgenttoensuresuccessfulpromotionandmarketingoftheproducts/services.

5.TermandTermination

5.1ThisAgreementshallcommenceon[startdate]andcontinueforaperiodof[durationoftheagreement]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

5.2EitherPartymayterminatethisAgreementwithwrittennoticeof[numberofdays]daystotheotherParty.

5.3Intheeventoftermination,theAgentshallbeentitledtoreceivetherespectivecommissionforanysalesmadeorgeneratedpriortotheeffectivedateoftermination.

6.Confidentiality

6.1BothPartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedduringthecourseofthisAgreement,includingbutnotlimitedtocustomerlists,pricinginformation,andtradesecrets.

6.2TheAgentshallreturnordestroyanyconfidentialinformationuponterminationofthisAgreement.

7.GoverningLawandJurisdiction

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

8.EntireAgreement

8.1ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesanyprioragreementsorunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

8.2AnymodificationsoramendmentstothisAgreementshallbeinwritinganddulysignedbybothParties.
