合同編號(hào)：ProjectNo.深圳萬(wàn)科第五園七期景觀工程設(shè)計(jì)合同ShenzhenTangyueLargephaseIIprojectLandscapeDesignServiceAgreement項(xiàng)目名稱(chēng)：深圳萬(wàn)科第五園七期項(xiàng)目建設(shè)地點(diǎn)：中國(guó)深圳設(shè)計(jì)內(nèi)容：景觀設(shè)計(jì)合同委托方(甲方)：深圳市萬(wàn)科南城房地產(chǎn)有限公司承接方(乙方)：KarlPrincicDesign/IntaranDesignInc簽訂日期：2010年8月ProjectName：VANKETANGYUESHENZHENProjectLocation：SHENZHENCHINADesignContent：LANDSCAPEDESIGNSERVICEPartyA：SHENZHENVANKEXINGYEREALESTATECO.LTD.,PartyB：KarlPrincicDesign/IntaranDesignIncExecutionDate:Mar.2010目錄CATALOGUE合同依據(jù)項(xiàng)目概況設(shè)計(jì)依據(jù)設(shè)計(jì)范圍雙方權(quán)利義務(wù)費(fèi)用、付款及設(shè)計(jì)成果違約責(zé)任合同生效、終止及結(jié)束一般條款BasesoftheAgreementGeneralDescriptionoftheProjectBasesoftheDesignScopeoftheDesignRightsandObligationsFees,PaymentandDeliveryofDocumentsLiabilityforBreachoftheAgreementExecutionandTerminationMiscellaneous1：合同依據(jù)合同與下列法律條款一致：《中華人民共和國(guó)合同法》、《中華人民共和國(guó)建筑法》《建設(shè)工程勘查設(shè)計(jì)市場(chǎng)管理規(guī)定》及其它有關(guān)建筑工程勘察設(shè)計(jì)的管理法規(guī)和規(guī)章。相關(guān)建設(shè)工程審批文件。2：項(xiàng)目概況項(xiàng)目名稱(chēng)：深圳萬(wàn)科第五園七期項(xiàng)目地點(diǎn)：中國(guó)深圳建設(shè)規(guī)模：中國(guó)深圳萬(wàn)科第五園七期項(xiàng)目總占地面積68951㎡。3：設(shè)計(jì)依據(jù)合同所規(guī)定的內(nèi)容。甲方所提供的《景觀設(shè)計(jì)任務(wù)書(shū)》。甲方確認(rèn)的建筑底層平面圖、市政紅線(xiàn)圖及相關(guān)的基礎(chǔ)資料，如地勘報(bào)告、水文報(bào)告等。設(shè)計(jì)規(guī)范和規(guī)定應(yīng)按照中華人民共和國(guó)深圳市有關(guān)設(shè)計(jì)規(guī)范和設(shè)計(jì)規(guī)定。4：設(shè)計(jì)范圍設(shè)計(jì)內(nèi)容設(shè)計(jì)深度成果要求詳見(jiàn)附件《景觀設(shè)計(jì)任務(wù)書(shū)》5：雙方權(quán)利義務(wù)1:BasesoftheAgreementThisAgreementisenteredintoinaccordancewithofthefollowinglaws:“AgreementLawofPeople’sRepublicofChina”,“BuildingCodeofthePeople'sRepublicofChina””;“MarketAdministrationRegulationsforEngineeringConstructionProjectsandGeologicalSurveys”andotherrelevantlaws,codesandregulations;TheapproveddocumentsconcerningProjectconstruction.2:GeneralDescriptionProjectName:VANKESHENZHENTANGYUEProjectLocation:Dongguan,China.ProjectScope:TheTangYueLargephaseIIprojectislocatedinDongguan,Theprojecttotalpropertyareaof350000m2,landscapeareaof108605m2.3:BasesoftheDesignContentsstipulatedintheAgreement.Specificationsfortheschematicdesign,developmentdesignprovidedbyPartyA.Firstfloorplan,propertyline,masterplan,designsubareagraphicetc.provedbyPartyA.Requirements,InterpretationverificationofSZgovernmentandPeople’sRepublicofChina.4:DesignScopeDesignContentListofDocumentsSpecificationofDeliverablesRefertoDesignBrief5：RightsandObligations甲方權(quán)利義務(wù)甲方按本合同規(guī)定的內(nèi)容，向乙方提交景觀設(shè)計(jì)所必需的資料和文件作為乙方設(shè)計(jì)的依據(jù)，并對(duì)其完整性和正確性負(fù)責(zé)。甲方應(yīng)按本合同規(guī)定的金額和時(shí)間向乙方支付設(shè)計(jì)費(fèi)用。在設(shè)計(jì)過(guò)程中，如因甲方的需要，對(duì)已確認(rèn)的設(shè)計(jì)要求做出重大修改，而造成乙方增加額外開(kāi)支，費(fèi)用由甲方負(fù)責(zé)，具體費(fèi)用由甲乙雙方協(xié)商確定。在收到乙方提交的階段性設(shè)計(jì)文件后，甲方應(yīng)及時(shí)以書(shū)面形式確認(rèn)，明確的提出修改意見(jiàn)及完成時(shí)間。甲方指定陳愨為本項(xiàng)目甲方負(fù)責(zé)人；乙方指定KarlPrincic為本項(xiàng)目主要設(shè)計(jì)師，如果乙方更換本項(xiàng)目設(shè)計(jì)負(fù)責(zé)人或主要設(shè)計(jì)師，須提前一周書(shū)面以公文并法人簽字通知甲方，同時(shí)須征得甲方同意。甲方負(fù)責(zé)本合同中各方面與設(shè)計(jì)內(nèi)容相關(guān)的人員，在現(xiàn)場(chǎng)交流中的組織協(xié)調(diào)工作。甲方負(fù)責(zé)景觀設(shè)計(jì)各階段向政府部門(mén)進(jìn)行申報(bào)工作。甲方上級(jí)對(duì)設(shè)計(jì)文件不審批或本合同項(xiàng)目停緩建，甲方應(yīng)按乙方實(shí)際完成的工作量支付應(yīng)付的設(shè)計(jì)費(fèi)。RightsandObligationsofPartyAPartyAshallprovidenecessarydocumentsandinformationtoPartyBasPartyofthebasesoftheProjectdesignperformedbyPartyBandshallassumetheresponsibilityfortheirintegrityandexactness.PartyAshallpayPartyBfortheProjectdesigninaccordancewiththeAgreement.IfmaterialmodificationismadebyPartyBaccordingtotheorderofPartyA,whichcausesadditionalexpense,PartyAshallpayPartyBtheadditionalincurredfees.TheamountofsuchadditionalfeesshallbenegotiatedingoodfaithbybothParties.PartyAshallcheckandacceptthedesigndocumentsinwritingintimeafterreceipt.AndPartyAshallindicateitsrevisecommentsandtimerequirement.PartyAassignswayneasitsPrincipaloftheProject,andPartyBassignsKarlPrincicasitsPrincipaloftheprojectmaynotchangeitsPrincipalormainarchitectwithout7-daypriorwrittennotificationtoandwrittenapprovalofPartyA.PartyAwillarrangeforcommunicationbetweeneachdesignfirmofthePartiesandapplyforthecommissioningoftheProject.IftheparentcompanyofPartyArefusestoapprovethedesignortheProjectissuspended,PartyAshallpayPartyBbasedontheamountofthedesignworkperformedbyPartyBanddeliveredtoPartyAinaccordancewiththerelevantarticlesofthisAgreement.IfthescheduleoftheProjectisdelayedbecauseofPartyA,thedesignworkdeliverydateshallbepostponedaccordingly.若由于甲方的原因延誤設(shè)計(jì)工期，合同條款中相應(yīng)的出圖日期將向后順延。對(duì)于乙方為履行本合同向甲方提供的所有階段性和最終設(shè)計(jì)成果，及因履行本合同所產(chǎn)生的其他研究成果，雙方同意其所含有的一切知識(shí)產(chǎn)權(quán)含著作權(quán)、申請(qǐng)專(zhuān)利權(quán)和專(zhuān)利權(quán)等權(quán)利屬于甲方所有。成果提交甲方后，經(jīng)甲方書(shū)面同意，乙方可以發(fā)明人/作者的名義在學(xué)術(shù)研究領(lǐng)域發(fā)表、申報(bào)評(píng)獎(jiǎng)。甲方在征詢(xún)乙方同意后,可以自行或委托他人為任何方式之使用、修改和處分乙方提交的設(shè)計(jì)成果。未經(jīng)甲方事前書(shū)面許可，乙方不得對(duì)上述設(shè)計(jì)成果做任何復(fù)制、修改、轉(zhuǎn)讓、自行或提供給他人做任何方式的使用。乙方違反本條規(guī)定的，甲方有權(quán)單方解除本合同，乙方應(yīng)返還甲方所有設(shè)計(jì)費(fèi)并賠償甲方因此受到的損失。乙方權(quán)利義務(wù)乙方必須遵照中國(guó)及東莞市頒布的有關(guān)規(guī)范、規(guī)定及本合同約定內(nèi)容進(jìn)行設(shè)計(jì)，并應(yīng)使設(shè)計(jì)服從甲方對(duì)本項(xiàng)目景觀設(shè)計(jì)的總體構(gòu)思；在設(shè)計(jì)過(guò)程中必須加強(qiáng)與甲方的溝通和協(xié)調(diào)；乙方對(duì)本項(xiàng)目設(shè)計(jì)的適用性、正確性、經(jīng)濟(jì)合理性負(fù)責(zé)。Anyandallintellectualpropertyrights,theamplificationrightsofsuchintellectualproprietaryrightsandtheirderivativescreatedbyaPartyorbothPartiesinrelationtodesign,anduseofthedesignworkshallbethesoleandexclusivepropertyofPartyA.PartyBcanpublishorapplyforawardsasauthorinthestudyandresearchfieldswithpriorapprovalofPartyA.WiththeagreementofPartyB,PartyAhastherighttouse,allowotherstouse,modifyorallowotherstomodify,ortransferPartyB’sdesignworktoanythirdParty.PartyBshallnotcopy,modify,transfer,useorprovidethedesignworkprovidedtoPartyAtoanythirdPartytouseinanywaywithoutpriorwrittenapprovalofPartyA.IfPartyBbreachesthisarticle,PartyAhastherighttoterminatetheAgreement.UponterminationoftheAgreement,PartyBshallreturnallthefeespaidbyPartyAandreimburseanyandallcostsandlossescaused.RightsandObligationsofPartyBPartyBshallperformthedesigninaccordancewiththisAgreementandrelevantrulesandregulationsinDongGuangCityandassumeresponsibilityforthefeasibility,exactnessandrationalityoftheeconomyofthedesignworks.PartyBshalluseitsbestefforttomakethedesignworkinaccordancewithPartyA’sgenerallandscapeconcept.Toensureaccordancewiththespecifications,PartyBshallmakesufficientcommunicationwithPartyA.WithinoneweekofexecutingthisAgreement,PartyBshalldelivertoPartyAthedetailedplanofdesignservices,合同生效起一周內(nèi)，乙方應(yīng)向甲方提交詳細(xì)的設(shè)計(jì)計(jì)劃書(shū)，包括設(shè)計(jì)進(jìn)度、設(shè)計(jì)師及相關(guān)人員配備情況、設(shè)計(jì)人員簡(jiǎn)歷、設(shè)計(jì)總負(fù)責(zé)人、主辦人及聯(lián)系電話(huà)等，報(bào)甲方備案；乙方必須為本項(xiàng)目的設(shè)計(jì)配備經(jīng)驗(yàn)豐富且富于創(chuàng)新精神的設(shè)計(jì)師承擔(dān)設(shè)計(jì)工作。工程結(jié)束之前，乙方應(yīng)保證該項(xiàng)目主要設(shè)計(jì)人員的穩(wěn)定。在設(shè)計(jì)過(guò)程中，乙方有責(zé)任應(yīng)甲方要求就設(shè)計(jì)圖紙的進(jìn)度情況作闡釋交流，參與甲方組織的景觀方案匯報(bào)和施工圖紙的會(huì)審，以確保最終的設(shè)計(jì)效果，定期配合甲方確定有關(guān)景觀效果的主要材料。對(duì)設(shè)計(jì)過(guò)程中所需的設(shè)計(jì)資料或其他需甲方配合的事項(xiàng)應(yīng)及時(shí)通知甲方。若甲方因銷(xiāo)售或企劃等部門(mén)對(duì)外宣傳需要對(duì)設(shè)計(jì)作詮釋或邀請(qǐng)乙方參與討論時(shí)，則乙方有協(xié)助義務(wù)。對(duì)于設(shè)計(jì)過(guò)程中的各階段性設(shè)計(jì)或其他重要問(wèn)題，乙方均應(yīng)先送甲方審核后方可進(jìn)行下一步的設(shè)計(jì)，此類(lèi)問(wèn)題主要是指涉及總體布局和重要景觀要素的確認(rèn)和調(diào)整、涉及工程量和投資變化較大的調(diào)整等問(wèn)題。includingnotlimitedto,schedule,listofprincipalsoftheProject,mainarchitects,architects,andothernecessarypersonsinvolved;resumesofthosepersons,andcontacttelephonenumbers.PartyBshallassignprofessionalandexperiencedpersonswithhighlycreativitytoperformthedesignandshallnotchangethemduringperformanceoftheAgreement.PartyBshallcommunicatewithPartyAregardingPartyA’sschedulerequirements,attendlandscapeschemeconferencesormeetings,reviewtheconstructiondrawingstoinsuretheconsistencyofthefinaldesignwork,andperiodicallyassistPartyAinselectingmainlandscapedecorationsmaterials.PartyBshallnotifyPartyAinatimelyfashionforanyandallnecessaryassistanceneededfromPartyA.PartyBshallassistPartyAbyexplainingthedesignworkupontherequestoforasrequiredbyPartyA.WithoutpriorwrittenapprovalofPartyA,PartyBshallnotstartanyadditionaldesignworkphases,includingbutnotlimitedto,confirmationormodificationoftheProject’sgenerallayoutormainlandscapeelements,ormaterialadjustmentontheamountoftheconstructionorinvestment.Minorchangesorproblemswithcompleteddesignworkshallnotprecludebeginninganeworadditionaldesignphase.PartyBshallcorrectandamendanyandallerrorsoromissionsofthedesignworkatitsownexpense.IfPartyBredoesthedesignworkbecauseofitsownerrororomission,alladditionalfeesincurredshallbeassumedbyPartyB.Allcostsandlossescausedbydeliverydelayor乙方對(duì)設(shè)計(jì)文件出現(xiàn)的遺漏或錯(cuò)誤應(yīng)無(wú)條件修改或補(bǔ)充。若因乙方原因造成設(shè)計(jì)返工，所造成的費(fèi)用，由乙方自理；若由于乙方原因而使設(shè)計(jì)進(jìn)度有拖延或設(shè)計(jì)錯(cuò)誤，而使甲方蒙受經(jīng)濟(jì)、時(shí)間或質(zhì)量上的損失，則乙方應(yīng)給予甲方賠償，此損失賠償可在甲方向乙方的任何支付中扣留。成本控制乙方應(yīng)做到所有設(shè)計(jì)方案經(jīng)濟(jì)合理，如甲方認(rèn)為乙方在設(shè)計(jì)過(guò)程中存在經(jīng)濟(jì)性方面的問(wèn)題，乙方應(yīng)對(duì)景觀方案做出修改。聘請(qǐng)顧問(wèn)或協(xié)助部門(mén)乙方在必要時(shí)可聘請(qǐng)顧問(wèn)進(jìn)行設(shè)計(jì)指導(dǎo)工作，其費(fèi)用由乙方?jīng)Q定并在設(shè)計(jì)費(fèi)中分?jǐn)偦蛑Ц叮O(shè)計(jì)成果統(tǒng)一由乙方向甲方負(fù)責(zé)。未經(jīng)甲方書(shū)面許可，乙方不得轉(zhuǎn)委托。甲方因工作需要自行聘請(qǐng)或建議聘請(qǐng)的專(zhuān)業(yè)顧問(wèn)，其費(fèi)用由甲方?jīng)Q定并由甲方支付。乙方負(fù)責(zé)原定設(shè)計(jì)范圍內(nèi)的必要修改設(shè)計(jì)，包括調(diào)整設(shè)計(jì)及補(bǔ)充設(shè)計(jì)。在乙方執(zhí)行設(shè)errorsoromissionsinthedesignworkshallbereimbursedbyPartyBormaybedeductedfromanypaymentsdueandpayabletoPartyB.ControlofthecostsPartyBshalluseitsbesteffortstomakealldesignconceptsorschemeoftheeconomicallyrationale;otherwise,PartyBshallmodifythedesignatPartyA’srequest.AppointmentofcounselororrequestforassistancePartyBmayappointacounselortoassistintheProjectdesign.AnyreasonablefeescausedbysuchappointmentshallbepaidbyPartyAontheconditionthatPartyBshallremainliablefortheDesignaccordingtotheAgreement.WithoutpriorwrittenapprovalofPartyA,PartyBshallnotassignitsobligationstoanythirdParty.IfPartyAappointsacounseloronbenefitofitself,PartyAshallpayforsuchfees.PartyBshallmodifythedesignwithinthescopeofthisAgreement,includingbutnotlimitedto,modification,adjustmentandamendment.Ifthemodificationisminor,thefeesshallbeincludedinthefeesdescribedinArticle6;ifmaterialmodificationismadebecauseofPartyA,PartyAshallpayforsuchservicesprovidedbyPartyBandbothPartiesshallnegotiatetodeterminetheamountofextrafeespayable“M.“Materialmodification”meansthechangesinthedesignoradjustmentsofthelandscapingschemerequiringPartyBtospendfiveormoreadditionalworkingdays.“Confidentialinformation”shallmean(a)anyinformation,includingbutnotlimited計(jì)任務(wù)期間，甲方如有較小修改設(shè)計(jì)、變更設(shè)計(jì)，乙方將不另行收費(fèi)，甲方如有重大變更設(shè)計(jì)，甲、乙雙方應(yīng)立即簽訂補(bǔ)充協(xié)議，費(fèi)用另計(jì)，乙方應(yīng)及時(shí)安排變更設(shè)計(jì)，不得影響工程施工進(jìn)行。（注：重大變更設(shè)計(jì)是指設(shè)計(jì)范圍的修改和景觀方案的重大調(diào)整，并造成乙方五個(gè)工作日以上的工作量的）乙方了解在與甲方合作過(guò)程中所獲得或知悉的關(guān)于甲方的信息包括項(xiàng)目信息、技術(shù)圖紙、資料、經(jīng)營(yíng)信息、人力資源、本合同所涉及的設(shè)計(jì)/研究?jī)?nèi)容、設(shè)計(jì)/研究成果等等所有未公開(kāi)之信息為甲方的商業(yè)秘密，應(yīng)嚴(yán)守其秘密性。未經(jīng)甲方事先書(shū)面同意，乙方不得將乙方商業(yè)秘密或甲方提供給乙方的技術(shù)資料、圖紙等用于履行本合同之外的其他用途。乙方上述保密義務(wù)的期限，從乙方知悉該資料或信息之日起，直至公眾可通過(guò)合法途徑獲得、知悉相關(guān)資料、信息之日止。乙方應(yīng)保證其向甲方提交的成果（包括階段性和最終性成果）及乙方為實(shí)現(xiàn)該成果所使用的必要方法不侵犯第三人的合法權(quán)益。甲方因使用乙方提交的成果被第三人指控侵權(quán)、提出異議或權(quán)利主張的，乙方應(yīng)當(dāng)積極協(xié)助解決，并承擔(dān)由此給甲方造成的損失。同時(shí)，甲方有權(quán)選擇解除合同或不解除合同要求乙方提交符合合同要求的替代設(shè)計(jì)成果。乙方應(yīng)當(dāng)保證其提交的成果符合國(guó)家及地方現(xiàn)有法律、法規(guī)、規(guī)章政策及行業(yè)規(guī)范之要to,theinformationoftheProject,drawings,managementinformation,personnel,research,developmentcontentsanddesigninrelationtotheAgreement,disclosedtoorlearnedbyPartyBpursuanttothisAgreement.PartyBacknowledgesthatinthecourseoftheperformanceoftheAgreement,itmayobtainconfidentialinformationfromPartyA.PartyBwill,atalltimes,bothduringthetermofthisAgreementandatalltimesthereafter,keepinconfidenceandtrustallofthePartyA’sconfidentialinformationreceivedbyit.PartyBwillnotusetheconfidentialinformationotherthanasnecessarytoperformitsobligationsorexerciseitsrightsunderthisAgreement.PartyBwarrantsthatthedesignworkandthemethodsusedtofulfillthedesignworkdonotinfringeanythirdPartyintellectualpropertyrightorotherrightsofanythirdParty.Ifsuchinfringementoccurs,PartyAhastherighttoterminatetheAgreementorrequestPartyBtomakealternativedesign.Notwithstandingtheforegoing,PartyAhastherighttorequestPartyBtoreimbursePartyAanyandallcostsandlossescaused.PartyBwarrantsthatthedesignworksdeliveredbyPartyBdonotbreachanydemandsortargetsofthisAgreement,relevantlawsandregulations,orarchitecturetradition.Ifanysuchbreachoccurs,PartyBshallreimburseanyandallcostsandlossescaused.5.2.13IfPartyBrefusestocorrectanydefectofthedesignworks,PartyAhastherighttosuspendtherelevantpaymentuntilPartyBcorrectsthedefect.求、符合本合同目的。如果因不符合上述要求給甲方或其他第三人造成損失的，乙方應(yīng)予以賠償。5.2.13甲方收到乙方提交的全部設(shè)計(jì)圖紙資料后，如發(fā)現(xiàn)乙方違背合同規(guī)定的責(zé)任和義務(wù)時(shí)，乙方又不修改圖紙，甲方則可暫不支付本合同規(guī)定的應(yīng)付乙方的相應(yīng)金額。.6：費(fèi)用、付款及設(shè)計(jì)成果交付費(fèi)用：本工程費(fèi)用總計(jì)為美元貳拾肆萬(wàn)伍仟元整（$245000.00）.包括概念方案設(shè)計(jì)、方案深化設(shè)計(jì)、擴(kuò)初設(shè)計(jì)及施工圖審核及現(xiàn)場(chǎng)服務(wù)五階段。6.1.1此費(fèi)用包括項(xiàng)目進(jìn)行期間，乙方安排到深圳與甲方會(huì)晤或查看現(xiàn)場(chǎng)12次，每次2天的所有費(fèi)用。設(shè)計(jì)進(jìn)度、費(fèi)用和支付方式如下：設(shè)計(jì)費(fèi)用所引致的國(guó)內(nèi)稅項(xiàng)由甲方承擔(dān)。甲方支付設(shè)計(jì)費(fèi)前，乙方須按照設(shè)計(jì)進(jìn)度提交給甲方設(shè)計(jì)費(fèi)發(fā)票，甲方在收到發(fā)票并審核乙方交付設(shè)計(jì)成果和發(fā)票資料合格無(wú)誤后按照下列表格支付相應(yīng)的設(shè)計(jì)費(fèi)。.6:Fees,PaymentandDeliveryFeesThetotalfeefortheProjectis$255,000.00,whichincludesbutisnotlimitedtoconceptdesign,designdevelopment,constructiondocumentsreviewandconstructiveadministration.6.1.1Theservicefeeisinclusiveofamaximumoftwentytwo-daytripstoShenzhenorDongGuanginconnectionwiththisproject,includingairfares.6.2cheduleoftheDesignandPaymentAlltaxesanddutiestobepaidduetothisserviceshallbebornebyPartyA.PartyshallpayPartyBforitsservicesinaccordancewiththefollowingchartafterreceiptingoftherelevantinvoiceandacceptanceofthedesignwork.階段Phase時(shí)間節(jié)點(diǎn)TimeY-M-D階段付款算與費(fèi)用總計(jì)Fees/Payment付款時(shí)間PayTime1啟動(dòng)金Mobilization合同簽訂Signaturesigned$25，000.00(美元，貳萬(wàn)伍仟元整)$25，000.00合同生效后25個(gè)工作日內(nèi)25work-daysaftersignaturesigned2總平面景觀概念方案設(shè)計(jì)完成LandscapeMasterPlanDesign2010-08-15$40，000.00(美元，肆萬(wàn)元整)$40，000.00總平面景觀概念方案設(shè)計(jì)完成并獲甲方認(rèn)可后的25個(gè)工作日內(nèi)25work-daysafterMasterPlanDesign’swrittennotification.3示范區(qū)方案深化設(shè)計(jì)完成ShowingareaConceptualDesign2010-09-10$30，000.00(美元，叁萬(wàn)元整)$30，000.00示范區(qū)方案深化設(shè)計(jì)完成并獲甲方認(rèn)可后的25個(gè)工作日內(nèi)25work-daysafterShowingareaConceptualDesign’swrittennotification.4示范區(qū)擴(kuò)初設(shè)計(jì)完成ShowingareaDesignDevelopment2010-09-20$30，000.00(美元，叁萬(wàn)元整)$30，000.00示范區(qū)擴(kuò)初設(shè)計(jì)完成并獲甲方認(rèn)可后的25個(gè)工作日內(nèi)25work-daysafterShowingareaDesignDevelopment’swrittennotification.5非示范區(qū)方案深化設(shè)計(jì)完成Non-showingareaConceptualDesign2010-10-05$45，000.00(美元，肆萬(wàn)伍仟元整)$45，000.00非示范區(qū)方案深化設(shè)計(jì)完成并獲甲方認(rèn)可后的25個(gè)工作日內(nèi)25work-daysafterNon-Showingarea’sConceptualDesignwrittennotification.6非示范區(qū)擴(kuò)初設(shè)計(jì)完成Non-showingareaDesignDevelopment2010-10-20$50，000.00(美元，伍萬(wàn)元整)$50，000.00非示范區(qū)擴(kuò)初設(shè)計(jì)完成并獲甲方認(rèn)可后的25個(gè)工作日內(nèi)25work-daysafterNon-ShowingareaDesignDevelopment’swrittennotification.7施工圖審查，示范區(qū)施工現(xiàn)場(chǎng)配合ConstructionAdministration不遲于2013年12月Before2013/12$25，000.00(美元，貳萬(wàn)伍仟元整)$25，000.00施工完成后25個(gè)工作日內(nèi)25work-daysafterConstructionAdministration’swrittennotification.7：違約責(zé)任甲方因自身原因不能履行本合同，應(yīng)按照合同付清已完成階段設(shè)計(jì)任務(wù)對(duì)應(yīng)的設(shè)計(jì)費(fèi)，若日后工程仍再度進(jìn)行，甲方與乙方應(yīng)就尚未履行的原合同或新的服務(wù)范圍，協(xié)商新的收費(fèi)方式或重新簽訂合同。甲方上級(jí)對(duì)設(shè)計(jì)文件不審批或本合同項(xiàng)目停緩建，甲方應(yīng)按乙方實(shí)際完成的工作量支付應(yīng)付的設(shè)計(jì)費(fèi)。乙方按工作進(jìn)度分階段提交帳單/發(fā)票，甲方核審無(wú)誤后，按照本合同約定付款，如無(wú)正當(dāng)理由逾期付款達(dá)60天以上時(shí)，乙方有權(quán)暫停履行下階段工作，并書(shū)面通知甲方。乙方因自身原因無(wú)法履行合同或?qū)е录追桨凑蘸贤?guī)定解除合同者，應(yīng)支付合同總額的10%違約金，乙方已提交部分工作成果的，雙方則按照8.3.2條約定處理設(shè)計(jì)成果和設(shè)計(jì)費(fèi)；未提交工作成果的，乙方則應(yīng)返還甲方所有已付設(shè)計(jì)費(fèi)。由于乙方自身原因，延誤了按本合同規(guī)定的設(shè)計(jì)文件交付時(shí)間，超過(guò)三天的，則每延誤一天，應(yīng)減收該項(xiàng)目相應(yīng)階段應(yīng)收設(shè)計(jì)費(fèi)的0.3‰；但乙方不因?yàn)猷]政造成的延誤負(fù)責(zé)；延誤超過(guò)15天的，甲方有權(quán)解除本合同并要求乙方支付合同總金額的10%違約金。7：LiabilityforBreachIftheAgreementisterminatedbecauseofPartyA,PartyAshallpayPartyBfortheworkcompletedinaccordancewiththeamountofthework.IftheProjectisresumed,thePartiescanrenegotiatethefeesorsignanewAgreement.IftheProjectissuspendedortheparentcompanyofPartyArefusestoapprovetheProject,PartyAshallpayPartyBfortheworkcompleted.IfPartyAdelaysthepaymentduetoitsownfaultmorethan60days,PartyBhastherighttosuspenddesignworkwithawrittennotificationtoPartyA.IfPartyBfailstofulfillthisAgreementorthisAgreementisterminatedbyPartyAduetoPartyB’sdefault,PartyBshallpayPartyA10%ofthetotalfeesdescribedinarticle6ascompensationforbreachoftheAgreement.IfPartyBhasfinishedPartyofthedesignwork,thePartiesshallsettlethepaymentanddealwiththedesignworkinaccordancewitharticle8.3.2;ifPartyBdoesnotstartwork,PartyBshallreturntoPartyAallthefeespaidbyPartyA.IfPartyBisunabletosubmitthedesignworkonschedule,alatefeeequalto0.03percentofthefeesforrelevantphaseofthedesignwillincurforeachdayofthedelay.Ifsuchadelayisover15days,PartyAhastherighttoterminatetheAgreementimmediatelyandrequestPartyBpay10percentofthetotalfeesoftheAgreementascompensationforbreachoftheAgreement.IfthedesignworkfailstomeettherequirementsofPartyA,PartyBshallrevisethedesignworkwithintheperiodallowedbyPartyA.IfPartyBfailsto設(shè)計(jì)不符合甲方要求的，乙方應(yīng)當(dāng)按照甲方和合同約定的要求限期修改，修改兩次仍不能符合要求的，甲方有權(quán)單方解除本合同，并要求乙方按照第7.3條承擔(dān)違約責(zé)任。8：合同生效、終止與結(jié)束本合同需經(jīng)甲乙雙方簽字蓋章后生效；本合同生效日期以甲乙雙方中最后一方簽字（并蓋章）的日期為準(zhǔn)。若乙方發(fā)生下述情形之一，甲方有權(quán)終止本合同，而不承擔(dān)任何違約責(zé)任，同時(shí)甲方有權(quán)依照本合同相關(guān)規(guī)定和法律規(guī)定采取相應(yīng)救濟(jì)措施。乙方進(jìn)行破產(chǎn)或破產(chǎn)和解的程序。乙方有轉(zhuǎn)移資產(chǎn)、抽逃資金或其它喪失聲譽(yù)及履約能力之情形。乙方嚴(yán)重違反本合同規(guī)定義務(wù)，經(jīng)過(guò)甲方限期改正，而未改正者。法律法規(guī)或本合同其它規(guī)定甲方有解除權(quán)的。合同終止后果8.3.1本合同終止后，乙方應(yīng)當(dāng)于甲方指定期間內(nèi)返還甲方所有商業(yè)秘密資料、信息，不能返還的予以銷(xiāo)毀。providesatisfactorythedesignworkaftertwotriesattempts,PartyAhastherighttoterminatetheAgreementandPartyBshallassumetheliabilitystipulatedinarticle7.3.8：ExecutionandterminationThisAgreementwilltakeeffectuponsigningofthebothParties.ThedateoflastsignatureshallbetakenasthedateofeffectivenessoftheAgreement.WithoutprejudiceanyotherapplicableremediesunderthisAgreementandapplicablelaws,PartyAhastherighttoterminatethisAgreementwithoutanyliabilityfortheeventsasfollows:PartyB’sbecominginsolvent,filingapetitionforreliefunderanybankruptcy,insolvencyorsimilarlaw;PartyB’sdisplacingitsassetsorincapabilitytoperformtheAgreement;PartyB’sbreachofotherobligationsunderthisAgreement,andfailuretocurethebreachwithinthelimitedperiodofPartyA;or,otherconditionswherePartyAhastherighttoterminatetheAgreementasstipulatedintheAgreementandunderapplicablelawsResultsofTermination8.3.1UponterminationoftheAgreement,PartyBshallreturnordestroyalltheconfidentialinformationofPartyAheldbyPartyB.8.3.2IftheAgreementisterminatedduetoPartyB’sdefaultorthedesignworkhasbeenpaidforbyPartyA,PartyAhastheentireownershipandintellectualpropertyrightsofthedesignworksubmittedtoPartyA.9：MiscellaneousThePartiesguaranteethattheyhavefull因乙方原因?qū)е潞贤K止或合同終止前甲方已支付乙方相應(yīng)報(bào)酬的，合同的終止不影響甲方對(duì)合同終止前乙方提交的成果享有的知識(shí)產(chǎn)權(quán)。9：一般條款履行合同的能力：雙方保證各自有足夠的權(quán)力和能力履行本合同，滿(mǎn)足合同中的各項(xiàng)條件和兌現(xiàn)各項(xiàng)要求和費(fèi)用支付。.完整合同：本合同書(shū)和本合同補(bǔ)充協(xié)議應(yīng)視為甲方同乙方之間的完整合同。它取代以前所有的口頭或書(shū)面的談判、匯報(bào)或協(xié)議。若要修改，必須有雙方的書(shū)面同意。不可抗力導(dǎo)致的終止合同：如果不可抗力發(fā)生，如行政命令、政策法規(guī)、戰(zhàn)爭(zhēng)、自然災(zāi)害（如洪水或地震）或其他超出合同雙方控制的事件，因而一方無(wú)法履行合同，受到不可抗力影響的一方可以提前十五天書(shū)面通知對(duì)方終止合同，雙方互不承擔(dān)違約責(zé)任。powerandauthoritytoenterintothisAgreementandtocarryouttheirobligationsunderthisAgreement.EntireAgreement：ThisAgreementtogetherwithitsattachedexhibitsistheentireunderstandingbetweenthePartiesonthisProjectdesign,andmergesallpriordiscussions,negotiationsandagreementsbetweenthem,whetheroralorwritten,expressorimplied.NoalterationsormodificationsofthisAgreementshallbebindinguponeitherPartyunlessmadeinwritingandsignedbyanauthorizedrepresentativeofeach.Thenon-performanceordelayinperformancebyeitherParty,ofanyobligationundertheAgreementshallbeexcusedifandtotheextentthatsuchnon-performance,delayorresponsibilityiscausedbyaneventofForceMajeure.UpontheoccurrenceofanyeventofForceMajeure,thePartysufferingthereforeshallimmediatelygivetheotherPartywrittennoticethereofincludingastatementdescribingtheeventofForceMajeureanditseffectupontheperformanceoftheAgreement.ThesufferingPartycanterminatetheAgreementby15-daypriornotificationoftheotherPartyinwritingwithoutanyliability.TheForceMajeureincludesordersofthegovernment,policyandregulationsofPRC,war,andnaturaldisaster(suchasearthquakeandflood).IfPartyAterminatestheAgreementduetoForceMajeure,allworkcompletedbyPartyBanddeliveredtoPartyAshallbepaidforinaccordancewiththeAgreement.Uponsettlementoftherelevantfees,PartyAhastheownershipandintellectualpropertyrightsofthedesignwork.不可抗力時(shí)的設(shè)計(jì)費(fèi)用支付：不可抗力發(fā)生時(shí)，甲方?jīng)Q定終止合同，乙方在合同終止日為止所提供的一切服務(wù)都應(yīng)得到報(bào)酬。一旦應(yīng)付款已付清，乙方將提供甲方在合同終止日前完成的所有設(shè)計(jì)文件。通知：除本合同另有規(guī)定的外，通知以傳真、電子郵件、郵局掛號(hào)、快遞等方式。如通知以傳真或電子郵件方式，則以發(fā)傳真或電字郵件當(dāng)日為送達(dá)日；如通知以郵局掛號(hào)或快遞方式寄送的，則甲方收到日為送達(dá)日。糾紛解決：本合同在履行過(guò)程中發(fā)生糾紛，甲方與乙方應(yīng)協(xié)商解決。協(xié)商不成時(shí)，可向中國(guó)境內(nèi)甲方所在地有管轄權(quán)的人民法院提起訴訟，并遵守其根據(jù)中國(guó)法律所做出的裁決。本合同書(shū)雙方簽字后，表明雙方在指明的日期同意上述合同書(shū)條款。同時(shí)也表明雙方有完全和最終權(quán)威使各自代表的一方能完全遵守本合同所列條款。Notice：Unlessotherwiseprovidedherein,allnoticesorcommunicationstobemadeandrelatedtothisAgreementmustbesentbyfacsimile,mail,courier,ore-mail,whichtakeseffectwhendispatchedtotheaddresslistedbelowinthisAgreement.Notwithstandingtheforegoing,anynoticesorcommunicationssentbyexpresscouriershallbeeffectiveonthedatePartA’sreceiptofdispatch.ThisAgreementshallbeconstruedandgovernedbythelawofthePeople’sRepublicofChina.AnydisputesconcerningtheconstructionorinterpretationofthisAgreementoraParty’sperformanceofitsobligationshereunder,whicharenotresolvedthroughgoodfaithconsultationbetweentheParties,maythereafterbesubmittedbyeitherPartytothenon-exclusivejurisdictionoftheShenzhenDistrictCourts.UponsignatureofbothParties,thePartiesagreetobeboundbyallthearticlesoftheAgreementfromthedateofsignature.Furthermore,suchsignaturecanbedeemedasthateachPartyhasthefullpowerandauthoritytoperformthisAgreement.ThedocumentsprovidedbyPartyAinaccordancewiththeAgreementhavethesameeffectwiththeAgreement.IntheeventthatthereareconflictsbetweentheAgreementandthedocumentsabove,theAgreementshallprevail.Shouldanyotherissuesoccur,thetwosidesmayenterintoasupplementaryagreementwhichshallbelegallybinding.Intheeventthatthereisanyconflict本合同要求甲方提供的相關(guān)資料和文件與本合同一并使用，并與本合同具有同等法律效力，如兩者之間有不符之處，以本合同為準(zhǔn)。本合同未盡事宜，雙方可簽訂補(bǔ)充協(xié)議作為附件，補(bǔ)充協(xié)議與本合同具有同等法律效力。經(jīng)雙方協(xié)商簽訂的補(bǔ)充協(xié)議應(yīng)按順序編號(hào)，當(dāng)本合同與補(bǔ)充協(xié)議不一致時(shí)，應(yīng)按補(bǔ)充協(xié)議的最新約定執(zhí)行。合同一式四份，雙方各持二份，具有相同的法律效力。本合同中文版本與英文版本不一致的，以中文為準(zhǔn)。委托方（甲方）單位名稱(chēng):深圳市萬(wàn)科南城房地產(chǎn)開(kāi)發(fā)有限公司單位地址:深圳市福田區(qū)梅林路63號(hào)萬(wàn)科建筑研究中心
