SALESCOMMISSIONAGREEMENT

ThisSalesCommissionAgreement(the"Agreement")ismadeandenteredintoasofthe__________dayof__________,20__,byandbetween__________("Seller"),withitsprincipalplaceofbusinesslocatedat__________,and__________("CommissionAgent"),withitsprincipalplaceofbusinesslocatedat__________.

WHEREAS,SellerdesirestoengageCommissionAgenttopromoteandselltheproductsorservices(the"Products")ofSeller;and

WHEREAS,CommissionAgentagreestoprovidesuchservicestoSellerinconsiderationofthecommissionpaymentsasdetailedherein.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesagreeasfollows:

1.AppointmentofCommissionAgent

1.1.TheSellerherebyappointstheCommissionAgentasanon-exclusiveagenttosolicitordersfortheProductswithintheterritorydescribedinSection2below.

1.2.TheCommissionAgentshallnothavetheauthoritytobindtheSellerinanywayortomakeanycommitmentsonbehalfoftheSeller.

2.Territory

2.1.TheterritoryinwhichtheCommissionAgentisauthorizedtosolicitordersis__________.

3.Commission

3.1.TheCommissionAgentshallbeentitledtoreceiveacommission(the"Commission")onsalesoftheProductsmadeasaresultoftheCommissionAgent'sefforts.

3.2.TheCommissionshallbecalculatedas__________percent(%)ofthenetsalespriceoftheProducts.

4.PaymentofCommission

4.1.TheCommissionshallbepaidtotheCommissionAgentwithin__________daysafterthereceiptofpaymentfromthecustomerfortheProductssold.

5.1.TheCommissionAgentshalluseitsbesteffortstopromoteandselltheProductswithintheTerritory.

5.2.TheCommissionAgentshallcomplywithallapplicablelawsandregulationsintheperformanceofitsdutiesunderthisAgreement.

6.ObligationsoftheSeller

6.1.TheSellershallprovidetheCommissionAgentwithsuchinformationandsupportasmaybenecessaryfortheCommissionAgenttoperformitsobligationsunderthisAgreement.

6.2.TheSellershallsupplytheProductstothecustomersattheagreed-uponpricesandterms.

7.TermandTermination

7.1.ThisAgreementshallcommenceonthedatefirstabovewrittenandshallcontinueineffectuntilterminatedbyeitherpartyupon__________days'writtennotice.

7.2.EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticeiftheotherpartybreachesanymaterialtermofthisAgreement.

8.Confidentiality

8.1.TheCommissionAgentagreestokeepconfidentialallinformationregardingtheSeller'sbusiness,customers,andProducts,andshallnotdisclosesuchinformationtoanythirdpartywithouttheSeller'spriorwrittenconsent.

9.IndependentContractor

9.1.TheCommissionAgentisanindependentcontractorandisnotanemployee,partner,oragentoftheSellerforanypurpose.

10.GoverningLawandJurisdiction

10.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe__________.

11.EntireAgreement

11.1.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.

12.Amendment

12.1.ThisAgreementmaybeamendedonlyinwritingsignedbybothparties.

13.Notices

13.1.AllnoticesunderthisAgreementshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonallyorbyemailtotheaddressessetforthaboveortosuchotheraddressaseitherpartymaydesignateinwriting.
