othinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,oragencyrelationshipbetweenthem.23.WaiverThefailureofeitherpartytoenforceanyrightsunderthisAgreementshallnotbeconstruedasawaiverofsuchrights.24.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallremaininforce.25.Third-PartyBeneficiariesTherearenothird-partybeneficiariestothisAgreement.26.ExecutionandAcceptanceThisAgreementmaybeexecutedincounterpartsandshallbedeemedtobeacceptedwhenthelastpartysignsbelow.27.EffectiveDateThisAgreementshallbeeffectiveasofthedatefirstabovewritten.28.RepresentationsandWarrantiesoftheSellerTheSellerrepresentsandwarrantsthat:Ithasthefullright,power,andauthoritytoenterintothisAgreementandtogranttherightsandlicensesgrantedherein.TheexecutionandperformanceofthisAgreementdoesnotandwillnotviolateanyagreementtowhichtheSellerisapartyorbywhichitisbound.29.RepresentationsandWarrantiesoftheBuyerTheBuyerrepresentsandwarrantsthat:Ithasthefullright,power,andauthoritytoenterintothisAgreement.TheexecutionandperformanceofthisAgreementdoesnotandwillnotviolateanyagreementtowhichtheBuyerisapartyorbywhichitisbound.30.CovenantNottoSueTheBuyercovenantsnottosuetheSelleroranyofitsaffiliateswithrespecttoanymatterthattheBuyerhasrepresentedorwarrantedinthisAgreement.31.FurtherAssurancesEachpartyshallexecuteanddeliversuchfurtherdocuments,instruments,andassurancesasmaybereasonablynecessarytocarryouttheprovisionsandintentionsofthisAgreement.32.PublicityNeitherpartyshallissueanypressreleaseormakeanypublicannouncementwithrespecttothisAgreementorthetransactionscontemplatedherebywithoutthepriorwrittenconsentoftheotherparty.33.RelationshipofthePartiesTherelationshipbetweenthepartiesisthatofindependentcontractors.NothinginthisAgreementshallbe
