1.Introduction

Thiscontract(the"Contract")isenteredintobetween[ClientName](the"Client")and[ConsultantName](the"Consultant")on[Date].TheClientwishestoengagetheConsultanttoprovideconsultingservices(the"Services")inaccordancewiththetermsandconditionssetforthherein.

2.Services

TheConsultantagreestoprovidetheClientwiththefollowingServices:

3.Duration

ThetermofthisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththetermsofthisContract.

5.Confidentiality

6.Indemnification

TheConsultantagreestoindemnifyandholdharmlesstheClientagainstanyclaims,losses,damages,orexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheServicesunderthisContract,excepttotheextentcausedbytheClient'snegligenceorwillfulmisconduct.

7.Termination

EitherpartymayterminatethisContractatanytimeuponwrittennoticetotheotherparty,iftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticethereoffromtheotherparty.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheClientandtheConsultantwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
