創(chuàng)新創(chuàng)業(yè)基地二手房買賣模板合同編號(hào):__________Parties:Agreement:WHEREAS,theselleristhelegalownerofthefollowingdescribedproperty(hereinafterreferredtoasthe"Property");ANDWHEREAS,thebuyerdesirestopurchasethePropertyfromtheseller;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:Article1:DescriptionofProperty1.1ThePropertyshallbedescribedasfollows:(HereinsertadetaileddescriptionoftheProperty,includingbutnotlimitedtotheaddress,area,structure,andanyotherrelevantinformation.)Article2:PurchasePrice2.1Thepurchaseprice(hereinafterreferredtoasthe"PurchasePrice")forthePropertyshallbethesumofRMB_______(hereinafterreferredtoasthe"TotalPurchasePrice").2.2TheTotalPurchasePriceshallbepaidthebuyertothesellerinthemannerandaccordingtotheschedulesetforthinthisAgreement.Article3:PaymentTerms3.1ThebuyershallpayadownpaymentofRMB_______(hereinafterreferredtoasthe"DownPayment")tothesellerwithin_______daysaftertheexecutionofthisAgreement.3.2ThebalanceofthePurchasePrice(hereinafterreferredtoasthe"Balance")shallbepaidthebuyertothesellerontheClosingDate(asdefinedinArticle4).Article4:Closing4.1Theclosing(hereinafterreferredtoasthe"Closing")shalltakeplaceat_______on_______(hereinafterreferredtoasthe"ClosingDate").4.2AttheClosing,thebuyershallpaytheBalancetotheseller,andthesellershalldeliverthePropertytothebuyer,freeandclearofallliensandencumbrances.Article5:RepresentationsandWarranties5.1Thesellerrepresentsandwarrantsthathe/sheisthelegalownerofthePropertyandhastherighttoselltheProperty.5.2ThesellerrepresentsandwarrantsthatthePropertyisfreeandclearofallliensandencumbrances.5.3Thebuyerrepresentsandwarrantsthathe/shehastheabilitytopurchasethePropertyandthatthePurchasePricepaidhim/herishis/herownfunds.Article6:RiskofLossTheriskoflosswithrespecttothePropertyshallpasstothebuyerattheClosing.Article7:GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Article8:DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiations.Ifthenegotiationsfail,eitherpartymaybringalawsuitinthePeople'sCourthavingjurisdictionovertheplacewherethePropertyislocated.Article9:Miscellaneous9.1ThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.9.2ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.9.3ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:(Signature)(PrintName)PartyB:(Signature)(PrintName)一、附件列表:房產(chǎn)證土地使用權(quán)證房屋所有權(quán)轉(zhuǎn)移登記申請(qǐng)書(shū)買賣雙方身份證明買賣雙方婚姻狀況證明(如有)貸款合同及相關(guān)文件(如有)房屋評(píng)估報(bào)告房屋裝修報(bào)告其他與買賣相關(guān)的文件二、違約行為及認(rèn)定:1.賣方違約:未能按照約定時(shí)間交付房產(chǎn)房產(chǎn)存在重大瑕疵或不符合約定條件未能履行合同約定的義務(wù)2.買方違約:未能按照約定時(shí)間支付購(gòu)房款項(xiàng)買方提供的身份證明等材料不真實(shí)買方未能履行合同約定的義務(wù)三、法律名詞及解釋:1.創(chuàng)新創(chuàng)業(yè)基地:指的是為創(chuàng)新創(chuàng)業(yè)者提供辦公、科研、生產(chǎn)等條件的區(qū)域。2.二手房:指已經(jīng)發(fā)生過(guò)一次買賣的房產(chǎn)。3.買賣合同:指賣方將房產(chǎn)轉(zhuǎn)讓給買方,買方支付相應(yīng)價(jià)款的合同。4.交付:指賣方將房產(chǎn)的實(shí)際控制權(quán)轉(zhuǎn)移給買方。5.購(gòu)房款項(xiàng):指買方根據(jù)合同約定應(yīng)支付給賣方的金額。四、執(zhí)行中遇到的問(wèn)題及解決辦法:1.遇到房產(chǎn)糾紛:協(xié)商解決:雙方協(xié)商一致,達(dá)成和解。調(diào)解解決:可以向相關(guān)機(jī)構(gòu)申請(qǐng)調(diào)解,尋求第三方幫助解決。法律途徑:通過(guò)法院或仲裁機(jī)構(gòu)解決。2.遇到付款問(wèn)題:雙方應(yīng)明確付款方式和時(shí)間,確保資金安全。
