LoanAgreement

ThisLoanAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[Lender'sName],a[Lender'sEntityType]withitsprincipalplaceofbusinessat[Lender'sAddress](the"Lender"),and[Borrower'sName],a[Borrower'sEntityType]withitsprincipalplaceofbusinessat[Borrower'sAddress](the"Borrower").

WHEREAS,theLenderiswillingtolend,andtheBorroweriswillingtoborrow,thesumof[Amount](the"LoanAmount")onthetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantsandagreementscontainedinthisAgreement,thepartiesheretoagreeasfollows:

1.LoanAmountandInterest

TheLenderagreestolendtotheBorrower,andtheBorroweragreestoborrowfromtheLender,theprincipalamountof[Amount],atanannualinterestrateof[InterestRate]%(the"InterestRate"),whichinterestshallaccruedailyandbepayablemonthlyinarrearsonthelastdayofeachmonth,withthefirstinterestpaymentdueon[FirstInterestPaymentDate]andthefinalinterestpaymentdueontheMaturityDate.TheprincipalamountoftheLoanshallbedueandpayableinfullonthe[MaturityDate].

2.RepaymentoftheLoan

TheBorrowershallrepaytheLoanAmountinfullontheMaturityDate.TheBorrowermayprepaytheLoanAmountinwholeorinpartatanytimewithoutpenalty,providedthattheBorrowergivestheLenderatleast[PrepaymentNoticePeriod]days'priorwrittennoticeofsuchprepayment.

3.Security

TheBorrowerherebygrantstotheLenderasecurityinterestinallofitsassets,whethernowownedorhereafteracquired,tosecurethetimelypaymentandperformanceofalloftheBorrower'sobligationsunderthisAgreement.ThesecurityinterestgrantedhereundershallbegovernedbytheUniformCommercialCodeasenactedin[Jurisdiction].

4.CovenantsoftheBorrower

TheBorrowercovenantsandagreesthat,solongasanyamountisoutstandingunderthisAgreement,itwill:

(a)Maintainitslegalexistenceandgoodstandingunderthelawsof[Jurisdiction];

(b)Complywithallapplicablelaws,rules,andregulations,including,withoutlimitation,alltaxlawsandregulations;

(c)KeeptheLenderinformedofanymaterialadversechangeinthefinancialconditionoroperationsoftheBorrower;

(d)NotincuranyadditionalindebtednessorguaranteeanyobligationsofotherswithoutthepriorwrittenconsentoftheLender;and

(e)ProvidetheLenderwithfinancialstatementsandotherinformationastheLendermayreasonablyrequest.

5.EventsofDefault

An"EventofDefault"shalloccurif:

(a)TheBorrowerfailstomakeanypaymentofprincipalorinterestwhenduehereunder;

(b)TheBorrowerbreachesanycovenantoragreementcontainedinthisAgreementandsuchbreachisnotcuredwithin[CurePeriod]daysafterwrittennoticefromtheLender;

(c)TheBorrowerbecomesinsolventormakesageneralassignmentforthebenefitofcreditors;or

(d)AproceedingiscommencedbyoragainsttheBorrowerunderanybankruptcy,insolvency,orsimilarlaw.

6.RemediesUponDefault

UpontheoccurrenceofanEventofDefault,theLendermay,inadditiontoallotherrightsandremediesitmayhaveatlaworinequity,declareallamountsoutstandingunderthisAgreementtobeimmediatelydueandpayableandmayexerciseallrightsandremediesofasecuredpartyundertheUniformCommercialCode.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],withoutregardtoprinciplesofconflictsoflaws.

8.Attorneys'Fees

IntheeventofanyactionorproceedingtoenforceorinterpretthetermsofthisAgreement,theprevailingpartyshallbeentitledtorecoverfromtheotherpartyitsreasonableattorneys'feesandcourtcosts.

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesheretowithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiationsbetweentheparties.

10.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbythepartyagainstwhomenforcementissought.

11.SuccessorsandAssigns

ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.

Allnotices,requests,demands,andothercommunicationshereundershallbeinwrit
