5.INDEMNIFICATION

LicensoragreestoindemnifyandholdLicenseeharmlessagainstanyandallclaims,actions,demands,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwithanyinfringementorallegedinfringementofthepatentrightsofanythirdparty.

6.CONFIDENTIALITY

ThepartiesagreetomaintaintheconfidentialityofalltechnicalandbusinessinformationdisclosedbyeitherpartytotheotherinconnectionwiththisAgreement.Suchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

7.TERMINATION

ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyif:

a.TheotherpartybreachesanytermorconditionofthisAgreementandfailstocuresuchbreachwithinaperiodof_______daysafterreceiptofwrittennotice;

b.Theotherpartybecomesinsolventorbankruptcyproceedingsarecommencedagainstit.

8.ASSIGNMENT

9.EntireAgreement

6.LICENSEE'SINTERESTS

b.LicenseeshallhavetheopportunitytogeneratesubstantialrevenuefromtheuseofthePatentRightsthroughlicensing,sales,andothercommercialactivities.

7.LicENSOR'SLIMITATIONS
