oyment,theEmployeeshallbeendtoreceiveseverancepaycalculatedas[SeverancePayCalculation],providedthattheterminationisnotduetotheEmployee'smisconduct.10.DisciplinaryandGrievanceProcedures10.1DisciplinaryActionsTheEmployermaytakedisciplinaryactionagainsttheEmployee,uptoandincludingtermination,foranybreachofthisAgreementortheEmployer'spolicies.10.2GrievanceProcessTheEmployeeshallhavetherighttoraiseagrievanceconcerninganyaspectoftheiremployment.TheEmployershallhaveaformalgrievanceprocedureinplace,whichtheEmployeemustfollowtoresolvetheirconcerns.11.HealthandSafety11.1WorkplaceSafetyTheEmployershallprovideasafeworkingenvironmentandtakeallreasonableprecautionstopreventaccidentsandoccupationalillnesses.11.2HealthandWellbeingTheEmployershallpromotethehealthandwellbeingoftheEmployeethroughappropriatehealthandsafetymeasuresandprovidingaccesstomedicalfacilitiesandcounselingservices,asnecessary.12.IntellectualProperty12.1OwnershipofWorkProductsAllworkproductscreatedtheEmployeeduringthecourseofemploymentshallbethepropertyoftheEmployer,unlessotherwiseagreedinwriting.12.2InventionandConfidentialityTheEmployeeagreestoassignallrightstoanyinventionsmadeduringthecourseofemploymenttotheEmployer,andtomaintaintheconfidentialityofsuchinventionsandconfidentialinformation.13.GoverningLawandDisputeResolution13.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].13.2DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism,e.g.,mediation,arbitration,orlitigation].14.MiscellaneousProvisions14.1EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeeregardingthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal.14.2AmendmentsAnyamendmenttothisAgreementmustbeinwritingandsignedbothparties.14.3SignaturesThisAgreementshallbeexecutedintwocopies,eachpartyretainingoneoriginal.ThesignaturesoftheEmployerandtheEmployeebelowshallbebindinguponthem.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeetoprovideservices,advice,orassistanceinconnectionwiththeEmployee'semploymentortheEmployer'soperations.15.2TypesofThirdPartyInvolvementTheinvolvementofaThirdPartymayincludebutisnotlimitedto:a.RecruitmentAgenciesb.Consultantsc.TrainingProvidersd.LegalorFinancialAdvisorse.AnyotherserviceproviderasmutuallyagreedtheEmployerandtheEmployee.15.3ResponsibilitiesofThirdPartiesc.ThirdPartiesshallmaintainconfidentialityofanyinformationprovidedtheEmployerortheEmployee.15.4RightsofThirdPartiesa.ThirdPartiesshallhavetherighttoreceivepaymentfortheservicesprovided.b.ThirdPartiesshallhavetherighttoaccessanyinformationnecessarytoperformtheirduties.c.ThirdPartiesshallhavetherighttoenterintoagreementswiththeEmployerortheEmployeeasrequiredtocarryouttheirduties.15.5LiabilityofThirdPartiesTheliabilityofaThirdPartyforanyactoromissionshallbelimitedtothescopeofservicesprovidedundertheiragreementwiththeEmployerortheEmployee,andshallnotextendtotheobligationsoftheEmployerortheEmployeeunderthisAgreement.16.AdditionalTermsandConditionsforThirdPartyInvolvement16.1ThirdPartyAgreementTheEmployerortheEmployeeshallensurethatanyagreementwithaThirdPartyisinwritingandclearlyoutlinesthescopeofservices,responsibilities,andlimitationsofliability.16.2IndemnificationTheEmployerortheEmployeeshallindemnifytheotherpartyagainstanyclaimsorliabilitiesarisingoutoftheactsoromissionsoftheThirdParty,totheextentpermittedlaw.16.3CommunicationTheEmployerortheEmployeeshallkeeptheotherpartyinformedofanysignificantdevelopmentsorchangesregardingtheinvolvementofaThirdParty.17.ClarificationofThirdPartyResponsibilities17.1ThirdPartyLimitationofLiabilityTheEmployerortheEmployeeshallclearlydefinethelimitationsofliabilityofaThirdPartyintheiragreementwiththeThirdParty,ensuringthattheThirdParty'sliabilityislimitedtotheservicestheyprovideanddoesnotincludeanybreachesoftheEmployer'sortheEmployee'sobligationsunderthisAgreement.17.2ThirdPartyRoleTheroleoftheThirdPartyshallbeclearlydefinedtoavoidanyconfusionregardingtheirresponsibilitiesandthedivisionoflaborbetweentheEmployer,theEmployee,andtheThirdParty.17.3ThirdPartyPerformanceTheEmployerortheEmployeeshallhavetherighttomonitorandevaluatetheperformanceoftheThirdPartytoensurethattheymeettheagreeduponstandardsanddonotcauseanydisruptiontotheemploymentrelationship.18.TerminationofThirdPartyInvolvement18.1TerminationRights18.2TerminationConsequencesUponterminationofaThirdParty'sinvolvement,theEmployerortheEmployeeshallberesponsibleforanycostsordamagesarisingfromthetermination,unlessotherwiseagreedintheagreementwiththeThirdParty.18.3PostTerminationObligations第三部分:其他補(bǔ)充性說明和解釋說明一:附件列表:1.EmploymentOfferLetter詳細(xì)要求:包含職位、薪資、工作地點(diǎn)、生效日期等詳細(xì)信息。說明:此附件為雇主向雇員發(fā)出的正式錄用通知書。2.JobDescription詳細(xì)要求:詳細(xì)描述職位職
