4、SURANCE: To be covered by the buyer for 110% of invoice value covering risks with the Buyer as beneficiary.10. 合同單據(jù)： ( 1) 注明合同號(hào)，簽字正本發(fā)票 5份。(2) 裝箱單 3份。(3) 全套( 3/3 )已裝船海運(yùn)提單。( 4) 生產(chǎn)商提供質(zhì)量和產(chǎn)地的證書(shū)，文件為1份原件， 2份復(fù)印件。( 5) 由保險(xiǎn)公司出具的以買(mǎi)方為受益方，按發(fā)票金額110%投保一切險(xiǎn)的單據(jù) 2份，如在運(yùn)輸時(shí)發(fā)生問(wèn)題，由賣(mài)方向保險(xiǎn)公司提出賠償。DOCUMENTS:(1) Signed commercial

If the cargo is damaged in the period of shipment the buyers will claim against insurance company.11. 裝船通知：賣(mài)方在收到提貨單 4日內(nèi)轉(zhuǎn)交一份提貨單復(fù)印件給買(mǎi)方。SHIPPING ADVICE: The seller to forward a copy of the bill of Lading within 4 working days ofreceival.12. 質(zhì)量保證：

7、商品的制作質(zhì)量問(wèn)題由買(mǎi)方承擔(dān)責(zé)任。 GUARANTEE: The Buyer should take the responsibility for quality issues due to the manufacturing process.13. 人力不可抗拒：凡在制造或裝船運(yùn)輸過(guò)程中，因人力不可抗拒的事故，致使賣(mài)方推遲交貨或不能交貨時(shí)，賣(mài)方可不負(fù)責(zé) 任，但發(fā)生上述事故時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方，并在十四日內(nèi)，給買(mǎi)方航寄一份由主管政府當(dāng)局頒發(fā)的事故證明書(shū)。在此情 況下，賣(mài)方仍有責(zé)任采取一切必要措施加速交貨。如事故延續(xù)四周以上，買(mǎi)方有權(quán)撤銷(xiāo)合同。FORCE MAJEURE: The Seller

8、s shall not be responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit . The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen

9、 days thereafter the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, however, are still under the obligation to take all n

10、ecessary measures to hasten the delivery of the goods. In case the accident creates a delay of more than four weeks, the Buyer shall have the right to cancel the contract.14. 仲裁：凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決，如果協(xié)商不能解決，應(yīng)提交中 國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該會(huì)仲裁程序暫行規(guī)則進(jìn)行仲裁。 仲裁裁決是終局的， 對(duì)雙方都有約束 力。仲裁費(fèi)用由敗訴方承擔(dān)。AR

11、BITRATION: All disputes arising form the execution of or in connection with this Contract shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the Foreign Economic and Trade Arbitration Commission of the

12、 China Council for the promotion of International Trade, Beijing . The arbitration fee shall be borne by the losing party.15. 本合同正本一式兩份，買(mǎi)方執(zhí)一份，賣(mài)方執(zhí)一份。合同生效以簽字日為準(zhǔn)。本合同根據(jù)中國(guó)法律簽訂，以中文說(shuō)明為準(zhǔn)。The contract is made out in two originals. Each signatory party holds one original. The date of signature ofboth Partiesis the effect
