1、MEMORANDUM OF UNDERSTANDINGThis Memorandum of Understanding (“MOU”) is entered into on date by and between： (hereinafter referred to as Supplier),and (hereinafter referred to as Partner ),and (hereinafter referred to as Buyer). Supplier and Partner and Buyer are each hereinafter also referred to as

2、the “Party” and, collectively, as the “Parties”.DEFINITIONSWherever used in this MOU the following terms shall have the meanings set forth below:“Affiliates” means any legal entity which, at the time of disclosure to it of any Confidential information, is directly or indirectly controlling, controll

3、ed by or under common control with any of the Parties.“關(guān)聯(lián)公司”指：在向其透露任何保密信息是，直接或間接控制、被任何一方控制或被共同控制的任何法律實(shí)體“Confidential Information” means any information disclosed in any form whatsoever (including, but not limited to, disclosure made in writing, orally or in the form of samples, models, computer prog

4、rams or otherwise) by the Disclosing Party to the Receiving Party under this MOU, provided that (i) if such information is disclosed by the Disclosing Party in writing, it shall be marked as confidential at the time of disclosure, (ii) if such information is disclosed by the Disclosing Party orally,

5、 it shall be identified as confidential at the time disclosure, (iii) if disclosed in any other manner, it shall be designated in writing as confidential at the time of disclosure or (iv) notwithstanding subparagraphs (i), (ii) and (iii) of this definition, the nature of such information makes it ob

6、vious that it is confidential. However, the term Confidential Information shall not include any information disclosed by the Disclosing Party to the Receiving Party which a) is on the effective date, or thereafter becomes, publicly available otherwise than through an act or negligence of the Receivi

7、ng Party, b) is demonstrably developed at any time by the Receiving Party without use of Confidential Information, or c) is legitimately obtained at any time by the Receiving Party from a third party without restrictions in respect of disclosure or use.“保密信息”指根據(jù)本備忘錄，有披露方向接收方以任何形式披露的（包括但不限于以書(shū)面、口頭或已標(biāo)本

8、、模型、計(jì)算機(jī)程序或其他形式披露的）任何信息，如果：（i）披露方已書(shū)面方式披露該等信息，則改信息在披露時(shí)應(yīng)標(biāo)明其保密性；（ii）如果披露方以口頭方式披露該等信息，則該信息應(yīng)在被披露時(shí)確認(rèn)其保密性；（iii）如果改信息以其他方式披露，則在披露該信息時(shí)應(yīng)書(shū)面標(biāo)明其保密性；（iv）無(wú)論上述第（i）（ii）（iii）項(xiàng)的定義，該信息的性質(zhì)使其顯然未保密。但是，“保密信息”一詞不包括下列由披露方向接收方提供的信息：a）在生效日當(dāng)日或其后，該信息非因接受方的行為或疏忽而成為公共信息；b）任何時(shí)候，明顯是接受方未使用保密信息而開(kāi)發(fā)的任何信息；c）接受方從不受披露方或使用限制的第三方合法地獲得此信息?！癉is

9、closing Party” means the Party disclosing Confidential Information to the other Party under this MOU.“披露方”指根據(jù)本備忘錄而向另一方披露保密信息的一方?！癛eceiving Party” means the Party receiving Confidential Information from the other Party under this MOU.“接收方”指根據(jù)本備忘錄從另一方接受保密信息的一方。PURPOSE OF MOU The purpose with this MOU

10、is to confirm and summarize the initial discussions between the Parties and outline and agree upon the next steps to be taken. Parties undertake to conduct the future discussions etc. in good faith with the aim to progress and conclude the discussions as soon as possible and in accordance with agree

11、d upon times schedule. 本備忘錄的目的是確認(rèn)和總結(jié)三方之間所進(jìn)行的初步討論，并規(guī)劃和同意下一步所需采取的行動(dòng)方案。三方均保證以誠(chéng)信原則并按照三方一致同意的時(shí)間表進(jìn)行進(jìn)一步的討論，以求盡快推進(jìn)和結(jié)束討論。In the event of the Parties are unable to reach mutually satisfactory agreements for any reason, any Party may terminate the discussions without liability to other Parties. Should any Part

CONFIDENTIAL INFORMATION保密資料4.1 From time to time prior to and during the term of this MOU any Party (“Disclosing Party”) have disclosed or may disclose to other Party (“Receiving Party”) business, marketing, technical, scientific or other informa

18、tion which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgment, to be confidential (“Confidential Information”). The Receiving Party shall, during

23、ving Partys breach of this MOU; or并非由于受方違反本備忘錄而已尼或者在將來(lái)進(jìn)行公共領(lǐng)域；以及（c） was obtained by the Receiving Party from a third parties having no obligation of confidentiality with respect to such information.受方從對(duì)該信息無(wú)保密義務(wù)的第三方獲得。4.3 Upon the expiration or termination of this MOU, and in any event upon the Disclo

24、sing Partys request at any time, the Receiving Party shall (i) return to the Parties, or at the Disclosing Partys direction destroy, all materials (including any copies thereof) embodying other Parties Confidential information and (ii) certify in writing to the other Party, within ten days following

25、 other Parties Confidential Information and (ii) certify in writing to other Parties, within ten days following other Parties request, that all of such materials have been retuned or destroyed.本備忘錄期滿(mǎn)或終止后，或經(jīng)披露方隨時(shí)提出要求，受方應(yīng)（1）向?qū)Ψ綒w還（或經(jīng)對(duì)方要求銷(xiāo)毀）包含對(duì)方保密資料的所有材料（包括其復(fù)制件），并且（2）在對(duì)方提出此項(xiàng)要求后十（10）日內(nèi)向?qū)Ψ綍?shū)面保證已經(jīng)歸還或銷(xiāo)毀上述材料。

PUBLIC ANNOUNCEMENTS本備忘內(nèi)容保密No Party shall make any announcement or disclosure concerning the MOU without any Partys prior written consent except as may be reasonably required by law.除非按照法律規(guī)定有合理必要，未經(jīng)任意一方事先書(shū)面同意，任何一方不得就本備忘錄發(fā)表任何公開(kāi)聲明或進(jìn)行任何披露。6. INTELLECTUAL PROPERTY RIGHTS知識(shí)產(chǎn)權(quán)All intellectual property,

27、 including copyrights, patents, patent applications, trademarks and other intellectual property shall remain the property of the originating Party or its licensors. Each Party shall retain all rights, title and interest in its intellectual property and no Party grants other Parties any rights to use

28、 its intellectual property unless and until otherwise provided in a written agreement signed by the Parties.所有的知識(shí)產(chǎn)權(quán)，包括著作權(quán)，專(zhuān)利，專(zhuān)利申請(qǐng)，商標(biāo)和其他知識(shí)產(chǎn)權(quán)應(yīng)為發(fā)起方或其授權(quán)人的財(cái)產(chǎn)。每一方應(yīng)保留所有權(quán)利，所有權(quán)和知識(shí)產(chǎn)權(quán)，沒(méi)有一方可授予他人使用自己的知識(shí)產(chǎn)權(quán)，除非以書(shū)面協(xié)議，由三方簽署另有規(guī)定的。7. AMENDMENT OF MOU本備忘錄的修改The terms and conditions of this MOU shall be amended only by m

29、utual written consent between the Parties.對(duì)本備忘錄進(jìn)行修改，須三方共同書(shū)面同意方可進(jìn)行。8. ASSIGNABLITY OF MOU本備忘錄的轉(zhuǎn)讓Any Party may not assign this MOU to the other Party without the written consent of other Parties.未經(jīng)對(duì)方事先書(shū)面同意，任何一方不得轉(zhuǎn)讓本備忘錄。9. PARTY RESPONSIBLE FOR ITS OWN COSTS各方承擔(dān)各自費(fèi)用Except as may be provided under this

30、MOU, each Party is responsible for its own costs incurred in performing the activities contemplated by this MOU.除非本備忘錄另有明確約定，任何一方應(yīng)自行負(fù)擔(dān)其從事本備忘錄規(guī)定的活動(dòng)所發(fā)生的費(fèi)用。10. NO CONSEQUENTIAL DAMAGES不承擔(dān)間接損失No Party is liable for any indirect, special or consequential loss or damage or any loss or damage due to loss o

31、f goodwill or loss of revenue or profit arising in connection with this MOU.任何一方對(duì)與本備忘錄有關(guān)的任何間接或附帶損失或損害、商譽(yù)的損失或者損害或者收入或利潤(rùn)的損失不承擔(dān)責(zé)任。11. EFFECTIVENESS AND TERMINATION OF MOU本備忘錄的生效和終止This MOU shall come into force on signature by Parties and shall continue in effect until the earliest to occur of:本備忘錄經(jīng)三方簽

32、字生效，至下列日期終止（以最早者為準(zhǔn)）：（a） the replacement of this MOU with a Contract or further agreement;三方登記合同或進(jìn)一步的協(xié)議取代本備忘錄；（b） anytime without cause upon providing a one (1) month prior written notice of one Party to other Parties; or 任何一方無(wú)須提供任何理由，提前一個(gè)月書(shū)面通知另一方終止本備忘錄；或（c） ( ) days from the signing of this MOU.本備忘錄簽署60天后。Clauses4, 5, 8, 10, 11 and 12 shall survive the
