SHIPMENT： The Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipm

10、. and date of shipment etc. In case the buyer fails to arrange insurance in time due to the insufficient notice given by the seller, all losses resulting therefrom shall be borne by the seller.裝運(yùn)通知：賣方應(yīng)該在貨物裝船完畢后，以傳真/電報(bào)立刻通知買方合同號，貨物，數(shù)量，發(fā)票金額，毛重，船名及時(shí)間。若因賣方通知不及時(shí)致使買方不能及時(shí)投保，賣方承擔(dān)全部損失。13. GUARANTEE OF QUALITY

11、: The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract. The guarantee period shall be 12 months counting from the date of signing t

12、he Acceptance Report of this machine at the end-user's site.品質(zhì)保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。質(zhì)保期為最終用戶簽定驗(yàn)收報(bào)告后12個(gè)月內(nèi)。 14. CLAIMS: Within 90 days after the arrival of the goods at destination, should the quality, specification, or quantity be found in unconformity with the stipulat

13、ions of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. or the site inspection report iss

14、ued by the sellers engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.) shall be borne b

15、y the Sellers. As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediate

16、ly notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers' clai

17、m shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s), . If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim sh

18、all be reckoned as having been accepted by the Sellers. 索賠：貨物抵達(dá)目的地后90天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符(除過保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù))，買方應(yīng)該依據(jù)中華人民共和國出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用(包括商檢費(fèi)、替補(bǔ)件來回的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等)均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān)于此批貨物的驗(yàn)收報(bào)告后12個(gè)月內(nèi)；由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨附中國商檢局出具的

19、檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。 15. FORCE MAJEURE: The Sellers shall not be held responsible for the delay in shipment or non-delivery of he goods due to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, o

20、r other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within 10 days thereafter, the Sellers shall send by airmail to the Buy

21、ers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In cas

22、e the accident lasts for more than 3 weeks, the Buyers shall have the right to cancel the Contract.不可抗力：賣方不對以下延遲交貨和未交貨物負(fù)有責(zé)任，他們是由以下不可抗力原因造成：戰(zhàn)爭、嚴(yán)重火災(zāi)，洪水、地震或雙方同意的其他事件，賣方應(yīng)立刻通知買方上述事件的發(fā)生，并在10天內(nèi)空郵買方一份由相應(yīng)政府部門簽署的事件發(fā)生證明。在上述情況下，賣方仍有責(zé)任采取所有措施來加快貨物的交付工作。若上述事件持續(xù)超過3個(gè)星期，買方有權(quán)力取消上述合同。16. LATE DELIVERY AND PENALTY: Shou

23、ld the seller fail to make delivery on time as stipulated in the Contract, in exception of Force Majeure, the seller shall pay penalty at the rate of 0.5% per every seven days, which shall be deducted by the paying bank from the payment. The penalty, however, shall not exceed 5% of the total value o

24、f the goods involved in the late delivery. The odd days less than seven days should be counted as seven days. Provided that the seller does not make delivery ten weeks later than the time of shipment stipulated in the Contract, the buyer shall have the right to cancel the Contract and the seller, in

25、 spite of the cancellation, shall pay the aforesaid penalty to the buyer without delay.延期交貨和罰款：除不可抗力原因，賣方若不能按合同規(guī)定如期交貨，賣方按照每7天交納貨物總值的0.5%的罰款率交納罰金，由付款銀行從付款中扣除。但罰金總額不能超過貨物總值的5%。不足7天的天數(shù)應(yīng)以7天計(jì)算。賣方若在本合同規(guī)定的裝運(yùn)時(shí)間內(nèi)逾期10星期仍不能交貨，則買方有權(quán)取消合同。盡管合同已取消，但賣方仍應(yīng)如期支付上述罰金。17. ARBITRATION: All disputes in connection with this

26、 Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case shall be submitted for arbitration to China International Economic and Trade Arbitration Commission（CIETAC）, in Beijing, in accordance with its Rules of Arbitration. The

27、arbitration shall take place in Beijing and the decision of the Arbitration Committee shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party. Or th

Taxes and Duties: 稅賦：All taxes in connection with the execution of this contract le

30、The appendix of the Contract shall form an integral part of the Contract and have the same effectiveness as the Contract.
