4、firmed by both p arties in adva nee.二、服務(wù)費(fèi)總金額和支付方式Service fee and P ayme nt terms2.1本協(xié)議項(xiàng)下服務(wù)費(fèi)總金額為人民幣元，如無其他約定，該服務(wù)費(fèi)為最終費(fèi)用，費(fèi)用包括本協(xié)議所需一切人工費(fèi)、場地費(fèi)、交通差旅費(fèi)等，但不包含與本協(xié)議項(xiàng)下服The service fee for this Con tract is CNY務(wù)有關(guān)的所有稅費(fèi)（包括但不限于增值稅）。Yuan, in cludi ng but not limited to all the labor cost, site fee, transp ortati on a

8、the Con tract shall be p aid with inwork ing dates after receivi ng the in voice issued by P arty A.2.5如甲方遲延支付約定的費(fèi)用，則乙方有權(quán)順延項(xiàng)目期限直至甲方付清相應(yīng)的費(fèi)用。In case any p ayme nt delays by Party A, P arty B has the right to exte nt the p roject time limit un til all service fees are p aid off.三、市場調(diào)研項(xiàng)目的進(jìn)行 Executi on o

9、f Market Research P roject乙方同意在調(diào)研項(xiàng)目進(jìn)行過程中接3.1甲方有權(quán)對乙方為調(diào)研項(xiàng)目所做工作進(jìn)行監(jiān)督檢查,受甲方的監(jiān)督檢查，但甲方的監(jiān)督檢查不得影響乙方的正常調(diào)研作業(yè)。The P arties hereby con firm, that P arty A has the right to sup ervise and inspect the Agreeme ntProject what Party is doing. Nevertheless, such supervision or inspection could not affect anyParty A s

10、regular research operation.3.2如果乙方的調(diào)研作業(yè)需要甲方提供必要的資料和數(shù)據(jù)等，甲方應(yīng)及時(shí)提供，否則由此導(dǎo)致乙方延期開展工作的，由甲方承擔(dān)責(zé)任。Party A shall provide any necessary documents or data promptly to Party B if needed forcompieting the Agreement Project. Party A shall bear the liability for all consequences arisingtherefrom.四、市場調(diào)研項(xiàng)目的完成及驗(yàn)收Accompl

11、ishment and Acceptance of Market ResearchP roject4.1乙方應(yīng)根據(jù)本協(xié)議約定以書面報(bào)告或電子郵件形式按時(shí)向甲方提交市場調(diào)研成果。P arty B shall submit the Market Search result either by writte n report or email accord ing to theCon tract.4.2甲方應(yīng)在乙方向甲方發(fā)出市場調(diào)研成果后按本協(xié)議及其附件規(guī)定的標(biāo)準(zhǔn)對調(diào)研成果及時(shí)進(jìn)行驗(yàn)收，如發(fā)現(xiàn)存在不符合本協(xié)議及其附件規(guī)定的,應(yīng)書面通知乙方。乙方應(yīng)當(dāng)自收到甲方書面通知之日起個(gè)工作日內(nèi)答復(fù)甲方，或在十個(gè)

Party a shall carry out obligati ons in accorda nee with Clause 2.4.五、知識產(chǎn)權(quán)及保密條款I(lǐng)n tellectual Prop erty Rights and Con fide ntial Terms5.1乙方根據(jù)本協(xié)議或在本協(xié)議履行過程中專門為甲方或根據(jù)甲方提供的有關(guān)信息、資料1）乙方的商標(biāo)、標(biāo)識、版權(quán)而產(chǎn)生的市場調(diào)研成果，其知識產(chǎn)權(quán)歸甲方所有；但不包括（及其知識產(chǎn)權(quán)；（2 ）乙方的專有技術(shù)、研究技術(shù)、及享有所有權(quán)的研究方法。Party A shall own the in tellectual property rig

15、hts of the Market Research Result, which p roducedbased on this Con tract or achieved accord ing to the in formati on,materiel p rovided by Party A;Party B shall retain the exclusive intellectual property rights of the following: (1) Party B strademarks, logos, copyrights and other intellectual prop

16、erty nghts;(2) Party B sknow-how.tech no logies, prop rietary methodologies, and other research method which has own ersh ip on it.包括但不限于：（1）5.2 保密信息”是指協(xié)議一方享有的與知識產(chǎn)權(quán)及商業(yè)實(shí)踐有關(guān)的信息,商業(yè)計(jì)劃、財(cái)務(wù)信息、產(chǎn)品與服務(wù)費(fèi)用、供應(yīng)渠道、廣告及營銷計(jì)劃、客戶名單、定價(jià)方式、項(xiàng)目及商業(yè)計(jì)劃書、人員及商業(yè)網(wǎng)絡(luò)信息；及（2）與調(diào)研方法、步驟、專有技術(shù)、具體情況等有關(guān)的信息；（3）調(diào)研成果、數(shù)據(jù)。Confidential Informations

17、hall mean the information relating to the intellectual property and bus in ess p ractices of either part, in cludi ng but not limited to: (1) bus in ess plans, financial in formatio n, p roducts, services, costs, sources of supply, strategic, advertis ing and marketi ng plans, customer lists, pricin

18、g methods, p roject and commercial propo sals, personn el, and bus in ess relationships; (2) information relating to research and development, methodologies, processes, kno w-how, sp ecificati on s;(3) Research result and data.另外，雙方均同意不披露本協(xié)議的相關(guān)內(nèi)容、項(xiàng)目建議書、調(diào)研對象及工作往來郵件的內(nèi)容給本協(xié)議雙方之外的第三方。In ter alia, the p a

19、rties hereby agree not to disclose any content of this Con tract, p roject propo sal, research object ion and e-maili ng back and forth for the p roject here un der, to any thirdp arty.5.3接受保密信息的一方不得從事以下行為:（1）非為履行本協(xié)議項(xiàng)下義務(wù)的需要而使用保密信息；（2）向任何第三方透露該保密信息，除非是向信息接收方的雇員為履行本協(xié)議義務(wù)的必要而做的披露且必須事先告知并得到其同意受此處保密義務(wù)的約束。

20、Neither party receivi ng con fide ntial in formati on from the other party shall: (1)use con fide ntial in formatio n for any purpose other tha n to fulfill its obligatio ns un der this Con tract; (2) disclose such con fide ntial in formatio n to any third p arty, exce pt for those of the empio yees

21、 of the receivi ng party with a need to know the information in order to perform their obligations hereunder and p rovided that they are made aware of and agree to be bound by the obligatio ns of con fide ntiality contained here in.5.4保密義務(wù)不適用于以下幾種信息情況:（1）信息在收到或發(fā)出時(shí)已經(jīng)處于公共領(lǐng)域或且并非從信息披露之后被公眾廣泛獲知；（2）信息接收方在

22、收到信息時(shí)已經(jīng)擁有了該信息,方直接或間接的獲得的；（3）從第三方獲得或正當(dāng)接收，且信息披露方?jīng)]有對信息接收方設(shè)置任何保密限制的信息；（4）信息接收方在未違背協(xié)議的情況下獨(dú)立研發(fā)而得到的信息;或（5）依照法院或政府機(jī)構(gòu)命令或所適用法律、法規(guī)的要求而透露的信息。The obligati on of con fide ntiality, however, shall not apply to in formatio n which: (1) at the time of receipt or dissem in ati on, or thereafter becomes gen erally ava

23、ilable to the p ublic; (2) the receivi ng party possessed at the time of receipt thereof from the disclosing party, and was not acquired directly or in directly from the disclos ing p arty; (3) is acquired or rightfully received by the receiv ing party from a third p arty and without con fide ntial

24、limitati on on the receiv ing p arty; (4) is independen tly deve loped by the receiv ing party without breach of this Con tract; (5) is required to be disclosed pursuant to court order, government orders, applicable laws or regulations requireme nt5.5保密期限：在本協(xié)議有效期內(nèi)及屆滿后兩年內(nèi)，協(xié)議雙方仍負(fù)有保密義務(wù)。Con fide ntialit

25、y p eriod: with in two (2) years after the term in ati on of this Con tract, the p arties arestill bound to the duty of con fide ntiality.八、保證條款 Warranty6.1甲方應(yīng)遵守所適用的有關(guān)法律、法規(guī)和其他規(guī)范性文件的規(guī)定，不得要求乙方從事違反上述法律規(guī)范的市場調(diào)研服務(wù)。P arty A will com ply with all the app licable laws, regulati ons and other no rmative docum

26、e nts, and will not ask P arty B to p rovide any service might con stitute a breach to the forego ing laws and regulati ons.6.2乙方應(yīng)保證其已經(jīng)采取了一切必要的合理的關(guān)注，以確保提供給甲方的數(shù)據(jù)或其他資料的客觀、真實(shí)、有效；并且不得侵犯任何第三方的知識產(chǎn)權(quán)及其它權(quán)益；沒有違反國家法律和法規(guī)。P arty B has take n all n ecessary reas on able atte nti on in order to guara ntee that all

27、 the date or other information provided to Party A is objective, true and valid; will not violate the intellectual property rights or other rights of any third p arty; does not break app licable laws and regulati ons.七、違約責(zé)任與責(zé)任限額Breach and Liability7.1任何一方不履行本協(xié)議約定的義務(wù)或履行義務(wù)不符合本協(xié)議約定的，視為違約，應(yīng)停止違約行為，并承擔(dān)繼續(xù)履

28、行、采取補(bǔ)救措施或賠償損失等違約責(zé)任。Any Party does not perform the duty hereunder or performs its duty not consistent with thisCon tract, shall be deemed as breach. The breach ing p arty shall immediately cease the breach andbear the breach liability, including but not limited to, continue to perform duty, take reme

29、dialmeasures or compen sate for a loss.7.2甲方明確認(rèn)可及同意在任何時(shí)候，任何情況下，乙方或其董事、員工或代理均不對與市場調(diào)研成果有關(guān)的以下后果負(fù)責(zé)：（1）任何利潤或收入損失,購買替代產(chǎn)品或服務(wù)的成本,（2 ）任何類型的特殊、間接、偶發(fā)、懲罰性或間接損害，或者（3）任何超過（累計(jì)）本協(xié)議項(xiàng)下，甲方向乙方支付的全部費(fèi)用的損失。Party A exp ressly con firms and agrees that at any time, un der any situati on. Party B and its boardof directors, e

30、mpio yees or age nts will not be liable for the followi ng con seque nces aris ing fromthe market research result: (1) any lost p rofits or revenue, cost of p rocureme nt of substitute goodsor services; (2) sp ecial, in direct, in cide ntal, pun itive, or con seque ntial damages of any knidwhatsoeve

31、r; (3) for any direct damages in excess of (in the aggregate) the amounts p aid by Party Ato Party B.八、協(xié)議的變更和解除Modification and Termin ation8.1本協(xié)議生效后，除法律、法規(guī)和其他規(guī)范性文件另有規(guī)定或本協(xié)議另有約定外，未經(jīng)甲、乙雙方書面協(xié)商一致，任何一方不得自行變更、終止或解除本協(xié)議。After the effective of this Con tract, uni ess otherwise required by laws, regulati ons

32、and otherno rmative docume nts or agreed in writi ng by the n egotiat ing p arties, n either p arty can modify ortermi nate this Con tract.8.2 任何一方要變更、終止或解除本協(xié)議的，應(yīng)先向?qū)Ψ桨l(fā)出書面通知，然后進(jìn)行協(xié)商。Any P arty requires to modify or term in ate this Con tract shall n egotiate with the other party bysending a writte n n

33、o tice in adva nee.8.3甲方因自身原因要求變更或解除本協(xié)議約定的市場調(diào)研的，乙方應(yīng)允，但甲方應(yīng)于合理的時(shí)間內(nèi)提前通知乙方。 按照截止協(xié)議變更或解除之日乙方所已經(jīng)完成的工作比例,甲方應(yīng)當(dāng)按比例向乙方支付協(xié)議終止前完成工作的相應(yīng)費(fèi)用。如果甲方預(yù)付的款項(xiàng)超出應(yīng)付金額,乙方應(yīng)當(dāng)將多支付的部分退還給甲方。Parties hereby confirm that the Market Research here un der shall be modified or term in ated, in theevent of a request aris ing from Party A

Party A shall pay all the releva nt fees of thep roject which has bee n done un til the term in ati on of the Con tract accord ing to the comp leted p erce ntage of whole p roject. In case

35、 the prep aid amount excceds the p ayable amount. Party B shall retur n the extra part.九、爭議的解決 Dis pute Resolution9.1本協(xié)議適用中華人民共和國法律。所有涉及本協(xié)議的爭議，應(yīng)首先通過友好協(xié)商加以CIETAC ）。該會(huì)依解決。如協(xié)商不成，應(yīng)將該爭議提交至北京國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（據(jù)其現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。該仲裁裁決是終局的， 對雙方具有約束力，并可在任何有管轄權(quán)的法院或其他有權(quán)機(jī)構(gòu)強(qiáng)制執(zhí)行。This Con tract shall be gover ned by the laws of People Rep ublic of China. All the dis pu tes aris ing out of or relati ng to this Con tract shall be resolved through n egotiati on first.
