保密協(xié)議中英文版

1、保密協(xié)議ConfidentialityAgreement鑒口有限公司(下稱“甲方")與【】(下稱“乙方”)擬就【】(下稱“項目”)業(yè)務(wù)開展合作為保障甲乙雙方商業(yè)秘密不受侵害，雙方達成如下保密協(xié)議，以資共同遵守：Whereas【】Co.,Ltd(hereinafterreferredtoasPartyA")sconsideringcooperatingwith1(hereinafterreferredtoasPartyB")for1(hereinafterreferredtoastheProject").Therefore,thePartieshereby

2、enterintothisConfidentialAgreementasfollowsforthepurposeofsafeguardingthebusinesssecretoftheParties:一、定義Article1:Definition1、信息披露方：在本協(xié)議中是指保密信息的提供方；InformationDiscloser:Inthisagreement,itmeansthePartywhoprovideconfidentialinformationtotheotherParty.2、信息接受方：在本協(xié)議中是指保密信息的接收方。InformationReceiver:Inthisag

3、reement,itmeansthePartywhoreceiveconfidentialinformationfromtheotherParty.二、保密信息的組成Article 2 CompositionofConfidentialInformation本協(xié)議所稱保密信息是指由信息披露方提供給信息接受方的任何與信息披露方經(jīng)營業(yè)務(wù)或行為有關(guān)的、信息披露方尚未公開的信息，無論該信息采用何種形式提供給信息接受方，保密信息接受方或其工作人員均應(yīng)合理認(rèn)為其為保密信息。ConfidentialInformationreferredinthisAgreementmeansanyinformationpr

4、ovidedbyinformationdisclosertotheinformationreceiverwhichisrelatedtothebusinessoractivityoftheinformationdiscloseroranyinformationthathasnotbeenpublicizedbytheinformationdiscloser.Theinformationreceiverorthepersonneloftheinformationreceivershallreasonablydeemsuchinformationasconfidentialinformationd

5、isregardingtheforminwhichsuchinformationisprovidedtotheinformationreceiver.三、例外Article 3 Exception保密信息不包括以下內(nèi)容：ConfidentialInformationshallexcludethefollowinginformation:1、 在信息披露方將信息提供給信息接受方之前，信息接受方已知道的信息；Anyinformationwhichhasbeenknownbytheinformationreceiverpriortotheprovisionofsaidinformationbythe

6、informationdisclosertotheinformationreceiver;2、 信息接受方?jīng)]有違反本協(xié)議的情況下，已被公眾知曉或廣泛使用的信息；theinformationalreadyknownorusedbythepublicwithoutthereceiverbreachingthisAgreement;3、信息接受方從第三方處正當(dāng)獲得或接收到的不受保密限制的信息；theinformationnotlimitedbytheconfidentialityrequirementwhichthereceiverobtainsorreceiveslegallyfromthethi

7、rdparty4、沒有違背協(xié)議的情況下信息接受方獨立研發(fā)獲得的信息；theinformationthatthereceiverindependentlydevelopswithoutviolatingtheAgreement;四、保密義務(wù)Article 4 ConfidentialObligation:1. 雙方及其工作人員應(yīng)對上述所有保密信息進行嚴(yán)格保密；ThePartiesandthepersonnelofthePartiesshallkeeptheabove-mentionedinformationstrictlyconfidential;2. 信息接受方應(yīng)只允許那些有必要了解保密信息并

8、且被告知且同意遵守保密義務(wù)的職員和專業(yè)顧問獲得保密信息；TheinformationreceivershallonlyallowtheobtainingoftheConfidentialInformationbytheemployerandprofessionaladviserwhohasthenecessitytoknowtheConfidentialInformationandhasbeennotifiedandagreedtoabidebytheconfidentialobligation;3. 非經(jīng)披露方書面同意，信息接受方不能向任何第三方公開、復(fù)制、銷售、出租、出借、轉(zhuǎn)讓、傳播、泄露

9、或透露保密信息。信息接受方一旦發(fā)生丟失、被盜、燒毀等會引起保密信息泄露或銷毀的行為和事故，應(yīng)承擔(dān)全部責(zé)任；Unlesswiththewrittenconsentoftheinformationdiscloser,theinformationreceivercannotpublish,copy,sell,rent,transfer,promulgate,letout,discloseorrevealtheconfidentialinformation.Ifinformationreceiverencountersloss,theft,damageoranyactionoraccidentthat

10、maycausetheconfidentialinformationrevealedordamaged,theinformationreceivershalltakeallresponsibilities;4. 在本協(xié)議終止后，雙方仍需遵守本協(xié)議之保密條款，履行其所承諾的保密義務(wù)，直到信息披露方同意其解除此項義務(wù)，或事實上不會因信息接受方違反本協(xié)議的保密條款而給信息披露方造成任何形式的損害時為止。AfterthisAgreementterminates,thePartiesshallcontinuetoabidebytheconfidentialityarticlesofthisAgreeme

11、ntandshallperformtheconfidentialityobligationwhichthePartieshavepromised,untiltheinformationdiscloseragreestoreleasetheinformationreceiverfromsuchobligation,orinfactthedefaultoftheinformationreceiverwillnotbringanydamageinanyformtotheinformationdiscloser.五、公開要求Article 5 Requirementofpublication在司法或政

12、府部門指令、要求或命令信息接受方公開保密信息的情況下，信息接受方可以向上述部門披露保密信息。但是，在法律允許的情況下，信息接受方在披露保密信息前必須采取合理的措施通知信息披露方以便對該指令、要求或命令進行抗辯。Underthecircumstancesofjudicialorgovernmentalorgansinstruction,requirementororderwhichrequiresinformationreceivertorevealtheconfidentialinformation,informationreceivercandiscloseconfidentialinfor

13、mationtotheabovementionedorgans,however,informationreceivershalladoptreasonablemeasurestonotifytheinformationdisclosertotheextentasallowedbylawpriortothedisclosureoftheConfidentialInformationsothattheinformationdisclosercandefendsuchinstructions,requirementsororders.六、信息歸還與銷毀Article 6 ReturnandDestr

14、oyoftheInformation雙方同意，發(fā)生下列情形之一：1. 當(dāng)信息接受方不再需要保密信息用于該工作目的時；2. 雙方未能就本項目達成正式的合作協(xié)議時；3. 雙方就本項目簽訂的正式合作協(xié)議履行完畢；4. 任何時候收到信息披露方書面形式做出要求時；5. 信息披露方原有保密信息發(fā)生變更時；信息接受方應(yīng)立即將所有保密信息按信息披露方要求歸還給信息披露方，或予以銷毀所有信息。ThePartiesagree,underanyofthefollowingsituation,informationreceivershallimmediatelyreturnallconfidentialinforma

15、tiontotheinformationdiscloserinaccordancewiththerequirementsoftheinformationdiscloser,ordestroyallinformation:1. thattheinformationreceiverdoesntneedtheconfidentialinformationforwork;2. thatbothpartiesdonotreachcooperationagreementinrespecttotheProject;3. thattheagreementsignedbythepartiesinrespectt

16、otheProjecthavebeenfullyperformedandcompleted;4. thattheinformationreceiverreceivestherequirementsfrominformationdiscloserinwritingatanytime;5. Changesoccurringtotheoriginalconfidentialinformationoftheinformationdiscloser.七、違約責(zé)任和索賠Article 7 BreachingLiabilityandCompensation信息接受方違反本協(xié)議規(guī)定時，信息披露方有權(quán)要求信息接

17、受方限期進行糾正，并追究其違約責(zé)任，直至信息接受方完全改正錯誤，消除影響為止。如信息接受方的違約行為造成信息披露方損害的還應(yīng)另行賠償損失，賠償數(shù)額按信息披露方因信息接受方的違約所受到的損失或者信息接受方因違約所獲得的利益確定。IftheinformationreceiverbreachesthisAgreement,theinformationdisclosershallbeentitledtorequiretheinformationdisclosertorectifywithincertainperiodandtobeliableforsaidbreachuntiltheinformati

18、onreceiverhascompletelyrectifysuchbreachandhaseliminatedanyinfluence.Ifthebreachbytheinformationreceiverhasbroughtdamagestotheinformationdiscloser,theinformationreceivershallcompensatetheinformationdiscloser,compensationamountshallbedefinedinaccordancewiththelosssustainedbytheinformationdiscloserort

19、heprofitgainedbytheinformationreceiver.八、適用法律Article 8 ApplicableLaw本協(xié)議受中華人民共和國的法律管轄并且必須根據(jù)中華人民共和國的法律訂立。ThisAgreementisgovernedbyandmadeinaccordancewiththelawsofthePeoplesRepublicofChina.九、爭議管轄Article 9 DisputeResolution因履行本協(xié)議發(fā)生爭議，雙方應(yīng)當(dāng)友好協(xié)商解決，協(xié)商不成，任一方有權(quán)向甲方住所地有管轄權(quán)的人民法院提起訴訟。ThePartiesshallsettleanydispu

20、tearisingfromtheperformanceofthisAgreement,andanyPartyshallbeentitledtobringlawsuitagainsttheotherPartyinthecompetentcourtlocatedintheplacewherePartyBresidesprovidedthatsuchdisputecanbesettledthroughfriendlynegotiation.十、期限Article11Period本協(xié)議自雙方簽字蓋章之日起生效并長期有效。本協(xié)議一式二份，雙方各執(zhí)一份，具有同等法律效力。ThisAgreementshal

21、ltakeeffectsincethedatewhenthePartiessignorseal.ThisAgreementismadeinduplicatewitheachcopybeingofthesameeffectandeachPartyshallretainonecopy.十一、其他Article11Miscellaneous1 .本協(xié)議的簽署并不能視為雙方對達成正式合作協(xié)議的承諾，如雙方就本項目最終簽署正式的合作協(xié)議，本協(xié)議成為正式合作協(xié)議的組成部分與正式合作協(xié)議具有同等法律效力，本協(xié)議與正式合作協(xié)議約定不一致的以正式合作協(xié)議為準(zhǔn)；如雙方最終未能就本項目簽署正式的合作協(xié)議，雙方應(yīng)按照本協(xié)議第六條的約定履行義務(wù)，并對保密信息承擔(dān)永久的保密責(zé)任。NeitherthisAgreementnorthesupplyofanyinformationshallbedee
