1、IndefeasibleRighttoUseAgreement不可撤銷使用權(quán)協(xié)議-AnypartyresponsibleforprovidingmaintenanceoftheAAASystemhereundershallbereferredtohereinastheServiceProvider.ThePartyreceivingmaintenanceservicesfromtheServiceProviderhereundershallbereferredtohereinastheServiceRecipient.Allothercapitalizedtermsnototherwisede

2、finedhereinshallhavetheirrespectivemeaningsassetforthintheIRUAgreementofwhichthisExhibitformsapart.1. Maintenance.(a) ScheduledMaintenance.RoutinemaintenanceandrepairoftheAAASystemdescribedinthissection(ScheduledMaintenance)shallbeperformedbyorunderthedirectionofServiceProvider,atServiceProviderreas

3、onablediscretionoratServiceRecipientsrequest.ScheduledMaintenanceshallcommencewithrespecttoeachSegmentupontheeffectivedateofthegrantoftheIRUtherein,asprovidedintheIRUAgreement.ScheduledMaintenanceshallincludethefollowingactivities:(i) PatrolofAAASystemrouteonaregularlyscheduledbasis,whichwillbeweekl

4、yunlesshyrailaccessisnecessary,inwhichcase,itwillbequarterly;(ii)MaintenanceofaCall-Before-You-Digprogramandallrequiredandrelatedcablelocates;(iii) MaintenanceofsignpostsalongtheAAASystemright-of-waywiththenumberofthelocalCall-Before-You-Digorganizationandthe800numberforAAAsCall-Before-You-Digprogra

5、m;and(iv) AssignmentoffibermaintenancetechnicianstolocationsalongtherouteoftheAAASystematapproximatelyintervalsdependentuponterrainandaccessability.(b) UnscheduledMaintenance.Non-routinemaintenanceandrepairoftheAAASystemwhichisnotincludedasScheduledMaintenance(UnscheduledMaintenance),shallbeperforme

6、dbyorunderthedirectionofServiceProvider.UnscheduledMaintenanceshallcommencewithrespecttoeachSegmentupontheeffectivedateofthegrantoftheIRUtherein,asprovidedintheIRUAgreement.UnscheduledMaintenanceshallconsistof:(i) EmergencyUnscheduledMaintenanceinresponsetoanalarmidentificationbyServiceProviderOpera

7、tionsCenter,notificationbyServiceRecipientornotificationbyanythirdpartyofanyfailure,interruptionorimpairmentintheoperationoftheAAASystem,oranyeventimminentlylikelytocausethefailure,interruptionorimpairmentintheoperationoftheAAASystem.(j) )Non-EmergencyUnscheduledMaintenanceinresponsetoanypotentialse

8、rvice-affectingsituationtopreventanyfailure,interruptionorimpairmentintheoperationoftheAAASystem.ServiceRecipientshallimmediatelyreporttheneedforUnscheduledMaintenancetoServiceProviderinaccordancewithprocedurespromulgatedbyServiceProviderfromtimetotime.ServiceProviderwilllogthetimeofServiceRecipient

9、report,verifytheproblemanddispatchpersonnelimmediatelytotakecorrectiveaction.2. OperationsCenter.ServiceProvidershalloperateandmaintainanOperationsCenter(OC)staffedtwenty-four(24)hoursaday,seven(7)daysaweekbytrainedandqualifiedpersonnel.ServiceProvidermaintenancesemployeesshallbeavailablefordispatch

10、twenty-four(24)hoursaday,seven(7)daysaweek.ServiceProvidershallhaveitsfirstmaintenanceemployeeatthesiterequiringEmergencyUnscheduledMaintenanceactivitywithinafterthetimeServiceProviderbecomesawareofaneventrequiringEmergencyUnscheduledMaintenance,unlessdelayedbycircumstancesbeyondthereasonablecontrol

11、ofServiceProvider.ServiceProvidershallmaintainatoll-freetelephonenumbertocontactpersonnelattheOC.ServiceProviderOCpersonnelshalldispatchmaintenanceandrepairpersonnelalongthesystemtohandleandrepairproblemsdetectedintheAAASystem,(i)throughtheServiceRecipientremotesurveillanceequipmentanduponnotificati

12、onbyServiceRecipienttoServiceProvider,or(ii)uponnotificationbyathirdparty.3. CooperationandCoordination.(a) ServiceRecipientshallutilizeanOperationsEscalationList,asupdatedfromtimetotime,toreportandseekimmediateinitialredressofexceptionsnotedintheperformanceofServiceProviderinmeetingmaintenanceservi

13、ceobjectives.(b) ServiceRecipientwill,asnecessary,arrangeforunescortedaccessforServiceProvidertoallsitesoftheAAASystem,subjecttoapplicablecontractual,underlyingrealpropertyandotherthird-partylimitationsandrestrictions.(c) Inperformingitsserviceshereunder,ServiceProvidershalltakeworkmanlikecaretoprev

14、entimpairmenttothesignalcontinuityandperformanceoftheAAASystem.TheprecautionstobetakenbyServiceProvidershallincludenotificationstoServiceRecipient.Inaddition,ServiceProvidershallreasonablycooperatewithServiceRecipientinsharinginformationandanalyzingthedisturbancesregardingthecableand/orfibers.Inthee

15、ventthatanyScheduledorUnscheduledMaintenancehereunderrequiresatrafficrollorreconfigurationinvolvingcable,fiber,electronicequipment,orregenerationorotherfacilitiesoftheServiceRecipient,thenServiceRecipientshall,atServiceProvidersreasonablerequest,makesuchpersonnelofServiceRecipientavailableasmaybenec

16、essaryinordertoaccomplishsuchmaintenance,whichpersonnelshallcoordinateandcooperatewithServiceProviderinperformingsuchmaintenanceasrequiredofServiceProviderhereunder.(d) ServiceProvidershallnotifyServiceRecipientatleastten(10)businessdayspriortothedateinconnectionwithanyPSWPofanyScheduledMaintenancea

17、ndassoonaspossibleafterbecomingawareoftheneedforUnscheduledMaintenance.ServiceRecipientshallhavetherighttobepresentduringtheperformanceofanyScheduledMaintenanceorUnscheduledMaintenancesolongasthisrequirementdoesnotinterferewithServiceProviderabilitytoperformitsobligationsunderthisAgreement.Intheeven

18、tthatScheduledMaintenanceiscanceledordelayedforwhateverreasonaspreviouslynotified,ServiceProvidershallnotifyServiceRecipientatServiceProvidersearliestopportunity,andwillcomplywiththeprovisionsoftheprevioussentencetorescheduleanydelayedactivity.4. Facilities.(a) ServiceProvidershallmaintaintheAAASyst

19、eminamannerwhichwillpermitServiceRecipientuse,inaccordancewiththetermsandconditionsoftheIRUAgreement,oftheIRU,theUserFibersandtheAssociatedPropertyrequiredtobeprovidedunderthetermsoftheIRUAgreement.(b) ExcepttotheextentotherwiseexpresslyprovidedintheIRUAgreement,ServiceRecipientwillbesolelyresponsib

20、leforprovidingandpayingforanyandallmaintenanceofallelectronic,optronicandotherequipment,materialsandfacilitiesusedbyServiceRecipientinconnectionwiththeoperationoftheDarkFibers,noneofwhichisincludedinthemaintenanceservicestobeprovidedhereunder5. Cable/Fibers.(a)ServiceProvidershallperformappropriateS

21、cheduledMaintenanceontheCablecontainedintheAAASysteminaccordancewithServiceProvidertsencurrentpreventativemaintenanceproceduresasagreedtobyServiceRecipient,whichshallnotsubstantiallydeviatefromstandardindustrypractice.(b)ServiceProvidershallhavequalifiedrepresentativesonsiteanytimeServiceProviderhas

22、reasonableadvanceknowledgethatanotherpersonorentityisengaginginconstructionactivitiesorotherwisediggingwithinfive(5)feetoftheCable.(c)ServiceProvidershallmaintainsufficientcapabilitytoteleconferencewithServiceRecipientduringanEmergencyUnscheduledMaintenanceinordertoprovideregularcommunicationsduring

23、therepairprocess.WhencorrectingorrepairingCablediscontinuityordamage,includingbutnotlimitedtointheeventofEmergencyUnscheduledMaintenance,ServiceProvidershallusereasonableeffortstorepairtraffic-affectingdiscontinuitywithinaftertheServiceProvidermaintenanceemployeesarrivalattheproblemsite.Inordertoacc

24、omplishsuchobjective,itisacknowledgedthattherepairssoeffectedmaybetemporaryinnature.Insuchevent,withinaftercompletionofanysuchEmergencyUnscheduledMaintenance,ServiceProvidershallcommenceitsplanningforpermanentrepair,andthereafterpromptlyshallnotifyServiceRecipientofsuchplans,andshallimplementsuchper

25、manentrepairwithinanappropriatetimethereafter.Restorationofopenfibersonfiberstrandsnotimmediatelyrequiredforserviceshallbecompletedonamutuallyagreed-uponschedule.Ifthefiberisrequiredforimmediateservice,therepairshallbescheduledforthenextavailablePlannedServiceWorkPeriod(PSWP).(d)Inperformingrepairs,

26、ServiceProvidershallcomplywiththesplicingspecificationsassetforthinExhibitD.ServiceProvidershallprovidetoServiceRecipientanymodificationstothesespecificationsasmaybenecessaryorappropriateinanyparticularinstanceforServiceRecipientsapproval,whichapprovalshallnotbeunreasonablywithheld.(e)ServiceProvide

27、rrepresentativesthatareresponsibleforinitialrestorationofacutCableshallcarryontheirvehiclesthetypicallyappropriateequipmentthatwouldenableatemporarysplice,withtheobjectiveofrestoringoperatingcapabilityinaslittletimeaspossible.ServiceProvidershallmaintainandsupplyaninventoryofspareCableinstoragefacil

28、itiessuppliedandmaintainedbyServiceProvideratstrategiclocationstofacilitatetimelyrestoration.6. PlannedServiceWorkPeriod(PSWP).ScheduledMaintenancewhichisreasonablyexpectedtoproduceanysignaldiscontinuitymustbecoordinatedbetweentheparties.Generally,thisworkshouldbescheduledaftermidnightandbefore6:00a

29、.m.localtime.Majorsystemwork,suchasfiberrollsandhotcuts,willbescheduledforPSWPweekends.AcalendarshowingapprovedPSWPwillbeagreeduponinthelastquarterofeveryyearfortheyeartocome.Theintentistoavoidjeopardyworkonthefirstandlastweekendsofthemonthandhigh-trafficholidays.7. Restoration.(a)ServiceProvidersha

30、llrespondtoanyinterruptionofserviceorafailureoftheDarkFiberstooperateinaccordancewiththespecificationssetforthinExhibitD(inanyevent,anOutage)asquicklyaspossible(allowingfordelayscausedbycircumstancesbeyondthereasonablecontrolofServiceProvider)inaccordancewiththeproceduressetforthherein.(b) Whenresto

31、ringacutCableintheAAASystem,thepartiesagreetoworktogethertorestorealltrafficasquicklyaspossible.ServiceProvider,promptlyuponarrivingonthesiteofthecut,shalldeterminethecourseofactiontobetakentorestoretheCableandshallbeginrestorationefforts.ServiceProvidershallsplicefiberstubebytubeorribbonbyribbonorf

32、iberbundlebyfiberbundle,rotatingbetweentubesorribbonsoperatedbytheseparateInterestHolders(asdefinedinparagraph9(a),includingServiceRecipient,inaccordancewiththefollowingdescribedpriorityandrotationmechanics;providedthat,litfibersinallbuffertubesorribbonsorfiberbundlesshallhavepriorityoveranydarkfibe

33、rsinordertoallowtransmissionsystemstocomebackonline;andprovidedfurtherthat,ServiceProviderwillcontinuesuchrestorationeffortsuntilalllitfibersinallbuffertubesorribbonsaresplicedandalltrafficrestored.Ingeneral,priorityamongInterestHoldersaffectedbyacutshallbedeterminedonarotatingrestoration-by-restora

34、tionandSegment-by-Segmentbasis,toprovidefairandequitablerestorationprioritytoallInterestHolders,subjectonlytosuchrestorationprioritytowhichAAAiscontractuallyobligatedpriortothedateoftheAgreement.ServiceProvidershalluseallreasonableeffortstoimplementaAAASystem-widerotationmechanismonaSegment-by-Segme

35、ntbasissothattheinitialrotationorderoftheInterestHoldersineachSegmentisvaried(fromearliertolaterintheorder),suchthatasrestorationsoccur,eachInterestHolderhasapproximatelyequivalentrotationorderpositionsacrosstheAAASystem.AdditionalparticipantsintheAAASystemthatbecomeInterestHoldersafterthedatehereof

36、shallbeaddedtotherestorationrotationmechanism.(c) Thegoalofemergencyrestorationsplicingshallbetorestoreserviceasquicklyaspossible.Thismayrequiretheuseofsometypeofmechanicalsplice,suchasthe3MFiberLocktocompletethetemporaryrestoration.Permanentrestorationswilltakeplaceassoonaspossibleafterthetemporary

37、spliceiscomplete.8. Subcontracting.ServiceProvidermaysubcontractanyofthemaintenanceserviceshereunder;providedthatServiceProvidershallrequirethesubcontractor(s)toperforminaccordancewiththerequirementandproceduressetforthherein.TheuseofanysuchsubcontractorshallnotrelieveServiceProviderofanyofitsobliga

38、tionshereunder.9. FeesandCosts.(a) ScheduledMaintenanceFees.ThefeespayableforanyandallScheduledMaintenancehereundershallbedeterminedinaccordancewiththefollowingprovisions.DuringanytimeaftertheAcceptanceDateforanySegmentbutsubjecttoparagraph10below,AAAshallbetheServiceProviderandprovideScheduledMaint

39、enanceatacostnottoexceed$perroutemileperyear,subjecttotheCPIadjustmentdescribedbelow(theAAAFixedFee)andUnscheduledMaintenanceasprovidedinsubparagraph9below.TheScheduledMaintenancefeepayablebyServiceRecipientshallbeequaltoaproratashareofAAAsCostsbasedfirstuponthenumberofconduitssomaintainedbyAAAandin

40、cludedinsuchCostsandseconduponthenumberofInterestHolders(asdefinedinSection10.4oftheAgreement)intheportionoftheAAASystemsomaintainedbyAAAandincludedinsuchCosts;providedhowever,thetotalfeeshallinnoeventexceedtheamountoftheAAAFixedFeeasadjustedbytheCPI-UAdjustment.AquarterofthefirstsuchScheduledMainte

41、nancefeewithrespecttoeachSegmentwillbedueandpayablethirty(30)daysaftertheAcceptanceDatewithrespecttosuchSegment.Thereafter,onequarterofsuchfeeshallbeduequarterly.AllfeesshallbepaidbyServiceRecipientwithinthirty(30)daysofreceiptofinvoicetherefor.TheAAAFixedFee,ifapplicable,maybeadjustedannually,inAAA

42、sSolediscretion,beginningwiththefirstanniversarydateoftheexecutiondateofthisAgreement,forincreasesintheUnitedStatesBureauofLaborStatistics,CPI-UAllServicesIndex(unadjusted),asoriginallypublished.SaidadjustmentshallbehereinafterreferredtoasCPI-UAdjustment.Suchfee,asadjustedbytheCPI-UAdjustment,shallb

43、eequaltotheproductofthefeespecifiedhereinmultipliedbythefraction(i)whosenumeratoristheCPI-UAllServicesforMarchofthepreviouscalendaryearforwhichtheadjustmenttothefeeisbeingmade,and(ii)whosedenominatoristheCPI-UAllServicesforMarchoftheprecedingyear.Theadjustedfeeshallremainineffectuntilthenextannualfe

44、eisdue,whenanewadjustedfeefixedpursuanttothisprovisionshallbecomeeffective.Innoeventshalltheamountofthefeeasadjustedpursuanttothisprovisionbelessthantheamountoffeeineffectfortheimmediately-precedingyear.ThepartiesagreethattheIndexfor(M,Y)isdefinedas151.4.IntheeventthattheBureauofLaborStatistics(oran

45、ysuccessororganization)changesthecurrentbaseoftheCPI-Ufrom1982-84=100,thecalculationofafeeunderthisprovisionshallbeadjustedtoensurethatAAAreceivesthesameamountasitwouldhavehad,hadthebasenotbeenchanged.IntheeventtheBureauofLaborStatistics(oranysuccessororganization)nolongerpublishestheCPI-U,AAAmay,su

46、bjecttoServiceRecipientagreement(whichshallnotbeunreasonablywithheld),designatethestatisticalindexitdeemsmostappropriateforcollocationofadjustmentstoafeeand,fromthedatetheCPI-Uceasedtobepublished,suchindexshallbeusedtomakeadjustmentsinafeeunderthisprovision.(b) UnscheduledMaintenanceFees.Iftheaggreg

47、ateamountoftheCostsofUnscheduledMaintenancerequiredasaresultofanysingleeventormultiple,closely-relatedeventsislessthan,suchCostsshallbebornebyServiceProvider.ForanyotherUnscheduledMaintenance,theCoststhereofshallbeallocatedamongthevariousInterestHoldersintheconduit,cablean/orfibersaffectedtherebyasf

48、ollows:(i)CostsofUnscheduledMaintenancesolelytooraffectingaconduitorcablewhichhousesfibersofasingleInterestHoldershallbeborne100%bysuchInterestHolder;(ii)CostsofUnscheduledMaintenancetooraffectingaconduitwhichhousesmultipleinnerductconduits,notincludingsuchCostsattributabletotherepairorreplacementof

49、fibertherein,shallbeborneproportionatelybytheInterestHoldsineachoftheaffectedinnerductconduitsbasedontheratiothatsuchaffectedconduitbearstothetotalnumberofaffectedinnerductconduits,and(iii)CostsofUnscheduledMaintenanceattributabletotherepairorreplacementoffiber,includingtheacquisition,installation,i

50、nspection,testingandsplicingthereof,shallbeborneproportionatelybytheInterestHoldersintheaffectedfiber,basedontheratiothatthenumberofaffectedfiberssubjecttotheinterestofeachsuchInterestHolderbearstothetotalnumberofaffectedfibers.AllsuchCostswhichareallocatedtoServiceRecipientpursuanttotheforegoingpro

51、visionsshallbetheresponsibilityofandpaidbyServiceRecipientwithinthirty(30)daysafteritsreceiptfromServiceProviderofaninvoicetherefor.(c) Costs.Costsmeanstheactual,directcostspaidorpayableinaccordancewiththeestablishedaccountingproceduresgenerallyusedbyeachparty,asthecasemaybe,andwhichitutilizesinbillingthirdpartiesforreimbursableprojects,whichcostsshallinclude,withoutlimitation,thefollowing:(i)laborcosts,includingwagesandsalaries,andbenefitsandoverheadallocabletosuchlaborcosts(overheadallocationpercentageshallnotexceedthelesserof(x)theper
