9、量、合同號碼、船舶代理人、以電子郵件/傳真方式通知賣方。賣方聯系船舶代理人配合船期備貨裝船。如買方因故需要變更船只或更改船期時，買方或船舶代理人應及時通知賣方。Thebuyersshalladvisethesellerbyemail/fax,12daysbeforetheexpectedloadingdate,oftheestimatedlaydays,contractnumber,nameofvessel,quantitytobeloadedandshippingagent.Thesellersshallthenarrangewiththeshippingagentforloadingacc

10、ording.Incaseofnecessityforsubstitutionofvesseloralterationofshippingschedule,buyersortheshippingagentshalldulyadvisethesellerstothesameeffect.d) 買方所租船只按期到達裝運口岸后，如賣方不能按時備貨裝船，買方因而遭受的一切損失包括空艙費、延期費及/或罰款等由賣方負擔。如船只不能于代理人所確定的受載期內到達，在港口免費堆存期滿后第16天起發(fā)生的倉庫租費、保險費、由買方負擔，但賣方仍負有載貨船只到達裝運口岸立即將貨物裝船之義務并負擔費用及風險。前述各種損失

12、the16thdayafterexpirationofthefreestoragetimeattheportshallbebornebythebuyers.However,thesellersshallbestillundertheobligationtoloadthegoodsonboardthecarryingvesselimmediatelyafterthearrivalattheloadingport,attheirownexpensesandrisks.Theexpensesandlossesmentionedaboveshallbereimburseduponoriginalrec

13、eiptsorinvoices.(16)裝運通知：賣方在貨物裝船后，立即將合同號碼、品名、毛重、凈重、發(fā)票金額、載貨船名及裝船日期以電子郵件/傳真通知買方。Adviceofshipment:thesellersshall,uponcompletionofloadingadviseimmediatelythebuyersbyemail/faxofthecontractnumber,nameofcommodity,numberofpackages,grossandnetweight,invoicevalue,nameofvesselandloadingdate.(17)檢驗和索賠：貨卸運抵目的口岸

14、，買方有權申請中國商品檢驗局或其分支機構進行檢驗。如發(fā)現貨物的品質及/或數量/重量與合同或發(fā)票不符，除屬于保險公司或船公司的責任外，買方有權在貨物的目的口岸后90天內，根據中國商品檢驗局出具的證明書向賣方提出索賠，因索賠所發(fā)生的一切費用(包括檢驗費用)均由賣方承擔。FOB價格條件時，如重量短缺，買方有權同時索賠短重部分的運費。Inspectionandclaim:thebuyersshallhavetherighttoapplytothechinacommodityinspectionBureau(CCIB)forinspectionafterdischargeofthegoodatthepo

15、rtofdestination.Shouldthequalityand/orquantity/weightbefoundnotinconformitywiththecontractorinvoice,thebuyersshallbeentitledtolodgewiththesellersonthebasisofCCIBreport,within90daysafterdischargeofthegoodattheportofdestination,withtheexception.However,thoseclaimsforwhichtheshippingcompanyand/ortheins

16、urancecompanyaretobeheldresponsible.AllexpenseincurredontheclaimincludingtheinspectionfeeaspertheCCIBinspectioncertificatearetobebornebythesellers.IncaseofFOBterms,thebuyersshallalsobeentitledtoclaimfreightforshortweightifany.(18).不可抗力：由于人力不可抗拒事故，使賣方不能在合同規(guī)定的期限內交貨或不能交貨，賣方不負責任。但賣方必須立即以電子郵件/傳真通知買方，并以掛號

18、rceasevidencethereof.Iftheobtainingexportlicenseshallnotbeconsideredasforcemajeure.(19)延期交貨及罰款：除本合同第(18)條人力不可抗拒原因外，如賣方不能按期交貨。買方有權撤消該部分的合同，或經買方同意在賣方交納罰款的條件下延期交貨。罰款率為每10天按貨款總額的1%。不足10天按10天計算。罰款最多不能超過延期貨款總額的5%。DelayedDeliveryandpenalty:ShouldtheSellersfailtoeffectdeliveryontimeasstipulateinthisContract

20、aysshouldbecountedas10days.Thetotalpenaltyshallnotexceed5%ofthetotalvalueofthegoodsinvolved.(20)仲裁：一切因執(zhí)行本合同有關的爭執(zhí)，應友好協商解決。如經協商不能得到解決時，應提交北京中國國際經濟貿易仲裁委員會，按照中國國際經濟貿易仲裁委員會規(guī)則進行仲裁。仲裁委員會的裁決為終局裁決，對雙方均有約束力。仲裁費用除非仲裁委員會另有決定外，由敗訴方一方負擔。Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledbyfriendlynegotiation.Ifnosettlementcanbereached
