5、y trim “Trim”指適航平倉E.“Suitable Vessel” means vessel which is suitable for entering and leaving (when loaded) the discharging port always safely afloat. “適航船只”指在裝貨情況下適合駛?cè)肱c駛離卸貨港的可在海上安全航行的船。F. “CIQ” mean Entry-Exit Inspection & Quarantine of Peoples Republic of China. “CIQ”: 指中國出入境檢驗(yàn)檢疫局.G. “CCIC (Indone

6、sia) means CCIC Indonesia office. “CCIC(印度尼西亞)”: 是指CCIC在印度尼西亞的代表處.H. “Incoterms” means “The International Rules of the Interpretation of the ”TradeTerms” as published by The International Chambers of Commerce, Paris,France, latest editions and subsequent updates. “術(shù)語解釋通則”指巴黎國際商會的最新版本的國際貿(mào)易術(shù)語解釋通則。I. “

The Buyer has the full right to refuse receiving the product（是否應(yīng)直接使用reject goods） if it is lower than the rejection level（有歧義，是否應(yīng)改為up to the rejection level達(dá)到拒收標(biāo)準(zhǔn)）. 該動力煤的質(zhì)量應(yīng)具備最低保證值。如果低于拒收標(biāo)準(zhǔn)，買方完全有權(quán)利拒絕收貨。CLAUSE 5: PRICE AND OTHER COST (5500Kcal/k

15、g basis) 5.價格和其它費(fèi)用（以5500大卡/千克為基礎(chǔ)）USD 76/MT (US Dollars Seventy Four only per metric ton) CFR, Xiamen port, Fujian, China per Metric Tonne based on 5500Kcal/kg (net calorific value (ARB) for the first shipment of 60,000 MT10%. Prices are to be adjusted every three months for the subsequent shipments.

The Seller shall pay all and any taxes, duties, related to the performance of this contract and collected up to

18、由買方指定。CLAUSE 6: PRICE ADJUSTMENT - BONUS AND PENALTIES 6.價格調(diào)整 獎勵及處罰The price of Coal stipulated on Clause 5 shall be adjusted by the following bonuses and penalties:合同第5條款煤炭的價格根據(jù)以下獎罰措施進(jìn)行調(diào)整：a.CALORIES （1）熱值The cargo will be refused （rejected）if net caloric value ARB is lower than 5300Kcal/Kg.如收到基低位熱值

19、低于 5300大卡/千克，買方將拒收貨物。And a rising of USD 1.35 Per MT for every 100Kcal/Kg higher than contract specification (Caloric ARB5500Kcal/Kg)。以5500大卡/千克為基準(zhǔn)，收到基低位熱值每多100Kcal/kg則增價1.35美元/噸。And a reducing of USD 1.35 Per MT for every 100Kcal/Kg lower than contract specification (Caloric ARB5500Kcal/Kg),if the

20、net caloric value(ARB) is between 5300-5500Kcal/Kg.以5500大卡/千克為基準(zhǔn)，若收到基低位熱值收到基低位熱值在53005500大卡/千克之間，則每少100Kcal/kg則減價1.35美元/噸。b.SULPHUR （2）硫If the Sulphur content exceeds 1.00%, Buyer has the right to refuse （reject）the cargo and Seller shall be regarded as the party breaching the contract.硫含量不得高于1.0%，若

TOTAL MOISTURE （3）全水In the event the Total Moisture exceeds16%, but lower than 18%, then weight shown on Invoice will be formulated as follows:Weight shown on Invoice = Draft survey weight x (100% - (% of moisture found by Surveyor - 16%)如果全水的比例超過16%,但低于18%, 那么發(fā)票上的（重量）按

23、yer to guarantee the performance of the agreement for each shipment. The sellers Performance Bond (P.B.) will be valid during the whole agreement existing period. If the Seller fails to delivery the cargo as per stipulated in this contract, the buyer reserve the right to expropriate the Performance

24、Bond and suspend the contract, all related loses will be born by the Seller.簽訂本合同之后5個工作日內(nèi)，賣方須通過銀行開立未生效的、金額為USD 91,200(按每船合同總金額的2%計(jì)算)的、以買方為受益人的履約保函來保證每次裝運(yùn)貨物的執(zhí)行。賣方的履約保函須在本合同執(zhí)行期間保持有效。如果賣方未能在合同規(guī)定的期限內(nèi)發(fā)運(yùn)貨物，買方有權(quán)沒收賣方開立的履約保函并終止合同, 由此造成的全部損失由賣方承擔(dān)。 - Within five working days after receiving sellers Performance

25、 Bond (P.B.), a Non-transferable, irrevocable, usage Letter of Credit (L/C) for the payment at sight of the shipment shall be issued by a prime international bank or by the buyers bank in China, confirmed by a prime international bank, to the Sellers Bank, and this L/C will be in the value of USD 4,

26、440,000.00 +/- 10% for the value of the each shipment. 收到賣方的履約保函后的5個工作日內(nèi)，買方須在有信譽(yù)的國際銀行開立或在中國的買方銀行開立（并須有信譽(yù)的國際銀行保兌）不可轉(zhuǎn)讓的、不可撤銷的、即期信用證至賣方銀行，信用證金額為每批貨物的價格，即4,440,000.00美元+/-10%。If the BUYER, fails to issue the L/C as stipulated in this contract, it shall be considered as a material breach of the contract.

27、 The BUYER, on demand of SELLER, shall forthwith pay to the SELLER a penalty of US$91,200.00 that is equal to 2%(two percent) of the value of single shipment and the SELLER shall have the right to cancel this contract. 如買方未能開立本合同規(guī)定的信用證，即應(yīng)視為實(shí)質(zhì)性違約。買方應(yīng)遵照賣方要求立即支付買方罰金91,200美元，即單次運(yùn)輸貨物價值的百分之二。賣方有權(quán)取消合同。- Sh

28、ould the Seller greatly breaches this contract, the performance bond will be paid to the Buyer. If the Seller does not provide the goods according to this Contract, the Buyer has the right to keep the Performance Guarantee as compensation. 如賣方發(fā)生嚴(yán)重違約事件，保證金由買方收取。如賣方未能按照本合同約定供貨，買方有權(quán)將此保函作為賣方違約的賠償金。- The

29、 L/C should be valid for 60 days from the date of credit issuing. 信用證: 從開證之日起60天內(nèi)有效.- The L/C shall incorporate the following:信用證應(yīng)包含以下條款：o Charter Party bills of lading acceptable. 信用證接受租船提單 o Partial shipment is not allowed. 不允許分批裝運(yùn)o Trans-shipment not allowed 不允許轉(zhuǎn)船運(yùn)輸For the payment of each shipmen

30、t value, the L/C shall be payable by telegraphic transfer payment by opening bank against Sellers sight draft. For the 95% amount of the value of shipment accompanied by full set of the the “DOCUMENT FOR PAYMENT” A-F, and the rest 5% value of the cargo will be issued by full set of the the “DOCUMENT

31、 FOR PAYMENT” G. Documents for 95% payment are to be presented within 28 days from B/L date. 每一批貨物都必須用開戶行可進(jìn)行電匯的即期信用證向賣家支付。賣方可按買方的即期信用證憑“付款單證”中條款A(yù)至F的全套文件向開證行提取95%貨款，余額5%憑“付款單證”中條款G支付。買方應(yīng)在提貨之日起28日內(nèi)出具95%貨款的付款憑證。b. 33、已裝船”的海運(yùn)提單、空白背書、按照指示、注明“運(yùn)費(fèi)按租船合同”并通知在信用證中指定的當(dāng)事方。B.Signed Provisional Invoice in 3 (three) originals and 3 (three) copies indicating the contract number, L/C number, and value of goods and name of carrying vessel. The Invoice value shall be based upon Result of CCIC Weight Analysis certificate minus ex

34、cess moisture.3份正本3份副本的預(yù)付發(fā)票，注明合同號和L/C號，金額和船名，發(fā)票金額應(yīng)以CCIC出具的重量分析報(bào)告重量減去超出的水分重量為基礎(chǔ)進(jìn)行計(jì)算。C.Copy of fax advising shipment according to Clause 17 of this contract.裝運(yùn)通知（按本合同第十七條）。D.Certificate of Quality and Certificate of Weight of contracted goods in 3 (three) originals and 3 (three) copies issued by CCIC

39、based on the certificated of CIQ at discharging port.在信用證項(xiàng)下完成臨時支付后憑最終的發(fā)票在信用證的有效期內(nèi)把5%余款付給賣方，賣方的最終發(fā)票要以在目的港開具的CIQ證明為基準(zhǔn)。1.Final invoice in three copies. 最終發(fā)票三份。2.Inspection Certificate of Quality issued by CIQ in one photocopy.由CIQ開具的質(zhì)量檢驗(yàn)證書復(fù)印件一份。3.Inspection Certificate of Weight issued by CIQ in one ph

40、otocopy.由CIQ開具的重量檢驗(yàn)證書復(fù)印件一份。 In case CIQ certificate of weight and / or quality is not received by the seller within 60 days from the B/L date, then the seller has the right to present the final invoice and claim the final payment based on loading port Certificate of Quality and Certificate of Weight

In such a case a declaration by the seller of non-receipt of CIQ certificate and the photocopy of loading port weight and quality reports are to be sent together with the Final Invoice documents to the Buyers L/C opening bank.如果賣方在提貨日期后60天內(nèi)對CIQ開具的重量檢驗(yàn)證書或質(zhì)量檢驗(yàn)證書不能接受，賣方有權(quán)以裝運(yùn)港的質(zhì)量與重量檢驗(yàn)證書為依據(jù)開具最終發(fā)票并要求最終付

42、款。在這種情況下，賣方應(yīng)將不接受卸貨港CIQ質(zhì)量與重量檢驗(yàn)證書及復(fù)印件的聲明連同最終發(fā)票單證一起提交給買方的信用證開立銀行。CLAUSE 8 : WEIGHING/QUALITY ANALYSIS AT LOADING PORT 裝運(yùn)港重量/質(zhì)量的檢驗(yàn)Seller and Buyer mutually agree that an internationally recognized first class Independent Surveyor Company CCIC INDONESIA BRANCH shall be appointed at designated loading por

43、t and CIQ at discharge ports, to assess the quality and quantity of the cargo. The quality and weight inspection result carried by INDONESIA CCIC shall be the basis for the 95% PROVISIONAL payment. Accepted by both parties. The CIQ at the discharge port inspection result shall be as final report of

44、assay and settle the final payment . The inspection costs at loading port shall be for the Sellers account; while at discharging port shall be the Buyers account. 買賣雙方同意指定以印度尼西亞CCIC為裝運(yùn)港檢驗(yàn)機(jī)構(gòu)，以裝運(yùn)港的檢測報(bào)告作為信用證預(yù)付95%貨款的依據(jù)。以卸貨港CIQ為卸貨港檢驗(yàn)機(jī)構(gòu)，對質(zhì)量數(shù)量進(jìn)行檢驗(yàn)，卸貨港CIQ檢驗(yàn)結(jié)果為最終結(jié)算依據(jù)。賣方負(fù)擔(dān)裝貨港CCIC檢驗(yàn)費(fèi)用；買方負(fù)擔(dān)卸貨港CIQ檢驗(yàn)費(fèi)用。CLAUSE 9:

45、ADVISE OF SHIPMENT AND DELIVERY 裝船和運(yùn)輸a. The Seller warrants performing delivery of the transacted Commodity on CFR inside customs outturn quality and quantity basis, to the Buyers designated discharge port(s) of China.賣方保證按照CFR條款和質(zhì)量/數(shù)量交貨，將所成交的商品交貨到買方指定的一個（或多個）中國港口。b. Seller shall ensure timely arriv

46、al of the ship to the discharge port in conformity with the approved schedule.賣方應(yīng)按照批準(zhǔn)的交貨計(jì)劃，保證貨物準(zhǔn)時到達(dá)買方卸貨港。c. Sellers chartered vessel(s) shall arrive at the discharge port with her tanks in a prepared state for fitness and cleanliness inspection.賣方租用的船到達(dá)卸港準(zhǔn)備卸貨時,應(yīng)處于完好，潔凈狀態(tài)，接受檢驗(yàn)。d.The vessels Master sh

47、all advise the Buyer and Ship Owners Agent at the port of discharge, the ships ETA 72 hours before her arrival, her name, tonnage, flag, draughts on board quantities, and actual time of arrival 48,24,and 12 hours before her arrival to the discharge port. 在船預(yù)期到達(dá)卸貨港72小時前，船長應(yīng)將船名、噸位、懸掛旗幟、吃水等信息告知買方和卸貨港的船

48、務(wù)代理；在船到港48, 24 和12小時前通報(bào)準(zhǔn)確的到達(dá)時間。e.Within seventy-two (72) hours after the vessel departure from the port of loading, the Sellers shipping agent shall advise the Buyer by way of telex/cable/fax (Fax and E-mail) indicating the vessel sailing date, name of steamship company, tonnage, age of the vessel,

49、the flags of the vessel, ocean bill of lading number, Contract number, net quantity loaded, name of commodity and estimated time of arrival (ETA).貨船離開裝運(yùn)港后的72小時內(nèi),賣方的船運(yùn)代理必須以電郵/傳真形式通知買方貨船啟航日期,指明貨船公司名稱,噸位,船齡,船旗,海運(yùn)提單號,合同編號,凈裝運(yùn)數(shù)量,貨物名稱及預(yù)期到達(dá)卸貨港日期(ETA)。f. Not later than the five (5) days before the readiness

Nomination Procedures 提名程序(i) Nomination: the Seller must provide the Buyer with the Vessels particulars in a timely manner prior to loading to secure acceptance of the Vessel(s) from the Discharging port(s) authorities. Such
