1、 一般物資進口合同格式 全文 合同號碼: 簽約日期: 買方: 賣方: 本合同由買賣雙方締結(jié),用中、英文字寫成,兩種文體具有同等效力,按照下述條款,賣方同意售出買方同意購進以下商品: 第一部分 商品名稱及規(guī)格 生產(chǎn)國不及制造廠商 單價(包裝費用包括在內(nèi)) 數(shù)量 總值 包裝(適合海洋運輸) 保險(除非另有協(xié)議,保險均由買方負責(zé)) 裝船時刻 裝運口岸 目的口岸 裝運嘜頭,賣方負責(zé)在每件物資上用牢固的不褪色的顏料明顯地刷印或標(biāo)明下述嘜頭,以及目的口岸、件號、毛重和凈重、尺碼和其它買方要求的標(biāo)記。如系危險及或有毒物資,賣方負責(zé)保證在每件物資上明顯地標(biāo)明物資的性質(zhì)講明及適應(yīng)上被同意的標(biāo)記。 付款條件:買方

2、于物資裝船時刻前一個月通過銀行開出以賣方為抬頭的不可撤銷信用證,賣方在物資裝船啟運后憑本合同交貨條款第條款所列單據(jù)在開證銀行議付貸款。上述信用證有效期將在裝船后天截止。 其它條件:除非經(jīng)買方同意和同意,本合同其它一切有關(guān)事項均按第二部分交貨條款之規(guī)定辦理,該交貨條款為本合同不可分的部分,本合同如有任何附加條款將自動地優(yōu)先執(zhí)行附加條款,如附加條款與本合同條款有抵觸,則以附加條款為準(zhǔn)。 第二部分 條件 本合同項下物資的裝運艙位由買方或買方的運輸代理人租訂。 在條件下,賣方應(yīng)負責(zé)將所訂物資在本合同第條所規(guī)定的裝船期內(nèi)按買方所通知的任何日期裝上買方所指定的船只。 在條件下,賣方應(yīng)負責(zé)將所訂物資在本合同

3、第條所規(guī)定的裝船期內(nèi)按買方所通知的任何日期交到買方所指定船只的吊桿下。 物資裝運日前天,買方應(yīng)以電報或電傳通知賣方合同號、船只預(yù)計到港日期、裝運數(shù)量及船運代理人的名稱。以便賣方經(jīng)與該船運代理人聯(lián)系及安排物資的裝運。賣方應(yīng)將聯(lián)系結(jié)果通過電報或電傳及時報告買方。如買方因故需要變更船只或者船只比預(yù)先通知賣方的日期提早或推遲到達裝運港口,買方或其船運代理人應(yīng)及時通知賣方。賣方亦應(yīng)與買方的運輸代理或買方保持緊密聯(lián)系。 如買方所訂船只到達裝運港后,賣方不能在買方所通知的裝船時刻內(nèi)將物資裝上船只或?qū)⑽镔Y交到吊桿之下,賣方應(yīng)負擔(dān)買方的一切費用和損失,如空艙費、滯期費及由此而引起的及或遭受的買方的一切損失。 如

4、船只撤換或延期或退關(guān)等而未及時通知賣方停止交貨,在裝港發(fā)生的棧租及保險費損失的計算,應(yīng)以代理通知之裝船日期(如物資晚于代理通知之裝船日期抵達裝港,應(yīng)以物資抵港日期)為準(zhǔn),在港口免費堆存期滿后第十六天起由買方負擔(dān),人力不可抗拒的情況除外。上述費用均憑原始單據(jù)經(jīng)買方核實后支付。但賣方仍應(yīng)在裝載貨船到達裝港后立立即物資裝船,交負擔(dān)費用及風(fēng)險。 條件 賣方在本合同第條規(guī)定的時刻之內(nèi)應(yīng)將物資裝上由裝運港到中國口岸的直達船。未經(jīng)買方事先許可,不得轉(zhuǎn)船。物資不得由懸掛中國港口當(dāng)局所不能同意的國家旗幟的船裝載。 賣方所租船只應(yīng)適航和適貨。賣方租船時應(yīng)慎重和認真地選擇承運人及船只。買方不同意非保賠協(xié)會成員的船只

5、。 賣方所租載貨船只應(yīng)在正常合理時刻內(nèi)駛達目的港。不得無故繞行或拖延。 賣方所租載貨船只船齡不得超過年。對超過年船齡的船只其超船齡額外保險費應(yīng)由賣方負擔(dān)。買方不同意船齡超過二十年的船只。 一次裝運數(shù)量超過一千噸的貨載或其它少于一千噸但買方指明的貨載,賣方應(yīng)在裝船日前至少天用電傳或電報通知買方合同號、商品名稱、數(shù)量、船名、船齡、船籍、船只要緊規(guī)范、可能裝貨日、可能到達目的港時刻、船公司名稱、電傳和電報掛號。 一次裝運一千噸以上貨載或其它少于一千噸但買方指明的貨載,其船長應(yīng)在該船抵達目的港前天和小時分不用電傳或電報通知買方可能抵港時刻、合同號、商品名稱及數(shù)量。 假如物資由班輪裝運,載貨船只必須是船

6、級社最高船級或船級協(xié)會條款規(guī)定的相同級不的船級,船只狀況應(yīng)保持至提單有效期終了時止,以裝船日為準(zhǔn)船齡不得超過年。超過年船齡的船只,賣方應(yīng)負擔(dān)超船齡外保險費。買方絕不同意超過年船齡的船只。 關(guān)于散件貨,假如賣方未經(jīng)買方事前同意而裝入集裝箱,賣方應(yīng)負責(zé)向買方支付賠償金,由雙方在適當(dāng)時刻商定具體金額。 賣方應(yīng)和載運物資的船只保持緊密聯(lián)系,并以最快的手段通知買方船只在途中發(fā)生的一切事故,如因賣方未及時通知買方而造成買方的一切損失賣方應(yīng)負責(zé)賠償。 條件 在條件下,除本合同第條條件適用之外賣方負責(zé)物資的保險,但不允許有免賠率。 裝船通知 物資裝船完畢后小時內(nèi),賣方應(yīng)即以電報或電傳通知買方合同號、商品名稱、

7、所裝重量(毛凈)或數(shù)量、發(fā)票價值、船名、裝運口岸、開船日期及可能到達目的港時刻。如因賣方未及時用電報或電傳給買方以上述裝船通知而使買方不能及時保險,賣方負責(zé)賠償買方由此而引起的一切損害及或損失。 裝船單據(jù) 賣方憑下列單據(jù)向付款銀行議付貨款: 填寫通知目的口岸的運輸公司的空白抬頭、空白背書的全套已裝運洋輪的清潔提單(如系條款則注明“運費已付”,如系條款則注明“運費待收”)。 由信用證受益人簽名出具的發(fā)票份,注明合同號、信用證號、商品名稱、詳細規(guī)格及裝船嘜頭標(biāo)記。 兩份由信用證受益人出具的裝箱單及或重量單,注明每件物資的毛重和凈重及或尺碼。 由制造商及或裝運口岸的合格、獨立的公證行簽發(fā)的品質(zhì)檢驗證

8、書及數(shù)量或重量證書各兩份,必須注明物資的全部規(guī)格與信用證規(guī)定相符。 本交貨條件第條規(guī)定的裝船通知電報或電傳副本一份。 證明上述單據(jù)的副本已按合同要求寄出的書信一封。 運貨船只的國籍差不多買主批準(zhǔn)的書信一封。 如系賣方保險需提供投保許多于發(fā)票價值的一切險和戰(zhàn)爭險的保險單。 不同意影印、自動或電腦處理、或復(fù)印的任何正本單據(jù),除非這些單據(jù)印有清晰的“正本”字樣,并經(jīng)發(fā)證單位授權(quán)的領(lǐng)導(dǎo)人手簽證明。 聯(lián)運提單、遲期提單、簡式提單不能同意。 受益人指定的第三者為裝船者不能同意,除非該第三者提單由裝船者背書轉(zhuǎn)受益人,再由受贈人背書后方可同意。 信用證開立日期之前出具的單據(jù)不能同意。 關(guān)于貨載,不同意租船提單

9、,除非受益人提供租船合同、船長或大副收據(jù)、裝船命令、物資配載圖及或買方在信用證內(nèi)所要求提供的其它單據(jù)副本各一份。 賣方須將提單、發(fā)票及裝箱單各兩份副本隨船帶交目的口岸的買方收貨代理人。 載運貨船啟碇后,賣方須立即航空郵寄全套單據(jù)副本一份給買方,三份給目的口岸的對外貿(mào)易運輸公司分公司。 賣方應(yīng)負責(zé)賠償買方因賣方失寄或遲寄上述單據(jù)而使買方遭受的一切損失。 中華人民共和國境外的銀行費用由賣方負擔(dān)。 合同所訂物資如用空運,則本合同有關(guān)海運的一切條款均按空運條款執(zhí)行。 危險品講明書 凡屬危險品及或有毒,賣方必須提供其危險或有毒性能、運輸、倉儲和裝卸注意事項以及防治、急救、消防方法的講明書,賣方應(yīng)將此項講

10、明書各三份隨同其他裝船單據(jù)航空郵寄給買方及目的口岸的運輸公司。 檢驗和索賠 物資在目的口岸卸畢天內(nèi)(假如用集裝箱裝運則在開箱后天)經(jīng)中國進出口商品檢驗局復(fù)驗,如發(fā)覺品質(zhì)、數(shù)量或重量以及其它任何方面與本合同規(guī)定不符,除屬于保險公司或船行負責(zé)者外,買方有權(quán)憑上述檢驗局出具的檢驗證書向賣方提出退貨或索賠。因退貨或索賠引起的一切費用包括檢驗費、利息及損失均由賣方負擔(dān)。在此情況下,凡物資適于抽樣及寄送時如賣方要求,買方可將樣品寄交賣方。 賠償費 因“人力不可抗拒”而推遲或不能交貨者除外,假如賣方不能交貨或不能按合同規(guī)定的條件交貨,賣方應(yīng)負責(zé)向買方賠償由此而引起的一切損失和遭受的損害,包括買價及或買價的差

11、價、空艙費、滯期費,以及由此而引起的直接或間接損失。買方有權(quán)撤銷全部或部分合同,但并不阻礙買方向賣方提出索賠的權(quán)利。 賠償例外 由于一般公認的“人力不可抗拒”緣故而不能交貨或延遲交貨,賣方或買方都不負責(zé)任。但賣方應(yīng)在事故發(fā)生后立即用電報或電傳告買方并在事故發(fā)生后天內(nèi)航空郵寄買方災(zāi)害發(fā)生地點之有關(guān)政府機關(guān)或商會所出具的證明,證實災(zāi)難存在。假如上述“人力不可抗拒”接著存在天以上,買方有權(quán)撤銷合同的全部或一部。 仲裁 雙方同意對一切因執(zhí)行和解釋本合同條款所發(fā)生的爭議,努力通過友好協(xié)商解決。在爭議發(fā)生之日起一個合理的時刻內(nèi),最多不超過天,協(xié)商不能取得對買賣雙方都中意的結(jié)果時,如買方?jīng)Q定不向他認為合適的

12、有管轄權(quán)的法院提出訴訟,則該爭議應(yīng)提交仲裁。除雙方另有協(xié)議,仲裁應(yīng)在中國北京進行,并按中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會所制訂的仲裁規(guī)則和程序進行仲裁,該仲裁為終局裁決,對雙方均有約束力。仲裁費用除非另有決定,由敗訴一方負擔(dān)。 賣方: 買方: 1. 13、he Seller and the Buyer whereby theSeller agrees to sell and the Buyer agrees to buy the undermentioned goodssubject to terms and conditions set forth hereinafter as follows: SECTION 11 Name of Commodity and specification2 Country of Origin & Manufacturer3 Unit Price (packing charges included)4 Quan

14、tity5 Total Value6 Packing (seaworthy)7 Insurance (to be covered by the Buyer unless otherwise)8 Time of Shipment9 Port of Loading10 Port of Destinationmark shown as below in addition to the port of destination, packagenumber, gross and net weights, measurements and other marks as the Buyermay requi

15、re stencilled or marked conspicuously with fast and unfailingpigments on each package. In the case of dangerous and/or poisonous cargo(es), the Seller is obliged to take care to ensure that the nature and thegenerally adopted symbol shall be marked conspicuously on each package.12 Terms of Payment:

16、One month prior to the time of shipment the Buyer shall open with theBank of _an irrevocable Letter of Credit in favour of the Sellerpayable at the issuing bank against presentation of documents asstipulated under Clause 18. A. of SECTION II, the Terms of Delivery ofthis Contract after departure of

17、the carrying vessel. The said Letter ofCredit shall remain in force till the 15th day after shipment.13 Other Terms: Unless otherwise agreed and accepted by the Buyer, all other mattersrelated to this contract shall be governed by Section II, the Terms ofDelivery which shall form an integral part of

18、 this Contract. Anysupplementary terms and conditions that may be attached to this Contractshall automatically prevail over the terms and conditions of this Contractif such supplementary terms and conditions come in conflict with terms andconditions herein and shall be binding upon both parties. FOR

19、 THE SELLER FOR THE BUYER SECTION 2 14 FOB/FAS TERMS 14.1 The shipping space for the contracted goods shall be booked bythe Buyer or the Buyers shipping agent _. 14.2 Under FOB terms, the Seller shall undertake to load thecontracted goods on board the vessel nominated by the Buyer on any datenotifie

20、d by the Buyer, within the time of shipment as stipulated in Clause8 of this Contract. 14.3 Under FAS terms, the Seller shall undertake to deliver thecontracted goods under the tackle of the vessel nominated by the Buyer onany date notified by the Buyer, within the time of shipment as stipulatedin C

21、lause 8 of this Contract. 14.4 10-15 days prior to the date of shipment, the Buyer shall informthe Seller by cable or telex of the contract number, name of vessel, ETAof vessel, quantity to be loaded and the name of shipping agent, so as toenable the Seller to contact the shipping agent direct and a

22、rrange theshipment of the goods. The Seller shall advise by cable or telex in timethe Buyer of the result thereof. Should, for certain reasons, it becomenecessary for the Buyer to replace the named vessel with another one, orshould the named vessel arrive at the port of shipment earlier or laterthan

23、 the date of arrival as previously notified to the Seller, the Buyeror its shipping agent shall advise the Seller to this effect in due time.The Seller shall also keep in close contact with the agent or the Buyer. 14.5 Should the Seller fail to load the goods on board or to deliverthe goods under th

24、e tackle of the vessel booked by the Buyer. Within thetime as notified by the Buyer, after its arrival at the port of shipmentthe Seller shall be fully liable to the Buyer and responsible for alllosses and expenses such as dead freight, demurrage. Consequential lossesincurred upon and/or suffered by

25、 the Buyer. 14.6 Should the vessel be withdrawn or replaced or delayed eventuallyor the cargo be shut out etc., and the Seller be not informed in good timeto stop delivery of the cargo, the calculation of the loss in storageexpenses and insurance premium thus sustained at the loading port shall beba

26、sed on the loading date notified by the agent to the Seller (or based onthe date of the arrival of the cargo at the loading port in case the cargoshould arrive there later than the notified loading date). Theabovementioned loss to be calculated from the 16th day after expiry of thefree storage time

27、at the port should be borne by the Buyer with theexception of Force Majeure. However, the Seller shall still undertake toload the cargo immediately upon the carrying vessels arrival at theloading port at its own risk and expenses. The payment of the afore-saidexpenses shall be effected against prese

28、ntation of the original vouchersafter the Buyers verification. 15 C&F Terms 15.1 The Seller shall ship the goods within the time as stipulated inclause 8 of this Contract by a direct vessel sailing from the port ofloading to China port. Transhipment on route is not allowed without theBuyers prior co

29、nsent. The goods shall not be carried by vessels flyingflags of countries not acceptable to the Port Authorities of China. 15.2 The carrying vessel chartered by the Seller shall be seaworthyand cargoworthy. The Seller shall be obliged to act prudently andconscientiously when selecting the vessel and

30、 the carrier when charteringsuch vessel. The Buyer is justified in not accepting vessels chartered bythe Seller that are not members of the PICLUB. 15.3 The carrying vessel chartered by the Seller shall sail and arriveat the port of destination within the normal and reasonable period oftime. Any unr

31、easonable aviation or delay is not allowed. 15.4 The age of the carrying vessel chartered by the Seller shall notexceed 15 years. In case her age exceeds 15 years, the extra averageinsurance premium thus incurred shall be borne by the Seller. Vessel over20 years of age shall in no event be acceptabl

32、e to the Buyer. 15.5 For cargo lots over 1,000 M/T each, or any other lots less than1,000 metric tons but identified by the Buyer, the Seller shall, at least10 days prior to the date of shipment, inform the Buyer by telex or cableof the following information: the contract number, the name of commodi

33、ty,quantity, the name of the carrying vessel, the age, nationality, andparticulars of the carrying vessel, the expected date of loading, theexpected time of arrival at the port of destination, the name, telex andcable address of the carrier. 15.6 For cargo lots over 1,000 M/T each, or any other lots

34、 less than1,000 metric tons but identified by the Buyer, the Master of the carryingvessel shall notify the Buyer respectively 7 (seven) days and 24(twenty-four) hours prior to the arrival of the vessel at the port ofdestination, by telex or cable about its ETA (expected time of arrival),contract num

35、ber, the name of commodity, and quantity. 15.7 If goods are to be shipped per liner vessel under liner Bill ofLading, the carrying vessel must be classified as the highest _or equivalent class as per the Institute Classification Clause and shallbe so maintained throughout the duration of the relevan

36、t Bill of Lading.Nevertheless, the maximum age of the vessel shall not exceed 20 years atthe date of loading. The seller shall bear the average insurance premiumfor liner vessel older than 20 years. Under no circum -stances shall theBuyer accept vessel over 25 years of age. 15.8 For break bulk cargo

37、es, if goods are shipped in containers by theSeller without prior consent of the Buyer, a compensation of a certainamount to be agreed upon by both parties shall be payable to the Buyer bythe Seller. 15.9 The Seller shall maintain close contact with the carrying vesseland shall notify the Buyer by f

38、astest means of communication about any andall accidents that may occur while the carrying vessel is on route. TheSeller shall assume full responsibility and shall compensate the Buyer forall losses incurred for its failure to give timely advice or notificationto the Buyer. 16 CIF Terms: Under CIF t

39、erms, besides Clause 15 C&F Terms of this contract whichshall be applied the Seller shall be responsible for covering the cargowith relevant insurance with irrespective percentage. 17 Advice of Shipment: Within 48 hours immediately after completion of loading of goods onboard the vessel the Seller s

40、hall advise the Buyer by cable or telex ofthe contract number, the name of goods, weight (net/gross) or quantityloaded, invoice value, name of vessel, port of loading, sailing date andexpected time of arrival (ETA) at the port of destination. Should theBuyer be unable to arrange insurance in time ow

41、ing to the Sellers failureto give the above mentioned advice of shipment by cable or telex, theSeller shall be held responsible for any and all damages and/or lossesattributable to such failure. 18 Shipping Documents 18.A The Seller shall present the following documents to the payingbank for negotia

42、tion of payment: 18.A.1 Full set of clean on board, freight prepaid for C&F/CIF Termsor Freight to collect for FOB/FAS Terms, Ocean Bills of Lading, made outto order and blank endorsed, notifying _at the port ofdestination. 18.A.2 Five copies of signed invoice, indicating contract number, L/Cnumber,

43、 name of commodity, full specifications, and shipping mark, signedand issued by the Beneficiary of Letter of Credit. 18.A.3 Two copies of packing list and/or weight memo with indicationof gross and net weight of each package and/or measurements issued bybeneficiary of Letter of Credit. 18.A.4 Two co

44、pies each of the certificates of quality and quantity orweight issued by the manufacturer and/or a qualified independent surveyorat the loading port and must indicate full specifications of goodsconforming to stipulations in Letter of Credit. 18.A.5 One duplicate copy of the cable or telex advice of

45、 shipment asstipulated in Clause 17 of the Terms of Delivery. 18.A.6 A letter attesting that extra copies of abovementioneddocuments have been dispatched according to the Contract. 18.A.7 A letter attesting that the nationality of the carrying vesselhas been approved by the Buyer. 18.A.8 The relevan

46、t insurance policy covering, but not limited to atleast 110% of the invoice value against all and war risks if the insuranceis covered by the Buyer. 18.B Any original document(s) made by rephotographic system, automatedor computerized system or carbon copies shall not be acceptable unlessthey are cl

47、early marked as ORIGINAL. and certified with signatures inhand writing by authorised officers of the issuing company or corporation. 18.C Through Bill of Lading, Stale Bill of Lading, Short Form Bill ofLading, shall not be acceptable. 18.D Third Party appointed by the Beneficiary as shipper shall no

48、t beacceptable unless such Third Party Bill of Lading is made out to the orderof shipper and endorsed to the Beneficiary and blank endorsed by theBeneficiary. 18.E Documents issued earlier than the opening date of Letter ofCredit shall not be acceptable. 18.F In the case of C&F/CIF shipments, Charte

49、r Party Bill of Ladingshall not be acceptable unless Beneficiary provides one copy each of theCharter Party, Masters of Mates receipt, shipping order and cargo orstowage plan and/or other documents called for in the Letter of Credit bythe Buyer. 18.G The seller shall dispatch, in care of the carryin

50、g vessel, twocopies each of the duplicates of Bill of Lading. Invoice and Packing Listto the Buyers receiving agent, _at the port of destination. 18.H Immediately after the departure of the carrying vessel, theSeller shall airmail one set of the duplicate documents to the Buyer andthree sets of the

51、same to _ TransportationCorporation at the port of destination. 18.I The Seller shall assume full responsibility and be liable to theBuyer and shall compensate the Buyer for all losses arising from goingastray of and/or the delay in the dispatch of the above mentioneddocuments. 18.J Banking charges

52、outside the Peoples Republic of China shall befor the Sellers account. 19 If the goods under this Contract are to be dispatched by air , all the terms and conditions of this Contract in connection with ocean transportation shall be governed by relevant air terms. 20 Instruction leaflets on dangerous

53、 cargo: For dangerous and/or poisonous cargo, the Seller must provideinstruction leaflets stating the hazardous or poisonous properties,transportation, storage and handling remarks, as well as precautionary andfirst-air measures and measures against fire. The Seller shall airmail,together with other

54、 shipping documents, three copies each of the same tothe Buyer and_ Transportation Corporation at the port ofdestination. 21 Inspection & claims: In case the quality, quantity or weight of the goods be found not inconformity with those as stipulated in this Contract upon re-inspection bythe China Co

55、mmodity Import and Export inspection Bureau within 60 daysafter completion of the discharge of the goods at the port of destinationor, if goods are shipped in containers, 60 days after the opening of suchcontainers, the Buyer shall have the right to request the Seller to takeback the goods or lodge

56、claims against the Seller for compensation forlosses upon the strength of the Inspection Certificate issued by the saidBureau, with the exception of those claims for which the insurers orowners of the carrying vessel are liable, all expenses including but notlimited to inspection fees, interest, los

57、ses arising from the return ofthe goods or claims shall be borne by the Seller. In such a case, theBuyer may, if so requested, send a sample of the goods in question to theSeller, provided that sampling and sending of such sample is feasible. 22 Damages: With the exception of late delivery or non-de

58、livery due to ForceMajeure causes, if the Seller fails to make delivery of the goods inaccordance with the terms and conditions, jointly or severally, of thisContract, the Seller shall be liable to the Buyer and indemnify the Buyerfor all losses, damages, including but not limited to, purchase priceand/or purchase price differen
