2、M)(DD)(YY)本長遠合作協(xié)議由以下兩方于東莞市長安鎮(zhèn)簽訂：Thislong-termcooperationagreementismadeinChanganTownofDongguanCitybetween:廣東歐珀搬動通訊有限公司，其居處位于東莞市長安鎮(zhèn)烏沙海濱路18號。（以下簡稱“甲方”）和萊爾德電子資料（深圳）有限公司，其居處位于深圳市寶安區(qū)福永鎮(zhèn)和平社區(qū)福源一塊德金工業(yè)區(qū)一區(qū)廠房。（以下簡稱“乙方”）GuangdongOPPOMobileTelecommunicationsCorp.Ltd.,anorganizationlocatedat#18HaibinRoad,Wusha,Ch

8、兩方簽訂了新的長遠合作協(xié)議、專項協(xié)議（簡稱版本晉級），則新的長遠合作協(xié)議、專項協(xié)議（簡稱新版本）簽訂的同時舊的長遠合作協(xié)議、專項協(xié)議（簡稱舊版本）自動除掉。Incaseofnewlong-termcooperationagreementandspecialagreementssignedbetweenthetwoparties(referredtoasagreementupgrade),theoldversionlong-termcooperationagreementandspecialagreements(referredtoasupgradedagreement)shallbeautom

9、aticallyterminatedatthemomentwhenthenewversionlong-termcooperationagreementandspecialagreements(referredtoasnewversionagreement)comeintoforce.甲、乙兩方確認經(jīng)過相同商討、相互商討，兩方一起制定了本長遠合作協(xié)議及各專項協(xié)議。甲、乙兩方均感覺本長遠合作協(xié)議及各專項協(xié)議是各方一起的真切意思表示，對協(xié)議條款已充分理解并圓滿同意。甲、乙兩方均確認本長遠合作協(xié)議及各專項協(xié)議不看作全部一方的式樣協(xié)議、式樣條款。對長遠合作協(xié)議及各專項協(xié)議中的職責(zé)條款，甲、乙兩方均已充分

10、留意并圓滿理解，兩方對該等條款均表示全體接受。PartyAandPartyBhereofconfirmthatthroughfriendlyandfairconsultationsthetwopartiescometothelong-termcooperationagreementandvariousspecialagreements.BothPartyAandPartyBhereofconsiderthatthelong-termagreementandvariousspecialagreementsarethetrueexpressionsofthetwopartiesandthetwop

13、dewithin_daysafterreceiving;Otherpaymentterms:_付款條件界說：Definitionforpaymentcondition:1）月結(jié)付款條件：月結(jié)貨款指乙方從本月1日至本月月底的全部查收及格入庫后的貨款。全部因質(zhì)量等原由未在本月即時入庫的數(shù)目不在本月結(jié)算付款之列；月結(jié)30天是指其貨款從供貨次月1日開始算起，30天后到期，月結(jié)60天/90天以此類推。PaymentAMSterms:Netdaypaymentmeanspaymentismadeforthewarehousedproductsacceptedafterinspectionfromthefi

15、erdeliverymeanspaymentshallbemadeXdaysafterreceiving.4、定單下達OrderPlacing甲方以打印的并加蓋甲方購貨協(xié)議章的定貨協(xié)議（包含購買定單、備料協(xié)議，下同）看作向乙方下達購買定單的獨一形式。乙方收到甲方定貨協(xié)議后需在一個工作日內(nèi)對定單上的貨物規(guī)格、數(shù)目、單價、交期、付款形式等予以確認并簽章后回傳給甲方，以此看作兩方確立定貨協(xié)議的依照。乙方如因特別原由沒法準(zhǔn)時回傳，可書面告之甲方詳細的協(xié)議評審時間，經(jīng)甲方同意后可合時順延確認時間。如乙方無故延緩定貨協(xié)議確認時間而影響甲方生產(chǎn)規(guī)劃，甲方將按每份協(xié)議延緩一天要求乙方付出人民幣伍佰圓的違約金。

16、PartyBtakestheonlywaytoplacepurchaseordertoPartyBbyprintedPurchaseContract(includingPurchaseOrder,MaterialContract,similarlyhereinafter.)withspecialsealforpurchasecontractofPartyA.WithinoneworkingdayafterreceivingthePurchaseContractfromPartyA,PartyBshallconfirmproductspecification,quantity,unitprice

17、,dateofdeliveryandpaymentonthepurchaseorderandfaxitbacktoPartyAafterstampingsealonitasproofofconfirmedPurchaseContractbybothparties.Incaseoffailuretofaxitbackasscheduledduetospecialreason,PartyBshallnotifyPartyAaboutdetailedcontractreviewtime.Theconfirmationtimecannotbedelayeduntilconsentreceivedfro

18、mPartyA.IfPartyAsproductionplanisaffectedduetounreasonabledelayofconfirmationtimeofPurchaseContractbyPartyB,PartyAshallclaimagainstPartyBforRMB500foreachdelayeddayforeachcontractaspenaltyforbreachofcontract.5、定單變動OrderModification5.1如因甲方原由變動（包含但不限于撤消、增添/減少量量、變動交期等）已見效的定貨協(xié)議，甲方以傳真形式向乙方發(fā)出加蓋甲方購貨協(xié)議章定貨協(xié)議變

19、動協(xié)議。乙方應(yīng)在接到甲方定貨協(xié)議變更協(xié)議后一個工作日內(nèi)予以確認并簽章后回傳給甲方。若乙方未準(zhǔn)時回傳，甲方可視同乙方已接受定貨協(xié)議變動協(xié)議。IfthevalidPurchaseContractismodified(includingbutnotlimitedto:cancellation,quantityincrease/decrease,changeofdateofdelivery)duetoPartyA,PartyAshallfaxaPurchaseContractModificationAgreementwithpurchasesealtoPartyB.PartyBshallconfirm

20、,sealandfaxbackthePurchaseContractModificationAgreementwithinoneworkingdayafterreceivingitfromPartyA.IncasethatPartyBfailstofaxitbackasscheduled,PartyAshalldeemitasthatPartyBhasacceptedthePurchaseContractModificationAgreement.5.2乙方在接到并確認甲方定貨協(xié)議變動協(xié)議后應(yīng)馬上部署整理生產(chǎn)或整理備貨。若需撤消定單或減少定單數(shù)目，乙方需一個工作日內(nèi)將已生產(chǎn)或已備貨狀況照實反應(yīng)

21、給甲方。乙方已生產(chǎn)或已備貨物料，準(zhǔn)則上由甲方幫助消化，詳細辦理形式由兩方商討確立。乙方虛報數(shù)目形成的甲方缺失，甲方有權(quán)益要求乙方全額擔(dān)當(dāng)。AfterreceivingandconfirmingthePurchaseContractModificationAgreementfromPartyA,PartyBshallimmediatelymakearrangementsofproductionandstockadjustment.Incaseofpurchaseordercancellationorquantitydecreaseinpurchaseorder,PartyBshallreport

22、actualproductionorstocksituationtoPartyAwithinoneworkingday.Inprinciple,PartyAshallassistinabsorbingtheproducedorstockedmaterialsofPartyB,andthespecificsolutionshallbereachedafterconsultationsbetweenthetwoparties.IncaseofPartyAslosscausedbyfalsequantityreportedbyPartyB,PartyAhastherighttorequirePart

23、yBtoundertakeallthelossessufferedbyPartyA.5.3甲方供應(yīng)部為甲目標(biāo)乙方下達定單指令的獨一窗口單位，乙方不得接收除甲方供應(yīng)部指定人員以外的全部人員的定單下達和變動指令，不然由此給乙方形成的全部缺失由乙方自行擔(dān)當(dāng)；甲方以打印的并加蓋甲方購貨協(xié)議章的定貨協(xié)議或定貨協(xié)議變動協(xié)議看作向乙方下達購買定單或變動購買定單的獨一形式，乙方不得接受上述下單或變動形式以外的全部形式的定單指令，不然由此給乙方形成的全部缺失由乙方自行擔(dān)當(dāng)。SupplyDepartmentofPartyAistheonlyunitofPartyAtoplacepurchaseordertoPar

25、ationAgreementwithspecialsealforpurchasecontractofPartyA,andPartyBshallnotacceptpurchaseorderdirectivesinanyanotherformsforplacingormodifyingpurchaseorder.Otherwise,alllossescausedtoPartyBshallbesolelyundertakenbyPartyB.6、價錢Price兩方買賣價錢依照見效的定貨協(xié)議單價實行，訂價形式及其余權(quán)責(zé)按兩方簽訂的價錢誠信協(xié)議實行。Thepurchasepriceissubjectto

26、theunitpricespecifiedinthevalidPurchaseContract.PricingmethodandotherresponsibilitiesandobligationsaresubjecttoPriceCreditAgreementsignedbythetwoparties.7、交貨Delivery7.1乙方將產(chǎn)品交到見效的定貨協(xié)議中劃定的交貨地址交給甲方，辦理交貨手續(xù)，并同時供應(yīng)有關(guān)產(chǎn)品的單證和資料，乙方擔(dān)當(dāng)交貨前的全部開銷及貨物危險，包含但不限于運送、保險及卸貨等開銷。若乙方交貨延緩，每延緩一天乙方需按延緩交貨總金額的1%付出違約金，違約金最低限額人民幣伍佰圓

27、，最高限額為延緩交貨總金額的10%；若緩期8天（含）以上，甲方有權(quán)益一方面撤消定單，所以給乙方形成的全體缺失由乙方擔(dān)當(dāng)，同時甲方有官僚求乙方擔(dān)當(dāng)所以給甲方形成的缺失。若因不能夠抗拒因素以致乙方?jīng)]法準(zhǔn)時交貨，乙方可不予擔(dān)當(dāng)緩期交貨違約職責(zé)，但必需在7個工作日內(nèi)供應(yīng)不能夠抗拒因素的有關(guān)證明。若因甲方原由以致乙方?jīng)]法準(zhǔn)時交貨，乙方可不予擔(dān)當(dāng)緩期交貨違約職責(zé)。PartyBshalldelivertheproductstoPartyAattheplacespecifiedinthevalidPurchaseContract,handledeliveryformalities,andproviderela

28、tedcertificatesanddataoftheproducts.PartyBshallundertakeallchargesandcommodityrisksbeforedeliveryincludingbutnotlimitedtochargesfortransport,insuranceanddischarging.IncaseofdelayeddeliverybyPartyB,PartyBshallpay1%ofthedelayedproductvalueforeachdelayeddayascompensationforbreachofcontract.Theminimumam

29、ountofcompensationforbreachofcontractisRMB500,andthemaximumamountis10%ofthedelayedproductvalue;incasethatthedeliveryisdelayedformorethan8days(inclusive),PartyAhastherighttocancelthispurchaseorder,andallthelossesincurredshallbeundertakenbyPartyB.Meanwhile,PartyAhastherighttorequirePartyBtomakecompens

30、ationforallthelossescausedtoPartyA.IncaseoffailureofdeliveryasscheduledbyPartyBduetoforcemajeure,PartyBshallnotbeheldresponsibleforbreachofcontract.However,PartyBisrequiredtosubmitrelatedcertificationsofforcemajeure.IncaseoffailureofdeliveryasscheduledduetofaultofPartyA,PartyBshallnotbeheldresponsib

31、leforbreachofcontract.7.2甲方保存對定貨協(xié)議交貨日期提早和推延的權(quán)益(如要求提早交貨的，需經(jīng)乙方確認能否接受)，乙方必需全力配合甲方發(fā)出的交貨排期和有關(guān)通知而交貨。因甲方變動交貨日期以致乙方多付出的開銷由甲方擔(dān)當(dāng)，所以形成的供貨延緩，乙方不擔(dān)當(dāng)全部職責(zé)。乙方可預(yù)期之交貨延緩，乙方應(yīng)馬上向甲方發(fā)出緊急通知，見告預(yù)約交貨日期沒法實行，并寫明另行交貨的時間。PartyAreservestherightofchangingthedateofdeliveryinpurchasecontract(Requirementofadvancingdeliveryneedsconfirma

32、tionofacceptancebyPartyB.),andPartyBisrequiredtotrythebesttoarrangedeliveryfollowingdeliveryscheduleandrelatednotificationsfromPartyA.TheextrachargesofPartyBduetochangeofdeliverybyPartyAshallbebornebyPartyA,andPartyBshallnotbeheldresponsibleforanydelayofdeliverytherefore.IfPartyBmayanticipatethedela

33、yofdelivery,PartyBshallimmediatelynotifyPartyAoftheimpossibilityofdeliveryperformanceonscheduleandthenewdateofdelivery.7.3未經(jīng)甲方同意，乙方提早交貨或多交貨的，甲方有權(quán)拒收。IncaseofnopriorconsentfromPartyA,PartyAhastherighttorefusedeliverybeforescheduledtimeorbeyondthequantityspecifiedinthecontractbyPartyB.7.4交貨時，乙方必需供應(yīng)正式的送

34、貨單。送貨單只好用無碳復(fù)寫的紙張打印或手工填寫，最少一式三聯(lián)，基本內(nèi)容與式樣、聯(lián)次用途標(biāo)示等要吻合甲方的要求。必需填寫由甲方注冊編號的乙方供應(yīng)商朝碼、購買定單編號、物料代碼、物料描述、送貨數(shù)目、送貨人簽字（須簽全名）等信息。送貨單上的因素及數(shù)目必需與實物、標(biāo)示吻合。相同物料、不相同定單編號的開單須謹(jǐn)慎，按先下單先開單的準(zhǔn)則將先期定單清完，待檢退貨定單還原的狀況另行辦理。如未按先后遞次開單形成甲方數(shù)據(jù)紛雜的，甲方有官僚求乙方付出人民幣伍佰圓的違約金。Atdelivery,PartyBisrequiredtoprovideformalDeliveryNote.TheDeliveryNoteisre

36、isteredandcodedbyPartyAarerequired.ThefactorsandquantityontheDeliveryNotemustbebeconsistentwithactualdeliveryandinstructions.Greatcareisrequiredforbillingofthesamematerialwithdifferentpurchaseordernumbers,andtheprincipleof“first-in-first-out”mustbefollowed.Resumedpurchaseordersthathavebeenrejectedan

37、dheldforinspectionshallbeprocessedseparately.IncasedataconfusioniscausedtoPartyAasPartyBfailstofollow“first-in-first-out”principle,PartyAhastherighttoclaimagainstPartyBforRMB500ascompensationforbreachofcontract.7.5報關(guān)資料的供應(yīng)（若乙方境內(nèi)交貨則無此條款）Provisionofcustomsinformation(NosuchclausefordeliveryplaceinChina

38、.)乙方必需在交托貨物前4天供應(yīng)詳細的裝箱清單和發(fā)票、凈重、毛重、品牌、原產(chǎn)地、生產(chǎn)商等資料，并將其即時正確地傳真至甲方定貨協(xié)議指定的傳真上，同時與甲方指定聯(lián)系人聯(lián)系確認。PartyBisrequiredtoprovidedetailedinformationincludingpackinglist,invoice,netweight,grossweight,brand,placeoforiginandmanufacturer4dayspriortodelivery,andtimelyfaxtheinformationtothefaxnumberofPartyAspecifiedinPurch

39、aseContract,andcontacttheappointedcontactpersonbyPartyAforconfirmation.乙方送貨貨物型號、外箱表記必需與供應(yīng)的資料一致；TypesofproductsandcartonmarksprovidedbyPartyBmusttheconsistentwiththeinformationsubmitted;7.5.2乙方送貨的外包裝箱上的產(chǎn)地、品牌表記必需與供應(yīng)的資料一致；Placeofproduction,brandmarksoncartonmustthesameastheinformationprovidedbyPartyB;7

40、.5.3凡產(chǎn)地是日本、韓國、歐盟、美國的貨物，乙方必需供應(yīng)無木質(zhì)包裝證明書；PartyBshallprovidecertificatesofnon-woodpackingforallproductswithoriginalplaceofJapan,Korea,EuropeanUnionandUSA;乙方所送貨物的型號、產(chǎn)地、生產(chǎn)工藝等在供應(yīng)給甲方以上資料后有全部變動，必需在交貨前即時以書面文件通知甲方指定聯(lián)系人。Incaseofanymodificationininformationconcerningmodel,placeoforiginandproductionprocessofthepr

41、oductsprovidedbyPartyBtoParty,PartyBisrequiredtotimelynotifytheappointedcontactpersonofPartyAinwritingbeforedelivery.乙方交給甲方的貨物數(shù)目（指外包裝上標(biāo)示的數(shù)目）應(yīng)與乙方供應(yīng)給甲方報關(guān)資料上的貨物數(shù)目一致，若有不符，乙方應(yīng)馬上通知甲方。若乙方通知甲方時甲方未部署報關(guān)，則甲方有官僚求乙方付出人民幣貳萬圓凡是的違約金；若乙方通知甲方時甲方已部署報關(guān)，則乙方需擔(dān)當(dāng)甲方所以形成的全部缺失（包含但不限于海關(guān)罰沒、報關(guān)開銷等），同時甲方有官僚求乙方付出人民幣伍萬圓凡是的違約金。Quanti

45、AhastherighttoclaimagainstPartyBforRMB50,000foreachbreachofcontractaspenalty.7.6收貨（若乙方境外交貨則無此條款）Receiving(NosuchclausefordeliveryplaceoutsideChina.)甲方收到乙方貨物后，開具品檢暫收單，如查收及格，乙方七個工作此后即可憑甲方發(fā)放的“供應(yīng)商身份鑒識IC卡”到甲方領(lǐng)取經(jīng)過甲方貨倉簽字的送貨單供應(yīng)商請款聯(lián)。經(jīng)過甲方貨倉簽字的送貨單看作乙方請款的重要憑據(jù)，乙方須穩(wěn)固保存、不得喪失。乙方每拋棄一份送貨單需付出違約金人民幣伍拾圓，如乙方本未拋棄送貨單而開出送貨單
