General Provision總則 Pursuant to the PRC Labor Law, the PRC Employment Contract Law and other relevant PRC laws and regulations, through mutual consul

3、tation and agreement on the basis of legality, fairness, equality, voluntariness, and good faith, the Company and Employee hereby enter into this Contract and abide by the terms hereof. 根據(jù)中華人民共和國(guó)勞動(dòng)法、中華人民共和國(guó)勞動(dòng)協(xié)議法和相關(guān)法律法規(guī),公司和職工或員工遵循合法、公平、平等自愿、誠(chéng)實(shí)信用的原則,經(jīng)協(xié)商達(dá)成一致,簽訂本協(xié)議,共同遵守本協(xié)議所列條款。 Appendix One, Confidentia

4、lity, Intellectual Property, Non-Solicitation and None-Compete Agreement, and Appendix Two, Job Duties and Recruitment Requirement, are components of this Contract. 附件一, 保密、知識(shí)所有權(quán)、禁止招攬和競(jìng)業(yè)限制協(xié)議,以及 附件二:工作職責(zé)和錄用條件,是本協(xié)議的組建部分。 II. Term of the Contract協(xié)議期限 2. Term 協(xié)議期限 This Contract is a fixed term employmen

5、t contract. The term of this Contract is three years, from Aug. 1, xx to Jul.31, xx . The probation period shall be 6 months, from August 1, xx to Jan.31, xx , and it is included in the term of this Contract. Prior to the expiration date of the contract term, the Company will notify the Employee in

6、writing regarding its decision whether or not to extend or renew the contract term. If the Company decides to extend or renew the contract term, the Employee agrees to use his/her best efforts to assist with the completion of relevant extension or renewal procedures before the expiration date of the

7、 current contract term. 本協(xié)議為固定時(shí)限勞動(dòng)協(xié)議,協(xié)議期限為三年,自 年 月 日起至 年 月 日止,其中試用期為 月,自 年 月 日起至 年 月 日止。試用期應(yīng)包括在本協(xié)議期限內(nèi)。本協(xié)議期滿前,公司將書面通知職工或員工是否延長(zhǎng)或續(xù)訂本協(xié)議。若公司決定延長(zhǎng)或續(xù)訂本協(xié)議的,職工或員工應(yīng)在協(xié)議期限屆滿之前配合履行相關(guān)延長(zhǎng)或續(xù)訂手續(xù)。 III. 8、ces to the Company in the position of Head of Regulatory Affairs, VP , and the Employees current workplace is in Beijing city. 職工或員工的工作崗位為 ,職工或員工的工作地點(diǎn)為 。 Employee shall perform job duties and responsibilities in accordance with the job duties specified in Appendix Two. 職工或員工應(yīng)根據(jù)附件二的內(nèi)容履行工作職責(zé)。 4. Adjus

9、tment of the Position, Duties and Workplace 工作崗位、職責(zé)和地點(diǎn)的調(diào)整 The Employee agrees that the Company reserves the full discretion to adjust the Employees position, duties and workplace, according to its business needs and the Employees work performance. At the Companys sole discretion, the Employee may be

10、 dispatched to work at the Companys branch offices. 職工或員工同意公司有權(quán)根據(jù)經(jīng)營(yíng)管理的需要及職工或員工自身的工作表現(xiàn),依法調(diào)整職工或員工的工作崗位、職責(zé)及地點(diǎn)。根據(jù)公司決定,職工或員工可被外派至公司的分支辦事處工作。 5. Standard of Work Performance 工作標(biāo)準(zhǔn) The Company has a performance evaluation system. The Employees standard of work performance shall be determined according to th

11、is system and the employees work duties. The Employee shall complete all work assigned by the Company and meet the stipulated working standard. 公司實(shí)行績(jī)效考核制度。職工或員工的工作標(biāo)準(zhǔn)依照公司績(jī)效考核制度及其工作職責(zé)確定。職工或員工應(yīng)履行公司指派的工作,達(dá)到規(guī)定的工作標(biāo)準(zhǔn)。 6. No Conflict of Interests 禁止權(quán)益沖突 During the term of this Contract, the Employee shall n

12、ot take any other paid employment without prior written approval of the Company, and shall not provide any external consulting services to any third party without prior written approval of the Company. 在本協(xié)議期限內(nèi),未經(jīng)公司事先書面批準(zhǔn),職工或員工不得受雇于第三方并取得任何形式的報(bào)酬,也不得向第三方提供任何咨詢服務(wù)。 IV. Working Hours, Rest and Vacations工

13、作時(shí)間和休息休假 7. Working Hours 工作時(shí)間 Standard working hours system: The Employee generally works no more than 8 hours a day and no more than 40 hours a week. The Employees office working hours are 9.00 a.m. to 6.00 p.m.(including one hour lunch time)from Monday to Friday. The Employee may be required to w

14、ork overtime occasionally, depending on the actual conditions. 標(biāo)準(zhǔn)工時(shí)工作制:職工或員工每天工作時(shí)間不超過八小時(shí),每周工作時(shí)間不超過四十小時(shí)。職工或員工具體工作時(shí)間為周一至周五上午9:00至下午6:00 (包括一小時(shí)午餐時(shí)間)。根據(jù)實(shí)際情況職工或員工可能被要求加班。 8. Overtime加班加點(diǎn) For Employee subject to standard working hours system or cumulative working hours system, they shall get supervisors p

15、rior written approval in order to work overtime. Company will act in accordance with national laws and regulations, workplace regulations, as well as company internal policy to provide alternative time off for accrued overtime, or provide overtime pay to the Employee. 實(shí)行標(biāo)準(zhǔn)工時(shí)制和綜合計(jì)算工時(shí)制的職工或員工因工作需要需加班加點(diǎn)

16、的,應(yīng)當(dāng)事先取得上級(jí)的書面批準(zhǔn)。公司將根據(jù)國(guó)家和工作地的規(guī)定,及公司規(guī)章制度的規(guī)定,為職工或員工依法安排同等時(shí)間補(bǔ)休,或向其支付加班工資。 9. Vacations 休假 The Employee shall enjoy the Chinese public holidays, paid annual leave, marriage leave, maternity leave, and other leave periods applicable to him/her in accordance with PRC laws. The Employee shall take leave bas

17、ed around the business arrangement of the Company and follow relevant approval procedures for taking any leave so as to ensure that the business of the Company will not be adversely affected due to the absence of the Employee. 職工或員工將依法享受國(guó)家法定節(jié)假日、法定帶薪年休假、婚假、產(chǎn)假及其他適用于其本人的休息休假。職工或員工應(yīng)根據(jù)公司的業(yè)務(wù)需要、依照相關(guān)休假審批程序安

18、排各種休假,以保證公司的業(yè)務(wù)不會(huì)因其休假受到不利影響。 Under the Companys policy, you will be entitled to 12 working days annual leave (statutory paid annual leave included and including 2 fixed annual leave days arranged by the Company). Unused extra company holidays (maximum 5 days) can be carried over to next calendar year

19、 before February. 根據(jù)公司規(guī)定,您將取得每年12 個(gè)工作日的年假(法定帶薪年假包括在內(nèi), 并包括2天公司統(tǒng)一固定年假)。未使用的酌情額外年假(不超過5天)可結(jié)轉(zhuǎn)到下個(gè)年度2月份前使用。 If under relevant PRC laws and regulations, you are entitled to more than 12 paid annual leave days, you will enjoy those statutory annual leave days and the Company will not provide you with any ad

20、ditional annual leave days. 如根據(jù)中國(guó)法律法規(guī),您有權(quán)享受超過12天的年假,您將享有該等年假,且公司不向您提供任何額外的年假。 V. Remuneration勞動(dòng)報(bào)酬 10. Salaries工資 During the probationary period, the monthly gross salary of the Employee is RMB 85,000 . After the probationary period, the monthly gross salary of the Employee is RMB 85,000 . 職工或員工在試用期內(nèi)

21、每月工資為稅前人民幣 元。試用期滿后每月工資為稅前人民幣 元。 11. Salary Adjustment工資調(diào)整 The Company normally reviews the salaries of employees yearly. Adjustments are made on the basis of individual work performance, the Companys operating conditions, the inflation rate, and market salary survey data provided by authoritative in

22、stitutions, but this does not imply that salary increases will be rewarded. 公司每年將審核職工或員工的工資水平。根據(jù)職工或員工的工作表現(xiàn)、公司的經(jīng)營(yíng)狀況、通貨膨脹率及由權(quán)威機(jī)構(gòu)發(fā)布的市場(chǎng)薪酬調(diào)查數(shù)據(jù),公司有權(quán)調(diào)整職工或員工的工資,但這并不代表公司一定會(huì)加薪。 12. Payment of Salaries 工資支付 The Company shall pay the Employees salary in arrears, which will be paid via bank transfer on the 30th

23、 day of each month. If the salary payment date falls on a rest day or a public holiday, the salary shall be paid on the working day immediately prior to it. The salary will be pro rated on a daily basis in accordance with the relevant PRC laws and regulation for any periods of less than one full cal

24、endar month during the term of this Contract. 公司將于每月30日通過銀行轉(zhuǎn)賬的方式向職工或員工支付當(dāng)月的工資。如工資支付日是法定休息日或節(jié)假日的,則工資應(yīng)提前在最近的工作日支付。如職工或員工于本協(xié)議履行期間某月實(shí)際工作天數(shù)少于整個(gè)日歷月的,工資將依法按比例以日計(jì)發(fā)。 The Company will deduct the social security and housing fund contributions, and any other payments that the Employee is liable for under applic

25、able law when paying the monthly salary. 公司在向職工或員工支付每月工資時(shí),將自職工或員工工資中扣除社會(huì)保險(xiǎn)、住房公積金及任何其他依法應(yīng)由職工或員工個(gè)人自行承擔(dān)的費(fèi)用。 The Employees first and last months salary shall be paid according to the salary payment regulations of the Company. 職工或員工入職及離職月份的工資,根據(jù)公司工資支付制度處理。 13. Bonus 獎(jiǎng)金 In addition to the above salary, th

26、e Company has the total discretion to decide on the bonus payment (if any). It is completely subject to the Companys discretion to decide the eligibility, amount and payment method of the said discretionary bonus. As a condition precedent, the Employee shall remain a Companys regular employee (i.e.

27、without receiving termination notice or send resignation notice) on the date of bonus disbursement. To avoid any doubt, the Company has no legal obligation to provide the bonus. 除上述工資外,公司有權(quán)自主決定是否給職工或員工發(fā)放獎(jiǎng)金。該獎(jiǎng)金是否支付以及支付方式、支付數(shù)額將完全由公司決定。在獎(jiǎng)金實(shí)際支付當(dāng)天,職工或員工與公司之間的勞動(dòng)關(guān)系必須存續(xù),且各方均未于該日或之前向?qū)Ψ桨l(fā)出解除或終止勞動(dòng)關(guān)系的通知,否則職工或員工無(wú)

28、權(quán)取得獎(jiǎng)金。但無(wú)論如何,向職工或員工發(fā)放獎(jiǎng)金并非公司的義務(wù)。 14. Individual Income Tax個(gè)人所得稅 Cash compensation is accounted on a gross basis and is paid in local currency. It is the Employees obligation to pay individual income tax according to PRC laws. The Company will withhold the income tax from each payment accordingly. 職工或員

29、工工資為扣稅前數(shù)額,并將以當(dāng)?shù)赝ㄓ玫呢泿判问桨l(fā)放。職工或員工有義務(wù)根據(jù)中國(guó)法律支付個(gè)人所得稅。公司將依法從支付給職工或員工的每筆費(fèi)用中,扣除職工或員工應(yīng)當(dāng)支付的個(gè)人所得稅。 15. Salary Information 工資信息 The Employees salary information is confidential. The Employee shall not discuss with or disclose such information to any third party (including other colleagues of the Company), except

30、 to his/her immediate supervisor or head of the human resource department. The Employee may seek advice from the human resources department regarding any questions about his/her remuneration. 職工或員工的工資信息為保密信息,職工或員工不得與任何第三方(包括公司的其他職工或員工)討論或向其披露該等事項(xiàng),但與直接上級(jí)或人力資源部門主管討論除外。職工或員工如對(duì)其勞動(dòng)報(bào)酬有疑問,可以直接向人力資源部門提出。 VI

31、. Benefits福利 16. Statutory Social Insurance and Housing Fund 法定社會(huì)保險(xiǎn)及住房公積金 The social insurance and other statutory benefits of the Employees will be executed in accordance with the national or local laws, regulations and the internal rules and policies of the Company. The Company shall go through re

32、levant procedures and shall withhold and deduct the contributions that the Employee is liable for per the PRC laws. Where the Employee, for personal reasons, fails to transfer his/her social relationship such as social insurance to the Company within the time limit required by the Company, thereby c

33、ausing the Company to fail to make its contributions on time and suffer further losses (such as overdue fine or penalty) in addition to repayment of the contributions, the Company reserves the right to claim compensation from the Employee for the additional losses. 社會(huì)保險(xiǎn)及其他法定福利將依照國(guó)家或工作地法律法規(guī)及公司規(guī)章制度執(zhí)行。

34、公司為職工或員工辦理關(guān)于手續(xù),并依法代扣代繳職工或員工依法應(yīng)自行承擔(dān)的費(fèi)用。因職工或員工個(gè)人原因未能依照公司要求的時(shí)間將社會(huì)保險(xiǎn)等關(guān)系轉(zhuǎn)入公司,致使公司未能及時(shí)為其支付費(fèi)用,且因此致使公司受到其他損失(如延遲履行金、罰款等)的,公司保留向職工或員工追償損失的權(quán)利。 Upon the end or termination of this Contract, the formalities shall be dealt with in accordance with the relevant PRC laws and regulations. 當(dāng)各方終止或解除本協(xié)議后,關(guān)于手續(xù)依照國(guó)家關(guān)于規(guī)定執(zhí)行

35、。 17. Work-related Injury Insurance工傷保險(xiǎn) The Company provides work-related injury insurance for the Employee. If the Employee suffers from work-related illnesses or injuries, he/she will be entitled to the benefits as stipulated by PRC laws. 公司向職工或員工提供工傷保險(xiǎn)。職工或員工患職業(yè)病或因工負(fù)傷的,其待遇依照國(guó)家關(guān)于規(guī)定執(zhí)行。 VII. Labor Pr

36、otection and Working Conditions勞動(dòng)保護(hù)和勞動(dòng)條件 18. Labor Protection and Working Conditions勞動(dòng)保護(hù)和勞動(dòng)條件 The Company shall provide the Employee with appropriate working conditions, facilities/equipment, and labor protection in accordance with PRC laws, as well as the management needs of the Company. 公司將根據(jù)中國(guó)法律和

37、公司經(jīng)營(yíng)管理的需要為職工或員工提供適當(dāng)?shù)膭趧?dòng)條件、勞動(dòng)設(shè)備/設(shè)備及勞動(dòng)防護(hù)用品。 VIII. Internal Company Policies內(nèi)部規(guī)章制度 19. Formulation of the Internal Company Rules and Policies 規(guī)章制度的制定 The Company is entitled to periodically formulate or revise its internal company rules and policies. The Company will notify or publicize the Employee any

38、 internal rules and policies so formulated or revised. 公司有權(quán)根據(jù)經(jīng)營(yíng)管理需要,定時(shí)依照法律法規(guī)制定或修訂其內(nèi)部規(guī)章制度。公司將制定或修訂后的規(guī)章制度告知職工或員工或進(jìn)行公示。 20. Disciplinary Actions towards Violation of Internal Company Rules and Policies 違反規(guī)章制度的處分 If the Employee breaches the internal company rules and policies, the Company may take disc

39、iplinary actions against him/her up until the termination of this Contract according to provisions of this Contract, relevant internal rules and policies and relevant PRC laws. 職工或員工違反公司規(guī)章制度的,公司有權(quán)根據(jù)本勞動(dòng)協(xié)議、相關(guān)內(nèi)部規(guī)章制度及中國(guó)法律對(duì)其進(jìn)行紀(jì)律處分,直至解除勞動(dòng)協(xié)議。 IX. Confidentiality保密 21. Confidential Obligation 保密義務(wù) The Emplo

40、yee agrees to execute a confidentiality agreement with the Company. The Employee hereby agrees to abide by the confidentiality obligations, and violation of such obligations will result in disciplinary actions up until the termination of this Contract. 職工或員工同意與公司簽訂一份保密協(xié)議。職工或員工同意遵守保密義務(wù)。職工或員工違反保密義務(wù)將受到

41、公司的紀(jì)律處分,直至解除勞動(dòng)協(xié)議。 X. Amendment, Termination, End, and Renewal of the Contract 協(xié)議的變更、解除、終止和續(xù)訂 22. Amendment of the Contract 協(xié)議的變更 Parties shall properly go through amendment procedures and may amend this Contract if (a) the Company unilaterally decides to amend the Contract to the extent permitted by

42、 PRC laws and local regulations; or (b) the Company and the Employee reach an agreement through consultation. 各方應(yīng)適當(dāng)履行變更程序,若(a)公司在國(guó)家及工作地規(guī)定允許范圍內(nèi)單方?jīng)Q定變更;或(b)經(jīng)公司與職工或員工各方協(xié)商一致時(shí),本協(xié)議可以變更。 23. Termination Based on Mutual Agreement 協(xié)商解除 This Contract may be terminated if the Parties mutually agree to the termi

43、nation. 經(jīng)各方協(xié)商一致,可以解除本協(xié)議。 24. Unilateral Termination by the Company With Immediate Effect公司單方立即解除 The Company may immediately terminate this Contract without making any severance pay to the Employee by giving notice of termination at any time under any of the following circumstances: 職工或員工有下列情形之一的,公司

44、有權(quán)隨時(shí)通知職工或員工解除本協(xié)議,而無(wú)需支付經(jīng)濟(jì)補(bǔ)償:(1)where the Company proves that the Employee has failed to meet the recruitment requirements (please refer to Appendix One) during theprobation period ;在試用期間被證明不符合錄用條件(見附件一)的;(2)where the Employee has seriously violated the internal rules and policies of the Company;嚴(yán)重違反公

45、司規(guī)章制度的;(3)where the Employee has committed a serious dereliction of duty or engaged in corrupt practices, causing substantial damage to the interests of the Company;嚴(yán)重失職,營(yíng)私舞弊,對(duì)公司權(quán)益造成重大損害的;(4)where the Employee is subject to criminal liabilities or labor education and rehabilitation;被依法追究刑事責(zé)任或勞動(dòng)教養(yǎng)的;(

46、5)where the Employee has established an additional employment relationship with another business that materially affects the employees performance of tasks assigned by the Company, or refuses to rectify the situation after the same is brought to his/her attention by the Company;職工或員工同時(shí)與其他用人單位建立勞動(dòng)關(guān)系,

47、對(duì)履行公司的工作任務(wù)造成嚴(yán)重影響,或者經(jīng)公司提出拒不改正的;(6)where the Employee uses such means as deception, coercion or exploitation of the Companys difficult situation to cause the Company to sign this Contract, or to make an amendment thereto, that is contrary to the Companys true intent; or職工或員工以欺詐、脅迫的手段或乘人之危,致使公司在違反真實(shí)意思的

48、情況下訂立或者變更本協(xié)議的;或(7)other circumstance occurs as provided by the PRC laws and regulations.法律法規(guī)規(guī)定的其他情形。25. Unilateral Termination by the Company With Prior Notice 公司單方提前通知解除 Under any of the following circumstances, the Company may unilaterally terminate this Contract: 職工或員工有以下情形之一的,公司可單方解除本協(xié)議:(1)where

49、 the Employee suffers from an illness or a non-work-related injury and is unable to take up the original work or any other work assigned by the Company to him/her upon the conclusion of his/her medical treatment leave;職工或員工患病或非因工負(fù)傷,在規(guī)定的醫(yī)療期滿后,未能從事原工作,也未能從事由公司另行安排的工作的;(2)where the Employee is unable t

50、o competently perform the work responsibilities and remains incompetent after undergoing a training or being assigned to another position;職工或員工未能勝任工作,經(jīng)過培訓(xùn)或調(diào)整工作崗位,仍未能勝任工作的;(3)where a material change to the objective circumstances under which this Contract was executed has occurred and rendered this C

51、ontract unenforceable, and the Parties have failed to reach an agreement on an amendment to this Contract after consultation; or協(xié)議訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使本協(xié)議無(wú)法履行,經(jīng)公司與職工或員工協(xié)商,未能就變更本協(xié)議內(nèi)容達(dá)成一致的;或(4)other circumstance occurs as provided by the PRC laws and regulations.法律法規(guī)規(guī)定的其它情形。However, for termination und

52、er any of the above circumstances, the Company will provide thirty (30) days prior written notice or the Employees last month salary in lieu of notice to the Employee. 但是,公司因上述原因解除本協(xié)議的,應(yīng)當(dāng)提前三十(30)日書面通知職工或員工或依照職工或員工上一個(gè)月的工資標(biāo)準(zhǔn)向職工或員工支付代通知金。 26. Downsizing經(jīng)濟(jì)性裁員 If any of the following circumstances makes

53、it necessary to reduce the workforce by 20 persons or more or by a number of persons that is less than 20 but accounts for 10 percent or more of the total number of the enterprises employees, the Company may reduce the workforce after it has explained the circumstances to its trade union or to all o

54、f its employees 30 days in advance, has considered the opinions of the trade union or the employees and has subsequently reported the workforce reduction plan to the labour administrative authorities: 有下列情形之一,需要裁減人員20人以上或者裁減不足20人但占公司職工或員工總數(shù)10%以上的,公司提前30日向工會(huì)或者全體職工說明情況,聽取工會(huì)或者職工的建議或意見后,裁減人員方案經(jīng)向勞動(dòng)行政部門報(bào)告

55、,可以裁減職工或員工:(1)the Company is restructuring pursuant to the Enterprise Bankruptcy Law;公司依照企業(yè)破產(chǎn)法規(guī)定進(jìn)行重整的;(2)the Company experiences serious difficulties in production and/or business operations;公司生產(chǎn)經(jīng)營(yíng)發(fā)生嚴(yán)重困難的;(3)the Company switches production, introduces a major technological innovation or revises its

56、business method, and, after amending of employment contracts, still needs to reduce its workforce; or公司轉(zhuǎn)產(chǎn)、重大技術(shù)革新或者經(jīng)營(yíng)方式調(diào)整,經(jīng)變更勞動(dòng)協(xié)議后,仍需裁減人員的;或(4)there are other major changes in the objective economic circumstances relied upon at the time of conclusion of this Contract, rendering it impossible to perfo

57、rm.其他因勞動(dòng)協(xié)議訂立時(shí)所依據(jù)的客觀經(jīng)濟(jì)情況發(fā)生重大變化,致使勞動(dòng)合同無(wú)法履行的。27.
