IntellectualProperty:

6.1Ownership

Allintellectualpropertycreatedaspartoftheproject,includingcurriculummaterialsandtrainingresources,shallbeownedtheInstitution.ThePartnerretainsnorightstothisintellectualpropertybeyondthescopeofthisAgreement.

6.2UsageRights

TheInstitutiongrantsthePartneralimited,nonexclusiverighttousetheintellectualpropertysolelyforthepurposesoftheproject.

EvaluationandReporting:

7.1Evaluation

Theprojectwillbeevaluatedbasedontheagreedobjectivesanddeliverables.Performancemetricsandevaluationcriteriawillbeestablishedandreviewedperiodically.

7.2Reporting

ThePartnerwillprovideregularprogressreportstotheInstitution,includingupdatesonprojectmilestones,challengesencountered,andimpactassessments.

DisputeResolution:

8.1Negotiation

IncaseofdisputesarisingunderthisAgreement,thepartiesagreetoresolvesuchdisputesthroughgoodfaithnegotiation.

8.2Arbitration

Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtoarbitrationinaccordancewiththerulesof______________________________(ArbitrationInstitution).Thearbitrator'sdecisionshallbefinalandbinding.

9.1TerminationMutualAgreement
