etherwrittenororal.14.2不可分割性第二部分：第三方介入后的修正15.第三方介入的定義和范圍15.1第三方介入的定義ForthepurposesofthisAgreement,"ThirdParty"meansanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisinvolvedintheperformanceorfulfillmentofthisAgreement.15.2第三方介入的范圍TheinvolvementofaThirdPartyinthisAgreementmayinclude,butisnotlimitedto,theprovisionofservices,theperformanceofobligations,ortheassumptionofresponsibilitiestheThirdParty.16.第三方介入的義務(wù)和責(zé)任16.1第三方介入的義務(wù)AThirdPartyshallperformitsobligationsunderthisAgreementinatimely,efficient,andmannerconsistentwiththetermsandconditionsofthisAgreement.16.2第三方介入的責(zé)任AThirdPartyshallberesponsibleforanylossordamagecauseditsfaultyperformanceornonperformanceofitsobligationsunderthisAgreement.17.第三方介入的賠償責(zé)任17.1第三方介入的賠償責(zé)任17.2第三方介入的責(zé)任限額TheliabilityofaThirdPartyforanylossordamageshallnotexceedtheamountspecifiedinthisAgreement.18.第三方介入的違約處理18.1第三方介入的違約情形IfaThirdPartybreachesthisAgreement,thenonbreachingpartyshallhavetherighttoclaimdamagesand/orspecificperformanceagainstthebreachingparty.18.2第三方介入的違約責(zé)任IntheeventofabreachofthisAgreementaThirdParty,thenonbreachingpartyshallhavetherighttoclaimdamagesand/orspecificperformanceagainstthebreachingparty.19.第三方介入的爭(zhēng)議解決19.1第三方介入的爭(zhēng)議解決方式AnydisputesarisingoutoforinconnectionwiththeperformanceornonperformanceofobligationsaThirdPartyunderthisAgreementshallberesolvednegotiationfirst.Ifthenegotiationfails,eitherpartymaysubmitthedisputetothePeople'sCourtwithjurisdictionovertheplacewherethedefendantislocated.19.2第三方介入的仲裁Ifthepartiesagreeinwriting,thedisputemayalsobesubmittedtoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC).Thearbitrationawardshallbefinalandbindingupontheparties.20.第三方介入的簽署和生效20.1第三方介入的簽署TheinvolvementofaThirdPartyinthisAgreementshallbeevidencedawrittenagreementsignedtheparties.20.2第三方介入的生效21.第三方介入的保密條款21.1第三方介入的保密內(nèi)容21.2第三方介入的保密期限TheconfidentialityobligationsofaThirdPartyunderthisArticleshallcontinueforaperiodoftwo(2)yearsfromthedateofthisAgreement.22.第三方介入的其他約定22.1第三方介入的其他內(nèi)容AnyothermattersnotprovidedforinthisAgreementwithrespecttotheinvolvementofaThirdPartyshallbedeterminedmutualagreementoftheparties.23.第三方介入的修改和補(bǔ)充23.1第三方介入的修改ThisAgreementmaybeamendedorsupplementedthepartiesinwritingfromtimetotimetoaddresstheinvolvementofaThirdParty.23.2第三方介入的補(bǔ)充ThisAgreementmaybesupplementedattachmentsorschedulessignedthepartiestoaddresstheinvolvementofaThirdParty,whichshallbeanintegralpartofthisAgreement.24.第三方介入的完整性和不可分割性24.1第三方介入的完整性ThisAgreement,includingitsamendmentsandsupplementsrelatedtotheinvolvementofaThirdParty,constitutestheentireagree
