NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,theBuyerandtheSelleragreeasfollows:

1.DescriptionofGoods:

TheSellershallsupplytheBuyerwith[ProductDescription],whichshallbeinaccordancewiththespecifications,quality,andquantitysetforthintheattachedProductSpecificationSheet(Attachment1).

2.Quantity:

3.PriceandPaymentTerms:

5.Insurance:

TheSellershallarrangeandpayfortheinsuranceofthegoodsduringtransportation.Theinsurancepolicyshallcover[InsuranceCoverage]andshallbeissuedby[InsuranceCompany].

6.Warranties:

TheSellerwarrantsthatthegoodsshallbefreefromdefectsandshallconformtothespecificationsandqualitysetforthintheattachedProductSpecificationSheet(Attachment1).Thewarrantyperiodshallbe[WarrantyPeriod]fromthedateofshipment.

7.ForceMajeure:

IntheeventofanydelayorfailureintheperformanceofthisContractduetoanycausebeyondthereasonablecontrolofeitherparty,suchaswar,naturaldisasters,orgovernmentregulations,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandshallbeexcusedfromitsobligationsunderthisContracttotheextentofsuchdelayorfailure.

8.GoverningLawandDisputeResolution:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputesshallbesubmittedto[ApplicableArbitrationInstitution]forarbitrationinaccordancewithitsrules.

9.EntireAgreement:

ThisContractconstitutestheentireagreementbetweentheBuyerandtheSellerandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

INWITNESSWHEREOF,theBuyerandtheSellerhaveexecutedthisContractasofthedatefirstabovewritten.

TheSellershallarrangeandpayfortheinsuranceofthegoodsduringtransportation.Theinsurancepolicyshallcover[InsuranceCoverage]andshallbeissuedby[InsuranceCompany].RiskoflossordamagetothegoodsshallpasstothePrincipalPartyuponshipment.

6.WarrantiesandLiability:

TheSellerwarrantsthatthegoodsshallbefreefromdefectsandshallconformtothespecificationsandqualitysetforthintheattachedProductSpecificationSheet(Attachment1).Thewarrantyperiodshallbe[WarrantyPeriod]fromthedateofshipment.TheSellershallbeliableforanybreachofwarrantyandshall,atitssolediscretion,replaceorrepairthedefectivegoodsorrefundthepurchaseprice.

7.ThirdParty'sRightsandObligations:

a.ActasthePrincipalParty'sAgentinfacilitatingthetransaction.

b.Allocateaportionofthegoodsforitsownuseorforresale.

c.Collectpaymentfromtheend-userandremittheproceedstothePrincipalParty.

TheThirdPartyshallbeobligatedto:

a.ComplywiththetermsandconditionsofthisContract.

b.MaintainconfidentialityofthePrincipalParty'sbusinessinformation.

c.NotengageinanyactivitythatmaybedetrimentaltothePrincipalParty'sinterests.

8.PrincipalParty'sRightsandInterests:

ThePrincipalPartyshallhavetherightto:

a.Receivethegoodsinaccordancewiththespecifications,quality,andquantitysetforthintheattachedProductSpecificationSheet(Attachment1).

b.DirecttheSellertoshipthegoodstotheThirdParty.

c.Inspectthegoodsuponreceiptand,intheeventofanydiscrepancy,requiretheSellertorectifytheissueorprovidearefund.

9.Seller'sObligationsandLimitations:

TheSellershallbeobligatedto:

a.SupplythegoodsasspecifiedintheattachedProductSpecificationSheet(Attachment1).

b.ComplywiththeprovisionsofthisContract.

c.NotengageinanyactivitythatmaybedetrimentaltothePrincipalParty'sinterests.

TheSellershallbesubjecttothefollowinglimitations:

a.NottoenterintoanyagreementsortransactionswiththeThirdPartythatmayconflictwiththetermsofthisContract.

b.NottoprovideanyincentivesordiscountstotheThirdPartythatarenotmutuallyagreeduponbythePrincipalParty.

10.Buyer'sandSeller'sDefaultandLimitations:

IntheeventofanybreachofthisContractbytheBuyerortheSeller,thenon-breachingpartyshallhavetherighttoterminatethisContractandseekdamagesorotherremediesavailableunderthelaw.

11.GoverningLawandDisputeResolution:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicableresolution,thedisputesshallbesubmittedto[ApplicableArbitrationInstitution]forarbitrationinaccordancewithitsrules.

TheinclusionoftheThirdPartyinthisContractservestoenhancethePrincipalParty'sabilitytomanageitssupplychainanddiversifyitssourcesofsupply.ByappointingtheThirdPartyasitsAgent,thePrincipalPartycanleveragetheThirdParty'sexpertiseandresourcestooptimizeitsoperationsandmaximizeitsprofits.ThePrincipalParty'srightsandinterestsareprioritized,ensuringthatitsobjectivesaremetwhileminimizingtherisksassociatedwiththetransaction.TheSeller'sobligationsandlimitationsareclearlydefined,protectingthePrincipalPartyfrompotentialbreachesoftheContract.TheoverallpurposeofthisContractistoestablishaframeworkforamutuallybeneficialrelationshipbetweenthePrincipalParty,theSeller,andtheThirdParty,withthePrincipalParty'sinterestsandrightsattheforefront.
