6.MaintenanceandRepairs
a.TheTenantshallmaintaintheWarehouseingoodconditionduringtheleaseterm,exceptfornormalwearandtear.
b.TheTenantshallberesponsibleforallrepairsandmaintenanceoftheWarehouse,unlessotherwiseagreeduponinwritingbytheLandlord.
7.Insurance
a.TheTenantshallobtainandmaintaininsurancecoveragefortheWarehouseanditscontents,namingtheLandlordasanadditionalinsured.
b.TheTenantshallprovidetheLandlordwithproofofinsuranceuponrequest.
8.AssignmentandSubletting
a.TheTenantshallnotassignorsublettheWarehousewithoutthepriorwrittenconsentoftheLandlord.
b.AnyassignmentorsublettingshallbesubjecttotheLandlord'sapprovalandshallbeinaccordancewiththetermsandconditionsofthisContract.
9.TerminationoftheLease
a.ThisContractmaybeterminatedbyeitherpartyuponprovidingtheotherpartywithawrittennoticeoftermination,inaccordancewiththefollowingconditions:
i.BytheTenant:TheTenantmayterminatethisContractuponprovidingtheLandlordwithawrittennoticeoftermination,atleast__________dayspriortotheterminationdate.
ii.BytheLandlord:TheLandlordmayterminatethisContractuponprovidingtheTenantwithawrittennoticeoftermination,iftheTenantbreachesanymaterialtermorconditionofthisContract.

10.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheWarehouseislocated.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifsuchnegotiationsfail,thedisputesshallbesubmittedtotheexclusivejurisdictionofthecompetentcourtsofthejurisdictionwheretheWarehouseislocated.

b.TheTenantshallhavetherighttoassignthisContracttoathirdpartywiththepriorwrittenconsentoftheLandlordandThirdParty.
8.LimitationsontheTenant
a.TheTenantshallnotsubletorassigntheWarehousewithoutthepriorwrittenconsentoftheLandlordandThirdParty.
b.TheTenantshallnotusetheWarehouseforanyillegalorhazardousactivities.
c.TheTenantshallmaintaintheWarehouseingoodconditionandcomplywithallapplicablelawsandregulations.
9.BreachofContractandConsequences
a.IntheeventofabreachofthisContractbytheTenant,theLandlordshallhavetherighttoterminatethisContractandclaimdamagesfromtheTenant.
b.TheThirdPartyshallbejointlyandseverallyliableforanybreachofthisContractbytheTenant,includingfailuretopayrentorcomplywiththetermsandconditionsofthisContract.
10.GoverningLawandDisputeResolution
