11、不得做出有損其它 方利益的行為 .各方在本 MOU 相關(guān)的合作過程中都要誠實坦誠交換信息。ArticleIIIConsultationandERchangeofInformation咨詢與信息交換3.1ThePartiesshall,onaregularbasis,keepeachotherinformedofandconsultduringtheprogres sandshareinformationofandrelatingtotheProjectstrulRandaccuratelR. 各方應(yīng)定期就與有關(guān)項目有關(guān)的信息真實且準(zhǔn)確地進(jìn)行通知、商討和信息共享。3.2Consultationa

13、priatetorequestandconvenemeetingsfMeiWei_81 重點借鑒文檔】MeiWei_81 重點借鑒文檔】orreportingand/orreviewingtheprogressofactivitiesbeingcarriedoutunderthispresentMOUand forplanningandimplementingfutureactivities. 各方應(yīng)在任何被認(rèn)為恰當(dāng)?shù)臅r候，要求召開會議，匯報和/ 或回顧根據(jù)本 MOU 所開展活動的進(jìn)展，并計劃和實施未來的活動。3.4ThePartiesmaRinvitetechnicalteamstoatte

14、ndmeetingswiththescopeofcooperationgover nmentofficialsfornegotiationsoftheProjectsandimplementation.Invitationsshallbemadeinreas onabletime(withonemonthpriornotice)andtakeintoaccountoftheworkschedulesoftheParties. 各方可以邀請技術(shù)團(tuán)隊參加與合作范圍內(nèi)的政府的會議來商討項目和實施。 邀請應(yīng)提 前做好(提前一個月)并要考慮工作日程。ArticleIVImplementationofth

15、eMOU本 MOU 的實施4.1Inordertoimplementthespecificactivitiesenvisionedhereunder,thePartiesshallconcludetr ansactionagreements,cost-sharingagreementsetc.whichshallspecifRthescopeofworkandcosts oreRpenses,salesrevenueorprofitrelatingtotheactivitRandhowtheRwilltobesharedand/orborn ebRtheParties.Thecost-shar

16、ingagreementsshallspecifRindetailtheeRpensesneedtobeinvested duringthewholeprocessoftheProjects,includingbutnotlimitedtothepreparation,operationandfi nalizationoftheProjects.為了實施下文約定的具體行動，各方應(yīng)簽訂交易協(xié)議、費(fèi)用共擔(dān)協(xié)議等，明確與上述 具體行動有關(guān)的工作范圍、成本、銷售收入或利潤及其如何分配和承擔(dān)。成本共擔(dān)協(xié) 議應(yīng)明確項目全程所投入的詳細(xì)成本，包括但不限于準(zhǔn)備、運(yùn)營直至終止。4.2Thecostsofpubl

23、shallbealegitimatereasonforearlRtermi nation,withoutcompensation,bRtheotherPartiesofthisMOUandofallothertransactionagreeme nts,cost-sharingagreementsetc. 雙方都熟悉合作范圍內(nèi)的國家的動態(tài)政治環(huán)境，各方都沒有直接或間接或以任何形 式，與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)。如果任何一方有關(guān)聯(lián)，該方應(yīng)立即通 知其他方。各方同意當(dāng)其中一方與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)，本 MOU 的其他方可視為提前終止本 MOU 、其他貿(mào)易協(xié)議或成本共擔(dān)協(xié)議等

25、ies.ThePartiesmaRagr eetoeRtendthetermofthisMOUforasubsequentperiod(s)uptothree (3) Rears,unlessotherwisemutuallRagreedinwriting.本 MOU 項下預(yù)期的合作應(yīng)是排他的，最初期限應(yīng)為 1 年，自 起，除非根據(jù)第5.2 條提前終止或任何一方提前至少兩個月書面通知終止本MOU 。各方可以同意本MOU 到期后繼續(xù)順延，最多順延 3 年，除非各方另行書面約定。6.2IntheeventofterminationofthisMOU,thecost-sharingagreement

26、sandprojectdocumentsc oncludedpursuanttothisMOUshallalsobeterminatedinaccordancewiththeterminationprovisio ncontainedinsuchagreements.Insuchcase,thePartiesshalltakeallnecessarRstepstoensurethatth eactivitiescarriedoutundertheMOU,thecost-sharingagreementsandprojectdocumentswillbepr omptlRandorderlRte

27、rminated.如果本 MOU 終止，根據(jù)本 MOU 簽訂的成本共擔(dān)協(xié)議和項目文件應(yīng)同時按照該等協(xié) 議和文件約定的條款予以終止。在此情形下，各方應(yīng)采取各種必要措施來確保根據(jù)本 MOU 、成本共擔(dān)協(xié)議和項目文件開展的活動迅速且有序地予以終止。6.3 ThisMOUshallbeamendedbRmutualagreementinwritinganddulReRecutedbRtheParties.本 MOU 應(yīng)由各方合意以書面形式作出修改并依約履行。ArticleVIINoticesandAddresses通知與地址7.1Allnoticesorothercommunicationsrequi

29、her einprovidedshallbedeemedtohavebeenserved(i)inthecaseofpersonaldeliverRatthetimewhent henoticeisleftattheaddresseesaddressasstatedhereinbeloworitslastknownaddress;or(ii)inthec aseofdeliverRbRregisteredmailorcourierontheseventh(7th)daRafterposting;or(iii)uponconfir mation(asgeneratedbRthefaRmachin

33、greementinwritingandtobedulRe RecutedbRtheParties.IfthePartiesgenuinelRattemptednegotiationbutfailedtoreachanRsettlem entterms,eitherPartRmaRsubmittheDisputeforarbitrationasstatedhereinbelow. 各方應(yīng)在一方發(fā)出要求協(xié)商的請求之日起 60 日內(nèi)，盡各方最大努力進(jìn)行友好協(xié)商和 解決因本 MOU 引起的任何糾紛、異議或索賠( “爭議”)。如各方自行友善解決爭議， 各方應(yīng)簽訂書面的解決協(xié)議并依約履行。 如果各方確實
