1、CONTRACT OF AUTHORIZATION ON PRODUCTS DISTRIBUTION甲方（廠商）： Party A (Manufacturer ):乙方 （經(jīng)銷商）： Party B ( Distributor ) :甲乙雙方本著平等互利， 協(xié)商一致的原則， 就甲方授權(quán)乙方在指定區(qū)域經(jīng)銷甲方產(chǎn)品的有關(guān)事宜，達(dá)成如下協(xié)議：On the basis of the principal of equality and mutual benefit, through friendly consultation, whereas Party A agrees to entrust Part

2、y B to sell the products of Party A in the appointed areas, now this presents witness that is hereby agreed between the parties hereto as follows.第一條 保證 GUARANTEE合同雙方保證自己是合法存在的法人組織，具有經(jīng)營(yíng)與經(jīng)銷本合同 指定產(chǎn)品的資格，并互換營(yíng)業(yè)執(zhí)照 ，稅務(wù)登記證等有關(guān)證件的復(fù)印件。Both parties hereto shall ensure their legal positions of corporate organiza

3、tions and the qualification to sell the products as specified in this Contract. Both parties shall exchange the duplicated documentations of relevant certificates such as business license and tax registration certificate.第二條 代理銷售區(qū)域范圍Distribution Area1. The distribution area authorized by Party A to

4、Party B is Austria;甲方授權(quán)乙方銷售甲方產(chǎn)品的行政區(qū)域?yàn)椋簥W地利；2. 乙方同意作為甲方在上述指定區(qū)域之代理商，并承諾全部履行本合同項(xiàng)下之義務(wù)。Party B agrees to be the agent in the area mentioned above and undertake all the obligations under this Contract.第三條 合作方式Cooperation Mode由甲方提供能源節(jié)電技術(shù)產(chǎn)品，由乙方負(fù)責(zé)在奧地利進(jìn)行推廣、銷售：Party A shall provide energy resources electricity

5、power saving / conservation technology products and Party B shall be responsible for the promotion and sales of the products:a) 甲方提供的產(chǎn)品，應(yīng)適于在奧地利銷售，并由締約雙方書面確定；The products supplied by Party A shall be suitable for the sales in Austria and shall be confirmed by both parties hereto in written form;b) 甲方

6、對(duì)由自己提供的產(chǎn)品的使用，負(fù)責(zé)為乙方進(jìn)行人員培訓(xùn)；Party A shall be responsible for the training of the personnel of Party B for the use of the products supplied by Party A;c) 甲方應(yīng)在本合同規(guī)定的范圍內(nèi)向奧地利WT 或其指定的其它港口出口合作產(chǎn)品；Party A shall export the products to WT or other ports appointed by it within the scope as specified in this contr

7、act;d) 甲方應(yīng)提供經(jīng)乙方指定的優(yōu)質(zhì)可銷的能源節(jié)電技術(shù)產(chǎn)品；Party A shall supply to the marketable resources electricity power saving / conservation technology products with high quality as specified by Party B;e) ）根據(jù)本合同合作的產(chǎn)品應(yīng)采用專門的商標(biāo)，由乙方在奧地利獨(dú)家經(jīng)銷；The products to be manufactured under this contract shall be specifically branded

8、as being produced for the exclusive distribution by Party B in Austria;f) 甲方具有向乙方生產(chǎn)和提供本合同規(guī)定的產(chǎn)品獨(dú)有權(quán)， 乙方具有接收由甲方根據(jù)本合同生產(chǎn)的產(chǎn)品的獨(dú)有權(quán)； 甲方不得與奧地利境內(nèi)的任何其它公司、 商號(hào)或個(gè)人進(jìn)行與本合同規(guī)定的產(chǎn)品有關(guān)的商業(yè)活動(dòng)， 應(yīng)賦予乙方對(duì)奧地利市場(chǎng)其它產(chǎn)品的優(yōu)先取舍權(quán)； 乙方不得與中國(guó)境內(nèi)的任何其它中國(guó)公司、 商號(hào)或個(gè)人進(jìn)行與本合同規(guī)定的產(chǎn)品有關(guān)的商業(yè)活動(dòng)， 應(yīng)賦予甲方其它產(chǎn)品的生產(chǎn)的優(yōu)先取舍權(quán)；Party A shall have the exclusive rights to pr

9、oduce and supply the products under this contract to Party B and Party B shall have the exclusive right to receive the products made by Party A under this contract. Party A shall not transact any business with any other Austrian Company, firm or individual with respect to products covered by this Co

10、ntract and shall give Party B the rights of the first refusal with respect to other products contemplated for the Austrian market and Party B shall not transact business with any other Chinese company, firm or individual with respect to the products covered by this contract and shall give Party A th

11、e right of the first refusal with respect to the production of other products from China.g) 乙方以自己的名義進(jìn)行本合同規(guī)定的下列事項(xiàng)：Party B shall use its name to do the following under this contract:h) i)在奧地利有關(guān)部門對(duì)產(chǎn)品進(jìn)行注冊(cè)；Register the products with the relevant authorities in Austria;（ii ）在奧地利進(jìn)行產(chǎn)品銷售。Market the products

12、in Austria第四條 合作所涉能源節(jié)電技術(shù)產(chǎn)品包括：Products Involved in Cooperation第五條 合同期限、首期采購(gòu)任務(wù)、年度銷售任務(wù)及獎(jiǎng)勵(lì).Term, Purchase Task of First Phase, Annual Sales Task and Rewarding1、 本合同有效期為_年，自 年 月 日起至 年 月 日止。This contract shall be valid and in operation for a period of five (5) years, commencing on _and terminated on _.2、

14、區(qū)域范圍和代理系列產(chǎn)品的權(quán)利。After the expiration of the validity of this contract, Party B may submit application for renewal by a 30 (thirty) days Prior notice. Where Party B complete the annual sales task as specified in this contract on schedule, Party B shall have the preemptive right to renew this contract

15、at the same condition for the distribution of the products in the area as specified in this contract.4、 銷售任務(wù)及獎(jiǎng)勵(lì)見(jiàn)附件。Refer to appendix for the sales task and rewarding in detail.第六條：產(chǎn)品采購(gòu)及付款方式Purchase of Products and Payment1. 在簽署本合同之日，乙方需向甲方交納2 萬(wàn)美元成約定金；乙方在本合同簽字蓋章后日內(nèi)完成首期采購(gòu)10 萬(wàn)美元任務(wù)，半年內(nèi)應(yīng)累計(jì)完成萬(wàn)元美元的銷售任務(wù)；一年內(nèi)

16、應(yīng)累計(jì)完成 萬(wàn)元美元的年度銷售任務(wù)。90Upon the date on which this contract is signed, Party B shall pay to Party A 20 thousand USD as contract guarantee fund; Party B shall complete the purchase task of first phase (100 thousand USD) within ninety (90) days upon and from the date on which both parties set the hands a

17、nd seals on this contract. At that time, the contract guarantee fund of ten thousand USD shall be converted into advance payment, and the lacking part according to article

19、 nine shall be subject to article nine.3. 剩余的 1 萬(wàn)美元成約定金轉(zhuǎn)為第二次交易的預(yù)付款。The remaining contract guarantee fund of ten thousand USD shall be converted as the advance payment of the second transaction.4. 訂貨時(shí)乙方應(yīng)向甲方指定辦事機(jī)構(gòu)發(fā)出書面訂貨單， 訂貨單應(yīng)有乙方法定代表人簽名并加蓋公章。 甲方收到訂貨單后確認(rèn)該筆訂貨是否有效。 如確認(rèn)訂貨有效， 則每份訂貨單及確認(rèn)函均構(gòu)成一份獨(dú)立有效的買賣合同， 本合同有

20、關(guān)付款方式， 交貨等相關(guān)條款可視為對(duì)該獨(dú)立合同的有效補(bǔ)充。Party B shall send the writtenorder to Party A, and the order shall be signed by the legalrepresentative of Party B and stamped by common seal. Upon the receipt of the order, Party Ashall confirm whetherthe order is valid. Where the orderis valid, each order and letterof

21、confirmation shall be an independent and valid sales contract. The payment mode and deliveryclauses as specified in this contract may be deemed as the valid addition of the independentcontract.5. 乙方書面訂貨單得到甲方確認(rèn)后，乙方在收到甲方確認(rèn)函后三天內(nèi)支付貨款總額的 30給甲方作為預(yù)付款， 其余 70%須在甲方發(fā)貨前三天支付給甲方。 付款日期均為貨款已到達(dá)甲方賬戶的日期。After the writ

24、ic of China (the specific standard of enterprises or issued by the Department or the People's Republic of China)（2） 但乙方所要求生產(chǎn)的產(chǎn)品質(zhì)量標(biāo)準(zhǔn)高于(1) 標(biāo)準(zhǔn)的, 乙方必須在甲方開始生產(chǎn)之前向甲方提出書面要求.Where Party B require that the quality of the products is higher than as specified in (1), Party B shall submit to Party A the writ

25、ten application before the production.（ 3） 在本合同期內(nèi)，每一批合作產(chǎn)品的數(shù)量和計(jì)量單位、計(jì)量方法、貨差規(guī)定及計(jì)算方法另行約定。Within the period of validity of this contract, the quantity, measurement, freight shortage and computation of the products of each lot shall be specified otherwise.第八條 交貨與運(yùn)輸Delivery and Shipment1. 每份經(jīng)甲方確認(rèn)后的訂貨單，甲方應(yīng)在

26、收到乙方全部貨款后3 個(gè)工作日內(nèi)發(fā)貨。For each order confirmed by Party A, Party A shall deliver the goods within three (3) working days upon and from the receipt of all the payment from Party B.2. 發(fā)生人力不可抗拒因素（不可預(yù)測(cè)、不可避免、不可克服等） ，使甲方不能按時(shí)供貨或乙方不能按時(shí)交付貨款的情況除外。Except Party A fails to deliver the goods on schedule or Party B f

27、ails to make the payment for the force majeure (unpredictable, unavoidable and insurmountable).3. 乙方可自行來(lái)甲方指定地點(diǎn)提貨， 亦可委托甲方代辦航空、 快遞等形式的托運(yùn)。 甲方承擔(dān)鐵路行包或汽運(yùn)及保險(xiǎn)的費(fèi)用（如鐵路，公路運(yùn)輸） 。如乙方要求特殊運(yùn)輸方式（如航空和快遞），需出具委托書，運(yùn)輸和保險(xiǎn)費(fèi)用由乙方承擔(dān)。甲方發(fā)貨后，將提貨單及發(fā)貨票隨后寄給乙方。Party B may come to the site appointed by Party A for goods and also may e

28、ntrust Party A to handle the air transportation and express delivery on behalf. Party A shall bear the expenses of freight charges and insurance expenses (for example, railway and road transportation). Where Party B requires special transportation mode (for example, air transportation and expressdel

29、ivery), Party B shall provide letter of authority and bear the freight charges and insurance expenses. Afterthe delivery of goods by Party A, Party A shall send the bill of goods and invoice to Party B.4. 乙方提貨時(shí)必須當(dāng)場(chǎng)開箱驗(yàn)貨。 如發(fā)生貨物缺失、 破損等， 乙方應(yīng)在提貨當(dāng)天向甲方提出書面通知甲方。并由相關(guān)承運(yùn)部門提供貨品缺失、破損證明，由雙方協(xié)商處理。When taking delive

30、ry of the goods, Party B shall make unpacking inspection on the site. Where any shortage, damages or loss is found, Party B shall notify Party A in written form in the same day. Relevant carrier shall issue the certificate of loss or damage, and the event shall be settled through friendly consultati

34、iled by Party A (subject tothe "Party Registration" sent by thedistributor), from the date on which the products is sold, Party A shall provide free maintenance service of two (2) years and whole-life maintenance with compensation.2 產(chǎn)品保修（換）原則Warranty (Replacement) Policy在甲方規(guī)定的產(chǎn)品保修期內(nèi)，在用戶嚴(yán)格按

35、照產(chǎn)品使用說(shuō)明書的規(guī)定對(duì)產(chǎn)品進(jìn)行了正確安裝，使用和維護(hù)的前提下， 如果確實(shí)由于產(chǎn)品的自身質(zhì)量問(wèn)題造成產(chǎn)品的各類故障， 甲方將免費(fèi)為用戶提供返修或調(diào)換貨品服務(wù)。Within the warranty period as specified by Party A, on the premise of proper installation, use andmaintenance according to the specification of the instruction of products, where the malfunction of the products is caused

36、by the quality themselves, Party A shall provide free replacement or free maintenance service.3 產(chǎn)品返修原則Reworking Policy of Products對(duì)于以下符合產(chǎn)品保修（換）原則規(guī)定的質(zhì)量問(wèn)題產(chǎn)品，甲方只能提供原貨品返修服務(wù)（不可調(diào)換）：For the following products with quality problem meeting the regulations of warranty (replacement) principal, Party A shall on

37、ly provide reworking service (without replacement):1) 為用戶特殊定做的大功率 (非常規(guī) )型號(hào)產(chǎn)品。Large power (unconventional) products specially produced for users.2) 用戶購(gòu)機(jī)安裝三個(gè)月后，發(fā)生質(zhì)量問(wèn)題，且可以進(jìn)行修復(fù)的產(chǎn)品。The products with quality problem that may be recovered three months later since installation.3) 購(gòu)機(jī)安裝三個(gè)月內(nèi)發(fā)生質(zhì)量問(wèn)題但可以修復(fù)的產(chǎn)品，經(jīng)與客戶

38、溝通并征得客戶同意，允許進(jìn)行產(chǎn)品返修的。The products with quality problem that may be recovered within three months since installationbut with the approval of the users for reworking.第十一條價(jià)格調(diào)整及利益保障條款Price Adjustment and Benefit Assurance為充分保障廣大經(jīng)銷商的利益，甲方在進(jìn)行產(chǎn)品價(jià)格體系調(diào)整時(shí)，將嚴(yán)格遵守以下承諾：To fully ensure the benefit of the distributo

39、rs, where Party A makes the price adjustment, Party A shall strictly abide by the following promise:1、 甲方保證產(chǎn)品價(jià)格體系正式調(diào)整前七個(gè)工作日將價(jià)格調(diào)整信息通知代理商。Within seven (7) working days before the formal adjustment of the price system, Party A shall notify the distribution of the relevant adjustment price information.2

40、、 對(duì)于甲方進(jìn)行產(chǎn)品價(jià)格體系調(diào)整前（以甲方正式執(zhí)行調(diào)整后的新價(jià)格體系日期為準(zhǔn)）已經(jīng)發(fā)生采購(gòu)的行為，甲方不負(fù)責(zé)進(jìn)行差價(jià)補(bǔ)償。Party A shall not be responsible for the price difference compensation for the purchase activity occurred before the price adjustment.第十二條雙方其他權(quán)利與義務(wù)Other Rights and Obligations1、 甲方的權(quán)利Rights of Party A1.1 有建議和指導(dǎo)乙方實(shí)施甲方制訂的市場(chǎng)營(yíng)銷方案的權(quán)利；Party A sh

41、all have the right to direct Party B to execute the marketing plan designed by Party A;1.2 有核定乙方特約經(jīng)銷區(qū)域及特約經(jīng)銷產(chǎn)品市場(chǎng)最低售價(jià)的權(quán)利；Party A shall have the right to examine the specific distribution area and the lowest market price of the distributed products.1.3 有審核、規(guī)范乙方進(jìn)行產(chǎn)品廣告宣傳的權(quán)利；Party A shall have the right t

42、o examine and standardize the advertisement activity of Party B;2、 甲方的義務(wù)Obligations of Party A2.1 在乙方完成首期采購(gòu)任務(wù)后,向乙方出據(jù)代理商證書及證明，維護(hù)乙方作為代理商的正當(dāng)合法權(quán)益。After Party B completes the purchase task of the first phase, Party A shall issue the agent license and certificate to maintain the legal right of Party B as

43、distributor.2.2 向乙方提供產(chǎn)品銷售時(shí)所需的營(yíng)銷、技術(shù)和廣告宣傳資料及相關(guān)的產(chǎn)品認(rèn)證證書。Party A shall provide to Party B the marketing, technology and advertising data and relevant production certificate required for the sales of the products.2.3 乙方在本合同第二條約定區(qū)域范圍內(nèi)進(jìn)行其代理經(jīng)銷產(chǎn)品的市場(chǎng)開拓與銷售工作時(shí)，為乙方提供必要的市場(chǎng)指導(dǎo)、技術(shù)支持、培訓(xùn)支持等相關(guān)配套服務(wù)。When Party B conducts

44、the marketing exploitation and sales of the products in the area as specified in the article two of this contract, Party A shall provide necessary relevant supporting services such as market guidance, technical support and training support for Party B.2.4 向乙方按時(shí)、按質(zhì)、按量提供包裝完整的合格產(chǎn)品；Party A shall supply

45、the well-packed qualified products to Party B on schedule by quality andquantity.2.5 協(xié)助乙方做好貨物托運(yùn)及調(diào)換工作；Party A shall render assistance to Party B to make goods consignment and replacement.2.6 采取有效措施調(diào)節(jié)和規(guī)范市場(chǎng)秩序；Party A shall take effective measure to adjust and standardize the market order.2.7 嚴(yán)守乙方的商業(yè)機(jī)密。

46、Party A shall not disclose the commercial secrete to any other third party.3、 乙方的權(quán)利Rights of Party B3.1 享有本合同第二條約定的特約經(jīng)銷產(chǎn)品在產(chǎn)品特約區(qū)域的經(jīng)銷權(quán)；Party B shall have the right to enjoy the distribution right of the specified products in the area as specified in Article two of this contract.3.2 享有按 OA 電能科技 2004 年度

47、市場(chǎng)營(yíng)銷方案享受一切獎(jiǎng)勵(lì)條款規(guī)定的權(quán)利；Party B shall have the right to enjoy all the rights as specified in the rewarding clause according to the 2004 Marketing Plan of GUANGZHOU OA TECHNOLOGY COMPANY LIMITED.4、 乙方的義務(wù)Obligations of Party B4.1 應(yīng)向甲方提供營(yíng)業(yè)執(zhí)照等合法有效的經(jīng)營(yíng)證件，并嚴(yán)格遵守國(guó)家有關(guān)法律法規(guī)及行業(yè)規(guī)范，進(jìn)行守法經(jīng)營(yíng)；Party B shall provide the leg

48、al and valid business license to Party A and strictly abide by the industry standard and relevant laws and regulations of the country, and operate under the laws.4.2 自覺(jué)維護(hù)甲方及其產(chǎn)品的形象和聲譽(yù)，在甲方指導(dǎo)下處理好特約經(jīng)銷區(qū)域內(nèi)產(chǎn)品終端用戶的投訴與相關(guān)服務(wù)請(qǐng)求，并做好有關(guān)部門監(jiān)督檢查的配合工作；Party B shall maintain the image and reputation of Party A and its

With the guidance of Party A, Party B shall make good settlement of the complaint and relevant service application of the final users in the distribution area, and render good coordination to relevant department for supervision and inspection.4.3 嚴(yán)格遵守甲方 OA 電能科技 2004 年度市場(chǎng)營(yíng)銷方案中關(guān)于市場(chǎng)營(yíng)銷秩序維護(hù)及經(jīng)銷商

50、行為約束方面的相關(guān)規(guī)定；Party B shall strictly abide by the relevant regulations with respect to the market order maintenance and binding on the activity of the distributors as specified in the 2004 Marketing Plan of GUANGZHOU OA TECHNOLOGY COMPANY LIMITED.4.4 不得擅自生產(chǎn)、偽造甲方之產(chǎn)品，并要協(xié)助甲方做好保護(hù)甲方專利、商標(biāo)等知識(shí)產(chǎn)權(quán)的工作；嚴(yán)守甲方的商業(yè)秘密；

51、Party B shall not produce, counterfeit the products of Party A; Party B shall render assistance to protect the intellectual property such as patent and trademark of Party A. Party B shall not disclose the commercial secrete to any other third party.4.5 乙方必須安裝專用的通訊設(shè)備，保持與甲方的持續(xù)溝通，及時(shí)反饋各種市場(chǎng)營(yíng)銷信息； Party B

52、shall install special communication equipment to maintain a good contact with Party A and feed back various marketing information on time.4.6 乙方印制各種針對(duì)甲方的宣傳資料前必須呈甲方審核，并經(jīng)甲方書面許可后方能發(fā)布；Party B shall submit all the advertising data involving Party A to Party A for examination and approval; and the adverti

53、sing data shall only be issued with the approval of Party A.4.7 遵守甲方頒布的年度營(yíng)銷方案、客戶服務(wù)方案，并積極支持配合甲方組織的各項(xiàng)活動(dòng)；Party B shall abide by the annual marketing plan, client service plan and render active assistance to Party A to organize various activities.4.8 不得以甲方名義與第三人簽訂經(jīng)濟(jì)合同或從事其他民事行為，甲方亦無(wú)須為乙方與任何第三人發(fā)生的經(jīng)濟(jì)或民事糾紛承擔(dān)

54、法律責(zé)任。Party B shall not transact business or other civil deeds with any other third person or party in the name of Party A.
