2、Republic of China, Labor Law of the Peoples Republic of China, Labor Contract Law of the Peoples Republic of China and other relevant laws and regulations, and in line with the principle of equality and mutual benefits, the two parties enter into this Labor Service Contract through friendly consulta

3、tion with regard to Party As labor service for Party B. 第一章 總則Chapter 1 General Provisions 第一條 適用Article 1 Application 甲、乙雙方有關(guān)乙方使用甲方員工等事宜,適用本合同。 This Contract applies to the related issues regarding Party Bs using Party As labor service. 第二條 適用法律Article 2 Applicable Laws 本合同,以及與本合同有關(guān)的一切事宜,一律適用中華人民共和

4、國(guó)的法律、法規(guī)。因任何原因,包括但不限于因法律法規(guī)變化,致使本合同條款與中華人民共和國(guó)法律、法規(guī)不一致時(shí),均應(yīng)以中華人民共和國(guó)法律、法規(guī)為準(zhǔn)。 This Contract and related matters shall be subject to laws and regulations of the Peoples Republic of China. In case of any discrepancy between the articles of this Contract and the laws and regulations of the Peoples Republic o

5、f China for any reasons, including but not limited to the change of laws and regulations, the latter shall prevail. 第三條 定義Article 3 Definitions 甲方員工:指乙方需要使用的,由甲方依法辦理相關(guān)手續(xù),派遣到乙方的中國(guó)公民。 Party As Staff: Party As Staff refer to any Chinese citizens needed by Party B and dispatched by Party A to Party B af

6、ter Party A has handled relevant proceduresin accordance with law. 附件:指甲、乙雙方另行簽訂的所有關(guān)于本合同的補(bǔ)充協(xié)議或相關(guān)約定等;附件是本合同不可分割的組成部分,與本合同具有同等法律效力。 Attachments: Attachments refer to all supplementary or related agreements signed by the two parties; the Attachments are integral parts of this Contract and have the same

7、 effect as this Contract. 管理費(fèi):指乙方使用甲方員工而應(yīng)支付給甲方的各種費(fèi)用的總和。一般包括: Management Fee: The total sum of all charges and expenses that Party B should pay to Party A for the use of Party As Staff. It generally covers: 乙方為承擔(dān)甲方員工的社會(huì)保險(xiǎn)和住房公積金而支付的費(fèi)用; Social insurances and accumulated housing fund borne by Party B fo

8、r Party As Staff; 乙方為要求甲方向甲方員工提供福利保障、檔案保管而支付的費(fèi)用; Expenses of benefits and personnel file preservation that Party B requests Party A to provide for Party As Staff; 乙方為甲方提供本合同下所列服務(wù)而支付給甲方的服務(wù)費(fèi)和約定的相關(guān)稅收。 Service fee charged by Party A for service provided under this Contract and taxes levied by the state

9、agreed upon by the two parties. 工資:指乙方使用甲方員工而應(yīng)支付給甲方員工的勞動(dòng)報(bào)酬,具體數(shù)額應(yīng)以附件所載為準(zhǔn)。 Pay: Labor remuneration paid by Party B to Party As Staff for labor use, in the amount subject to the attachments hereto. 法律:指中華人民共和國(guó)法律、法規(guī)、規(guī)章、制度、規(guī)范性文件等。 Law: Any and all laws, rules, regulations, institutions, statutes and the

10、like, of the Peoples Republic of China. 第二章 權(quán)利和義務(wù)Chapter 2 Rights and Obligations 第四條 甲方享有的權(quán)利Article 4 Rights Enjoyed by Party A 甲方有權(quán)要求乙方為甲方的服務(wù)配合甲方擬定的流程。 Party A is entitled to request Party B to cooperate with regard to the procedures set by Party A for its service. 甲方有權(quán)對(duì)乙方與甲方員工之間因?qū)嶋H使用關(guān)系所發(fā)生的爭(zhēng)議進(jìn)行調(diào)解。

13、mutual consultation. 一、 工作內(nèi)容 Article One Working Contents 甲方因生產(chǎn)需要,同意聘用乙方為本公司員工,職位為 。乙方同意接受該安排,遵守勞動(dòng)紀(jì)律和職業(yè)道德,執(zhí)行勞動(dòng)安全規(guī)程,提高職業(yè)技能,完成生產(chǎn)(工作)任務(wù)。 To meet the production demand, Party A agrees to employ Party B as. Party B agrees to accept the arrangement, observe the labor discipline and professional ethics, ca

14、rry out rules of safe operation, improve professional skills and accomplishes production tasks. 甲方可根據(jù)生產(chǎn)經(jīng)營(yíng)需要依法調(diào)整乙方的工作崗位或職位。 Party A may legitimately adjust Party Bs post according to business 二、 合同期限 Article Two Term of Contract 本合同自年 月 日至年月 日,其中試用期為 個(gè)月(自年 月日至年月日)。勞動(dòng)合同的期限屆滿或約定的終止條件出現(xiàn),勞動(dòng)合同即終止執(zhí)行。經(jīng)雙方協(xié)商一

16、hree Working Hours 甲方實(shí)行每周工作小時(shí)和天休息日的標(biāo)準(zhǔn)工時(shí)制度。 Party A carries out standard working hours system of 40 hours per week and two rest days . 甲方因工作需要,在乙方愿意的前提下,可依法安排乙方超時(shí)工作或公休日加班。 Party A may legitimate arrange Party B to work overtime or work on general holidays due to business requirements on condition tha

17、t Party B is willing to do so. 甲方由于工作需要更改工時(shí)制度,經(jīng)政府有關(guān)部門批準(zhǔn)后,乙方應(yīng)密切配合執(zhí)行。 Party A may change working hours system for business requirement after approval by relevant government authorities and Party B shall execute it of his own will. 四、 薪酬 Article Four Remuneration 甲方支付乙方的每月基本工資為人民幣 元。上述薪酬不包括甲方按公司補(bǔ)貼規(guī)定 按月

18、向乙方支付的所有補(bǔ)貼。 Party A pays RMB to Party B as basic wage per month. The aforesaid remuneration excludes all subsidies paid to Party B pursuant to Party As stipulation. 甲方嚴(yán)格執(zhí)行國(guó)家有關(guān)最低工資的規(guī)定和標(biāo)準(zhǔn)。 Party A shall strictly implement relevant regulations and standard per the lowest wage. 甲方的發(fā)薪日期為每月日。Party A shall

19、 pay the wage on the day every month. 五、 勞動(dòng)保護(hù)與勞動(dòng)條件 Article Five Labor Protection and Labor Conditions 甲方須對(duì)乙方進(jìn)行勞動(dòng)安全、業(yè)務(wù)技術(shù)及勞動(dòng)紀(jì)律等方面的教育和培訓(xùn),并根據(jù)國(guó)家對(duì)勞動(dòng)保護(hù)、安全生產(chǎn)的要求,為乙方提供必要的生產(chǎn)(工作)條件,保障乙方的安全健康。 Party A shall give Party B education and training programs relating to labor safety, professional skills and labor disc

20、iplines etc. According to the requirements of state labor protection and safe-production, Party A shall provide necessary working condition to ensure Party Bs safety and health. 六、 社會(huì)保險(xiǎn)和福利 Article Six Social Insurance and Welfare 甲方依法替乙方辦理各項(xiàng)社會(huì)保險(xiǎn)并繳納保險(xiǎn)費(fèi)用。但依法規(guī)定之分?jǐn)偙壤?,屬于乙方須自行?fù)擔(dān)之各項(xiàng)社會(huì)保險(xiǎn)金,由甲方于每月發(fā)薪時(shí),從乙方薪資中代扣

21、代繳。 Party A shall transact social insurance and pay them for Party B. Party A shall withhold the social security contribution legally undertook by Party B when paying the remuneration every month. 乙方享有國(guó)家規(guī)定的所有法定假日。 Party B will take all statutory holidays stipulated by the State. 甲方實(shí)行年休假制度,乙方連續(xù)工作滿一年以

22、上的可享受有薪年假,申請(qǐng)享受辦法按甲方制定的年假規(guī)定執(zhí)行。 Party A carries out annual vocation system, Party B can take paid annual vocation after continuously working for 1 year and the applying procedure for annual vocation shall be done pursuant to Party As stipulation. 七、 乙方責(zé)任 Article Seven Party Bs Responsibility 乙方必須認(rèn)真工作和

23、勞動(dòng),保質(zhì)保量地完成自己的生產(chǎn)任務(wù)。 Party B must work earnestly and accomplish its own tasks with quality and quantity. 乙方必須如實(shí)匯報(bào)工作,積極配合和協(xié)助上級(jí)的工作。 Party B must report its job according to the facts and shall cooperate with its uppers and assist their jobs. 乙方應(yīng)嚴(yán)格履行甲方依法制定的規(guī)章制度和員工手冊(cè)。 Party B shall strictly implement the

24、rules and regulations and Handbook legally stipulated by Party A. 乙方應(yīng)愛護(hù)甲方的財(cái)物,對(duì)由于本人責(zé)任造成的直接經(jīng)濟(jì)損失,必須予以賠償并接受甲方的處罰。 Party B shall take good care of Party As property and he/she must indemnify direct damage due to his/her liability and accepts Party As punishment. 乙方在勞動(dòng)合同有效期內(nèi)未經(jīng)甲方事先書面同意,不得為另一家雇主工作。 Party B

25、can not work for another employer without Party As written consent in the duration of Labor Contract. 乙方應(yīng)嚴(yán)格保守甲方的商業(yè)秘密,不得向任何第三方泄露。 Party B shall strictly keep Party As trade secret and can not divulge to any third party 如實(shí)陳述履歷和學(xué)歷。 Party B shall state his/her curriculum vitae and educational background

26、 according to the facts. 如甲方委派乙方培訓(xùn)(包括海外培訓(xùn)),乙方必須遵守甲方的培訓(xùn)條規(guī)和承諾。 Party B shall observe Party As training rules and undertaking when Party A assigns Party B to be trained. 八、 甲方無償解除合同 Article Eight Cancellation of the Contract without Compensation by Party A 若符合下列情況之一的,甲方可以隨時(shí)解除合同,而不必給予乙方任何經(jīng)濟(jì)補(bǔ)償: Party A m

27、ay cancel the Contract at any time without compensation to Party B under the following circumstances: 當(dāng)乙方在試用期內(nèi)不符合甲方的職工錄用條件,甲方無須給予乙方解除的原因。 When Party B is proven to be unqualified for Party As employment conditions during probation period, Party A need not give Party B the reason for cancellation. 乙方

28、嚴(yán)重違反甲方依法制定的規(guī)章制度和勞動(dòng)紀(jì)律。 Party B seriously violates rules and regulations, labor discipline legally stipulatedby Party A. 乙方嚴(yán)重失職,營(yíng)私舞弊,給甲方利益造成重大損失。 Party B seriously neglects his/her duty and grafts resulting in Party As great loss. 乙方違反中國(guó)法律,受到司法處罰或追究刑事責(zé)任。 Party B violates the laws of PRC and gains judi

29、cial punishment or is found a guilty. 九、 甲方有償解除合同 Article Night Cancellation of the Contract with Compensation by Party A 有下列情形之一的,甲方可以解除勞動(dòng)合同,但是應(yīng)當(dāng)提前30天以書面形式通知乙方或支付一個(gè)月基本工資代替,并依法支付乙方經(jīng)濟(jì)補(bǔ)償金或補(bǔ)助費(fèi)。 Under the following circumstances, Party A may cancel the Contract with 30 days prior written notice to Party

30、 B or paying one month basic wage instead and legally pay economic compensation or subsidy to Party B. 乙方患病或非因工受傷,醫(yī)療期滿后仍不能從事原工作或由甲方另行安排的工作的。Party B is ill or non-work-related injured, and unable to do the former job or other job assigned by Party A after medical treatment. 乙方不能勝任工作,經(jīng)過培訓(xùn)或調(diào)整工作崗位,仍不能勝任

31、的。 Party B is not competent for the job and still remains so after training or adjustment of the post. 本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使本合同無法履行,甲乙雙方不能就變更本合同達(dá)成協(xié) 議的。 The basis for the conclusion of the contract has greatly changed so that the contract can no longer be carried out, while both parties can not rea

32、ch an agreement on modifying the contract by mutual negotiation. 甲方瀕臨破產(chǎn),進(jìn)入法定整頓期間或者生產(chǎn)經(jīng)營(yíng)狀況發(fā)生嚴(yán)重困難,達(dá)到當(dāng)?shù)厝嗣裾?guī)定 的嚴(yán)重困難企 業(yè)標(biāo)準(zhǔn),確須裁減人員,并按法定程序解除勞動(dòng)合同的。 Party A is close to bankruptcy and enters into legal rectification period or it is in a severe difficulty to meet the standard of severe difficult enterprise sti

33、pulated by the local government and the retrenchment is needed, and then Party A cancels the contract according to legal procedure. 十、 乙方要求解除合同 Article Ten Cancellation of the Contract at Party Bs request 乙方要求解除勞動(dòng)合同,應(yīng)當(dāng)提前三十天以書面形式通知甲方,但必須依照條款賠償甲方。 Party B shall give 30days prior written notice to Part
